TERMS AND CONDITIONS

1. Parties involved in YZ65 bLU cRU FIM Europe Cup

a) Yamaha Motor Europe N.V., (hereinafter referred to as YME), including its branches; b) Infront Moto Racing (hereinafter referred to as Infront); c) Fédération Internationale de Motocyclisme – Europe (hereinafter referred to as FIM/FIM Europe).

2. Involvement of parties

a) YME sets the structure and rules for the YZ65 bLU cRU FIM Europe Cup (hereinafter referred to as “Cup”), is the entity responsible for managing the marketing and promotional rights of the Cup and is the entity in charge of the interaction between the stakeholders involved in this project; b) The branches of YME are in charge of the local communication and direct contact with the riders, providing them the bLU cRU welcome pack and sticker kit on the behalf of YME; c) Infront manages the television rights for the SuperFinale and is in charge of organizing the YZ65 bLU cRU FIM Europe Cup SuperFinale inside the annual Monster Energy FIM Motocross of Nations. Infront is the stakeholder which establishes direct contact with FIM/ FIM Europe regarding the SuperFinale; d) MC Montecoralli is in charge of the organization of the FIM bLU cRU YZ65 European Cup SuperFinal as part of the annual Monster Energy FIM Motocross of Nations. e) The licensing for the SuperFinale event is under FIM Europe sportive and technical regulations (only continental one event or annual European 65 championship license is allowed) and is a responsibility of the rider to request it through the national federation. These can be sourced at the FIM extranet.

3. Structure of the Cup a) Subscription Online registration for participation in the Cup is possible between 20 November 2020 until 28 February 2021; b) National Championship This Cup will be an integrated part of the national championships, in which the Yamaha riders will have their own ranking, which will be locked by 10 September 2021 for the selection of riders joining the SuperFinale; c) SuperFinale The best riders of each national championship will race in a SuperFinale which will happen on 25-26 September in Imola, Italy and will be part of the main event “Monster Energy FIM Motocross of Nations”; d) Superfinale Podium ceremony The first 3 riders in the overall standing will be rewarded with the following prizes: 1° Cup/Plate/FIM-Europe Medal 2° Cup/Plate/FIM-Europe Medal 1

3° Cup/Plate/FIM-Europe Medal

A YME Distributor Award will be given based on the national Distributor showing the most proactivity in terms of: contact, registrations, sportive info, media info and presence on the field;

A Youngest Rider award will be given to the youngest rider on the Superfinale starting grid.

e) bLU cRU Masterclass The top 3 riders plus 2 wild cards chosen by a YME racing committee from the SuperFinale at the Monster Energy Motocross of Nations will then participate on a 3-day (October/November 2021) Masterclass with bLU cRU Ambassadors; f) EMX 65 Zone and final 2022 ride The best rider of the Masterclass, chosen by the YME racing committee & bLU cRU Ambassadors, will supported by Yamaha at the conditions indicated to the point: 10 in the 2022 season.

4. Participation Requirements a) The participation in the Cup is restricted to the national championships in Europe; b) The rider must be fully licensed in their national federation, followed the National Cup Tech./Sportive rules and racing with a Yamaha YZ65 for a championship in an European country; c) In order to participate in the Cup, the rider must have been born between 1.1.2010 (11) and 31.12.2013 (8); d) It is mandatory for the riders participating in the Cup to use during national championship season, SuperFinale and Masterclass, the YZ65 bLU cRU FIM Europe Cup sticker and Paddock Blue kit provided by YME National Branches.

5. Insurance a) The insurance for YZ65 bLU cRU FIM Europe Cup is a responsibility of each national federation and, regarding specifically the SuperFinale, of FIM; b) The indemnity and liability clauses are set by the insurance included in the FIM and national federation licenses; c) The rider acknowledges and accepts the risks and hazards resulting from participation in the Cup. YME and/or its branches are excluded from any liability in case of any accident that causes any injury, permanent disability or death.

6. Attendance at the events a) The riders must be racing on their national championship and are obliged to attend to a minimum of 50% of the races in this championship in order to be able to participate in the SuperFinale; b) YME is responsible to define the rider allocation per country and selection of riders for the SuperFinale; c) The total amount of 40 riders will be completed following criteria per area:

Group A. Spain / Italy / France / UK / Germany / The Netherlands – TTL 18 riders; 2

Group B. Sweden / Norway / Denmark / Finland / Belgium / Austria / Switzerland – TTL 14 riders;

Group C. Greece / Portugal / Poland / Turkey / Ukraine / Latvia / Estonia / Croatia – TTL 8 riders;

After registration will be completed the specific riders allocation per country will be defined according to the numbers of registration with the target to offer similar possibility to challenge the SuperFinale inside each Group. d) The riders who manage to reach the following step in the Cup, are obliged to attend to it, unless prevented as a result of major force (injury, severe health problem). In this case, the rider will be replaced with a reserve rider.

7. Costs a) All the participation costs of this Cup (regarding national championships, SuperFinale and bLU cRU Masterclass) will be on the rider/ team responsibility including, but not limited to transport & logistic, bike purchase and usage, parts, mechanical & assistance, licensing for national championship and SuperFinale; b) There is no subscription fee for this Cup, including the SuperFinale, Masterclass and EMX65 ride (excluding National Cup rules, national championship licensing and participation fees defined by the national federation/ organizer); c) YME National branches will provide a cost-free bLU cRU welcome pack (2/T-shirt, 1/Hoody, 1/Umbrella, 1/Cap, / Back pack) and one exclusive sticker kit for the bike; In case the rider requires more bike welcomepack items and sticker kits, these should be requested to YME National branches, through bLU cRU coordinator and these will be provided for a promotional cost.

8. Registration Instructions a) To join the YZ65 bLU cRU FIM Europe Cup, it is mandatory follow all steps in the online registration process. >; b) Rider will be contacted by the national bLU cRU coordinator within 10 days to confirm the registration c) All the information provided by the rider must be under his responsibility, as this will be checked by the national distributors.

9. Cancellation of events

For any reason, and without prior notice, YME reserves the right to at its own discretion and at any time change or cancel, in whole or in part, (the Terms and Conditions) the Cup.

10. EMX65 2022 Participation Conditions a) The best rider chosen from the bLU cRU Masterclass will be participating in EMX65 championship in 2022; b) The rider will be a supported Yamaha rider under conditions to be agreed within an annual rider contract with YME with these benefits; a. N° 1 YZ65 (loan for use) – 1 GYTR kit – 1 std spare parts (max value € 3.000=) c) The rider participating in the EMX65 will have to follow the rules and instructions of YME and the team, including sponsorship agreements.

11. Image rights

The rider grants or procures the grant, free of charge until 31st December 2021 and without limitation in time for historical purposes for materials made prior to 31st December 2021 and without limitation in time or territory, to YME the exclusive right to use rider's name, rider’s personal racing number design(s), signature, initials, likeness, including photographed portraits, film, video, CD-/DVD-ROM and any other footage or comments by electronic means of rider, and comments and opinions, in connection with advertisements, promotional activities and the sale of motorcycles and other products manufactured and/or sold by YME.

12. Term

This agreement shall come into effect on the moment of registration and shall automatically expire on 31st December 2021 without the notification of either YME or rider being required.

13. Applicable law

a) By registering for the Cup and signing the registration form, the rider agrees with the Terms and Conditions.; b) The rider agrees that any disputes in connection to (participation in) the Cup, including the use of the information provided by the rider to YME, shall be resolved by the competent court of Amsterdam, the Netherlands.

a) Yamaha Motor Europe N.V., (hereinafter referred to as YME), including its branches; b) Infront Group Sam (hereinafter referred to as Infront); c) Fédération Internationale de Motocyclisme – Europe (hereinafter referred to as FIM/FIM Europe).

2. Involvement of parties

a) YME sets the structure and rules for the YZ85 bLU cRU FIM Europe Cup (hereinafter referred to as “Cup”), is the entity responsible for managing the marketing and promotional rights of the Cup and is the entity in charge of the interaction between the stakeholders involved in this project; b) The branches of YME are in charge of the local communication and direct contact with the riders, providing them the bLU cRU welcome pack and sticker kit on behalf of YME; c) Infront manages the television rights for the SuperFinale and is in charge of organizing the YZ85 bLU cRU FIM Europe Cup SuperFinale inside the annual Monster Energy FIM Motocross of Nations. Insurance a) The insurance for YZ85 bLU cRU FIM Europe Cup is a responsibility of each national federation and, regarding specifically the SuperFinale, of FIM; b) The indemnity and liability clauses are set by the insurance included in the FIM and national federation licenses; c) The rider acknowledges and accepts the risks and hazards resulting from participation in the Cup. 8. Registration Instructions a) To join the YZ85 bLU cRU FIM Europe Cup, it is mandatory follow all steps in the online registration process. >; b) Rider will be contacted by the national bLU cRU coordinator within 10 days to confirm the registration c) All the information provided by the rider must be under his responsibility, as this will be checked by the national distributors.

9. Cancellation of events

For any reason, and without prior notice, YME reserves the right to at its own discretion and at any time change or cancel, in whole or in part, (the Terms and Conditions) the Cup.

EMX85 2020 Participation Conditions a) The best rider chosen from the bLU cRU Masterclass will be participating in EMX85 championship in 2022; b) The rider will be a supported Yamaha rider under conditions to be agreed within an annual rider contract with YME with this benefits; a. N° 1 YZ85 (loan for use) – 1 GYTR kit – 1 std spare parts (max value € 3.000=) c) The rider participating in the EMX85 will have to follow the rules and instructions of YME and the team, including sponsorship agreements.

e) bLU cRU Masterclass The top 3 riders plus 2 wild cards chosen by a YME racing committee from the SuperFinale at the Monster Energy Motocross of Nations will then participate at the bLU cRU Masterclass event (October/November 2021) Masterclass with bLU cRU Ambassadors; f) EMX 125 2022 ride The best rider of the Masterclass, chosen by the YME racing committee & bLU cRU Ambassadors, will join a Yamaha bLU cRU EMX125 Team as an official Yamaha rider for the 2022 season. One extra rider spot to join the team will be evaluated during the Masterclass.

4. Participation Requirements a) The participation in the Cup is restricted to the national championships in Europe; b) The riders must be fully licensed in his/her national federation, followed the National Cup Tech./Sportive rules and racing with a Yamaha YZ125 for a championship in a European country; c) In order to participate in the Cup, the rider must be aged between 13 and 16; The minimum age of 13 must be reached at the moment of the first technical verifications of the event which is normally the Friday of the event. The maximum age finishes at the end of the calendar year in which the rider reaches the age of 16. d) It is mandatory for the riders participating in the Cup to use during national championship season, SuperFinale and Masterclass, both the YZ125 bLU cRU FIM Europe Cup sticker and Paddock Blue kit provided by YME National Branches, unless otherwisw agreed in writing.

9. Cancellation of events

For any reason, and without prior notice, YME reserves the right to at its own discretion and at any time change or cancel, in whole or in part, (the Terms and Conditions) the Cup.

10. EMX125 2022 Participation Conditions a) The best rider chosen in the YZ125 bLU cRU FIM Europe Cup from the Masterclass will be participating in EMX125 championship in 2022 for a Yamaha bLU cRU EMX 125 Team; b) The rider will be an Official Yamaha rider under conditions to be agreed within an annual rider contract with YME; c) The rider participating in the EMX125 will have to follow the rules and instructions of YME and the Team, including sponsorship agreements.
