The information below corresponds to the Official Rules that govern this Contest.

Entrants must be aged 18 or over. BEFORE ENTERING THIS COMPETITION you must read, understand and accept the following terms and conditions. • 1. Definitions Artist – Competition - To celebrate the release of Mark Owen’s new entitled “The Art of Doing Nothing”, Polydor invite you to submit a piece of artwork that represents your interpretation of the “Art of Doing Nothing’ in the form of a photo, painting, illustration, digital design, poem or essay. Mark will select a winner who will receive $1500 and Mark Owen and Polydor may decide (but shall be under no obligation whatsoever) to sell a limited number amount of print reproductions of the winning entry through Mark’s and/or Polydor’s website to the general public with 100% of the net proceeds going to Mark’s nominated charity – BeyondAutism (Registered Charity No. 1082599). Additionally, Mark will select two Runners Up who will receive $650 each and the Entrant who receives the highest amount of votes by members of the public will also receive $1000. Such prizes shall be defined herein as the “Prize” (see section 6 below for further details) • The opening date of the Competition is May 13th 2013 • The closing date is June 10th 2013 • Public voting will take place between June 11th, 2013 - June 18th, 2013 • The winner and Runners Up will be announced June 25th, 2013 • All phases above will take place at 6pm GMT. • Any entries received after the closing date will not be eligible. In order to enter the Competition or receive the Prize, Entrants must fully comply with these terms and conditions. By entering the Competition, Entrants represent and warrant that they agree to be bound by these terms and conditions, which will be referred to hereafter as “the Rules” (of the Competition) and agree to be bound by any other guideline terms and conditions that apply on this site. Entrant – any person that (i) enters the Competition and (ii) satisfies the eligibility criteria in section 2 below. The term “Entrant” also refers to the eventual Winning Entrant and Runners Up. Promoter – Talenthouse Runner(s) Up – the 2 Entrants who are selected as runners up by Mark Owen, and the Entrant who receives the most amount of votes from the public. Winning Entrant – the Entrant that is selected as the winner of the Competition.

• 2. Eligibility 2.1 Entrants must be aged 18 or over. 2.2 Entrants agree to cover costs, losses and expenses entailed in designing and creating their Competition entry. 2.3 Entries made via, or with the assistance of, third parties or agents will be invalid. 2.4 Entrants may only enter this Competition once, and multiple entries from the same person (for example, via several submissions) will be counted as one entry with the first entry being submitted being the entry counted. 2.5 Where Polydor and/or the Promoter discovers or has reasonable grounds to suspect that any Entrant has used any software or automated process to answer the Competition question or enter the Competition or to make bulk entries; Polydor and/or Promoter may exclude such entries and disqualify the Entrant from the Competition. 2.6 The Competition is not open to employees of Polydor or Promoter or Mark Owen (nor members of their family/household) (including in case of companies their respective; subsidiaries, divisions, affiliates, designees, sponsors, licensees, and advertising and promotional agencies), and any company involved directly with the administration of the Competition 2.7 Polydor and/or the Promoter reserve the right to disqualify Entrants that; breach these Rules, submit false information, act fraudulently, otherwise fail to satisfy the eligibility criteria or generally breach the spirit of the Competition. 2.8 Entrants agree to comply with all inquiries and requests at any time from Polydor and/or the Promoter’s representatives in regard to verifying eligibility and/or identity and/or the originality of their artwork entry. 2.9 Mark Owen, Polydor and/or the Promoter have the right, in their sole discretion, to replace or substitute a disqualified Winning Entrant or Runner Up with any other eligible Entrant, but is by no means obliged to.

• 3. Entry Process 3.1 To enter the Competition, visit www.talenthouse.com/design-for-mark-owen and follow the entry instructions. 3.2 Entrants shall submit via the website, an original work/artistic interpretation of “The Art of Doing nothing” (hereafter referred to as “the Work”). The Work must be submitted in digital form via the website, and may take the form of a photo, painting, illustration, digital design, poem or essay. 3.3 Each Work must comply with the following requirements: a.) The Work must be the Entrant’s own original work, created solely by the Entrant. The Work must not infringe the copyright, trademark, privacy, publicity, or other personal or proprietary rights of any person or entity, nor shall it have been previously published, released or distributed in any form; b.) Any Work that is lewd, obscene, sexually explicit, racist, political, immoral, illegal, pornographic, disparaging, defamatory, libellous, or any Work that otherwise contains inappropriate content or objectionable material may be disqualified and may be removed at any time at Polydor’s and/or the Promoter’s sole discretion; c.) If any person appears or is referred to in the Work, the Entrant represents and warrants that they are solely responsible for obtaining, prior to submitting their Work, any and all releases and consents necessary to permit the sale and exhibition and use of the Work by Polydor, Mark Owen, and/or the Promoter; d.) Entrants may not submit an entry that involves services of theirs which are the subject of a third party contractual relationship. 3.4 Polydor and the Promoter reserve the right in their sole discretion to disqualify any Work that it believes violates or potentially violates any of the foregoing requirements or otherwise fails to comply with any provision of these Rules. 3.5 There is no charge to enter the Competition. However standard telephone, mobile data, and internet connection charges may apply. Please check with your network provider for details of such charges. 3.6 Entrants acknowledge that the internet is not a secure medium and information submitted to this Competition via the internet may be accessed by third parties and Polydor, Mark Owen, and the Promoter accept no liability for third party interaction and/or interference. Polydor, Mark Owen, and the Promoter do not accept responsibility for any technical failure, error, omission, interruption, or defect in the service supplied by third party websites (i.e websites that Polydor, Mark Owen, and/or the Promoter do not directly control), internet service providers, mobile networks/applications or devices used to enter the Competition. 3.7 Polydor, Mark Owen, and the Promoter hereby jointly and individually exclude all liability for any costs incurred, injury, disappointment and/or losses (including consequential loss of any nature howsoever arising) in any way arising directly or indirectly as a result of entering or attempting to enter this Competition including where caused by Polydor’s, Mark Owen’s, or the Promoter’s negligence (as far as any exclusion is permissible by law which shall not for the avoidance of doubt include excluding any liability for death or personal injury caused by negligence or for fraud).

• Grant of Rights. Entrants: Polydor, Mark Owen, and/or the Promoter (and their respective licensees) will be given a gratis non-exclusive licence to each Entrant’s Work to use on their respective websites and social media channels whether as part of Competition or afterwards. Neither Polydor, Mark Owen, or the Promoter will use any Work for commercial purposes (apart from the Work of the Winning Entrant as set out below) but they may wish to contact Entrants in the future regarding further uses of their Work. Entrants cannot exploit their Work in any way if it contains direct or indirect reference to Mark Owen, , Polydor or the Promoter.

Winning Entrant: As a condition of winning the Competition, the Winning Entrant will sign an assignment of rights document which Polydor will present to him/her. This document will transfer ownership in the Winning Entrant’s Work to Polydor on a gratis basis, notwithstanding this the Winning Entrant shall be able to publish their Work on their website, or social media channels or include it in their portfolio for promotional reasons only. Polydor, Mark Owen or the Promoter will not be able to exploit the Winning Entrant’s Work in any commercial way without the Winning Entrant’s prior approval SAVE THAT Polydor shall be entitled (but not obliged) to sell print reproductions of the Winning Entrant’s Work via Polydor’s or Mark Owen’s website and social media channels. The Winning Entrant confirms that he/she understands that no monies, fees, royalties or other payments will be due to him/her for such sales as all net proceeds from such sales will go to Mark Owen’s nominated charity – BeyondAutism (Registered Charity No. 1082599).

• 5. Winning Entrant 5.1 The Winning Entrant will be selected by Mark Owen from all eligible entries received, on the basis of: (i) substance; (ii) creativity; and (iii) originality. Mark will make the selection on or about June 19th 2013 –June 24th 2013. The Winning Entrant will beannounced on June 25th 2013. All dates are subject to reasonable rescheduling. 5.2 The selection decision as to the Winning Entrants and Runners Up will be final, and no correspondence will be entered into regarding the selection process. 5.3 Notifications and correspondence may occur via email, social network, post and/or telephone at Polydor/Promoter’s discretion, using the information provided by each potential winner. Polydor is not obliged to leave a voice mail on an answering service. Polydor shall have no liability for any notification or correspondence that is lost, intercepted or not received by potential winner for any reason. 5.4 If the Winning Entrants fails to respond to the notification within a reasonable period or lets correspondence lapse for an unreasonable length of time, he/she may be disqualified. 5.5 The Winning Entrant accepts that Polydor and the Promoter will have the right, without additional payment or permission, to use their entry, name, photographs, and other appropriate and relevant personal information, and/or audio visual recordings of them that are relevant to the Competition, in connection with publicity for the Artist and/or the Competition. 5.6 The Winning Entrant (and Runners up where applicable) agree(s) to actively participate in good faith and to the best of their ability in any publicity/promotion activities that are deemed appropriate by Polydor and the Promoter in their sole discretion. 5.7 The Winning Entrant will take all reasonable steps to ensure their own health and safety when taking part in any events or activities entailed in the Competition and/or Prize and they will comply with all relevant safety standards. 5.8 Polydor, Mark Owen and/or the Promoter hereby excludes all liability for any costs incurred, injury, disappointment and/or losses (including consequential loss of any nature howsoever arising) in any way arising, whether directly or indirectly as a result ofwinning this Competition and/or partaking of the Prize including where caused by Polydor’s, Mark Owen’s and/or the Promoter’s negligence (as far as any exclusion is permissible by law which shall not for the avoidance of doubt include excluding any liability for death or personal injury caused by negligence or for fraud). • 6. Prize 6.1 The Prize is non-transferable, nor is it exchangeable for any other prize. 6.2 Polydor and the Promoter have the right, in their sole discretion, to amend and/or substitute the Prize for a prize with equal or greater value at any point. 6.3 Should the Prize be amended and/or substituted in accordance with the previous section above, Polydor, Mark Owen and/or the Promoter shall endeavour to inform Winning Entrants as soon as possible, however Polydor will not accept responsibility or be liable for costs, expenses or losses (including consequential losses howsoever arising) incurred directly or indirectly by Winning Entrants and/or Runners Up as a result of the Prize being amended and/or substituted in any way.

• 7. Privacy Policy 7.1 Entrants authorise Polydor and the Promoter to use their personal details for the purposes of administering the Competition. Any personal data relating to Entrants will be used solely in accordance with their respective Privacy Policies as well as current UK data protection legislation. Personal information will not be disclosed to a third party without the Entrant's consent.

• 8. General 8.1 “Polydor” means Limited, 364 - 366 Kensington High Street, London W14 8NS. 8.2 “Talenthouse” or the “Promoter” means Talenthouse, Middlesex House, 34-42 Cleveland Street, London W1T 4JE 8.3 The decisions of Polydor and the Promoter on all matters pertaining to the Contest shall be final and binding. No correspondence will be entered into. 8.4 Each Entrant hereby agrees to indemnify and hold the Polydor, Mark Owen and/or the Promoter (including in case of companies their respective; subsidiaries, affiliates, divisions, partners, representatives, agents, promoters, successors, subsidiaries, designees, clients, sponsors, licensees, assigns, employees, officers and directors) harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all costs, losses, damages, expenses and liabilities (including for, but not limited to goodwill and loss of reputation) relating to or arising out a breach by the Entrant of either the Rules or the reasonable requests and instructions of Polydor/the Promoter or its representatives in relation to the Prize (including but not limited to any behaviour that constitutes a disqualification under these Rules, and any failure to attend or failure to be punctual in regard to any arrangements made by mutual agreement with Polydor/the Promoter) or as a result of any breach of any of the warranties, representations or agreements of the Entrant hereunder. 8.5 Polydor and the Promoter reserve the right to amend the Competition Rules, and/or suspend and/or cancel the Competition at any time, if in their reasonable discretion Polydor judge that there is a need to do so. If Polydor and/or the Promoter amend these Rules in a way that may be materially to the detriment of any Entrants Polydor and/or the Promoter will notify those Entrants of the changes and those Entrants will be given an opportunity to withdraw from the Competition. By continuing to take part in the Competition after notification of the changes to the Competition Rules, Entrants will be deemed to have accepted the amended Competition Rules. 8.6 In addition to 8.6 above, Polydor and/or the Promoter also reserve the right to cancel and/or amend the Competition at its sole discretion without notice, in light of any event that is beyond Polydor’s, Mark Owen’s or the Promoter’s control. 8.7 If any section or part of a section of these Competition Rules is held by a court or some other relevant authority to be invalid or unenforceable the remaining sections of these Competition Rules shall not be affected and the section or part of a section held to be invalid or unenforceable shall be amended by the minimum amount necessary to make it valid and enforceable (where it is possible to do so). 8.8 Any dispute arising from the Competition and/or the Rules will be subject to the law of England & Wales, and the courts of that jurisdiction.
