Business aviation development project

STRASBOURG AIRPORT

I. Overview

Strasbourg Airport is strategically located, both economically and diplomatically, in the centre of the EU. Serving the European capital and the 21 European institutions based there, Strasbourg Airport hosts significant business aviation activity (for both diplomatic and economic reasons), which will develop strongly in the coming years along with the development of this type of aviation.

The improvements already made for this purpose by the Airport (construction of new hangars over a total area of 2520 m²) were immediately occupied, reflecting the dynamism of local activity. This dynamism has been reinforced by the adaptation of safety measures to flexibility requirements with the creation of a demarcated area.

Preparation for this new vector of economic growth will involve the creation of infrastructure and the implementation of services adapted to the needs of this particular clientele. The airport, which has significant land reserves available immediately adjacent to car parks and aeronautical roads, must meet this growing demand.

To do so, the deployment of a new business aviation zone (including, amongst other things, the construction of buildings for passengers and business aviation crews, a hangar dedicated to aeromechanics and a hangar for housing aircraft) has been decided. During 2019-2020, the airport has planned work aimed at providing the necessary infrastructure, specifically:

• The extension of the Bravo apron, dedicated to business aviation, integrating new aircraft positions to cover an area of 8,400 m², • The creation of a new taxiway, called Romeo, to provide code E aircraft with access to this apron, • Implementation of EASA standards for the entire zone, • The creation of a new access road to the zone and the demolition of old military buildings still situated on the access, • Servicing required for the construction of landside buildings, next to the business aviation apron,

To provide this new space with the necessary services and infrastructure, the airport is seeking the participation of one or more partners:

• in the construction and/or operation of the buildings, • in the management and development of an FBO, a VIP lounge, and hangars, guaranteeing a high level of service quality, • in the installation of mechanical activity to meet the demands of the aircraft based on and around the airport, • in the development of transportation solutions by home-basing business aircrafts to meet the demands of local institutions and businesses.

The implementation of this project is planned in the short term and must allow a quick response to requests from users of the platform, be they diplomatic staff, VVIPs or other business aviation users.

II. Planned activity axes

The business aviation development project is divided into four distinct activity axes:

Activity axis 1: FBO - Fixed Based Operator

This axis includes operation of :

o a building referred to as "FBO", intended to accommodate the main functions necessary for passenger and crew reception on arrival or before departure, as well as the preparation of business aviation flights; o a solution made up of one or several hangars for the temporary or permanent accommodation of business aircrafts; o corresponding services; this could include aviation fuel supply; o services offered in the VIP lounge; a building designed to accommodate VIP/VVIPs during official visits to Strasbourg. It is understood that the organisation and the operation of the VIP lounge remains under the control of the airport operator. .

STRASBOURG HANDLING currently provides ground handling operations at the airport. A collaboration could be envisaged, namely concerning the full or partial use of STRASBOURG HANDLING's resources on site.

- The candidate could offer in addition, as a variant, the construction of : o The FBO building, with a surface area of 750-1,000 m² and its surroundings. This two- storey building will be located to the west of the project in front of the Bravo apron and adjacent to the new VIP lounge; o An accommodation solution consisting of one or several dedicated hangars with a capacity of 1,500-6000 m² that, amongst other things, must be able to accommodate aircraft as part of the diplomatic traffic of the honorary pavilion VIP lounge. o A new VIP lounge; it being understood that the creation of this infrastructure is part of the development of dedicated infrastructure within the ”contrat triennial”. For this purpose, servicing of the zone will be entirely reviewed to provide differentiated access with a direct connection to the future Strasbourg bypass. With a surface area of around 500-1,000 m², this lounge, emblematic of the high quality reception to the European Capital, will be situated to the west of the project in front of the BRAVO

apron. An access road and a "passenger" drop-off area (with capacity for an escort of 25 vehicles) will be created landside.

Activity axis 2: MRO activity

This axis includes operation of :

o An aeronautical mechanical service adapted to the customer base, business passengers passing through and the customers present on neighbouring platforms.

- The candidate could offer in addition, as a variant, the construction of :

o A building known as a "mechanical hangar", consisting of a hangar of 1,500-3,000 m², one or several workshops and a set of offices for aeromechanical business. This hanger will include one or more workshops and a set of offices dedicated to the activity of the hangar. The hangar will be accessible from a central dock.

Depending on the size of the project presented (multiple buildings or hangars exceeding 3,000 m²) , additional areas may be proposed.

Activity axis 3: Fuel station reserved for business aviation

This axis includes the construction and operation of an aviation fuel station for business aviation (excluding aircraft fuelling operations).

Activity axis 4: Strasbourg-based air services

This axis includes the installation on site of any air service operator wishing to base his activity in Strasbourg.

The candidate could offer in addition, as a variant, the construction of :

o buildings (hangars, offices, etc.) and infrastructure necessary for this activity.

NB: For each activity axis, the Airport will consider proposals for the operation of the axis, but all other factors being equal, priority will be given to proposals incorporating the construction of infrastructure. Therefore, all interested candidates are invited to provide a proposal, even if it is incomplete, so that the Airport can, where appropriate, propose a simple AOT (temporary authorisation to occupy the public domain) on an infrastructure that it will provide .

III. Business aviation development project

1) Location of the airport :

Strasbourg is at the heart of the European megalopolis. It is home to 21 European institutions such as the European Parliament, the Council of Europe, the European Court of Human Rights, and Eurocorps.

Alsace region :

- Leading French region in terms of d irect foreign investment over the past 25 years. - Foreign companies make up 40.5 % of investments in ( €5.6 billion) - 1000 subsidiaries of foreign countries are based in Alsace - Main partners include Germany, Switzerland, the Benelux countries, th e USA, the United Kingdom, Japan, Spain, and Scandinavian countries.

2) Strasbourg- Airport :

Strasbourg-Entzheim Airport is located 10 km southwest of the city of Strasbourg between the villages of Entzheim, , , and . The concession covers 279 hectares and extends over a large part of the municipal territory of Entzheim and a small part of that of Holtzheim and Duppigheim.

Strasbourg-Entzheim Airport is managed by the company SA Aéroport de Strasbourg-Entzheim. The Airport is classified category 4E according to ICAO classification. The airport has a coated (flexible) runway oriented 05/23, which is 2,400 m long and 45 m wide. It has two 270 m long stopways. The airport has 9 taxiways and two aircraft aprons, ALPHA (107,000 m²) and BRAVO (62,270 m²).

3) The airport in figures :

Runway : Dimensions: 2,400 m x 45 m + 300 ROP on takeoff - Orientation: 05/23 Landing aids: Category III ILS on runway 23 and GNSS procedures.

Apron: An area of 200,000 m² for 32 parking stands.

Commercial terminal: Covers an area of 25,000 m² with a capacity of 2.5 million passengers. 25 check-in desks, 7 bars and shops.

Services: Fire fighting and emergency services: Aerodrome level 7 (8 on request) Refuelling: Shell (JET A1, AVGAS)

Equipment: 4 airbridges - 3 buses - snow removal equipment

Freight: Annual capacity of 30,000 tons Air cargo terminal: 7,000 m² of warehouses and 1,200 m² of offices.

4) Strasbourg Airport's strategy

As a tool for the development and enhancement of its territory, Strasbourg Airport develops its strategy along the following lines: • The accessibility of Strasbourg, European capital, • The development and servicing of the territory (upper Rhine) in the service of companies; this servicing covers not only commercial passenger services, but also freight and business aviation, • The development of tourism in Alsace and the upper Rhine area, • The mobility of people in the region (affinity, visiting family friends and relatives, development directions), • The economic development of the airport area with the number and diversity of businesses and jobs it supports,

• That valorisation of the airport concession, through the quality and diversity of the buildings it contains and the reliability and importance of the economic flows it generates, • The quality of the integration of Strasbourg Airport with its surroundings,

6) Work undertaken by the airport in the "business aviation" zone

a. Aeronautical paving

The planned projects will require an extension of the aeronautical surface area by 48,600 m 2 to allow the reception of any type of diplomatic or business aviation aircrafts. These new areas break down as follows:

 An extension to the BRAVO apron broken down into:

 Aircraft parking positions in contact with the facilities. This zone will be built from concrete paving (planned area 8,400 m²).  An access road to the "Official Flight" hangar in asphalt (area of 3,000 m²) extending to a hangar access dock in asphalt (area of 2,000 m²).  An access dock for the mechanical and aircraft accommodation hangars in asphalt (area of 2,700 m²).  An aircraft taxi lane located in an extension of the existing road and connecting the NOVEMBER, QUEBEC and ROMEO taxiways. It will be built in asphalt.

 A new ROMEO taxiway connecting the extension to the BRAVO apron to the PAPA taxiway (taxiway parallel to the runway allowing servicing of the runway and ALPHA and BRAVO aprons). The ROMEO taxiway will include covered shoulders to comply with aeronautical regulations. It will accommodate all types of aircrafts up to code E (according to ICAO classification).

 The ROMEO taxiway and the BRAVO aircraft taxi lane represent an area of 32,500 m² (including shoulders). The area currently consists of an undeveloped grassed area and an old taxiway decommissioned as a service road.

 This work is planned for 2019 to June 2021

b. Road paving

An independent secure external servicing road will be created. It should allow long-term access to the RD221 and the exit of the West Strasbourg Bypass. The first part of the road (from the VIP lounge to the level of the water treatment plant) involves reworking the existing road, which will be extended and secured.

7) Partnership outline

Candidates wishing to be part of the business aviation development project will be able to integrate their applications to a partnership based on:

The public limited company Aéroport de Strasbourg Entzheim : the airport concession holder, in charge of its operation and development could intervene as a financial or operational partner, depending on the projects proposed by the candidates. Any implementation method for such a partnership is possible And/or

- The Caisse des Dépôts et Consignations : Preferred partner of Aéroport de Strasbourg Entzheim and, as such, likely to intervene in support of key development projects for the airport and, as a result, for the territory. The Caisse des Dépôts et Consignations can contribute as part of a support and advice mission to facilitate project management and coordination or intervene as a minority co-investor for a project.

IV. Tender rules

1. Contractor

S.A. Aéroport de Strasbourg Entzheim Route de l’Aéroport – RD 221 67960 ENTZHEIM

2. Subject

The subject of this tender is the granting by Aéroport de Strasbourg, a public limited company with a management board and a supervisory board - concession holder of the Strasbourg-Entzheim Airport - (hereinafter "the Airport"), of one or several temporary authorisations to occupy the public domain for the construction of infrastructure within the airport for business aviation activity and for the operation of associated services.

3. Legal Framework

One or more agreements will be concluded in accordance with the French General Code on Public Property with regard to temporary authorisations to occupy the public domain (Autorisations d’Occupation Temporaire du Domaine Public - AOT) as well as under the conditions described in this information notice and tender documents.

Each activity related to the planned axes will be the subject of an agreement concluded between the Airport and the Holder. All of the costs necessary for the construction of infrastructure for each axis will be supported by the Airport or its potential financial partners as part of a simple AOT or supported by the Holder of each agreement as part of an AOT conferring rights in rem.

4. Essential characteristics of the AOT

The concession of Aéroport de Strasbourg Entzheim will come to an end on 31 December 2050. Consequently, AOTs granted as part of this call for projects cannot, in principle, go beyond this time limit; going beyond this limit can only be justified by the deployment of a project of special importance and must be subject to prior authorisation issued by the competent State departments.

The duration of each agreement will be established based on the characteristics of the successful applications.

The Agreements should come into effect from 31 January 2019.

The Agreement will be governed by the provisions of the French General Code of Public Property with regard to temporary authorisations to occupy the public domain.

5. Tender procedure

a. Legal status of the candidate

Any candidate, whatever its legal status, may submit an application and a bid, either individually or as part of a group. A single operator cannot present several applications and bids for the same activity axis, acting as both an individual candidate and a member of several groups.

In the event that one or more of the project's activity axes are allocated to a group, the Airport reserves the right to require the constitution of a dedicated company made up of each of the group's members. This dedicated company would become the holder of the Agreement(s).

b. Composition of the tender documents

The tender documents are made up of this call for projects and a model AOT (simple and conferring rights in rem) and its appendices.

The Airport reserves the right, at the latest ten (10) calendar days before the deadline set for the submission of initial bids, to make non-substantial changes to the tender documents. Candidates must therefore provide their tenders based on the amended documents without making any claims on this subject.

In the event of postponement of the deadline set for the submission of initial bids, the rule provided for in the previous paragraph will apply according to the new deadline.

6. Tender procedure

It is understood that the tender procedure explained below will be applied to each activity axis included in this consultation.

a. Initial Bid

i. Questions and site visit

Any candidate can ask questions at the latest, 10 days before the deadline for the submission of initial bids using the email address [email protected] . Any candidate wishing to submit an initial bid may request a site visit from the Airport, as part of a meeting that must be held, at the latest, 10 days before the deadline for the submission of initial bids.

This visit is not a negotiation meeting. Each candidate may only make one visit. Visits are individual (candidate by candidate).

The visits take place under conditions that respect the principle of equal treatment of candidates.

ii. Submission of initial bids

Each candidate will submit his initial bid in a sealed envelope marked "Application for temporary authorisation to occupy the public domain for the development of business aviation activity at Strasbourg-Entzheim Airport - Activity axis X - Do not open". The simultaneous submission of an electronic file is desired.

The envelope must be handed over in exchange for a receipt or received by registered mail with proof of receipt, before 15 October 2018 at noon, at the following address:

The envelope must arrive at the above address before the date and time limit set by these tender rules.

Envelopes that arrive after the date and time limit set by these tender rules, as well as those that are not sealed on arrival, will not be retained and will be returned to their author. These bids will be eliminated.

In support of its initial bid, each candidate will provide the following information:

- The description of the candidate's project: proposed project, objectives, development strategy, estimation of the amount of investment, etc.;

- A presentation of target audiences, the potential, and the constraints of the site in relation to the activity;

- The operation predictors: main expense and income items for the activity (in € excl. VAT), turnover;

- A presentation of the legal and financial arrangements for the project, including partnership options;

- The proposal for calculating the amount of the variable fee for occupying the public domain or any other economic model that the holder intends to propose;

Candidates should send two copies of their bid in paper format to the Airport or one digital version (USB stick).

iii. Documents produced in support of the initial bids

The following documents must be produced in support of the initial bid:

 Authorization to pursue professional activity :

Each candidate must produce:

- A letter of application signed and dated by a person with the power to hire the candidate, identifying the candidate and specifying if he is applying alone or as a group. For a group, the application letter identifies each member of the group as well as its representative;

- The authority of the person authorized to hire the candidate.

 Financial and economic capacity :

Each individual candidate or each member of a group of candidates must produce:

- Balance sheets and complete financial results for the last three financial years available;

 Technical and professional capacity :

Each candidate must produce a brief presenting:

- The company or group of companies (activity, workforce, material resources);

- A presentation of the activities of the company or group of companies;

- Building and construction references and any other references attesting to the candidate's ability to build and operate an activity such as the one he proposes to implement.

b. Selection of candidates admitted to negotiate

The Airport will proceed to examine initial bids and select the candidates accepted to negotiate on the following criteria:

The initial bids will be studied and selected according to the following criteria:

- Activity axis 1: FBO/VIP lounge

• Consistency of the project with the strategy of the airport operator ; • Reliability/soundness of the economic model: o Amount of investment brought o Appropriateness of the investment to the duration of occupation desired • Benefits (economic interest, company image, volume of activity) for the airport operator ; • Territorial strategy and development of air accessibility for the city of Strasbourg; • Proposals for partnership with local actors (Airport, Caisse des Dépôts et Consignations, etc.)

Weighting : Each of these criteria will be weighted equally in the evaluation.

- Activity axis 2: MRO activity

• Consistency of the project with the strategy of the airport operator; • Reliability/soundness of the economic model: o Amount of investment brought o Appropriateness of the investment to the duration of occupation desired • Benefits (economic interest, company image, volume of activity) for the airport operator; • Project scope (diversity of services proposed and types of aircrafts handled)

Weighting : Each of these criteria will be weighted equally in the evaluation.

- Activity axis 3: Fuel station

• Consistency of the project with the strategy of the airport operator /; • Reliability/soundness of the economic model: o Amount of investment brought o Appropriateness of the investment to the duration of occupation desired • Benefits (economic interest, company image, volume of activity) for the airport operator; • Technical performance of the proposed infrastructure.

Weighting : Each of these criteria will be weighted equally in the evaluation.

- Activity axis 4: Strasbourg-based air services

• Consistency of the project with the strategy of the airport operator; • Reliability/soundness of the economic model: o Amount of investment brought; o Importance of the resources put in place; • Benefits (economic interest, company image, volume of activity) for the airport operator; • Territorial strategy and development of air accessibility for the city of Strasbourg; • Project scope (diversity of types of aircraft proposed).

Weighting : Each of these criteria will be weighted equally in the evaluation.

For equivalent bids, the Airport will give preference to initial bids from candidates offering proposals for several activity axes.

The Airport also reserves the right to ask candidates for further information regarding their initial bids.

The Airport reserves the right to retain any bid of interest to be admitted to the negotiation phase.

c. Negotiation of retained initial bids

i. Negotiations

The terms of negotiation (date, time, place of negotiation, duration of negotiations, etc.) will be specified by letter or email sent by the Airport to each candidate admitted to negotiation.

The Airport will have the possibility of adapting the number of rounds of negotiation necessary according to the number of bids submitted, their diversity, and their complexity.

In the case that the Airport would carry out more than one round of negotiation, it reserves the possibility of asking candidates that have not been eliminated to submit an improved bid before each additional round of negotiation, taking into account the previous round of negotiation.

Negotiations are organised by the Airport in strict conditions of equality between the candidates admitted to negotiate. In particular, the Airport cannot reveal elements of the bid of a candidate admitted to negotiation to other candidates admitted to negotiation (except if authorised to do so by the candidate concerned in advance). No candidate can consider that the characteristics of his bid are constitutive of a particularity that excludes the possibility of another candidate proposing a bid with the same or similar characteristics.

At the end of each round of negotiation, including the final round, the Airport has the possibility of eliminating candidates.

At the end of the final round of negotiation, the Airport will draw up a list of the candidates admitted to present a final bid.

ii. Submission of final bids

The terms for the submission of final bids (date and time limits, address, format, etc.) will be specified to each candidate admitted to present a final bid by any means.

Final bids will be supplemented by the following documents:

- A Kbis (business registration document) of less than six months, or equivalent;

- A sworn statement that the company has not, for the previous five years, been the subject of a conviction registered in Section 2 of the criminal record for offences referred to in Articles L. 8221-1, L. 8221-3, L. 8221-5, L. 8231-1, L. 8241-1, L. 8251-1 and L. 8251-2 of the French Labour Code;

- A sworn statement that the company complies with the obligations regarding the employment of disabled workers provided for in Articles L. 5212-1 to L. 5212-4 of the French Labour Code;

- If the company is admitted to a receivership or liquidation procedure or an equivalent procedure governed by foreign law, the copy of the judgment(s);

- civil and professional liability insurance certificates.

iii. Selection of the winning bids

The Airport will proceed to examine final bids and the selection of the successful candidate against the same criteria of judgment as for initial bids, namely:

For each activity axis, final bids will be studied and selected according to the same criteria as those used for the selection of candidates admitted to negotiate.

The Airport reserves the right, for activity axis 2 and 4, to retain more than one holder, based on the complementarities of bids and services proposed.

The final bid will be integrated to the AOT and will provide details of the holder's commitment.
