ARS ON EZ STREET. . . In what seems to be a never -ending string of purchases, American Radio Systems announced it will buy EZ Communications for cash and stock valued at $655 million. ARS will pay EZ 0.9 shares of its.Class A common stock along with $11.75 in cash for each of EZ's 9.6 million shares. The deal gives ARS 96 radio stations in 20 markets. EZ's Chairman Art Kellar, along with President /CEO Alan Box will join the ARS Board. Box becomes EVP and will handle acquisitions for the new company. Kellar and Box own almost 75% of EZ Communications. Three stations in Sacramento will have to be spun to make the deal legal.

IF YOU CAN'T BEAT 'EM, BUY 'EM. . . Regent Communications is strengthening its presence in a couple of its duopoly markets. The company will pay stock and cash to Southwest Florida Enterprises for country KWNR, Henderson, NV. The country station is the chief competitor to Regent's KFMS, Las Vegas. Regent also owns children's KKDD, North Las Vegas, and soft AC KSNE -FM and is in an SMA with KBGO. In , it will buy new rock KUTQ, Bountiful and dance CHR KZHT, Provo for an undisclosed amount of cash and stock from Bountiful Broadcasting. Regent will own five stations in the market when the deal is done. It currently owns talker KALL and oldies KODJ, Salt Lake; country KKAT, Ogden; and has an SMA with country KBKK, Spanish Fork, UT.

WASHINGTON THIS WEEK President Clinton has named the FCC's Common Carrier Chief Regina Keeney to fill the vacant Commissioner seat. Keeney has been at the Commission most of her career, including a stint as chief of the Wireless Bureau. She has been Senator Danforth's chief counsel on communications issues. National Association of Broadcasters president Eddie Fritts urged the Senate Commerce Committee to act expeditiously on her confirmation hearing. If confirmed, she will fill the Republican seat left vacant by former Commissioner Andrew Barrett.

In a story we ran last week, we inadvertently reported that Radio Dinuba's KRDU and KJOI -FM, Dinuba, CA was fined $17,500 and subject to reporting conditions for EEO violations while Ridge Harlan's KUBA, Yuba City, CA was only subjected to reporting conditions. KUBA received the monetary fine, not KRDU and KJOI -FM. Thirteen FCC employees received the agency's highest honors, the Distinguished Service Medal and the Meritorious Service Medal. Five employees received the highest honor for Distinguished Service: William H. Johnson, Cable Services; Robert H. McNamara, Wireless Telecomm.; Clay C. Pendarvis, Mass Media; James D. Schlichting, Common Carrier; and David H. Solomon, Office of General Counsel. Eight Meritorious Service Medals were handed out: John W. Crews, Office of Managing Director; Charmayne C. Keene, Office of General Counsel; Julius D. Knapp, Office of Engineering & Technology; Stephen L. Markendorf, Wireless Telecomm.; Russell D. Monie, Compliance & Information Bureau. Harold J. Ng, International; Eula B. Staten, Mass Media; and John P. Wong, Cable Services. ELSEWHERE Salem Communications picks up another major market AM this week. Entercom will sell new rock KEGE, Richfield, MN () for $3 million. KEGE has been in an LMA simulcasting ABC's KEGE -FM, Minneapolis.

Pinebrook Corp. is buying AC WPGY (AM) in the Canton, OH market for $75,000 from Patrick Barb's Canton SabreCom. WPGY is a 1,000 watt daytimer on 1520 KHz. Ray Rosenblum was the broker. John Cullen's Gulfstar Communications is branching out into another market outside of its native Texas. It will buy ComCorp of Lafayette's KEZA, Fayetteville, AR, serving both Fayetteville and Fort Smith, for an undisclosed amount. Gulfstar owns stations in Baton Rouge and Texarakana, as well as several Texas markets.

Connoisseur is creating a new duopoly in the Waterloo -Cedar Falls, IA market. It's buying farm /talk KOEL and country KOEL -FM, both Oelwein, IA for $6.7 million from Independence Broadcasting. Simultaneously, it will lay out $3.2 million for Thin Air Investments' country KKCV, Cedar Falls, IA. The deal gives them a combined ratings share of over 34 percent in that market. Bob Fox's KVEN Broadcasting Corp., which owns news /talk KVEN and country KHAY, both Ventura, CA will sell the stations to McDonald Investment Company for an undisclosed amount. McDonald owns stations in Montgomery, AL and Eugene, OR. Fox is a former chairman of the NAB's Radio Board. Elliot Evers of Media Venture Partners brokered the deal.

www.americanradiohistory.com THE M STREET JOURNAL page 7 August 7, 1996

ELSEWHERE (cont'd) Pathfinder Communications is buying Michiana Telecasting's 70's oldies WNDU (AM) and CHR WNDU -FM in the South Bend, IN market. Pathfinder will combine the stations with its talker WTRC and country WBYT, both Elkhart, IN. Michiana is owned by the University of Notre Dame. Terms of the deal weren't disclosed. George Otwell and Elliot Evers of Media Venture Partners were the brokers.

Saga Communications is buying another station in the Des Moines market, bringing its total there to five. It will buy Intergalactic Communications' progressive KFMG, Des Moines, for $2.7 million. Saga owns standards /talk KRNT, hot AC KSTZ, and oldies combo KIOA -AM & FM there.

The receiver for Joy Broadcasting's Country Gold Network is letting one of its stations that rings the market go. It will sell KENU, Enumclaw to Green River Community College for $40,000. The station is silent and in bankruptcy proceedings. The College is purchasing the 500 watt daytimer to have a broadcast service for its new campus in Enumclaw. The school operates modern rock KGRG, Auburn, WA, where the station's main campus is located. Jerry Dennon of Montcalm brokered the deal.

The Radio Music Licensing Committee has successfully negotiated a new deal with ASCAP that keeps the license rate of 1.615 % of gross revenues in place through the year 2000. But that's not all. The new terms will allow stations to take more deductions when determining gross revenue. There is also a new, simplified flat fee for stations whose revenues are $150,000 per year or less. The agreement will also permit more use of ASCAP music for stations using a per program license. Stations which play music in more than ten percent of their yearly reported hours will pay approximately fifty percent less for those additional music hours. The new licenses must be approved by the U.S. District Court for the Southern District of New York, which oversees the consent decree under which ASCAP operates. Communications received great news from the Justice Department this week. It will only have to sell off one radio station in order for its $770 million acquisition of Citicasters to be approved. The Justice Department will approve the deal if it sells off CHR WKRQ, , which is just one of 19 radio stations Jacor picks up in the deal. No word on why this station is the only one it has to sell.

Radio stations have until August 19 to return Arbitron's Station Information Form and Programming Schedules contained in the Fall 1996 Station Information Packet mailed to them on August 1. The Form and Schedules advise Arbitron on the station's current call letters, frequency, broadcast times, station name, format, on -air personalities and programming. The information is used to edit returned diaries and process the local market report. Starting with the Summer 1996 survey, Arbitron added five new format choices stations have when selecting their format to be printed in the book: Album Adult Alternative (AAA), New Adult Contemporary (NAC) /Smooth Jazz, 70's Oldies /Classic Hits, Southern Gospel and Talk /Personality. EVERGREEN REVS UP MOTOR CITY. . . Evergreen Media spent a ton of cash this week --just over $237 million. It's buying Secret Communications three FM's in Detroit, including recently -purchased- but -hasn't -yet -closed -on- classical WQRS. It will also get Secret's classical WFLN, Philadelphia, which is part of the WQRS deal that hasn't closed. The purchase gives Evergreen one more FM in Detroit than is legal, so it will spin WQRS to Greater Media in exchange for $9.5 million cash and news -talker WWRC, , DC. More details are on page six.

ON THE ARS EXCHANGE. . . American Radio Systems traffic this week: It's picking up United Broadcasting's standards KKSJ and soft AC KBAY, San Jose to combo with rocker KSJO and classic rock KUFX, Gilroy in that market. Purchase price is $31 million. On the other coast, it is stilling news /sports WNEZ (AM), New Britain, CT to Alfredo Alonso's Mega Broadcasting for $750,000. WASHINGTON THIS WEEK

Chester Broadcasting Company's WGCD (AM), Chester, SC has been designated for hearing by the Commission. The station has been silent since July, 1993. Several attempts have been made to sell the station, and its last authority to remain silent expired on March 11, 1996.

The new FCC fee schedule will become law on September 12, 1996 if there are no objections by Congress. The new fees reflect cost -of- living adjustments made every two years. ELSEWHERE

Secret Communications is $237 million richer as it will sell three FM's in Detroit and an FM in Philadelphia to Evergreen Media. In Detroit, Evergreen is buying all of Secret Communications' FM's, spending $32 million on classical WQRS and $168 million for the pair of urban AC WMXD and urban WJLB. Secret will also sell its classical WFLN, Philly for $37.75 million. But, as they say on late night TV, "But wait, there's more!" Evergreen will have eight stations in Detroit, but will have to spin off an FM to stay at the five FM limit. So, they're trading WQRS for Greater Media's talker WWRC, Washington, DC, (which they've been operating under an LMA) and $9.5 million cash. When all is done, Evergreen will have three FM's in Philly, and five FM's and two AM's in Detroit. Greater Media will own three FM's and an AM in Detroit. Employees at WQRS and WFLN are getting use to this, as those two stations have had four owners in less then a year. FCC ROCKS THE JUKEBOX. . . Universal Broadcasting's adult standards station WVNJ, Oakland, NJ, appears to have won its latest battle in a long- standing legal conflict against "Jukebox Radio ", a standards translator it competes with in Ft. Lee, NJ. Both stations serve the upscale Bergen County, NJ, area just outside of New York City. The translator, W276AQ, which broadcasts on 103.1 MHz with 35 watts, gets its programming from Monticello Mountaintop Broadcasting's WJUX Monticello, NY. It is co -owned by Gerard A. Turro and WJUX owner Wesley Weis. However, the translator is nearly 75 miles from WJUX and obviously outside of WJUX's protected contour. The Commission says Turro's "attributable interest" with WJUX is a violation of Commission rules. Details are on page seven.

The FCC has chosen to take no action on a transfer application of two translators near New York City, W276AQ (Ft. Lee, NJ) and W232AL (Pomona, NY), because it feels that they have been simulcasting WJUX in violation of Commission rules. Both translators are outside of WJUX's protected coverage and, according to FCC rules, this would only be acceptable if the translator(s) had no relationship with WJUX. However, the translators are co- owned by Gerard A. Turro and WJUX owner Wesley Weis.

After it's investigation, the Commission found Turro and MOB had a 'network affiliation agreement," which, under the circumstances, violates the Rules. Here's how it works: The programming originates from a WJUX remote studio in Ft. Lee (FCC rules prohibit a translator from originating its own programming.) The remote studio signal is sent to WJUX, then rebroadcast to the Pomona translator, then rebroadcast back to the Ft. Lee translator. Further, Turro paid MOB for the programming.

www.americanradiohistory.com THE M STREET JOURNAL page 8 Aug. 21, 1996

WASHINGTON THIS WEEK (cont'd) In April of this year, the FCC ordered Turro to drop the simulcast or discontinue his interest in WJUX. In May, Turro filed an application to transfer the translators to the Gerard A. Turro Trust, under which Turro vowed to have no contact with the Trustee. Universal (WVNJ) filed a petition to deny the transfer, stating the Trust was a "sham designed to circumvent the Commission's translator rule."

The Commission agreed with Universal that the proposed Trust is "inadequate for

Turro to achieve compliance. . ." It stated, "Section 74.1232 of the Commission's Rules prohibits the authorization for an FM translator operation in these circumstances 'to- any person or entity having any interest whatsoever, or any connection with the primary FM station." It went on to say Turro didn't

". . .attempt to demonstrate that a beneficial interest under a trust arrangement is not an 'interest' subject to Section 74.1232."

Universal, in its Petition to Deny, has also alleged Turro can no longer remain a Commission licensee because of other alleged violations of the Rules. The FCC's Enforcement Bureau is investigating the charges. Turro has until August 24 to comply with the order.

The Commission granted in part a petition for reconsideration by Buckley Broadcasting's WOR and dropped its forfeiture to $14,000 from $23,750 for EEO violations. The station is subject to reporting conditions, as well. Buckley contended it made good faith efforts to recruit minorities and that the fine was excessive for the violation.

San Luis Obispo, L.P.'s KKCB (AM) and KSLY -FM will have to come up with a little less money for the Commission. Their forfeitures for EEO violations will drop from $25,000 to $12,000. The station successfully argued the fine would have been a severe financial burden, as it has fewer than five full -time employees. Reporting conditions for the stations have been waived, as well.

W -AIR, Inc., former licensee of WAIR, Atlanta, MI successfully fought off a $7,500 fine for alleged violations of the main studio rule. The fine was assessed last year because the station allegedly lacked management presence at its main Gaylord, MI studio. In response, WAIR showed the studio had a full -time regional sales manager, a regional manager who was there three days a week, and the station's GM, who was there one day per week. The fine was rescinded.

Stations in Colorado, , , North and , and FM translators in are due for license renewal soon. The FCC is mailing renewal packets in mid -September to these stations. If you'd like to update your address, fax it to (202) 418 -1411 no later than September 6. Call the FCC's Claudia Patterson at (202) 418 -2784 for info.

Three more states have been granted access to the Commission's new "National Call Center," which allows the public to attempt to get information through a centralized FCC database service. Residents of Vermont, Kansas, and Montana are now able to dial (888) CALL -FCC for info. Florida, , and Virginia were the first states to have access. The center is open from 8 am to 5:30 pm ET. ELSEWHERE After nearly three years in litigation, Arbitron has beaten a patent- infringement rap filed by Tenafly, NJ -based Pretesting Company. The Summary Judgment Motion was granted in U.S. District Court, Southern District of New York, on August 12. The suit alleged Arbitron copied technology Pretesting developed that aids in the passive measurement of TV viewing and radio listening. Pretesting claimed Arbitron's Personal Portable Meter (PPM) used the same technology. Pretesting will appeal.

After 17 years on talker WOR, New York, ABC Radio Networks has pulled and will move his daily programs to WABC, its O &O there. WABC is revamping much of its line -up after Bob Grant left the station and joined WOR. The 90 -day notice sent to WOR means Harvey will move up to 770 KHz sometime this fall.

Country Radio Broadcasters is trying to broaden its base of attendees for its Country Radio Seminar MidWest to be held in Kansas City, Sept. 20 -21. CRB has invited media planners and buyers in the Kansas City area as well as broadcasting students in Omaha to attend the seminar. The students will be invited to a luncheon and take part in career -related sessions and panels.

MOVE IT AND LOSE IT . . It's a rare occurrence, but an AM station owner has been put on notice that his company may lose its license because it isn't fit to be a licensee. The Commission has notified Chameleon Radio Corp., licensee of KFCC (AM), Bay City, TX, that it may lose its license because the FCC believes it "lacked candor and intended to deceive" the Commission about a transmitter location change that would allow the station to move closer to the Houston market. Details are on page 7.

WASHINGTON THIS WEER

The FCC has initiated a revocation hearing against Don Werlinger's Chameleon Radio Corp., licensee of KFCC (AM), Bay City, TX. The Commission believes Chameleon lied about the loss of its original site and the status of its transmission facilities and voluntarily moved its transmitter site to within a mile of Houston.

The station is licensed to Bay City which is approximately 50 miles southwest of Houston. In April, 1995, Chameleon claimed it had lost its Bay City transmitter site and requested an STA to operate from "rural southwest Harris County," which is only one mile from Houston, and build a 180 foot tower on the site. Chameleon's President, Don Werlinger, discussed the proposed STA with an FCC engineer, who told him the Commission could not grant the STA because the STA involved the construction of the new tower.

Then in May, Chameleon amended its STA request indicating that there was "an existing 180 foot tower" on the same site. The Commission granted Chameleon's request to relocate KFCC to that tower as an STA until August 1, 1995, however, the Commission's approval incorrectly noted that the new site was only a quarter - mile from the old one. Realizing the mistake, the Commission rescinded the STA because KFCC could no longer cover its city of license. However, the rescission was stayed pending further "clarification of the record" because KFCC claimed the FCC made it lower its power because of an interference complaint.

In July, the Commission sent a letter to Werlinger trying to find out why the station lost its original site, whether it has access to the site, and what the station's current address was. KFCC responded, but the Commission felt the response didn't answer the questions the Commission asked. In the Hearing Designation Order, the Commission said "The fact of concealment may be more significant that the facts concealed." The Commission decided that KFCC left the original site voluntarily and rescinded the STA again. KFCC went to U.S. District Court and won a stay pending a review of the entire case by the Commission.

The Commission's Houston field office visited both sites in October and found AM transmission equipment, a studio, three towers, and phasing equipment at the original site and got an affidavit from site's owner stating that KFCC has always had access to the site. This prompted the revocation hearing.

KFCC now must immediately cease operations at the Harris County site and resume operations at its original site or file for silent authority. KFCC has thirty days to respond to the Notice and may be liable for $250,000 for each violation of the Rules.

Fernal, Inc., former licensee of KHTH, Dillon, CO had an anti - lottery forfeiture reduced from $6,000 down to $2,000. Fernal asked for the reduction based on its compliance history and its good faith efforts to correct the violations.

Two more silent stations are gone forever after being silent for more than a year. Prime Factors Communications' KMOM, Monticello, MN has been silent since 1995. Jackson Broadcasting Corp.'s WREA, Dayton, TN has been silent since 1994.

The Commission is once again providing a software program to help those who pay regulatory fees who don't want to do it manually. The software is Windows compatible, but the old Macintosh version is no longer accepted. For more information, call (202) 418 -0498.

www.americanradiohistory.com THE N STREET JOURNAL page 8 Aug. 28, 1996 ELSEWHERE The Westinghouse /Infinity deal is one step closer to getting done as it announced it will dump WYSY -FM, Aurora, IL (Chicago) to Spanish Broadcasting System for an undisclosed sum. Infinity must get rid of an FM in Chicago to bring it within the five FM limit for that market. The station is SBS's first in the Windy City. The company plans to make an announcement soon on spinning an AM there, as well. The sale to SBS is pending closing and approval on Infinity's acquisition of the station from Cox Broadcasting, which was announced earlier this year.

SFX Broadcasting is buying up stations in the Richmond market through its usual complex deal structure. It's buying ABS Communications, which owns two stations and LMA's two others, in separate transactions worth $37.5 million. In the first, SFX will acquire ABS Communications, L.L.C., which currently controls Benchmark's new rock WVGO and 70's oldies WLEE -FM, Williamsburg. Purchase price there is $14.5 million. Then, through its own L.L.C., will buy the two ABS owns outright -- country WKHK, Colonial Heights and oldies WBZU, Crewe, for $23 million. The company will LMA the two combos immediately. No word on what happens to WLEE (AM), which is LMA'd to Benchmark by Pearson Broadcasting. SFX already owns hot AC WMXB in the market. ABS President Ken Brown and CFO Ed Conrad will join the company.

Heritage Media is buying up a third FM in the Rochester, NY market. It will buy classic rocker WHRR, Avon, NY from Livingston Communications for an undisclosed sum. No word on what happens to WHRR's sister station, news /talk WYSL, Avon, NY. Heritage already owns standards WBBF, oldies WKLX, and country WBEE -FM.

Midwest Communications is adding to its collection in Appleton /Osh Kosh /Green Bay area with the purchase of country WNCY, Menasha, WI; hot AC WROE, Neenah, WI; and talk /sports WNFL, Green Bay from Central States Network. Central States will get an undisclosed amount of cash plus Midwest's country WKKQ, Nashwauk, WI and CHR WTBX, Hibbing, MN. Midwest already owns talk WGEE (AM), Green Bay; country WGEE -FM, Sturgeon Bay; CHR WIXX, Green Bay; and classic rock WOZZ, New London, WI all serving that same area. The deal will bring the group total to 16 stations in four upper midwest markets.

Inside Radio reports Lotus Communications has bought a second AM in the Los Angeles market. Valley Radio's sports outlet KWNK, Simi Valley will sell for $4.2 million to combo with Spanish talker KWKW, licensed to L.A.

Salem Radio Network, a division of Salem Communications, made another acquisition this week, purchasing Nashville -based Morningstar Radio Network for an undisclosed sum. Morningstar produces two 24 -hour Christian music formats and is owned by Thomas Nelson, which claims to be the largest publisher of the Bible in English and of Christian and inspirational books. SRN recently purchased The Word In Music and syndicates several talk shows.

Sony's SW Networks will kill its 24 -hour smooth jazz format as of December 1. The move was buried in an announcement that the web will focus on international distribution of Smooth FM, now called Smooth FM ïnteinational. A jazz programming package will be offered domestically, but no details were offered. Smooth FM International will offer custom -mixed and dayparted NAC music, as well as consulting services supervised by SW Vice President Paul Goldstein.

The Arbitron Spring 1996 Mobile Radio market report has been reissued. Estimates for WAVH -FM and WRKH -FM were based on assignment of diary credits that did not appropriately reflect all listening in the Baldwin, Mobile and Wayne counties. Revised reports and tapes have been mailed.

ABC Radio Networks' County Coast -to Coast format announced that Teresa Brown has been named host of the midday shift (10a -2p, Central Time). Brown's duties also include assistance with music and promotions. In addition to his duties of PM Drive during the week, and America's Best Country Countdown on Sundays, Senior Staff Announcer Jim Casey becomes responsible for E- Mailing daily music to Affiliate Stations.

Joyce MacDonald has been named Vice President of Affiliate Marketing of Sony's SW Networks and Ron Rivlin has been named Senior Director, Affiliate Marketing. Both have been at the network since its inception in 1994. MacDonald will be responsible for all new and current affiliations and will manage all aspects of the affiliate marketing department. Rivlin will continue his major market affiliation activities and will assist in the management and training of the department.
