Ross Memorial Hospital Act, 2019

EXPLANATORY NOTE

The purpose of the Bill is set out in the Preamble. Bill Pr 2019

An Act respecting the Ross Memorial Hospital Preamble The Ross Memorial Hospital has applied for special legislation to change the name of the hospital corporation and to change its objects, its powers and the composition of its board.

The applicant represents that The Ross Memorial Hospital was incorporated by special Act in 1903, and that Acts enacted in 1954, 1964 and 2000 also affected the operation of that Act. It is appropriate to grant the application.

Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of , enacts as follows: Definitions 1. In this Act,

"Board" means the board of directors of the Corporation;

"by-laws" means the by-laws of the Corporation; and

"Corporation" means Ross Memorial Hospital.

Hospital corporation continued 2. (1) The Ross Memorial Hospital is continued as a corporation without share capital under the name Ross Memorial Hospital.

Members (2) On the date this Act receives Royal Assent, the only members of the Corporation shall be the voting directors of the Corporation, and such individuals shall be members of the Corporation only for so long as they serve as voting directors.

Objects 3. The objects of the Corporation are,

(a) to establish, equip, staff, maintain, operate, conduct and manage a hospital or health facilities with programs and services that may include, without limitation,

(i) active treatment programs and services,

(ii) programs and services for chronic care, complex continuing care or community health, (iii) emergency services,

(iv) out-patient services,

(v) rehabilitation services, and

(vi) therapy services;

(b) to establish, operate and maintain laboratories, diagnostic imaging services, research facilities, therapeutic and rehabilitation facilities, pharmacies, dispensaries ;iind other services incidental to a hospital;

(c) to promote, conduct and participate in education pertaining to health care, including, without limitation, the education of physicians, dentists, nurses, midwives and other health care personnel as may be necessary or desirable;

(d) to encourage, promote, support, conduct and participate in research activities pertaining to health care, including, without limitation, clinical trials, health promotion and disease prevention, alone or in association with other hospitals, health services providers, research funding agencies and other health-related organizations;

(e) to collaborate with government, governmental agencies and other health service providers and participate in activities carried on to promote and improve the general health of the community;

(f) to establish, operate and maintain other health care or health care related programs and services that may include, without limitation,

(0 programs and services for long-term care, in-home health care, public health, community health or mental health, and

(ii) addictions services; and

(g) to do all such things as are incidental or conducive to the attainment of the above charitable objects.

Powers 4. The Corporation has the capacity and the rights, powers and privileges of a natural person.

Board 5. (1) The activities and affairs of the Corporation shall be managed by its Board.

By-laws (2) The Corporation may enact by-laws governing its activities and affairs, including, without limitation, by-laws governing Board composition and the term of office of directors. Composition of Board (3) On the date this Act receives Royal Assent, the board of directors of the Corporation shall be composed of,

(a) the individuals who are at such date serving as voting directors of the Corporation in accordance with the by-laws; and

(b) such other persons as are provided for under the Public Hospitals Act.

Repeal 6. The following Acts are repealed:

1. An Act respecting The Ross Memorial Hospital, S.O. 1903, c. 132.

2. The Ross Memorial Hospital Act, 1964.

3. Ross Memorial Hospital Act, 2000.

Commencement 7. This Act comes into force on the day it receives Royal Assent.

Short title 8. The short title of this Act is the Ross Memorial Hospital Act, 2019. Appendix B Statutory Declaration

The Ross Memorial Hospital (the "Hospital") was incorporated in 1903 by special act of the Legislative Assembly of Ontario. The special act was amended in 1954, 1964, and 2000 (collectively, the "Act").

The Bill modernizes the language contained in the Act, eliminates outdated references (for instance, County of Victoria and Town of Lindsay are now the City of Kawartha Lakes, and Woman's Auxiliary is now the Ross Memorial Hospital Auxiliary), and is designed to minimize the need to return to the Legislative Assembly of Ontario with requests for further amendment.

The Bill also confirms and codifies the size and composition of the board of governors of the Hospital and the membership structure of the Hospital, which have been in place since 2012.

In 2012 a decision was made by the board of directors and members of the Hospital to move to a membership model where directors ofthe Hospital were the only members ofthe Hospital, despite the Act providing for two classes of members: life members and annual members.

Hospital records indicate that between 2012 and 2014, the process to amend the Act to reflect this change in membership structure commenced, but no application to the Legislative Assembly of Ontario was made due to changes in leadership at the Hospital and due to the fact that Hospital's then lead legal counsel was appointed to the bench.

The Hospital proceeded to operated under the membership model where directors were the only members of the Hospital between 2012 and 2018 with no objection from life members or annual members, but also without completing the process to amend the Act to reflect the change in membership structure.

The public notice of the Bill in 2019 resulted in the Hospital receiving inquiries about life and annual memberships, which in turn resulted in the Hospital reviewing its historical corporate records to confirm more than 600 life memberships were outstanding. The Hospital also issued approximately 130 annual memberships to applicants in advance of the 2019 annual meeting. An attempt was made to hold the 2019 annual meeting in June 2019, but such attempt was not successful due to lack of quorum. However, the 2019 annual meeting was reconvened on September 11, 2019 and was successfully held.

The Bill has no direct impact on clinical care in the communities served by the Hospital.

The language proposed in the Bill is consistent with the special acts the Legislative Assembly of Ontario has adopted in respect of other Ontario public hospitals. For example, see University Health Network Act, 1997, and Peterborough Regional Health Centre Act, 1999, copies of which are enclosed in this Compendium at Tab 2. Tab 2

Whereas James Ross, formerly of the Town of Lindsay, in the Province of Ontario, and now of the city of Montreal in the Province of Quebec, Civil Engineer, has, by Indenture, bearing date the ninth day of January, 1903, granted unto John Dundas Flavelle, of the Town of Lindsay, manufacturer, James Richardson McNeillie, of the same place, Treasurer of the County of Victoria, Thomas Stewart; of the same place, barrister.at-law, Robert Bryans, ot the same place, lumber merchant, Mary Grace, of the City of Toronto, wife of James C. Grace, of the same place, esquire, the Warden of the said County of Victoria, the Mayor of the said Town of Lindsay, and the said James Ross as Trustees, certain land in the said town of Lindsay, and has, to perpetuate the memory of his parents, built thereon and equipped an hospital, for the benefit primarily of the inhabitants of the said County of Victoria, including the said Town of Lindsay, and has app )inted the said trustees as governors of the said hospital; and whereas the said trustees have, by their petition, prayed to be incorporated by a special Act of the Legislature of Ontario, and that the said Indenture, dated the 9th day of January, 1903, a true copy of which is set forth in the schedule to this Act, be confirmed; and wnereas the said trustees have, by their petition, prayed that the County of Victoria and the local municipalities of that county, in- cluding the Town of Lindsay, may be empowered to assist in the maintenance of the said hospital; and whereas it is expedient to grant the prayer of the said petition; Therefore His Majesty, by and with the advice and consent of the Legislative Assembly ot the Province of Ontario, enacts as follows:— t. The said John Dundas Flavelle, James Richardson McNeillie, Thomas Stewart, Robert Bryans, Mary Grace, the Warden of the said County of Victoria, the Mayor of the said Town of Lindsay and the said James Ross, and their successors, are hereby constituted and declared a body corporate and politic by the name of The Ross Memorial Hospital. 2. HEREAS The Ross Memorial Hospital by its petition Preamblo Whas prayed for special legislation in respect of the matters hereinafter set forth; and whereas it is expedient to grant the prayer of the petition;

Therefore, Her Majesty, by and with the advice and consent of the. Legislative Assembly of the Province of Ontario, enacts as follows:

1...---(1) Notwithstanding anything in An Act respecting Board of G°verno''s The Ross Memorial Hospital, being chapter 132 of the Statutes of Ontario, 1903, or in the Schedule thereto, the Board of Governors of The Roes Memorial Hospital shall be composed of the following persons:

1. The Warden for the time being of the County of Victoria and the Mayor for the time being of the Town of Lindsay, as ex officio governors, as provided in clause 4 of the said Schedule.

2. Three governors to be appointed by the council of the Town of Lindsay, to hold office during pleasure of the council. 3. Three governors to be appointed by the council of the County of Victoria, to hold office during pleasure of the council. 4. The President for '.-the time being of the Women's Auxiliary of the Hospital.

5. • The Chief of the Medical Staff for the time being of the Hospital. • 6. Seven governors to be elected at the annual meeting of the Board of Governors and 'Associates to hold 'office for a term of three years each in rotation so that the term of office of two of the said governors shall expire in one year, two in the next succeeding year and

First (2) On the occasion of the first election of the seven gover- appoint- ments nors under paragraph 6 of subsection 1, the governoi- repre- senting the descendant of the donor James :Ross, deceased, as described in paragraph 3 of the Schedule to the said An Act respecting The Ross Memorial Hospital and'two others shall be elected to office for a term of three years; two others shall be elected to office for a term of two years.; and the remaining two shall be elected to office for a term of one year.

HEREAS The Ross Memorial Hospital, herein called Preamble Wthe Corporation, by its petition has prayed for special legislation in respect of the matters hereinafter set forth; and whereas it is expedient to grant the prayer of the petition;

Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows:

5. Officers of the Medical Staff by virtue of their office, as may be prescribed by the law of the Prov- ince of Ontario.

Eight governors, to be elected from the members of the Corporation at its annual meeting for two-year terms of office so that such terms of office shall expire in rotation, and one of the governors so elected shall be designated to represent the descen- dants of the original donor James Ross to perpetuate his' memory.

First election (2) On the occasion of the first election of the eight gover- nors under paragraph 6 of subsection 1, the four governors receiving -the greatest .number of votes shall be elected for two years, the four governors receiving the next greatest number of votes shall be elected for one year, and thereafter four governors shall be elected annually for two-year terms.

Annual meetings 2. Notwithstanding anything in the Act of Incorporation,

(a) the time of the annual meeting of the Board of Governors and members of the Corporation shall be fixed by the Board of Governors for each and every year;

(b) seven governors shall be required to constitute a quorum of the Board of Governors;

Dear Ms. Nelson and Directors,

We are writing to follow up from the letter sent by the Kawartha Lakes Health Coalition early this summer and from our meeting with Dr. Jamie McNabb and Ms. Veronica Nelson regarding the draft legislation that would repeal the existing Act and amendments for Ross Memorial Hospital.

We have expressed our concerns on several occasions and we hope that the Board of the hospital will consider them seriously. These concerns also reflect the consensus of our public meeting held on this issue in the spring.

When we first inquired about the new Act, we were informed by the hospital's lawyer that the new Act was simply 'housekeeping'. In fact, the new Act fundamentally changes all of the legal structures, the objects and the power structure within the hospital corporation. The following are our key concerns:

1. Section 2 sub (2) eradicates all existing community memberships in the hospital corporation, including all lifetime members. This goes fundamentally against the amendments of 1954 and 64 which were all about establishing clarity regarding how the community could become members and how the Board would be elected. Under the new Act, only the Board members will be members of the corporation and only so long as they serve on the Board. So the Board is the membership who then elects the Board.

There is a requirement to have a membership and elections under the non-profit Corporations Act and the Public Hospitals Act clearly expects that elections would be held as it contains provisions regarding public notice for elections. So the way that undemocratic current day hospital leaders have circumvented this is to limit the membership to the Board and then have the Board elect itself. This is how the new Act structures the Board. It is totally undemocratic.

The hospital wants the community to support it and fund it but does not want even the small modicum of accountability to the community that an elected Board of Directors brings. This is a violation of core democratic principles of our society and we do not support it. The fact that other hospitals have done the same thing does not make it right.

Further, lest someone claim that elected boards are somehow different than skills-based boards, every non-profit corporation recruits board members to run for election that have skills they need, and the election does not preclude the hospital putting forth a slate with the appropriate skills to match whatever is needed. The community has no interest in having a board that does

This claim is a red herring, used to support a profoundly undemocratic and unethical approach to public service governance.

An additional excuse we often hear, that the community might "take over" the Board for a particular agenda (ie anti-abortion). There are multiple protections against this. Since terms are staggered and only a few board members come up for election each year, it is very difficult and would take years of concerted effort to do this. Further, the Public Hospitals Act contains powers for the Minister to send in a Supervisor to take over hospital corporations if needed. So that too is a red herring.

The community was offended at this clause and we also feel strongly that the hospital, which was donated to the community, not to a select group of self-appointing people, should remain a community hospital. If there is an issue with a messy membership list, then we have no problem with starting again and establishing clearly who is and is not a member. But simply eradicating all community members and replacing them with a self-appointing Board of Directors is wrong and it should be stopped. We believe that a decision to revoke this clause would go a long way toward re-establishing community trust.

2. Section 3 changes the objects of the corporation. Under this section, sub (a), the lawyers have chosen to insert the word "or" rather than "and" in this clause. This means that the self- appointing Board can operate a hospital or a different type of health facility. It means that they no longer have to run a hospital. We think the object of the corporation should require the corporation to run a hospital. The word "or" should be removed and this section should be amended to clearly require the Board to run a hospital. If the CEO or the Board want to close the hospital and turn it into something else, it is in the public interest that they have to go back to the community and to the Legislature to do so, and the community has a chance to organize to save the hospital if they wish.

Also in this section, acute care and in-patient beds are not in the list of services. We understand that the claim of the laywers is that the wording "active treatment programs and services" means acute care or in-patient services. We cannot find this defined as such anywhere in law. It must be clarified that Ross Memorial Hospital will be a hospital and will provide acute care and in-patient services.

3. In section Section 4 the proposed Act the self-appointed Board would have the powers and rights of a natural person, meaning that they could make fundamental changes to the corporation without going back to the Legislature. The hospital has not explained what exact powers it needs. Why they are not spelled out individually rather than the overarching power of a natural person and/or why there is not a limiting clause that would give exceptions to those powers, such as a requirement that the hospital Board (who is accountable to no one but themselves under this Act) cannot close the hospital, cannot close acute care services, and cannot merge or amalgamate the hospital. It would be much safer for the community if this clause is amended or simply removed.

Please note: in an earlier amendment to the original Act, the hospital was given power to borrow money so that cannot be the rationale for this clause.

In Section 6, unlike the 1954, 1964 and 2000 amendments, this Section of the Act calls for the total repeal of the 1903 Act and the subsequent amendments. The plan, therefore, is to entirely erase the historic legislation that created your hospital: not to amend it, but to entirely repeal it. Then, what is proposed is to replace it with an Act that says very little and nothing at all in the public interest. One wonders what John Ross would think of this. His donation to the community is erased from your legal history, the community Board is gone, the hospital does not have to run a hospital anymore, and the self-appointing Board would not have to go back to the Legislature to win any other fundamental changes.

We do not support this. In the original Act Section 11 it states that Ross Memorial Hospital cannot amalgamate with any other entity unless all governance, money, etc... is controlled by Ross Memorial Hospital. This would preclude Ross Memorial Hospital from merging administration into a single-network system with any other hospital. We fundamentally oppose the loss of this. In the original Act, the gift of the hospital from John Ross to the community is recognized. We also fundamentally oppose eradicating this. We do not believe it is in the public interest that the draft new legislation does not recognize any of the history of the 1.903 Act, wipes out all the public interest and clarifying provisions of the subsequent amendments that set out how the Board would be elected, and replaces all this with an Act that creates a self- appointed Board and a corporation that could run a hospital but could also close it down and run something else or amalgamate its ownership at the will of the self-appointed Board.

We recently saw the legal announcement in the This Week regarding changing the name of The Ross Memorial Hospital to Ross Memorial Hospital. With all the cut backs in Health care & hospital funding and more to come we find this a ridiculous waste of money. If it was a complete name change honouring a different family or organization we can understand the process that's involved but to just drop the word "The" when in reality we have never heard it referred to as The Ross Memorial Hospital, only Ross Memorial, Ross Memorial Hospital or most often RMH. In the past few years since corning to this area we have made donations to do our little part in the grand scheme of things & feel that monies are better used for equipment & facilities than debating "THE". Yesterday we received a letter from RMH Foundation requesting donations for new equipment for the hospital. THAT'S were monies should be going rather than costs of red tape, fees, and political salaries reviewing applications. We are seriously wondering whether our yearly donations would be better off elsewhere.

The Kawartha Lakes Health Coalition ("KLHC"), 1414 Country Road 8, R.R. #3, Fenelon Falls Ontario, KOM 1NO, has expressed concerns with the Bill including in correspondence received April 22, 2019 and September 23, 2019.

These concerns are summarized as follows:

o Membership (Bill, Section 2): it is the position of KLHC that broad community- based membership is preferable to the membership model proposed in the Bill.

o Objects (Bill, Section 3(a)): it is the position of KLHC that the objects of the Hospital should be revised as set out below [emphasis added]:

"Section 3(a): The objects of the Corporation are,

(a) to establish, equip, staff, maintain, operate, conduct and manage a hospital of and health facilities with programs and services that may include, without limitation,

(i) active treatment programs and services, inpatient and acute care services,

(ii) programs and services for chronic care, complex continuing care or community health,

(iii) emergency services,

(iv) out-patient services,

(v) rehabilitation services, and

(vi) therapy services;"

o Natural Person Powers (Bill, Section 4): it is the position of KLHC that the statement:"The Corporation has the capacity and the rights, powers and privileges of a natural person" be deleted from the Bill.

o Restriction on Amalgamations: it is the position of KLHC that Section 11 of the trust indenture forming part of the 1903 Act be preserved.

Correspondence received from KLHC is enclosed with this Application. The Hospital has met with representatives of KLHC on several occasions and the Hospital can provide the following commentary on the feedback received from KLHC:

Membership

The Hospital intends to proceed with the membership structure proposed in the Bill.

It should be noted that the Hospital does not intend to limit transparency, accountability or engagement with the community by adopting this corporate membership model.

In fact, between 2012 and 2018, while the Hospital operated under the directors as only members model, public notice of annual meetings was given and meetings were conducted openly with the community invited to attend. No objection to the Hospital's commitment to transparency, accountability or engagement was raised throughout that time. The Hospital anticipates these processes will continue. In addition, the Hospital continues to engage with and be accountable to patients and the community (beyond traditional town hall meetings, focus groups and other initiatives), including by inviting patients and their families to serve on the Patient Family Council and other Hospital committees.

The Hospital intends to proceed with this aspect of the Bill as drafted.

Objects

A primary reason to undertake this Bill is to move to language that is permissive and enabling, with a view to minimizing the need to return to the Legislative Assembly of Ontario in the future for further amendments to the Act. The permissive language in the Bill recognizes that the delivery of patient care may evolve over time, and further recognizes that the Hospital can only provide care in areas for which it is funded by the Ontario government.

There is absolutely no plan for the Hospital to cease operating as a public hospital under the Public Hospitals Act.

The Hospital intends to proceed with this aspect of the Bill as drafted.

Natural Person Powers

The natural person powers set out in Section 4 of the Bill are intended to confirm that the Hospital has broad powers to carry on all of its activities.

This aspect ofthe Bill is designed to minimize the need to seek future amendments to the Act from the Legislative Assembly of Ontario. For instance, in 2000 the Hospital sought and the Legislative Assembly of Ontario approved an amendment to the Act to grant specific powers related to dealing in real property.

The granting of natural person powers to a corporation incorporated by a special act is common. Two examples of Ontario public hospitals existing under special acts with natural person powers granted by the Legislative Assembly of Ontario are set out in the Compendium for reference.

The Hospital intends to proceed with this aspect of the Bill as drafted.

Restriction on Amalgamation

Section 11 of the trust indenture forming part of the 1903 Special Act provides as follows:

All Ontarians expect continuous improvements in how patients and families receive care. High quality, integrated care from all health services providers across the continuum of care, including the Hospital, is an important element of a modern, publicly funded and independently governed health care system in Ontario. There are numerous legislative requirements that the Hospital must satisfy, including, for example, under the Public Hospitals Act, the Local Health System Integration Act, 2006, and the Connecting Care Act, 2019, before any integration of the Hospital with another health services provider is permitted. These laws include extensive public consultation requirements which ensure the community has a voice in how care is delivered in the community.

The Hospital intends to proceed with this aspect of the Bill as drafted.

MacDonald Family

On May 24, 2019 a letter was received from the MacDonald Family. There was no return address so the Hospital is unable to provide contact information for the MacDonald family.

The MacDonald family expressed a concern that resources were being spent on dropping "The" from the legal name ofthe Hospital. The MacDonald family acknowledges in correspondence that nobody in the community refers to the Hospital by its full legal name, which is why the Hospital is proposing this change.

The Hospital notes that if the legal name were the only change proposed, it would not have proceeded with the Bill. Tab 6 Confirmation of Notice to Affected Municipalities

The Act provides that the composition of the board of directors of the Hospital include representatives of the County of Victoria and the Town of Lindsay.

The Bill does not continue with this approach to the composition of the board of directors.

On April 17, 2019 the Hospital delivered written notice of the Bill to the City of Kawartha Lakes, as successor to the County of Victoria and Town of Lindsay. Various correspondence, calls and meetings between the Hospital and the municipality have occurred between June 2019 and September 2019.
