Jersey Competition Regulatory Authority (“JCRA”) Decision M622/10 Acquisition of Virgin Media Television Rights Limited and Virgin Media Television Limited by British Sky Broadcasting Group plc The Notified Transaction 1. On 13 August 2010, the JCRA received an application (the “ Application ”) for approval under Articles 20 and 21 of the Competition (Jersey) Law 2005 (the “Law ”) concerning the acquisition of Virgin Media Television Rights Limited and Virgin Media Television Limited, together with the rights to all assets used exclusively in the Virgin Media television business acquisition (together: “VMTV ”) by British Sky Broadcasting Group plc (“ Sky ”), through the intermediary Kestrel Broadcasting Limited. 2. The JCRA published a notice of its receipt of the Application in the Jersey Gazette and on its website on 17 August 2010, inviting comments on the Acquisition by 31 August 2010. During this period, the JCRA received one written submission concerning the Acquisition. This submission is discussed in more detail in paragraph 29 below. In addition to public consultation, the JCRA conducted its own market enquiries concerning the Acquisition. 3. In addition to Jersey, the parties stated that the acquisition had been notified with the relevant authorities in the UK and the Republic of Ireland. On 29 June 2010 the Irish Competition Authority approved the Acquisition. The JCRA has had contact with the Office of Fair Trading (“ OFT ”), the UK authority, regarding the acquisition. To verify this concept, this methodology is applied to T-20 cricket teams. The Centrality measures; players are treated as nodes of the network, whereas the number of interactions between team mem- T-20 cricket; bers is denoted as the edges between those nodes. All intra country networks form the cricket net- Small world network; work for this case study. Analysis of the networks depicts that T-20 cricket network inherits all Clustering coefficient characteristics of small world network. Making a quantitative measure for an individual perfor- mance in the team sports is important with respect to the fact that for team selection of an Inter- national match, from pool of best players, only eleven players can be selected for the team. The statistical record of each player considered as a traditional way of quantifying the performance of a player. -

PARTIES 1. British Sky Broadcasting Group plc ('Sky') is a diversified media and communications company, with subsidiaries mainly active in the creation, wholesale supply, and broadcast of linear television (TV) channels;1 the retail distribution of its and third parties' linear pay TV channels via direct to home (DTH) satellite, the internet, and mobile technologies; the retail distribution of video on demand (VOD) content; retail telephony and broadband services; the provision of conditional access, access control and electronic programme guide (EPG) services to broadcasters and interactive service providers on Sky's DTH platform and the sale of advertising and sponsorship on Sky's and third parties' channels and websites, through Sky Media. 2. Virgin Media Television ('VMTV') was a subsidiary television channel business of Virgin Media Inc ('Virgin Media'). The VMTV channels (together with certain high definition (HD) and time-shifted versions) are mainly pay TV (subscription) channels, namely LIVING, LIVINGit, Bravo, Bravo 2, Challenge, Challenge Jackpot and Virgin 1 (a free-to-air ('FTA') channel). 1 A 'linear' television service is that where TV programmes are broadcasted at scheduled times on specific channels. 1 Virgin Media also owns Interactive Digital Sales Limited ('IDS'), an advertising sales house, which currently sells airtime and programme sponsorship on the VMTV channels, and also on the UKTV channels in which Virgin Media has a 50 per cent stake. -
