The Rules, inter-alia, provide for transfer of all shares in respect of which dividend has not been paid or claimed by the Shareholders for 7 (seven) consecutive years or more in the name of Investor Education & Protection Fund (IEPF) Suspense Account set up by the Central Government. In terms of various requirements set out in the Rules, the Company has intimated individually the concerned shareholders, at the latest available address, whose shares are liable to be transferred to IEPF Suspense Account under the said Rules for taking appropriate action(s). The Company has uploaded full details of such shareholders and shares due for transfer to IEPF Suspense Account on its website at www.ttlimited.co.in . Shareholders are requested to refer to the web link http://www.tttextiles.com/investor/corporate-news announcements to verify the details of unclaimed dividend and the shares liable to be transferred to IEPF Suspense Account. Shareholders may note that both the unclaimed dividend and the shares transferred to IEPF Authority / Suspense Account including all benefits accruing on such shares, if any, can be claimed back by them from IEPF Authority after following the prescribed procedure under Companies Act ,2013 and Rules thereunder as amended from time to time (“the Act”) The concerned shareholders, holding shares in physical form and whose shares are liable to be transferred to IEPF Suspense Account, may note that the Company would be issuing duplicate share certificates(s) in lieu of the original share certificate(s) which stands registered in their name will stand automatically cancelled and be deemed non-negotiable. The concerned shareholders holding shares in Electronic mode and whose shares are liable to be transferred to IEPF Suspense Account may also note that the Company would transfer the shares directly to Demat Account of IEPF Authority with the help of Depository Participants. The shareholders may further note that the details uploaded by the company on its website should be regarded and shall be deemed adequate notice in respect of issue of duplicate share certificates(s) by the Company for the purpose of transfer shares to IEPF Suspense Account pursuant to the Rules. In case the Company does not receive any communication from the concerned shareholders by 30.04.2017 or such other dates as may be extended, the Company shall, with a view to comply with requirements set out in the Act and Rules, transfer the shares to IEPF Suspense Account by the due date as per procedure stipulated in the Act and the Rules as in force from time to time.
