AMENDMENT TO ORDINANCE #8.0 ZONING ORDINANCE PRESENTED BY THE ZONING COMMITTEE

THE COUNTY BOARD OF SUPERVISORS OF THE COUNTY OF DOUGLAS DOES ORDAIN AS FOLLOWS:

WHEREAS, the Douglas County Zoning Committee held a public hearing on January 9, 2019, on the following petition for amendment of the county zoning district ordinance map:

Part of SE1/4-SE1/4 - TS-030-00373-00 and part of SE1/4 – TS-030-00371-01, Town of Superior, owned by Jeffrey Heifner, (proposed certified survey map; 1.92 acres), Section 16, T47N-R14W (5997S State Highway 35), Town of Superior, from the A-1: Agricultural zoning district to the C-1: Commercial zoning district, by Town of Superior, Intended use: Fire hall.

RESOLUTION #1-19 RESOLUTION BY THE FOREST, PARKS AND RECREATION COMMITTEE

Subject: Forestry Department Annual Work Plan - 2019

WHEREAS, Douglas County has lands enrolled in the County Forest Law program, pursuant to Section 28.11 of the Wisconsin Statutes, commonly referred to as the Douglas County Forest, and

WHEREAS, the Douglas County Board of Supervisors on March 20, 2008, adopted Resolution #18-08 approving the Douglas County Comprehensive Land-Use Plan for a period encompassing 2006-2020, and

WHEREAS, the Douglas County Forestry Department Annual Work Plan is prepared annually and submitted as an official amendment to Chapter 2000 of the Comprehensive Land- Use Plan.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accept the recommendation of the Forest, Parks and Recreation Committee and hereby accepts and approves the 2019 Douglas County Forestry Department Annual Work Plan as set forth in Exhibit B-1-19.

BE IT FURTHER RESOLVED that Chapter 2000 of the Comprehensive Land Use-Plan 2006-2020 be amended as set forth herein.

BE IT STILL FURTHER RESOLVED that the Forest, Parks and Recreation Committee is directed to forward said amendment to the Wisconsin Department of Natural Resources.

RESOLUTION #2-19 RESOLUTION BY THE FOREST, PARKS AND RECREATION COMMITTEE

Subject: WDNR Grant Programs Participation Authorized (Snowmobile and ATV Trails)

WHEREAS, Douglas County is interested in maintaining, acquiring, insuring, or developing lands for public outdoor motorized trail use, and

WHEREAS, said public motorized trails are eligible for funds under Section 23.09(26) (snowmobile) or Section 23.33 (all-terrain vehicle) of the Wisconsin Statutes.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accept the recommendation of the Forest, Parks and Recreation Committee and hereby authorizes Douglas County’s application for funds under Section 23.09(26) or Section 23.33 of the Wisconsin Statutes, for such eligible maintenance, acquisition, insurance, rehabilitation, and/or development costs.

BE IT FURTHER RESOLVED that the Parks and Recreation Supervisor, Douglas County Forestry Department, or designee, be hereby authorized to act on behalf of Douglas County as signatory on all grant applications and related documents submitted to the State of Wisconsin Department of Natural Resources for any financial aid that may be available, and to take necessary action to undertake, direct and complete any approved projects.

RESOLUTION #3-19 RESOLUTION BY THE FOREST, PARKS AND RECREATION COMMITTEE

Subject: Outdoor Recreation Plan 2019 – 2023

WHEREAS, Douglas County has invested considerable time and resources to develop and maintain an extensive offering of outdoor recreation facilities throughout the County for its residents and visitors, and

WHEREAS, the Douglas County Forestry Department is responsible for the development and maintenance of the County Forest park and recreation facilities, and

WHEREAS, numerous individuals and organizations frequently utilize these facilities for a wide range of outdoor recreation programs and activities, and

WHEREAS, an approved five-year outdoor recreation plan is required for Douglas County to be eligible to apply for grant funding through the State of Wisconsin Department of Natural Resources (WDNR) Knowles-Nelson Stewardship Grant Program and other funding sources, and

WHEREAS, the Douglas County Outdoor Recreation Plan 2014 – 2018 has reached the end of its planning period, and

WHEREAS, the Douglas County Outdoor Recreation Plan 2019 – 2023 was developed for the county by Northwest Regional Planning Commission under the direction of the Forestry Department, with numerous opportunities for public input from citizens, users, recreation clubs, and city, town, village, county, and state officials.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accept the recommendation of the Forest, Parks and Recreation Committee and hereby accepts 4

and approves the Douglas County Outdoor Recreation Plan 2019 – 2023 as set forth in Exhibit C-1-19.

BE IT FURTHER RESOLVED that Chapter 300 (subsection 315 Outdoor Recreation Planning) and Chapter 900 (subsection 935 Supplement Plans) of the Comprehensive Land Use- Plan 2006-2020 be amended as set forth herein.

BE IT FURTHER RESOLVED that the Forest, Parks and Recreation Committee is directed to forward said Outdoor Recreation Plan 2019 – 2023 to the WDNR for approval.

Subject: Land Purchase for County Forest

WHEREAS, the Douglas County Forest, Parks and Recreation Committee, recommends purchasing approximately 0.50 acres from James W. Caraway and Cynthia Anderson, and

WHEREAS, the property is described as follows:

Part of Parcels A and B of the Recorded Subdivision of Waterbury’s 4th Addition to White Birch, Northwest Quarter of the Northwest Quarter (NW ¼ of NW ¼) of Section Twenty-Five (25), Township Forty-Five (45) North, Range Twelve (12) West, Village of Solon Springs, Douglas County, Wisconsin, containing approximately 0.50 acres more or less (#SS1810034600), and

WHEREAS, said property lays directly adjacent to existing Lucius Woods County Park and would offer improved future development opportunities for public projects serving local government needs, and

WHEREAS, said property is further described in Exhibit D-1-19.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accept the recommendation of the Forest, Parks and Recreation Committee and hereby approves the purchase of approximately 0.50 acres from James W. Caraway and Cynthia Anderson at a purchase price not to exceed Twenty-Five Thousand and 00/100 Dollars ($25,000.00).

BE IT FURTHER RESOLVED that the Director of Forestry and Natural Resources for Douglas County, be hereby authorized to act on behalf of Douglas County as sole signatory on all real estate documents and other related instruments necessary to successfully complete the acquisition, including but not limited to deeds, transfers, assignments, agreements, contracts, obligations, and closing statements. 5

RESOLUTION #5-19 RESOLUTION BY THE ADMINISTRATION COMMITTEE AND SUPERVISORS ON THE HEALTH AND HUMAN SERVICES BOARD

Subject: Veterans Service Department Van/Reserve Fund Transfer

RESOLVED that the Douglas County Board of Supervisors accept the recommendations of the Administration Committee and Supervisors on the Health and Human Services Board and transfer the Veterans Service Department van to the Health and Human Services Department.

BE IT FURTHER RESOLVED that the balance in the van reserve account be transferred from the Veterans Service Department budget to the Health and Human Services Department budget, with approval to use reserve fund, along with trade-in of the veterans van, to purchase a smaller van for the Health and Human Services Department.

The Northwest Quarter of the Southeast Quarter (NW¼ of SE¼) of Section Twenty- Three (23), Township Forty-Six (46) North, Range Fifteen (15) West, Town of Summit, Wisconsin containing approximately 40.0 acres more or less (PIN # SU0280111800), and

WHEREAS, said property is further described in Exhibit H-3-19, and

WHEREAS, acquisition of this property will perpetually provide opportunities to supply the local economy with forest products and generate revenues to the County, provide outdoor recreation opportunities to the public, conserve ecological and biological attributes, and enhance blocking of and access to lands open to public use, and

WHEREAS, the County Board has the authority to acquire said property for the purpose of establishing County Forest Land pursuant to SS59.52(6) and 28.10, Stats.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accept the recommendation of the Forest, Parks and Recreation Committee and hereby approves the purchase of approximately 40.0 acres from Willard J. and Ruth A. Sitton at a purchase price not to exceed Twenty-Five Thousand and 00/100 Dollars ($25,000.00), in addition to all associated title work and closing expenses.

BE IT FURTHER RESOLVED that the purchased property herein described be applied for regular lands entry under the Wisconsin County Forest Law.

BE IT STILL FURTHER RESOLVED that the Forest, Parks and Recreation Committee is directed to forward said application for entry to the Wisconsin Department of Natural Resources for approval.

RESOLUTION #16-19 RESOLUTION BY THE PUBLIC SAFETY COMMITTEE

Subject: Child Support Enforcement Program State Funding Increase Supported

WHEREAS, Douglas County administers the Child Support Enforcement Program on behalf of the state, providing services to Douglas County residents including paternity establishment, obtaining child support and health insurance orders for children, and enforcing and modifying those orders, and

WHEREAS, our children’s well-being, economic security and success in life are enhanced by parents who provide financial and emotional support, and

WHEREAS, Douglas County’s Child Support Agency ensures that parents take responsibility for the care and well-being of their children, supports the involvement of parents in their children’s lives and provides services to both custodial and noncustodial parents, and

WHEREAS, the Child Support Enforcement Program is an effective investment in Wisconsin’s future as child support increases self-sufficiency, reduces child poverty, and has a positive effect on children’s well-being, and

WHEREAS, Wisconsin’s Child Support Enforcement Program is ranked 2nd in the nation for collecting current support, and

WHEREAS, Wisconsin’s Child Support Enforcement Program is incredibly cost- effective, collecting an average of $5.56 in support for every dollar invested in the program, and

WHEREAS, county child support agencies collected $934 million in child support during 2017, 95% which went directly to families, 5% reimbursed public assistance programs, and

WHEREAS, child support agencies save taxpayer dollars by establishing health insurance orders for 97% of cases, which reduces state Medicaid costs by moving children from public assistance to private insurance, and

WHEREAS, state funding for county child support services has not increased since 2007 while agency costs have increased steadily due to growing caseloads, inflation and new federal regulations, and

WHEREAS, without additional state funding, Wisconsin’s strong performance in child support is at risk for diminished performance and reduced federal funding to Wisconsin, and

WHEREAS, decreased federal funding means less funding for Douglas County’s child support agency, and subsequent reductions to child support enforcement staff, services, and child support collections, and

WHEREAS, new state investments in child support are amplified by a generous federal match -- every $1 of state GPR invested in the Child Support Program generates $2 in federal matching funds.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors respectfully requests that state funding for county child support agencies be increased $1.5 million GPR in each fiscal year of the 2019-21 Wisconsin state budget, which will generate approximately $3 million in additional federal funding each year, and will ensure that counties can continue to effectively provide economic support to our children.

BE IT FURTHER RESOLVED that a copy of this resolution be forwarded by the County Clerk to the Governor of the State of Wisconsin, Douglas County state senators and representatives, Secretary of Wisconsin Department of Administration, and Wisconsin Counties Association.

ORDINANCE #4.31A RESTRICTIONS ON SALE OR GIFT OF CIGARETTES, NICOTINE PRODUCTS OR TOBACCO PRODUCTS TO MINORS PRESENTED BY THE PUBLIC SAFETY COMMITTEE

THE BOARD OF SUPERVISORS OF DOUGLAS COUNTY DOES ORDAIN AS FOLLOWS:

Douglas County Ordinance #4.31 is hereby repealed in its entirety and replaced with the following:

SECTION I. AUTHORITY

Pursuant to the authority of Chapters 134, 139 and 254, Wisconsin Statutes, the Douglas County Board of Supervisors does hereby establish rules and regulations regulating the sale or gift of cigarettes, nicotine products or tobacco products to minors.

SECTION II. DEFINITIONS

The following definitions apply in this Ordinance:

A. "Cigarette" means any roll of tobacco wrapped in paper or any substance other than tobacco.

B. "Distributor" means any of the following:

(1) Any person who acquires unstamped cigarettes from the manufacturer thereof, affixes stamps to the packages or other containers, stores them and sells them to other permittees or to retailers for resale or who acquires stamped cigarettes from another permittee for such sales.

(2) Any person engaged in the business of selling tobacco products in Wisconsin who brings, or causes to be brought into Douglas County from outside Wisconsin, any tobacco products for sale.

(3) Any person who makes, manufactures, or fabricates tobacco products in Douglas County for sale in Wisconsin.

(4) Any person engaged in the business of selling tobacco products outside Wisconsin who ships or transports tobacco products to retailers in Wisconsin to be sold by those retailers.

C. "Identification card" means any of the following:

(1) A license containing a photograph issued under Chap. 343.

(2) An identification card issued under s. 343.50, Wis. Stats.

(3) An identification card issued under s. 125.08, 1987 Wis. Stats.

D. "Jobber" means any person who acquires stamped cigarettes from manufacturers or distributors, stores them and sells them to retailers for resale.

E. "Manufacturer" means any of the following:

(1) Any person who manufactures cigarettes for the purpose of sale, including the authorized agent of a person who manufactures cigarettes products for

(2) Any person who manufactures and sells tobacco products.

F. "Nicotine product” means a product that contains nicotine and is not any of the following:

(1) A tobacco product

(2) A cigarette. 19

(3) A product that been approved by the U.S. food and drug administration for sale as a smoking cessation product or for another medical purpose and is being marketed and sold solely for such an approved purpose.

G. "Retailer" means any person licensed under s. 134.65(1), Wis. Stats.

H. A “School" means a public, parochial or private school which provides an educational program for one or more grades between grades 1 and 12 and which is commonly known as an elementary school, middle school, junior high school, senior high school or high school.

I. "Stamp" means the authorized indicia of cigarette tax payment including water transfer stamps and heat applied stamps.

J. "Subjobber" means any person, other than a manufacturer or distributor, who purchases tobacco products from a distributor and sells them to persons other than the ultimate consumers.

K. "Tobacco products" means cigars; cheroots; stogies; periques; granulated, plug cut, crimp cut, ready-rubbed and other smoking tobacco; snuff; snuff flour; Cavendish; plug and twist tobacco; fine cut and other chewing tobaccos; shorts; refuse scraps, clippings, cuttings and sweepings of tobacco and other kinds and forms of tobacco prepared in such manner as to be suitable for chewing or smoking in a pipe or otherwise, or both for chewing and smoking; but "tobacco products" does not include cigarettes.

L. "Vending machine" is any mechanical device which automatically dispenses cigarettes, nicotine products or tobacco products upon the deposit therein of specified coins in payment for such cigarettes.

M. "Vending machine operator" means a person who acquires stamped cigarettes, nicotine products or tobacco products from manufacturers or permittees, stores them and sells them through the medium of vending machines which he or she owns, operates or services and which are located on premises which are owned or under the control of other persons.

SECTION III. RESTRICTIONS ON CIGARETTE OR TOBACCO PROVIDERS

A. No retailer, manufacturer, distributor, jobber or subjobber, no agent, employee or independent contractor of a retailer, manufacturer, distributor, jobber or subjobber and no agent or employee of an independent contractor may sell or provide for nominal or no consideration cigarettes, nicotine products or tobacco products to any person under the age of 18, except that a person under 18 years of age may purchase or possess cigarettes, nicotine products or tobacco products for the sole purpose of resale in the course of employment during his or her working hours if employed by a retailer. A vending machine operator is not liable under this paragraph for the purchase of cigarettes, nicotine products or tobacco products from his or her vending machine by a person under the age of 18 if the vending machine operator was unaware of the purchase.

B. No retailer, manufacturer, distributor, jobber, subjobber, no agent, employee or 20

independent contractor of a retailer, manufacturer, distributor, jobber or subjobber and no agent or employee of an independent contractor may provide for nominal or no consideration cigarettes, nicotine products or tobacco products to any person except in a place where no person younger than 18 years of age is present or permitted to enter unless the person who is younger than 18 years of age is accompanied by his or her parent or guardian or by his or her spouse who has attained the age of 18 years.

C. A retailer shall post a sign in areas within his or her premises where cigarettes, nicotine products or tobacco products are sold to consumers stating that the sale of any cigarettes, nicotine products or tobacco products to a person under the age of 18 is unlawful pursuant to Wisconsin Statutes and this Ordinance.

D. A vending machine operator shall attach a notice in a conspicuous place on the front of his or her vending machines stating that the purchase of any cigarettes, nicotine products or tobacco products by a person under the age of 18 is unlawful pursuant to Wisconsin Statutes and this Ordinance.

E. A retailer or vending machine operator may not sell cigarettes, nicotine products or tobacco products from a vending machine unless the vending machine is located in a place where the retailer or vending machine operator ensures that no person younger than 18 years of age is present or permitted to enter unless he or she is accompanied by his or her parent or guardian or by his or her spouse who has attained the age of 18 years. Notwithstanding this paragraph, no retailer may place a vending machine within 500 feet of a school.

F. No retailer may sell cigarettes in a form other than as a package or container on which a stamp is affixed under s. 139.32(1), Wis. Stats.

SECTION IV. DEFENSE: SALE TO MINORS

Proof of all of the following facts by a retailer, manufacturer, distributor, jobber, or subjobber, an agent, employee, or independent contractor of a retailer, manufacturer, distributor, jobber, or subjobber, or an agent or employee of an independent contractor who sells cigarettes, nicotine products or tobacco products to a person under the age of 18 is a defense to any prosecution for a violation of Section III (A) of this Ordinance:

A. That the purchaser falsely represented that he or she had attained the age of 18 and presented an identification card.

B. That the appearance of the purchaser was such that an ordinary and prudent person would believe that the purchaser had attained the age of 18.

C. That the sale was made in good faith, in reasonable reliance on the identification card and appearance of the purchaser and in the belief that the purchaser had attained the age of 18.

SECTION V. PENALTIES

A. In this paragraph, "violation" means a violation of Section III (A), (B), (E) and (F) of this Ordinance.

B. A person who commits a violation is subject to a forfeiture of:

(1) Not more than $500 if the person has not committed a previous violation within 12 months of the violation; or

(2) Not less than $200 nor more than $500 if the person has committed a previous violation within 12 months of the violation.

C. Whoever violates Section III (C) of this Ordinance shall forfeit not more than $25.

D. Whoever violates Section III (D) of this Ordinance shall forfeit not more than $50.

SECTION VI. LOCAL ORDINANCE

This ordinance does not apply within any town, village or city that has adopted or adopts an ordinance under s. 134.66(5), Wis. Stats.

SECTION VII. SEVERABILITY AND REPEAL

A. Each section, paragraph, sentence, clause, word and provision of this Ordinance is severable, and if any provisions shall be held unconstitutional or invalid for any reason such decisions shall not affect the remainder of the Ordinance nor any part thereof other than that affected by such decision.

B. All other ordinances or parts of ordinances of Douglas County inconsistent or conflicting with this Ordinance to the extent of the inconsistency only, are hereby repealed.

SECTION VII. EFFECTIVE DATE

ORDINANCE #4.31B PURCHASE OR POSSESSION OF CIGARETTES, NICOTINE PRODUCTS OR TOBACCO PRODUCTS BY PERSONS UNDER THE AGE OF 18 PRESENTED BY THE PUBLIC SAFETY COMMITTEE

THE BOARD OF SUPERVISORS OF DOUGLAS COUNTY DOES ORDAIN AS FOLLOWS:

SECTION I. AUTHORITY

Pursuant to the authority of Chapters 134, 139 and 254, Wisconsin Statutes, the Douglas County Board of Supervisors does hereby establish rules and regulations regulating the purchase and/or possession of cigarettes, nicotine products or tobacco products by persons under the age of 18.

SECTION II. DEFINITIONS

The following definitions apply in this Ordinance:

A. "Cigarette" means any roll of tobacco wrapped in paper or any substance other than tobacco.

B. "Nicotine product” means a product that contains nicotine and is not any of the following:

(1) A tobacco product

(2) A cigarette.

(3) A product that been approved by the U.S. food and drug administration for sale as a smoking cessation product or for another medical purpose and is being marketed and sold solely for such an approved purpose.

C. "Tobacco products" means cigars; cheroots; stogies; periques; granulated, plug cut, crimp cut, ready-rubbed and other smoking tobacco; snuff; snuff flour; Cavendish; plug and twist tobacco; fine cut and other chewing tobaccos; shorts; refuse scraps, clippings, cuttings and sweepings of tobacco and other kinds and forms of tobacco prepared in such manner as to be suitable for chewing or smoking in a pipe or otherwise, or both for chewing and smoking; but "tobacco products" does not include cigarettes.

SECTION III. RESTRICTIONS ON MINORS

A. No person under 18 years of age may falsely represent his or her age for the purpose of receiving any cigarettes, nicotine products or tobacco products or may purchase, attempt to purchase or possess any cigarettes, nicotine products or tobacco products except that a person under 18 years of age may purchase or possess cigarettes, nicotine products or tobacco products for the sole purpose of resale in the course of employment during his or her working hours if employed by a retailer.

B. A person under 18 years of age, but not under 15 years of age, may purchase, attempt to purchase or possess cigarettes, nicotine products or tobacco products in the course of his or her participation in an investigation under s. 254.916, Wis. Stats., that is conducted in accordance with s. 254.916(3), Wis. Stats.

C. A law enforcement officer shall seize any cigarettes, nicotine products or tobacco products that has been sold to and is in the possession of a person under 18 years of age.

SECTION IV. PENALTY

Any person convicted of violating this section, shall be subject to a forfeiture not to exceed $50.00.

SECTION V. LOCAL ORDINANCE

This ordinance does not apply within any town, village or city that has adopted or adopts an ordinance under s. 254.92, Wis. Stats.

SECTION VI. SEVERABILITY AND REPEAL

A. RESOLUTION #24-19 RESOLUTION BY THE DOUGLAS COUNTY BOARD OF SUPERVISORS

Subject: Restoration of State Income Tax Reciprocity Between Wisconsin and Minnesota

WHEREAS, Wisconsin had a tax reciprocity agreement with Minnesota for more than 40 years, that allowed people living in one state and working in another to file just one income tax form in their home state, with Wisconsin and Minnesota resolving payments at a later date, and

WHEREAS, the agreement ended on January 1, 2010, and

WHEREAS, the termination of the agreement has had adverse financial impacts for citizens of both states each year since, with many taxpayers required to pay for the cost of preparing and filing an additional state income tax return, and

WHEREAS, people of limited income also face a burden requiring them to first file and receive a refund in the state where taxes were taken, prior to filing in their state of residence; as they do not have the financial means to pay the taxes owing to that state until they receive a refund from the other state, and

WHEREAS, those taxpayers who do not incur direct tax preparation costs suffer increased time and frustration as they must navigate the income tax process of two separate states, and

WHEREAS, the previous tax reciprocity agreement worked well for taxpayers in both states, and

WHEREAS, Wisconsin and Minnesota currently have reciprocity agreements with several surrounding states.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors requests Governor Evers and the Wisconsin Department of Revenue to support and restore an income tax reciprocity agreement between Wisconsin and Minnesota.

BE IT FURTHER RESOLVED that upon passage of this resolution, copies be sent to Governor Evers, Department of Revenue Secretary Peter Barca, Senator Bewley, Representatives Milroy and Meyers, Douglas County towns and villages, City of Superior, City of Duluth, St. Louis County, Carlton County, and all other counties boarding the States of Wisconsin and Minnesota.

Subject: Nemadji Trail Energy Center Supported

WHEREAS, Minnesota Power and Dairyland Power Cooperative have proposed a 625- megawatt natural gas power plant in the City of Superior, called the Nemadji Trail Energy Center, and

WHEREAS, Minnesota Power and Dairyland Power Cooperative serve large portions of the population in the Twin Ports area, including much of Northern Minnesota and Northern Wisconsin, and have long been involved in supporting the communities they serve and the residential, industrial and commercial interests they power, and

WHEREAS, the Nemadji Trail Energy Center will be the largest private venture in the history of Douglas County, with an investment of over one billion dollars, and

WHEREAS, Douglas County and the City of Superior will share over $2 million annually in increased revenue and fees for hosting the facility, and

WHEREAS, the project will create 260 family-sustaining jobs during peak construction, and will support 175 jobs when fully operational, and

WHEREAS, the Nemadji Trail Energy Center project is key to Minnesota Power and Dairyland Power Cooperative’s diversification goals, reducing reliance on existing coal facilities and serving to enable renewable development as both utilities seek to significantly expand their 31

wind, hydro and solar resources, and further, the plant will provide grid stabilization in an area of Wisconsin which has no major power plants, and

WHEREAS, the Wisconsin Public Service Commission and other state and federal agencies are now reviewing the project proposal, and the two utilities are working with local governments to insure the project continues to be a benefit for all residents of our area.

NOW, THEREFORE, BE IT RESOLVED, that the Douglas County Board of Supervisors supports the construction and operation of the Nemadji Trail Energy Center, believing the project to be in the best interests of Douglas County and the region.

WHEREAS, the base has provided an estimated $94 million annually in direct expenditure in the region, and

WHEREAS, the base is a respected member of our region, supporting quality men and women and families who support the region’s healthcare facilities, education systems, businesses, and communities, and

WHEREAS, the entire region of northern Minnesota, Wisconsin and Michigan has a significant economic impact through the vitality of the base, and

WHEREAS, the longevity and continued viability of the base can be supported and enhanced by the installation of new F-35 aircraft;

NOW, THEREFORE, BE IT RESOLVED that the Douglas County (Wisconsin) Board of Supervisors supports and encourages the continued viability of the 148th Fighter Wing, Minnesota Air National Guard Base in Duluth, Minnesota, by asking Congress and the appropriate Military Leadership to place new F-35 aircraft there as soon as possible in support of our nation's defense.

Subject: Authorizing the Issuance and Establishing Parameters for the Sale of Not to Exceed $4,700,000 Taxable General Obligation Refunding Bonds

WHEREAS, the County Board of Supervisors hereby finds and determines that it is necessary, desirable and in the best interest of Douglas County, Wisconsin (the "County") to raise funds to pay the cost of refinancing certain outstanding obligations of the County, to wit: its State Trust Fund Loan, dated January 25, 2013 (the "Refunded Obligations") (hereinafter the refinancing of the Refunded Obligations shall be referred to as the "Refunding"), and

WHEREAS, the County Board of Supervisors deems it to be necessary, desirable and in the best interest of the County to refund the Refunded Obligations for the purpose of achieving debt service savings, and

WHEREAS, the County is authorized by the provisions of Section 67.04, Wisconsin Statutes, to borrow money and issue general obligation refunding bonds to refinance its outstanding obligations, and

WHEREAS, none of the proceeds of the general obligation refunding bonds shall be used to fund the operating expenses of the general fund of the County or to fund the operating expenses of any special revenue fund of the County that is supported by the property taxes, and 33

WHEREAS, due to certain provisions contained in the Internal Revenue Code of 1986, as amended, it is necessary to issue such general obligation refunding bonds on a taxable rather than tax-exempt basis, and

WHEREAS, it is the finding of the County Board of Supervisors that it is necessary, desirable and in the best interest of the County to authorize the issuance of and to sell the Taxable General Obligation Refunding Bonds (the "Bonds") to a purchaser to be specified in the Approving Certificate (defined below) (the "Purchaser"), and

WHEREAS, at the time that the market conditions produce the savings the County expects to achieve, the Purchaser will submit a purchase proposal to the County (the "Proposal") offering to purchase the Bonds in accordance with the terms and conditions to be set forth in the Proposal, and

WHEREAS, in order to facilitate the sale of the Bonds to the Purchaser in a timely manner, the County Board of Supervisors hereby finds and determines that it is necessary, desirable and in the best interest of the County to delegate to the Chairperson, the County Administrator and the Finance Director (collectively, the "Authorized Officers") the authority to accept the Proposal on behalf of the County so long as the Proposal meets the terms and conditions set forth in this Resolution and to approve the Private Placement Memorandum by executing a certificate in substantially the form as Exhibit A and incorporated herein by reference (the "Approving Certificate"), and

WHEREAS, the County was duly organized and is validly existing and operating under and by virtue of the laws of the State of Wisconsin.

NOW, THEREFORE, BE IT RESOLVED by the County Board of Supervisors of the County that:

Section 1. Authorization and Sale of the Bonds; Parameters. For the purpose of paying costs of the Refunding, there shall be borrowed pursuant to Section 67.04, Wisconsin Statutes, the principal sum of not to exceed FOUR MILLION SEVEN HUNDRED THOUSAND DOLLARS ($4,700,000) from the Purchaser upon the terms and subject to the conditions set forth in this Resolution. Subject to satisfaction of the conditions set forth in Section 12 of this Resolution, the Chairperson and County Clerk are hereby authorized, empowered and directed to make, execute, issue and sell to the Purchaser for, on behalf of and in the name of the County, Bonds aggregating the principal amount of not to exceed FOUR MILLION SEVEN HUNDRED THOUSAND DOLLARS ($4,700,000). The purchase price to be paid to the County for the Bonds shall be 100% of the principal amount of the Bonds. The costs of issuance payable by the County, including any bond insurance premium, shall be an amount not to exceed 1.50% of the principal amount of the Bonds.

Section 2. Terms of the Bonds. The Bonds shall be designated "Taxable General Obligation Refunding Bonds"; shall be issued in the aggregate principal amount of up to $4,700,000; shall be dated as of their date of issuance; shall be in the denomination of $100,000 or more; shall be numbered R-1 and upward; and mature or be subject to mandatory redemption on the dates and in the principal amounts set forth below, provided that the principal amount of each maturity or mandatory redemption amount may be increased or decreased by up to $50,000 per maturity or mandatory redemption amount and that the aggregate principal amount of the 34

Bonds shall not exceed $4,700,000. The schedule below assumes the Bonds are issued in the aggregate principal amount of $4,620,000.

Interest shall be payable semi-annually on February 1 and August 1 of each year commencing on February 1, 2020. The true interest cost on the Bonds (computed taking the Purchaser's compensation into account) will not exceed 3.50%. Interest shall be computed upon the basis of a 360-day year of twelve 30-day months and will be rounded pursuant to the rules of the Municipal Securities Rulemaking Board.

The present value debt service savings achieved by the Refunding shall be at least $75,000 (the "Savings").

Section 3. Redemption Provisions. The Bonds shall not be subject to optional redemption or shall be callable as set forth on the Approving Certificate. If the Proposal specifies that certain of the Bonds are subject to mandatory redemption, the terms of such mandatory redemption shall be set forth on an attachment to the Approving Certificate labeled as Exhibit MRP. Upon the optional redemption of any of the Bonds subject to mandatory redemption, the principal amount of such Bonds so redeemed shall be credited against the mandatory redemption payments established in Exhibit MRP for such Bonds in such manner as the County shall direct.

Section 4. Form of the Bonds. The Bonds shall be issued in registered form and shall be executed and delivered in substantially the form as Exhibit B and incorporated herein by this reference.

Section 5. Tax Provisions.

(A) Direct Annual Irrepealable Tax Levy. For the purpose of paying the principal of and interest on the Bonds as the same becomes due, the full faith, credit and resources of the County are hereby irrevocably pledged, and there is hereby levied upon all of the taxable property of the County a direct annual irrepealable tax in the years 2019 through 2031 for payments due in the years 2020 through 2032 in such amounts as are sufficient to meet the principal and interest payments when due. 35

(B) Tax Collection. So long as any part of the principal of or interest on the Bonds remains unpaid, the County shall be and continue without power to repeal such levy or obstruct the collection of said tax until all such payments have been made or provided for. After the issuance of the Bonds, said tax shall be, from year to year, carried onto the tax roll of the County and collected in addition to all other taxes and in the same manner and at the same time as other taxes of the County for said years are collected, except that the amount of tax carried onto the tax roll may be reduced in any year by the amount of any surplus money in the Debt Service Fund Account created below.

(C) Additional Funds. If at any time there shall be on hand insufficient funds from the aforesaid tax levy to meet principal and/or interest payments on said Bonds when due, the requisite amounts shall be paid from other funds of the County then available, which sums shall be replaced upon the collection of the taxes herein levied.

Section 6. Segregated Debt Service Fund Account.

(A) Creation and Deposits. There be and there hereby is established in the treasury of the County, if one has not already been created, a debt service fund, separate and distinct from every other fund, which shall be maintained in accordance with generally accepted accounting principles. Debt service or sinking funds established for obligations previously issued by the County may be considered as separate and distinct accounts within the debt service fund.

Within the debt service fund, there hereby is established a separate and distinct account designated as the "Debt Service Fund Account for Taxable General Obligation Refunding Bonds - 2019" (the "Debt Service Fund Account") and such account shall be maintained until the indebtedness evidenced by the Bonds is fully paid or otherwise extinguished. There shall be deposited into the Debt Service Fund Account (i) all accrued interest received by the County at the time of delivery of and payment for the Bonds; (ii) any premium not used for the Refunding which may be received by the County above the par value of the Bonds and accrued interest thereon; (iii) all money raised by the taxes herein levied and any amounts appropriated for the specific purpose of meeting principal of and interest on the Bonds when due; (iv) such other sums as may be necessary at any time to pay principal of and interest on the Bonds when due; (v) surplus monies in the Borrowed Money Fund as specified below; and (vi) such further deposits as may be required by Section 67.11, Wisconsin Statutes.

(B) Use and Investment. No money shall be withdrawn from the Debt Service Fund Account and appropriated for any purpose other than the payment of principal of and interest on the Bonds until all such principal and interest has been paid in full and the Bonds canceled; provided (i) the funds to provide for each payment of principal of and interest on the Bonds prior to the scheduled receipt of taxes from the next succeeding tax collection may be invested in direct obligations of the United States of America maturing in time to make such payments when they are due or in other investments permitted by law; and (ii) any funds over and above the amount of such principal and interest payments on the Bonds may be used to reduce the next succeeding tax levy, or may, at the option of the County, be invested by purchasing the Bonds as permitted by and subject to Section 67.11(2)(a), Wisconsin Statutes, or in permitted municipal investments 36

under the pertinent provisions of the Wisconsin Statutes ("Permitted Investments"), which investments shall continue to be a part of the Debt Service Fund Account.

(C) Remaining Monies. When all of the Bonds have been paid in full and canceled, and all Permitted Investments disposed of, any money remaining in the Debt Service Fund Account shall be transferred and deposited in the general fund of the County, unless the County Board of Supervisors directs otherwise.

Section 7. Proceeds of the Bonds; Segregated Borrowed Money Fund. The proceeds of the Bonds (the "Bond Proceeds") (other than any premium not used for the Refunding and accrued interest which must be paid at the time of the delivery of the Bonds into the Debt Service Fund Account created above) shall be deposited into a special fund separate and distinct from all other funds of the County and disbursed solely for the purpose or purposes for which borrowed or for the payment of the principal of and the interest on the Bonds. In no event shall monies in the Borrowed Money Fund be used to fund operating expenses of the general fund of the County or of any special revenue fund of the County that is supported by property taxes. Monies in the Borrowed Money Fund may be temporarily invested in Permitted Investments. Any monies, including any income from Permitted Investments, remaining in the Borrowed Money Fund after the purpose or purposes for which the Bonds have been issued have been accomplished, and, at any time, any monies as are not needed and which obviously thereafter cannot be needed for such purpose(s) shall be deposited in the Debt Service Fund Account.

Section 8. Execution of the Bonds; Closing; Professional Services. The Bonds shall be issued in printed form, executed on behalf of the County by the manual or facsimile signatures of the Chairperson and County Clerk, authenticated, if required, by the Fiscal Agent (defined below), sealed with its official or corporate seal, if any, or a facsimile thereof, and delivered to the Purchaser upon payment to the County of the purchase price thereof, plus accrued interest to the date of delivery (the "Closing"). The facsimile signature of either of the officers executing the Bonds may be imprinted on the Bonds in lieu of the manual signature of the officer but, unless the County has contracted with a fiscal agent to authenticate the Bonds, at least one of the signatures appearing on each Bond shall be a manual signature. In the event that either of the officers whose signatures appear on the Bonds shall cease to be such officers before the Closing, such signatures shall, nevertheless, be valid and sufficient for all purposes to the same extent as if they had remained in office until the Closing. The aforesaid officers are hereby authorized and directed to do all acts and execute and deliver the Bonds and all such documents, certificates and acknowledgements as may be necessary and convenient to effectuate the Closing. The County hereby authorizes the officers and agents of the County to enter into, on its behalf, agreements and contracts in conjunction with the Bonds, including but not limited to agreements and contracts for legal, trust, fiscal agency, disclosure and continuing disclosure, and rebate calculation services. Any such contract heretofore entered into in conjunction with the issuance of the Bonds is hereby ratified and approved in all respects.

Section 9. Payment of the Bonds; Fiscal Agent. The principal of and interest on the Bonds shall be paid by the County Clerk or County Treasurer or a third party, which is appointed as the County's registrar and fiscal agent pursuant to the provisions of Section 67.10(2), Wisconsin Statutes (the "Fiscal Agent"), as specified in the Approving Certificate. If a third party is so appointed, the County hereby authorizes the Chairperson and County Clerk or other appropriate officers of the County to enter into a Fiscal Agency Agreement between the County and the Fiscal Agent. Such contract may provide, among other things, for the performance by 37

the Fiscal Agent of the functions listed in Wis. Stats. Sec. 67.10(2)(a) to (j), where applicable, with respect to the Bonds.

Section 10. Persons Treated as Owners; Transfer of Bonds. The County shall cause books for the registration and for the transfer of the Bonds to be kept by the Fiscal Agent. The person in whose name any Bond shall be registered shall be deemed and regarded as the absolute owner thereof for all purposes and payment of either principal or interest on any Bond shall be made only to the registered owner thereof. All such payments shall be valid and effectual to satisfy and discharge the liability upon such Bond to the extent of the sum or sums so paid.

Any Bond may be transferred by the registered owner thereof by surrender of the Bond at the office of the Fiscal Agent, duly endorsed for the transfer or accompanied by an assignment duly executed by the registered owner or his attorney duly authorized in writing. Upon such transfer, the Chairperson and County Clerk shall execute and deliver in the name of the transferee or transferees a new Bond or Bonds of a like aggregate principal amount, series and maturity and the Fiscal Agent shall record the name of each transferee in the registration book. No registration shall be made to bearer. The Fiscal Agent shall cancel any Bond surrendered for transfer. The County shall cooperate in any such transfer, and the Chairperson and County Clerk are authorized to execute any new Bond or Bonds necessary to effect any such transfer.

Section 11. Record Date. The 15th calendar day preceding each interest payment date shall be the record date for the Bonds (the "Record Date"). Payment of interest on the Bonds on any interest payment date shall be made to the registered owners of the Bonds as they appear on the registration book of the County at the close of business on the Record Date.

Section 12. Conditions on Issuance and Sale of the Bonds. The issuance of the Bonds and the sale of the Bonds to the Purchaser are subject to satisfaction of the following conditions:

(a) approval by the Authorized Officers of the principal amount, definitive maturities, redemption provisions, interest rates, purchase price for the Bonds, and the redemption date for the Refunded Obligations, which approval shall be evidenced by execution by the Authorized Officers of the Approving Certificate; and

(b) realization by the County of the Savings.

The Bonds shall not be issued, sold or delivered until these conditions are satisfied. Upon satisfaction of these conditions, the Authorized Officers are authorized to execute a Proposal with the Purchaser providing for the sale of the Bonds to the Purchaser.

Section 13. Continuing Disclosure. The continuing disclosure requirements of SEC Rule 15c2-12 promulgated by the Securities and Exchange Commission pursuant to the Securities and Exchange Act of 1934 (the "Rule") are not applicable to the Bonds because the Purchaser will covenant that it will hold and not make a primary offering of the Bonds, or otherwise will establish an exception to the Rule relating to the Bonds.

Section 14. Redemption of the Refunded Obligations. The Refunded Obligations are hereby called for prior payment and redemption on such date approved by the Authorized Officers in the Approving Certificate that is not more than 90 days after the date of issuance of

the Bonds, at a price of par plus accrued interest to the date of redemption subject to final approval by the Authorized Officers as evidenced by the execution of the Approving Certificate.

The County hereby directs the County Clerk after final approval to take all actions necessary to cause sufficient and timely redemption of the Refunded Obligations.

Section 15. Record Book. The County Clerk shall provide and keep the transcript of proceedings as a separate record book (the "Record Book") and shall record a full and correct statement of every step or proceeding had or taken in the course of authorizing and issuing the Bonds in the Record Book.

Section 16. Bond Insurance. If the Purchaser determines to obtain municipal bond insurance with respect to the Bonds, the officers of the County are authorized to take all actions necessary to obtain such municipal bond insurance. The Chairperson and County Clerk are authorized to agree to such additional provisions as the bond insurer may reasonably request and which are acceptable to the Chairperson and County Clerk including provisions regarding restrictions on investment of Bond proceeds, the payment procedure under the municipal bond insurance policy, the rights of the bond insurer in the event of default and payment of the Bonds by the bond insurer and notices to be given to the bond insurer. In addition, any reference required by the bond insurer to the municipal bond insurance policy shall be made in the form of Bond provided herein.

Section 17. Conflicting Resolutions; Severability; Effective Date. All prior resolutions, rules or other actions of the County Board of Supervisors or any parts thereof in conflict with the provisions hereof shall be, and the same are, hereby rescinded insofar as the same may so conflict. In the event that any one or more provisions hereof shall for any reason be held to be illegal or invalid, such illegality or invalidity shall not affect any other provisions hereof. The foregoing shall take effect immediately upon adoption and approval in the manner provided by law.

WHEREAS, at the time that the market conditions produce the savings the County expects to achieve, the Purchaser intends to submit a purchase proposal to the County (the "Proposal") offering to purchase the Bonds in accordance with the terms and conditions to be set forth in the Proposal, and

WHEREAS, in order to facilitate the sale of the Bonds to the Purchaser in a timely manner, the County Board of Supervisors hereby finds and determines that it is necessary, desirable and in the best interest of the County to delegate to the Chairperson, the County Administrator and the Finance Director (collectively, the "Authorized Officers") the authority to accept the Proposal on behalf of the County so long as the Proposal meets the terms and conditions set forth in this Resolution by executing a certificate in substantially the form as Exhibit A and incorporated herein by reference (the "Approving Certificate").

Bonds shall not be less than 98.20% of the principal amount of the Bonds and the difference between the initial public offering price of the Bonds and the purchase price to be paid to the County by the Purchaser shall not exceed 1.80% of the principal amount of the Bonds, with an amount not to exceed 0.80% of the principal amount of the Bonds representing the Purchaser's compensation and an amount not to exceed 1.00% of the principal amount of the Bonds representing costs of issuance, including any bond insurance premium, payable by the Purchaser or the County.

Section 2. Terms of the Bonds. The Bonds shall be designated "General Obligation Refunding Bonds"; shall be issued in the aggregate principal amount of up to $7,600,000; shall be dated as of their date of issuance; shall be in the denomination of $5,000 or any integral multiple thereof; shall be numbered R-1 and upward; and mature or be subject to mandatory redemption on the dates and in the principal amounts set forth below, provided that the principal amount of each maturity or mandatory redemption amount may be increased or decreased by up to $500,000 per maturity or mandatory redemption amount and that the aggregate principal amount of the Bonds shall not exceed $7,600,000. The schedule below assumes the Bonds are issued in the aggregate principal amount of $7,485,000.

If the Proposal specifies that certain of the Bonds are subject to mandatory redemption, the terms of such mandatory redemption shall be set forth on an attachment to the Approving Certificate labeled as Exhibit MRP. There shall be deposited into the Debt Service Fund Account (i) all accrued interest received by the County at the time of delivery of and payment for the Bonds; (ii) any premium not used for the Refunding which may be received by the County above the par value of the Bonds and accrued interest thereon; (iii) all money raised by the taxes herein levied and any amounts appropriated for the specific purpose of meeting principal of and interest on the Bonds when due; (iv) such other sums as may be necessary at any time to pay principal of and interest on the Bonds when due; (v) surplus monies in the Borrowed Money Fund as specified below; and (vi) such further deposits as may be required by Section 67.11, Wisconsin Statutes.

(B) Use and Investment. No money shall be withdrawn from the Debt Service Fund Account and appropriated for any purpose other than the payment of principal of and interest on the Bonds until all such principal and interest has been paid in full and the 42

Bonds canceled; provided (i) the funds to provide for each payment of principal of and interest on the Bonds prior to the scheduled receipt of taxes from the next succeeding tax collection may be invested in direct obligations of the United States of America maturing in time to make such payments when they are due or in other investments permitted by law; and (ii) any funds over and above the amount of such principal and interest payments on the Bonds may be used to reduce the next succeeding tax levy, or may, at the option of the County, be invested by purchasing the Bonds as permitted by and subject to Section 67.11(2)(a), Wisconsin Statutes, or in permitted municipal investments under the pertinent provisions of the Wisconsin Statutes ("Permitted Investments"), which investments shall continue to be a part of the Debt Service Fund Account. Any investment of the Debt Service Fund Account shall at all times conform with the provisions of the Internal Revenue Code of 1986, as amended (the "Code") and any applicable Treasury Regulations (the "Regulations").

(C) Remaining Monies. When all of the Bonds have been paid in full and canceled, and all Permitted Investments disposed of, any money remaining in the Debt Service Fund Account shall be transferred and deposited in the general fund of the County, unless the County Board of Supervisors directs otherwise.

Section 7. Proceeds of the Bonds; Segregated Borrowed Money Fund. The proceeds of the Bonds (the "Bond Proceeds") (other than any premium not used for the Refunding and accrued interest which must be paid at the time of the delivery of the Bonds into the Debt Service Fund Account created above) shall be deposited into a special fund separate and distinct from all other funds of the County and disbursed solely for the purpose or purposes for which borrowed or for the payment of the principal of and the interest on the Bonds. In no event shall monies in the Borrowed Money Fund be used to fund operating expenses of the general fund of the County or of any special revenue fund of the County that is supported by property taxes. Monies in the Borrowed Money Fund may be temporarily invested in Permitted Investments. Any monies, including any income from Permitted Investments, remaining in the Borrowed Money Fund after the purpose or purposes for which the Bonds have been issued have been accomplished, and, at any time, any monies as are not needed and which obviously thereafter cannot be needed for such purpose(s) shall be deposited in the Debt Service Fund Account.

Section 8. No Arbitrage. All investments made pursuant to this Resolution shall be Permitted Investments, but no such investment shall be made in such a manner as would cause the Bonds to be "arbitrage bonds" within the meaning of Section 148 of the Code or the Regulations and an officer of the County, charged with the responsibility for issuing the Bonds, shall certify as to facts, estimates, circumstances and reasonable expectations in existence on the date of delivery of the Bonds to the Purchaser which will permit the conclusion that the Bonds are not “arbitrage bonds," within the meaning of the Code or Regulations.

Section 9. Compliance with Federal Tax Laws.

(a) The County represents and covenants that the projects financed by the Bonds and by the Refunded Obligations and the ownership, management and use of the projects will not cause the Bonds or the Refunded Obligations to be "private activity bonds" within the meaning of Section 141 of the Code. The County further covenants that it shall comply with the provisions of the Code to the extent necessary to maintain the tax exempt status of the interest on the Bonds including, 43

if applicable, the rebate requirements of Section 148(f) of the Code. The County further covenants that it will not take any action, omit to take any action or permit the taking or omission of any action within its control (including, without limitation, making or permitting any use of the proceeds of the Bonds) if taking, permitting or omitting to take such action would cause any of the Bonds to be an arbitrage bond or a private activity bond within the meaning of the Code or would otherwise cause interest on the Bonds to be included in the gross income of the recipients thereof for federal income tax purposes. The County Clerk or other officer of the County charged with the responsibility of issuing the Bonds shall provide an appropriate certificate of the County certifying that the County can and covenanting that it will comply with the provisions of the Code and Regulations.

(b) The County also covenants to use its best efforts to meet the requirements and restrictions of any different or additional federal legislation which may be made applicable to the Bonds provided that in meeting such requirements the County will do so only to the extent consistent with the proceedings authorizing the Bonds and the laws of the State of Wisconsin and to the extent that there is a reasonable period of time in which to comply.

Section 10. Designation as Qualified Tax Exempt Obligations. The Bonds are hereby designated as "qualified tax exempt obligations" for purposes of Section 265 of the Code, relating to the ability of financial institutions to deduct from income for federal income tax purposes, interest expense that is allocable to carrying and acquiring tax exempt obligations.

Section 11. Execution of the Bonds; Closing; Professional Services. The Bonds shall be issued in printed form, executed on behalf of the County by the manual or facsimile signatures of the Chairperson and County Clerk, authenticated, if required, by the Fiscal Agent (defined below), sealed with its official or corporate seal, if any, or a facsimile thereof, and delivered to the Purchaser upon payment to the County of the purchase price thereof, plus accrued interest to the date of delivery (the "Closing"). The facsimile signature of either of the officers executing the Bonds may be imprinted on the Bonds in lieu of the manual signature of the officer but, unless the County has contracted with a fiscal agent to authenticate the Bonds, at least one of the signatures appearing on each Bond shall be a manual signature. In the event that either of the officers whose signatures appear on the Bonds shall cease to be such officers before the Closing, such signatures shall, nevertheless, be valid and sufficient for all purposes to the same extent as if they had remained in office until the Closing. The aforesaid officers are hereby authorized and directed to do all acts and execute and deliver the Bonds and all such documents, certificates and acknowledgements as may be necessary and convenient to effectuate the Closing. The County hereby authorizes the officers and agents of the County to enter into, on its behalf, agreements and contracts in conjunction with the Bonds, including but not limited to agreements and contracts for legal, trust, fiscal agency, disclosure and continuing disclosure, and rebate calculation services. Any such contract heretofore entered into in conjunction with the issuance of the Bonds is hereby ratified and approved in all respects.

Section 12. Payment of the Bonds; Fiscal Agent. The principal of and interest on the Bonds shall be paid by the County Clerk or the County Treasurer (the "Fiscal Agent") unless a third-party fiscal agent is specified in the Approving Certificate.

Section 13. Persons Treated as Owners; Transfer of Bonds. The County shall cause books for the registration and for the transfer of the Bonds to be kept by the Fiscal Agent. The person in whose name any Bond shall be registered shall be deemed and regarded as the absolute owner thereof for all purposes and payment of either principal or interest on any Bond shall be made only to the registered owner thereof. All such payments shall be valid and effectual to satisfy and discharge the liability upon such Bond to the extent of the sum or sums so paid.

Any Bond may be transferred by the registered owner thereof by surrender of the Bond at the office of the Fiscal Agent, duly endorsed for the transfer or accompanied by an assignment duly executed by the registered owner or his attorney duly authorized in writing. Upon such transfer, the Chairperson and County Clerk shall execute and deliver in the name of the transferee or transferees a new Bond or Bonds of a like aggregate principal amount, series and maturity and the Fiscal Agent shall record the name of each transferee in the registration book. No registration shall be made to bearer. The Fiscal Agent shall cancel any Bond surrendered for transfer.

The County shall cooperate in any such transfer, and the Chairperson and County Clerk are authorized to execute any new Bond or Bonds necessary to effect any such transfer.

Section 14. Record Date. The 15th day of the calendar month next preceding each interest payment date shall be the record date for the Bonds (the "Record Date"). Payment of interest on the Bonds on any interest payment date shall be made to the registered owners of the Bonds as they appear on the registration book of the County at the close of business on the Record Date.

Section 15. Utilization of The Depository Trust Company Book-Entry-Only System. In order to make the Bonds eligible for the services provided by The Depository Trust Company, New York, New York ("DTC"), the County agrees to the applicable provisions set forth in the Blanket Issuer Letter of Representations, which the County Clerk or other authorized representative of the County is authorized and directed to execute and deliver to DTC on behalf of the County to the extent an effective Blanket Issuer Letter of Representations is not presently on file in the County Clerk's office.

Section 16. Conditions on Issuance and Sale of the Bonds. The issuance of the Bonds and the sale of the Bonds to the Purchaser are subject to satisfaction of the following conditions:

(a) approval by the Authorized Officers of the principal amount, definitive maturities, redemption provisions, interest rates, purchase price for the Bonds, and the redemption date for the Refunded Obligations, which approval shall be evidenced by execution by the Authorized Officers of the Approving Certificate; and

(b) realization by the County of the Savings.

The Bonds shall not be issued, sold or delivered until these conditions are satisfied. Upon satisfaction of these conditions, the Authorized Officers are authorized to execute a Proposal with the Purchaser providing for the sale of the Bonds to the Purchaser.

Section 17. Official Statement. The County Board of Supervisors hereby directs the Authorized Officers to approve the Preliminary Official Statement with respect to the Bonds and 45

deem the Preliminary Official Statement as "final" as of its date for purposes of SEC Rule 15c2- 12 promulgated by the Securities and Exchange Commission pursuant to the Securities and Exchange Act of 1934 (the "Rule"). All actions taken by the Authorized Officers or other officers of the County in connection with the preparation of such Preliminary Official Statement and any addenda to it or final Official Statement are hereby ratified and approved. In connection with the Closing, the appropriate County official shall certify the Preliminary Official Statement and any addenda or final Official Statement. The County Clerk shall cause copies of the Preliminary Official Statement and any addenda or final Official Statement to be distributed to the Purchaser.

Section 18. Undertaking to Provide Continuing Disclosure. The County hereby covenants and agrees, for the benefit of the owners of the Bonds, to enter into a written undertaking (the "Undertaking") if required by the Rule to provide continuing disclosure of certain financial information and operating data and timely notices of the occurrence of certain events in accordance with the Rule. The Undertaking shall be enforceable by the owners of the Bonds or by the Purchaser on behalf of such owners (provided that the rights of the owners and the Purchaser to enforce the Undertaking shall be limited to a right to obtain specific performance of the obligations thereunder and any failure by the County to comply with the provisions of the Undertaking shall not be an event of default with respect to the Bonds).

To the extent required under the Rule, the Chairperson and County Clerk, or other officer of the County charged with the responsibility for issuing the Bonds, shall provide a Continuing Disclosure Certificate for inclusion in the transcript of proceedings, setting forth the details and terms of the County's Undertaking.

Section 19. Redemption of the Refunded Obligations. The Refunded Obligations are hereby called for prior payment and redemption on such date approved by the Authorized Officers in the Approving Certificate that is not more than 90 days after the date of issuance of the Bonds, at a price of par plus accrued interest to the date of redemption subject to final approval by the Authorized Officers as evidenced by the execution of the Approving Certificate.

The County hereby directs the County Clerk after final approval to work with the Purchaser to cause timely notice of redemption, in substantially the form as Exhibit C and incorporated herein by this reference (the "Notice"), to be provided at the times, to the parties and in the manner set forth on the Notice. Any and all actions heretofore taken by the officers and agents of the County to effectuate the redemption of the Refunded Obligations are hereby ratified and approved.

Section 20. Record Book. The County Clerk shall provide and keep the transcript of proceedings as a separate record book (the "Record Book") and shall record a full and correct statement of every step or proceeding had or taken in the course of authorizing and issuing the Bonds in the Record Book.

Section 21. Bond Insurance. If the Purchaser determines to obtain municipal bond insurance with respect to the Bonds, the officers of the County are authorized to take all actions necessary to obtain such municipal bond insurance. The Chairperson and County Clerk are authorized to agree to such additional provisions as the bond insurer may reasonably request and which are acceptable to the Chairperson and County Clerk including provisions regarding restrictions on investment of Bond proceeds, the payment procedure under the municipal bond 46

insurance policy, the rights of the bond insurer in the event of default and payment of the Bonds by the bond insurer and notices to be given to the bond insurer. In addition, any reference required by the bond insurer to the municipal bond insurance policy shall be made in the form of Bond provided herein.

Section 22. Conflicting Resolutions; Severability; Effective Date. All prior resolutions, rules or other actions of the County Board of Supervisors or any parts thereof in conflict with the provisions hereof shall be, and the same are, hereby rescinded insofar as the same may so conflict. In the event that any one or more provisions hereof shall for any reason be held to be illegal or invalid, such illegality or invalidity shall not affect any other provisions hereof. The foregoing shall take effect immediately upon adoption and approval in the manner provided by law.

Certificate of Appreciation was read aloud by Chair Liebaert recognizing Robert Marcuk’s 31 years of leadership and dedication as a member of the Douglas County Civil Service Commission. Marcuk was not able to attend the meeting, but Supervisor Finn, on behalf of Marcuk, extended appreciation from Marcuk for the opportunity to serve on the Commission.

UW-Madison Extension, Douglas County Agriculture Agent Jane Anklam, provided an economic update on challenges the agricultural community is experiencing, especially for smaller farms throughout Douglas County. Extension programs offer farmers help to identify feasibility of locally grown products’ marketing opportunities. UW-Madison agriculture specialists are focusing on economic downturn effects on farmers’ health, including stress issues. Small family farms are making difficult choices on operations and succession planning.

WHEREAS, Section 75.14 of the Wisconsin Statutes requires County Board approval for issuance of tax deeds.

RESOLUTION #33-19 RESOLUTION BY SUPERVISORS ON THE LAND CONSERVATION COMMITTEE

Subject: H.R. 763 Energy Innovation and Carbon Divided Act Supported

WHEREAS, increases in global average temperatures, the number and intensity of extreme weather events, sea level rise, and the melting of glacial and Arctic ice, indicate that the global climate is changing, and WHEREAS, Douglas County has experienced a number of extreme rain events in the past seven years--including a 500-year event in 2012, another major event in 2016, and a 100- year event in 2018--which have caused extensive damage to Douglas County roads, bridges, culverts, and other infrastructure, and WHEREAS, studies by the Wisconsin Initiative on Climate Change Impacts project that if climate change continues unchecked, Douglas County will experience increasingly warmer temperatures, especially during the winter months, and increasing amounts of precipitation and extreme rain events, and WHEREAS, such changes are likely to have substantial adverse impacts on Douglas County’s highways and roads and other critical infrastructure, and WHEREAS, such changes may also have adverse effects on Douglas County’s forests and timber industry by decreasing suitable habitat for such commercially important species as paper birch and quaking aspen, increasing the risk of wildfires, and increasing stress from forest pests, diseases, and non-native species, and WHEREAS, such changes may also have adverse impacts on Douglas County agriculture by increasing erosion from extreme rain events, hampering access to fields at critical times, and causing alterations in late-winter freeze/thaw cycles, and WHEREAS, such changes may also have adverse impacts on Douglas County’s winter tourism economy by decreasing the duration of winter snow cover and rendering winter conditions less predictable, and WHEREAS, Douglas County’s priorities include sustainable infrastructure investment, responsible development, protection and enhancement of its natural resources, and public safety, all of which are impacted by climate change, and WHEREAS, in recognition of the adverse impacts of climate change, the County is already striving to reduce its carbon footprint through energy efficiency measures and renewable energy projects, and WHEREAS, recent reports by the UN’s Intergovernmental Panel on Climate Change and the US government indicate that to avoid the worst potential impacts of climate change, urgent action is needed to reduce carbon emissions, and WHEREAS, in order to reduce carbon emissions most effectively and efficiently, leading economists (including four past chairs of the Federal Reserve Board, 27 Nobel Laureates, and 15 past chairs of the Council of Economic Advisors) recommend a gradually increasing carbon tax on fossil fuels, with the proceeds thereof returned to American households as dividends, and with 51

a border adjustment system to protect the competitiveness of American firms both nationally and internationally, and WHEREAS, the Energy Innovation and Carbon Dividend Act, introduced in the current Congress as H.R. 763, meets all of those criteria and has bipartisan support, and WHEREAS, competent studies have projected that if such legislation is enacted, it will result in a substantial reduction in carbon emissions as well as increases in GDP and employment; and that the dividends received by most low and moderate-income households will be more than enough to offset price increases due to the carbon fee. NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors urges the United States Congress to pass H.R. 763 without delay. BE IT FURTHER RESOLVED that the Douglas County Clerk is directed to send copies of this resolution to Senator Ron Johnson, Senator Tammy Baldwin, Representative Sean Duffy, Governor , State Senator Janet Bewley, State Representative , and State Representative Beth Meyers.

WHEREAS, the created the Knowles-Nelson Stewardship Program in 1989 to preserve valuable natural areas and wildlife habitat, protect water quality and fisheries and expand opportunities for outdoor recreation, and

WHEREAS, Per 23.0915(2c)(d), Wis. Stats., the Knowles-Nelson Stewardship program is set to expire in 2020, and WHEREAS, the program has supported land acquisition and capital development by the Department of Natural Resources (DNR), local governments, and non-profit conservation

organizations to preserve valuable natural areas, wildlife habitat, water quality and outdoor recreation for public benefit around the state, and

WHEREAS, Douglas County has utilized Stewardship grant funds to acquire over 6,400 acres of additional forest lands for enrollment into the County Forest Law Program that has increased the supply of forest products to the local economy, increased revenues generated by the County that have assisted with maintaining low property taxes and increased severance paid to local municipalities to assist in the maintenance of transportation infrastructure, and

WHEREAS, said County Forest land acquisitions made possible through the Knowles- Nelson Stewardship Program have furthermore increased outdoor recreation opportunities provided to the public, improved the protection of ecological and biological attributes, and improved public access to lands open to public uses, and

WHEREAS, without a continuation of Knowles-Nelson Stewardship Program funding, acquisition of most critical lands that support Wisconsin’s forest products, tourism, hunting and fishing industries, our local economies, revenues to Counties and local municipalities, and improved access to public lands will be at risk.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accept the recommendation of the Forest, Parks and Recreation Committee and hereby acknowledges the Knowles-Nelson Stewardship Program an invaluable program to protect and preserve natural lands, wildlife habitats, and water quality while supporting the increased development of public nature-based outdoor recreation opportunities that promote economic development and enhance quality of life.

BE IT FURTHER RESOLVED that the Douglas County Board of Supervisors supports continuation of funding for the Knowles-Nelson Stewardship Program.

Subject: Amendment to Gandy Dancer Recreational Trail Master Plan

WHEREAS, the Gandy Dancer Recreational Trail is a 98 mile interstate trail that crosses into Minnesota and back again in Wisconsin on its way from St. Croix Falls to its connection with the Saunders Grade Trail just south of Superior, and

WHEREAS, the Douglas County Board of Supervisors on January 19, 1989, adopted Resolution #11-89 approving entering into a Memorandum of Understanding regarding trail acquisition, development, and operation with Burnett County, Polk County, and the State of Wisconsin Department of Natural Resources (WDNR), and

WHEREAS, the Douglas County Board of Supervisors on December 20, 1990, adopted Resolution #236-90 approving the Gandy Dancer Recreational Trail Master Plan, and

WHEREAS, the acceptable uses of the 15 mile Douglas County trail segment are identified in said Master Plan, and

WHEREAS, in 2009, Douglas County officially established an Off-Highway Motorcycle (OHM) trail system in partnership with the Straight Arrow Enduro Riders (SAER) Motorcycle

Club, a 5 mile OHM trail system that connects with over 45 miles of OHM trails in Minnesota, and

WHEREAS, in 2016, the State of Wisconsin OHM Program was created through 2016 Wis Act 170 and officially began on October 1, 2016; said Act provided for the registration of Off-Highway Motorcycles, allowing trail managers to permit OHM use on State funded recreational trails, and

WHEREAS, opening an approximate one mile segment of the Gandy Dancer Recreational Trail, as shown in Exhibit F-8-19 to registered OHM use, will improve access to and connectivity of the existing Douglas County and State of Minnesota OHM trail networks and provide more user opportunity, and

WHEREAS, said OHM acceptable use change requires a Master Plan amendment approved by the Douglas County Board of Supervisors and the WDNR.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accepts the recommendation of the Forest, Parks and Recreation Committee and hereby approves designating an approximate one mile segment of the Gandy Dancer Recreational Trail as referenced herein as open to registered OHM use.

BE IT FURTHER RESOLVED that the Gandy Dancer Recreational Trail Master Plan be amended as referenced herein.

BE IT FURTHER RESOLVED that the Forest, Parks and Recreation Committee is directed to forward said amendment to the WDNR for approval.

WHEREAS, Douglas County (the “County”) desires to further economic development in Douglas County by providing job opportunities for residents, reducing unemployment, preserving and stabilizing business activities within the County, expanding the tax base, encouraging tourism, and bringing needed capital into the County for the benefit and welfare of residents, and

WHEREAS, the County has been actively involved in economic development in order to improve the economic well-being of its citizens, and

WHEREAS, the formation of a City Center District would provide a much needed economic development tool that will provide significant economic benefits to the County and its citizens.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors approves the recommendation of Supervisors Liebaert, Allen, and Jaques, and adopts the following:

Douglas County shall:

1. Work with Better City Superior and other entities to secure State legislator support for legislation a uthorizing the formation of City Center Districts in downtown cores; and

WHEREAS, the major types of renewable energy are biomass (organic material from plants and animals), hydropower, geothermal, wind, and solar, and

WHEREAS, renewable energy is sustainable and will never run out, has a less negative impact on the environment, improves public health, lowers reliance on foreign energy sources, and creates economic development and jobs in manufacturing, installation, and more.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accepts the recommendation of Supervisors Liebaert, Hendrickson, and Raunio that Douglas County commits to participating/partnering in renewable energy projects and lower its carbon footprint when possible, for the future health and well-being of Douglas County citizens, and for the growth of economic development in Douglas County.

WHEREAS, the Douglas County Forest, Parks and Recreation Committee, recommends purchasing approximately 280.0 acres from Michael W. Marolt and Webb Lake, LLC, to meet objectives of the Douglas County Forest Comprehensive Land-Use Plan 2006-2020, and

WHEREAS, the property is described as follows:

The Northwest Quarter (NW¼), Southwest Quarter of the Northeast Quarter (SW¼ of NE¼), Northwest Quarter of the Southeast Quarter (NW¼ of SE¼), and Northeast Quarter of the Southwest Quarter (NE¼ of SW¼); all of Section Fifteen (15), Township Forty-Three (43) North, Range Thirteen (13) West, Town of Wascott, Douglas County, Wisconsin, containing approximately 280.0 acres more or less (PIN’s #WA-032-01711-00, #WA-032-01713-00, #WA- 032-01714-00, and #WA-032-01718-00), and

WHEREAS, said property is further described in Exhibit G-8-19, and

WHEREAS, the property includes an existing perpetual, non-exclusive scenic easement granted to the United States of America for purposes of the St. Croix National Scenic Riverway, for protection of the corridors along the St. Croix River and Buckley Creek, and

WHEREAS, acquisition of this property will perpetually provide opportunities to supply the local economy with forest products and generate revenues to the County, provide outdoor recreation opportunities to the public, protect approximately a 6/10 mile stretch of Buckley Creek frontage, protect over a mile of frontage of an unnamed tributary to Buckley Creek, protect a 2/10 mile segment of a winter snowmobile and summer ATV/UTV trail, conserve ecological and biological attributes, and enhance blocking of and access to lands open to public use, and

WHEREAS, the County Board has the authority to acquire said property for the purpose of establishing County Forest Land pursuant to SS59.52(6) and 28.10, Stats.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accepts the recommendation of the Forest, Parks and Recreation Committee and approves the purchase of approximately 280.0 acres from Michael W. Marolt and Webb Lake, LLC, at a purchase price not to exceed One-Hundred Forty Thousand and 00/100 Dollars ($140,000.00), in addition to all associated title work and closing expenses.

Subject: Jurisdictional Transfer Petition to Wisconsin Department of Transportation

WHEREAS, The Town of Brule presented a resolution (Exhibit H-8-19) to the Transportation and Infrastructure Committee requesting a jurisdictional transfer of a section of County Trunk Highway H from a county road to a state trunk highway, and

WHEREAS, the committee has reviewed and considered the request.

NOW, THEREFORE, BE IT RESOLVED, that the Douglas County Board of Supervisors petitions the Wisconsin Department of Transportation to consider a jurisdictional change of County Trunk Highway H, starting at US Highway 2 and ending at State Trunk Highway 13; this section of existing County Trunk Highway H meets the requirements of Wisconsin State Statute 84.02(7).

WHEREAS, Douglas County owns the following described parcel:

That part of the N½ of the NE¼ of Section Thirty-Six (36), Township Forty-Four (44) North, Range Twelve (12) West, laying west of State Highway 53, Town of Gordon, State of Wisconsin (approximately 72.0 acres), and

WHEREAS, said Douglas County owned parcel is entered as regular lands under the Wisconsin County Forest Law (s. 28.11 Wis. Stats.), and

WHEREAS, John Fredric and Judith Ann Keith (Life Estate) owns the following described parcel, adjacent to said Douglas County owned parcel herein referenced:

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accept the recommendation of Supervisor Liebaert and hereby approves the easement acquisition for ingress and egress from John Fredric and Judith Ann Keith (Life Estate) not to exceed Eight- Hundred and 00/100 Dollars ($800.00), in addition to all associated description work and document preparation and recording expenses.

BE IT FURTHER RESOLVED that the Director of Forestry and Natural Resources for Douglas County, be hereby authorized to act on behalf of Douglas County as sole signatory on all documents and other related instruments necessary to successfully complete the easement acquisition.

Forestry Department state full audit reflected Douglas County in total compliance; forestry auditors impressed with Douglas County forest management and annual Loggers Forum.

RESOLUTION #56-19 RESOLUTION BY THE ZONING COMMITTEE

Subject: Moratorium on Importation and Raising of Cervids in Douglas County Extended

WHEREAS Ordinance #8.17 imposed a moratorium on the importation and raising of cervids in Douglas County, and

WHEREAS, the moratorium was put into effect to allow time for a study to determine whether amendments to the Zoning Ordinance or other ordinances would be required to protect public health or safety, and

WHEREAS, the “Communicable Diseases in Cervids Study Committee” was established by the ordinance and has been diligently gathering information and meeting on a regular basis to make a recommendation to the County Board, and

WHEREAS, the study committee has indicated to the Zoning Committee that the time needed to complete the study will extend beyond the original timeframe of the moratorium.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accepts the recommendation of the Zoning Committee and approves extension of the moratorium until November 16, 2020, as allowed under Section 1.6 of Ordinance #8.17, Moratorium on the Importation and Raising of Cervids in Douglas County.

RESOLUTION #57-19 RESOLUTION BY THE PUBLIC SAFETY COMMITTEE

Subject: Probate and Juvenile Cases Court Fees and Costs

WHEREAS, Wisconsin Statute Chapter 814 covers court costs, fees, and surcharges, and § 814.66 applies to the office of the Register in Probate; Probate and Juvenile Court handle other case types for which fees are not covered in §814.66 or other statutes, resulting in cases filed with the court without filing fees, and

WHEREAS, some fees and costs collected by the probate office are different from fees collected by the Clerk of Court for the same items, and can cause confusion with different fees and costs for identical items, and

WHEREAS, employees of the Clerk of Court and Register in Probate are all county employees usually working in proximity to the court, if not in the same office using the same equipment; the employees use CCAP provided computers and printers as well as county provided copiers, and there is no discernable difference in these two offices related to copying and issuing certificates, and

WHEREAS, the legislature should revise the statutes for consistency, requiring fees and costs charged by the Clerk of Court and Register in Probate to be the same for the same item or service, and establish fees for probate and juvenile court cases where there are none.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors supports efforts to revise Wisconsin Statutes consistent with this resolution and further urges the legislature to revise and amend the related statutes to further consistency between the fee structures outlined in the statutes.

BE IT FURTHER RESOLVED that the County Clerk is directed to send a copy of this resolution to Governor Evers, the Wisconsin Counties Association, all members of the state legislature and to each Wisconsin county.

RESOLUTION #58-19 RESOLUTION BY THE DOUGLAS COUNTY BOARD OF SUPERVISORS

Subject: Levy Cap Elimination on Wisconsin Counties Supported

WHEREAS, in 2012, the State of Wisconsin imposed limits on town, village, city and county property tax levies under Wis. Stat. §66.0602, and

WHEREAS, Wis. Stat. §66.0602 limits that increase to the local property tax levy to no more than the greater of (a) 0% of last year’s actual levy or (b) a percentage equal to the percentage change in equalized value due to new construction less improvements removed, and WHEREAS, the percentage of net new construction in Douglas County used to calculate the increase in the operating levy allowance has significantly lagged the CPI-U over this period, and

WHEREAS, as a result, Douglas County has been forced to absorb inflationary increases in normal operating expenditures with no offsetting increase in revenues, and

WHEREAS, increases in the expenditures for certain items, particularly unfunded mandates such as the cost of Child Protection Services, has compounded this issue, and

WHEREAS, Douglas County has taken measures to curb spending by cutting costs, limiting employee wage increases, limiting new programs and postponing necessary work on highway infrastructure, and

WHEREAS, to continue to provide essential services to county citizens, Douglas County has resorted to using debt to fund qualified expenditures previously funded in its operating levy resulting in a higher cost to Douglas County taxpayers.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors requests complete elimination of the current 0% tax levy cap or replacing it with a levy allowance that adequately reflects the increases in everyday costs incurred by Wisconsin counties.

BE IT FURTHER RESOLVED that the County Clerk is directed to send a copy of this resolution to Governor Evers, Joint Finance Committee of the Wisconsin legislature, Douglas County state legislators, and Wisconsin Counties Association.

OVERAGES/SHORTAGES

Both overages and shortages should be noted and tracked by the department manager. Significant Aamounts over $49.00 should be immediately reported to the Department Head and the Finance Department. If there appears to be a growing pattern or anything unusual or strange about the overages or shortages, that information must be disclosed immediately to the Finance Department.

GENERAL

Incoming cash receipts should be processed and forwarded to the Treasurer’s Office intact, promptly each business day. The Forestry Department will make intact daily deposits to the bank in Solon Springs. “Intact” means that all cash collected since the last deposit must be deposited in the exact form received and that no disbursements can be made from these undeposited receipts. The Treasurer’s Office will make daily bank deposits. Those departments that collect small amounts of cash may wait until the amount reaches $100 before forwarding to the Treasurer’s Office. In any case, deposits must be made at least once a week and by the last day of the month regardless of the amount collected.

Subject: Citizen Participation Plan for Community Development Block Grant Housing Program for Small Cities Adopted

WHEREAS, Douglas County has applied for a Community Development Block Grant, and

WHEREAS, the State of Wisconsin Department of Administration and the U.S. Department of Housing and Urban Development require recipients of Community Development Block Grant monies to have in place a Citizen Participation Plan, and

WHEREAS, the Citizen Participation Plan shall encourage citizen participation (especially by persons of low to moderate income), provide citizens reasonable and timely access to local meetings and information, provide for technical assistance, provide for public hearings, provide for a complaint procedure and accommodate non-English speaking residents, and

WHEREAS, Douglas County has prepared and publicly reviewed a Citizen Participation Plan.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors officially adopts the Citizen Participation Plan as set forth in Exhibit D-10-17-19.

Subject: Community Development Block Grant Housing Program for Small Cities Application Authorized

WHEREAS, federal monies are available under the Wisconsin Community Development Block Grant housing program, administered by the State of Wisconsin, Department of Administration, Division of Housing, for the purpose of housing activities, and

WHEREAS, after public meeting and due consideration, the Douglas County Zoning Committee has recommended that an application be submitted to the State of Wisconsin for the following projects to assist eligible low- and moderate-income (LMI) persons: • Owner and Renter Occupied Rehabilitation • Down Payment and Closing Cost Assistance 77

• Accessibility Improvements for Persons with Disabilities • Sewer and Water Laterals • Well and Septic Systems • Conversion of Structures into Dwelling Units • Hazard Mitigation Activities such as Floodproofing, Landscaping to Improve Drainage, or Sewer Back Flow Prevention, and

WHEREAS, it is necessary for the Douglas County Board to approve the preparation and filing of an application for the county to receive funds from this program, and

WHEREAS, the Douglas County Board has reviewed the need for the proposed projects and the benefits to be gained therefrom.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors approves and authorizes the preparation and filing of an application for the above-named projects.

BE IT FURTHER RESOLVED that the Douglas County Board Chair is hereby authorized to sign all necessary documents as set forth in Exhibit E-10-17-19 on behalf of Douglas County.

BE IT STILL FURTHER RESOLVED that authority is hereby granted to the Zoning Committee to take the necessary steps to prepare and file the appropriate application for funds under this program in accordance with this resolution.

WHEREAS, proceeds generated through the sale of the Douglas County owned properties herein described will facilitate completion of said Upper St. Croix Forest Land Conservation Project by being applied towards the 50% applicant match requirement of the WDNR Knowles-Nelson Stewardship Program, and

WHEREAS, the Douglas County Forest, Parks and Recreation Committee recommends withdrawing and selling the approximate 57.0 acres (3 parcels) herein described at a total price to be no less than Three-Hundred Thousand and 00/100 Dollars ($300,000.00), approximately Five- Thousand Two-Hundred Sixty-Three and 00/100 Dollars ($5,263.15) per acre.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accepts the recommendation of the Forest, Parks and Recreation Committee and hereby approves the withdrawal and sale of approximately 57.0 acres of County Forest land at a total price to be no less than Three-Hundred Thousand and 00/100 Dollars ($300,000.00).

BE IT FURTHER RESOLVED that proceeds from this sale be utilized towards facilitating completion of the Upper St. Croix Forest Land Conservation Project and any additional, excess revenue be designated and reserved in the Forestry Department’s Land Acquisition Reserve Account to be used exclusively for future county forest land acquisition projects.

BE IT STILL FURTHER RESOLVED that this sale is contingent upon the Douglas County owned property herein referenced being approved for withdrawal from the Wisconsin County Forest Law by the WDNR.

BE IT STILL FURTHER RESOLVED that a request for the withdrawal of the approximate 57 acres (3 parcels) of Douglas County owned property herein described from the Wisconsin County Forest Law be submitted to the WDNR.

BE IT STILL FURTHER RESOLVED that the Director of Forestry and Natural Resources for Douglas County, be hereby authorized to act on behalf of Douglas County as sole signatory on all real estate documents and other related instruments necessary to successfully complete the withdrawal and sale, including but not limited to deeds, transfers, assignments, agreements, contracts, obligations, closing statements, and/or County Forest Law withdrawal applications.

BE IT FURTHER RESOLVED that this land sale shall not create a precedent for future land sales or conveyances and was determined to be in the best interest of Douglas County while meeting the higher and better statutory requirement of county forest land withdrawal for this particular circumstance only.

Subject: Transportation Services Grant

WHEREAS, Section 85.21 of the Wisconsin Statutes authorizes the Wisconsin Department of Transportation to annually grant financial aid to counties for the purposes of assisting them in providing specialized transportation services to the elderly and the disabled, and

WHEREAS, each grant must be matched with a local share of not less than 20% times the amount of the grant which is $133,824.00, and

WHEREAS, this body considers that the provision of specialized transportation services would improve and promote the maintenance of human dignity and self-sufficiency of the elderly and the disabled.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors on this 29th day of October, 2019, authorizes Senior Connections, in coordination with Douglas County, to prepare and submit to the Wisconsin Department of Transportation an application for assistance during 2020 under Section 85.21 of the Wisconsin Statutes, in conformance with the requirements issued by that Department and also authorizes the obligation of county funds in the amount of $26,765.00 in order to provide the required local match of $26,765.00.

BE IT FURTHER RESOLVED that the Douglas County Board of Supervisors authorizes Senior Connections to execute a state aid contract with the Wisconsin Department of Transportation under Section 85.21 of the Wisconsin Statutes on behalf of Douglas County.

Subject: Livestock Facility Siting Law (ATCP 51) Local Government Control Supported

WHEREAS, State law preempts local governments from regulating Concentrated Livestock Feeding Operations (CAFOs) more stringently than required by the Livestock Facility Siting Law (ATCP 51), and

WHEREAS, the unique geographic features throughout Wisconsin make it necessary to assess the environmental impacts of CAFO’s on a county-by-county basis, and

WHEREAS, Douglas County’s sandy soils create a high risk for groundwater contamination, and clay soils create high risk for surface water contamination, and

WHEREAS, the climate of Douglas County restricts the production of crops which are common in other regions of Wisconsin, and creates a need for nutrient management specific to the soils and crops of this region, and

WHEREAS, the unique features of Douglas County require local management to ensure agricultural practices are performed in a way which meets local conservation goals, and

WHEREAS, opportunity for stronger local siting standards based on “reasonable and scientifically defensible findings of fact” that “clearly show that the standards are needed to protect the public health or safety.” remains very limited.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors recognizes the authority of ATCP 51 to set statewide, minimum standards and procedures for CAFOs but supports lifting the preemption of local control in ATCP 51 and allowing local government to pass more stringent standards and procedures based on reasonable and scientifically defensible findings that clearly show the standards are needed to protect ground and surface water quality and public health or safety anticipating the support of DATCP and WDNR.

WHEREAS, the term of the agreement is from January 1, 2017, through December 31, 2019, with an extension of up to three additional years upon notification by the management group and agreement from Douglas County.

WHEREAS, the Head of the Lakes Management Group, LLC, notified Douglas County of its’ desire for an extension in accordance with the terms of the agreement, with the indication that they would be agreeable to allow another group to manage the “fairground” area, with the “racetrack” to remain with them, and

WHEREAS, the Head of the Lakes Management Group, LLC, has been working with a group that is desirous of managing the fairground and is currently working out the details.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accept the recommendations of the Land and Development and approve the attached Addendum to Property Management Agreement (Exhibit C-11-19 to be provided prior to board meeting) between Douglas County and the Head of the Lakes Management Group, LLC.

Erickson, on behalf of the Douglas County Veterans Services Office, presented Gouge´ with a Certificate of Appreciation. The County Board applauded Gouge´ for her project.

THE COUNTY BOARD OF SUPERVISORS OF THE COUNTY OF DOUGLAS DOES ORDAIN AS FOLLOWS:

SECTION I. INTENT

Following due consideration of the recreational and economic value to connect access businesses and residences and to make trail connections opportunities and weighted against possible dangers, public health, liability aspects, terrain involved, traffic density and history of

automobile traffic, this ordinance has been created pursuant to County Board authority under Wis. Statutes 59.02, 23.33(11)(am) and 23.33(8)(b) as amended.

SECTION II. ATV/UTV ROUTES

County trunk highways designated as ATV/UTV routes shall be established and approved by the Highway Transportation and Infrastructure Committee and Douglas County Board of Supervisors. The Highway Transportation and Infrastructure Committee shall develop policies and procedures for designation of ATV/UTV routes. including appropriate criteria for making a designation. Any modification to a designated ATV/UTV route shall be approved by the Transportation and Infrastructure Highway Committee. A copy of ATV routes, along with a map showing their location, shall be kept on file at the Highway Department. The Douglas County Highway Department shall have the authority to close or terminate any ATV route on the County Trunk Highway System, subject to approval by the Highway Committee.

A. All county highways within the unincorporated areas of Douglas County, with the exceptions as noted in Section B herein, are designated as ATV/UTV Routes. In addition, that portion of any State Highway for which the county has received approval from the Wisconsin Department of Transportation as an ATV/UTV route is also designated as a county ATV/UTV route and is subject to regulation or designation by the governing body of such city, town or village.

B. The following county highway segments are not designated as ATV/UTV routes:

1. CTH B, STH 35 to CTH A; 2.78 miles. This segment is closed due to Federal funding for the current bicycle lane; and

2. CTH Y, STH 27 to 2.12 miles south. This segment under Bayfield County jurisdiction.

3. CTH B, Degerman Road to Fitch Avenue; 1.28 miles.

C. After the enactment of this ordinance, the Transportation and Infrastructure Committee may by resolution close or restrict any specific county highway or segment of county highway to ATV/UTV use. Closed or restricted highways or segments of highway will be signed in accordance with Section V(A) of this ordinance and a copy of closed or restricted ATV/UTV routes, along with a map showing their location, shall be kept on file at the Highway Department and posted on the Douglas County Website.

D. The Douglas County Highway Department has the authority to close or restrict ATV/UTV use on any of the highways under its jurisdiction if damage to the highway results or where public safety is adversely affected as a result of ATV/UTV use. Actions under this section may be reviewed by the Transportation and Infrastructure Committee.

E. The Transportation and Infrastructure Committee shall review this ordinance annually with the Highway Department giving a report on highway damage and the Sheriff’s Department giving a report on ATV/UTV violations, crashes and safety concerns.

SECTION III. ATV/UTV ROUTES ONLY ON ROADWAY

All ATV’s and UTV’s shall operate only on the paved portion of the roadway. Operation on the gravel shoulders, grassy inslope, ditches, or other highway right-of-way is prohibited and illegal.

SECTION IV. OPERATION OF ALL TERRAIN VEHICLES AND UTILITY TERRAIN VEHICLES ON COUNTY HIGHWAYS

A. All ATV operators shall observe posted roadway speed limits for ATV operation. ATV/UTV operation shall be subject to all provisions of WI Stats. 23.33, which is adopted as part of this ordinance by reference.

B. All ATV operators shall ride in single file on the right hand side of the paved portion of the highway. No person may operate an ATV or UTV on countyhighways unless the owner or operator has in effect a liability insurance policy providing coverage consistent with the liability insurance required for automobile operators by the State of Wisconsin and has in his or her immediate possession proof that he or she is in compliance.

C. All ATV operators shall have their headlight illuminated, and taillight if available, while operating on a county highway. Persons 16 years of age or older must possess a valid driver’s license to operate an ATV or UTV on a county highway.

D. No persons under the age of 16 may operate an ATV or UTV on county highways during the hours between sunset and sunrise.

D.E. No one under 12 years of age is allowed to operate an ATV or UTV on a county highway and Aall ATV operators who are born after January 1, 1988, and operating on a county highway are required to have an ATV Safety Certificate. No one under 12 years of age is allowed to operate an ATV on a county highway.

F. No person under 16 years of age may operate an ATV or UTV on a county highway unless the person is accompanied by his or her parent or guardian or by a person who is at least 18 years of age who is designated by the parent or guardian.

Anyone accompanying those under 16 years of age must possess a valid driver’s license. E G. All ATV operators and passengers under 18 years old shall wear protective headgear while operating on county highways. No person may operate or be a passenger on an ATV or UTV without wearing protective headgear of the type required in section 347.485(1)(a), Wi Statutes unless the person is a least 18 years of age.

H. All ATV’s and UTV’s shall display either a Wisconsin registration or a Nonresident Trail Pass while operating on county highways.

I ATV/UTV operators shall not exceed 25 MPH on any county highway.

J. All ATV/UTV operators shall ride in single file on the right hand side of the paved portion of the highway. K. All ATV/UTV operators are required to display a lighted headlamp and tail lamp while operating on a county highway.

SECTION V. SIGNAGE OF ALL-TERRAIN AND UTILITY TERRAIN VEHICLE ROUTES

Pursuant to Wisconsin Statutes 23.33(8)(d), the following restrictions are placed on the use of all-terrain vehicle routes designated by this ordinance:

A. Routes shall be marked with uniform all-terrain vehicle route signs in accordance with s. NR 64.12(7), Wisconsin Administrative Code. The Douglas County Highway Department has sole responsibility for ATV/UTV signage on county highways. No person may do any of the following in regard to signs marking all- terrain vehicle routes: Highways shall be marked with uniform all-terrain vehicle route signs in accordance with s. NR 64.12(7), Wisconsin Administrative Code and installed on the county highways at the following locations:

1. At all intersecting State highways; 2. At the borders of adjacent counties, the City of Superior and the State of Minnesota; and 3. Other locations deemed necessary.

B. ATV/UTV operation shall be subject to all provisions of WI Stats. 23.33, which is adopted as part of this ordinance by reference. Pursuant to Wisconsin Statutes 23.33(8)(f), No person may do any of the following in regard to signs marking all- terrain vehicle routes:

1. Intentionally remove, damage, deface, move, or obstruct any uniform all- terrain vehicle route or trail sign or standard or intentionally interfere with the effective operation of any uniform all-terrain vehicle route or trail sign.

2. Possess any uniform all-terrain vehicle route or trail sign or standard of the type established by the department for the warning, instruction or information of the public, unless he or she obtained the uniform all-terrain 102

vehicle route or trail sign or standard in a lawful manner. Possession of a uniform all-terrain vehicle route or trail sign or standard creates a rebuttable presumption of illegal possession.

SECTION VI. ENFORCEMENT

This ordinance shall be enforced by any officer employed by the Douglas County Sheriff’s Department or any other law enforcement official as set forth in Wisconsin Statute 23.33(12).

SECTION VII. VIOLATIONS/PENALTY

The penalty for operating an ATV/UTV off the roadway of a designated ATV/UTV route (i.e., the gravel shoulder, grassy inslope, ditch, or other highway right-of-way) or violating any other provision of this ordinance shall result in a forfeiture of not less than $25.00 or more than $500.00, plus court costs. Citations may be issued in accordance with the attached deposit schedule, which does not include law enforcement training penalties, jail assessments or other applicable costs.

SECTION VIII. SEVERABILITY

Should any sub-section, clause, or provision of this ordinance be declared by the Court to be invalid, the same shall not affect the validity of the section as a whole or any part thereof, other than the part so declared to be invalid.

SECTION IX. MAINTENANCE

Designation of segments of the Douglas County Highway System as ATV/UTV routes does not impose upon the Douglas County Highway Department a greater duty of care or responsibility for maintenance of those segments than for any other segment of county highway. Operators of ATV’s/UTV’s on county highways assume all the usual and normal risks of ATV/UTV operation.

SECTION X. EFFECTIVE DATE

This ordinance becomes effective immediately upon passage by the County Board of Supervisors and publication shall take effect June 1, May 22, 2020.

WHEREAS, excess revenue from all timber harvesting resulting from the 2011 wind storms established the reserve, but no annual funding mechanism has been established.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors accepts the recommendations of the Forest, Parks and Recreation Committee and Administration Committee and renames the reserve fund “Reforestation Reserve Fund” and annually reserve 1.25% of gross timber sales revenues in the fund, capping it at $350,000.

RESOLUTION #86-19 RESOLUTION BY THE DOUGLAS COUNTY BOARD

Subject: Non-Partisan Procedure for Preparation of Legislative and Congressional Redistricting Plans Supported

WHEREAS, currently under the state constitution the legislature is directed to redistrict legislative districts according to the number of inhabitants at its next session following the decennial federal census by the majority party; and at the same intervals, the legislature also reapportions congressional districts pursuant to federal law, and

WHEREAS, legislative and congressional redistricting plans enacted pursuant to this procedure are used to elect members of the legislature and members of congress in the fall of the second year following the year of the census, and

WHEREAS, historically, legislative and congressional plans in Wisconsin have been subject to partisan influence that puts the desires of the politicians ahead of the electoral prerogative of the people, and

WHEREAS, the 2011 process to draw the maps and fight litigation contesting those maps cost taxpayers nearly $1.9 million, and

WHEREAS, a panel of federal district court judges has ruled that the redistricting that was done in Wisconsin 2011 was unconstitutional, and

WHEREAS, redistricting to achieve partisan gains is improper, whether it is done by Republicans or Democrats.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors insists upon the creation of a nonpartisan procedure for the preparation of legislative and congressional redistricting plans. 107

BE IT FURTHER RESOLVED that the process promotes more accountability and transparency and prohibits the consideration of voting patterns, party information, and incumbents’ residence information or demographic information in drawing the maps except as necessary to ensure minority participation as required by the U.S. Constitution.

BE IT STILL FURTHER RESOLVED that the County Clerk submit a copy of this resolution to Governor Evers, the Wisconsin Counties Association, Wisconsin Towns Association, Wisconsin League of Municipalities, all Wisconsin state legislators, and each Wisconsin county.

RESOLUTION #87-19 RESOLUTION BY THE DOUGLAS COUNTY BOARD

Subject: Waiver from Federal Rules Excluding Institutional Stays from Medicaid Coverage

WHEREAS, federal rules exclude patients age 22-64 years of age from Medicaid coverage in an Institute for Mental Disease (IMD), resulting in high costs to Wisconsin counties for individuals with mental illness who require short-term placement, and

WHEREAS, the IMD rule works against the provision of necessary health care treatment, and path to recovery, for young and middle-aged adults with brain disorders, and

WHEREAS, the Centers for Medicare and Medicaid Services (CMS) has issued an invitation to states to apply for a waiver of this exclusion, allowing states to receive federal reimbursement for the cost of treatment in an IMD.

NOW, THEREFORE, BE IT RESOLVED that the Douglas County Board of Supervisors does hereby urge the Governor and legislature to submit an application for a waiver from CMS of the Medicaid IMD exclusion to allow federal reimbursement of short term acute care and transition planning for persons with serious and persistent mental illness.

BE IT STILL FURTHER RESOLVED that a copy of this resolution be sent to Governor Evers, Douglas County legislators in the Assembly and Senate, and the Wisconsin Counties Association.
