MEETING MINUTES

Meeting was called to order at 2:30 pm.

The Chair welcomed all in attendance, and acknowledged that the KWSC constitution states that only honorary and voting members have a voice at this meeting, and announced that any questions from the floor must be made through the Chair. The chair also asked, in the interest of opening up communications, for a motion to give a voice to all in attendance.

The Chair invited Board Secretary Stefanie Wright to provide the notice of meeting:

A) Board secretary announced that the Notice of Meeting and Notice of Elections The notice was posted in the RIM Park lobby, on the KWSC website, and made available through various KWSC social media outlets on May 2nd, with a nominations deadline of May 14th and a slate of nominees posted in the same locations on May 20th.

According to By-Law 8.9 of the KWSC Constitution: 8.9 Elections shall be determined by written ballot and an elected candidate must receive a majority of the unspoiled votes cast. Voting on other matters will be by a show of hands, unless one-fifth of the voting members in attendance request voting by Yeas and Nays, or any one voting member requests a written ballot which shall have priority over any other form of voting. [ By-Law 1306 (3b), Robert’s Rules of Order 38]

Quorum was reached with 22 voting members present. A majority decision on any motion was 12 (half plus one).

B) Introduction of guests and Board Members was made by the Chair. Guests: Marie Pringle, Debbie Weber, Susan Russell (BDO Canada), Mark Psutka (KWSC Trust and KWSC Past- president), Marilyn Johnny (KWSC Trust and KWSC Past-president), Don Johnny (KWSC Trust and KWSC Past- president), and Bill Poje (KWSC Past-president).

C) Minutes of the 2016 Annual General Meeting: Chair referred to the minutes being in the AGM booklet.

E/F) V.P. Finance Report and Auditors Report: Chair introduced Susan Russell - accountant from BDO Canada. Susan presented financial statements and auditors report for KWSC for 2016-2017. The Chair invited to field questions from the membership.

G) Appointment of Auditors: The Chair provided a brief background on the routine request for proposals for financial auditors. She stated that the Board recommended to retain BDO Canada as financial auditors for 2017-18.

H) Executive Director’s Report: As presented in the report contained in the AGM booklet. The executive director Marie Pringle expressed gratitude to the board of directors for their diligent work in creating the strategic plan which was implemented this past year. One of the first major outcomes of the strategic plan was the hiring of a full-time technical director, Jean-Michel Bombardier. Marie encouraged members to read the Technical Director’s report in the AGM booklet. Marie indicated that her focus for next season will be to work on the goal of getting Imagine Canada designation for KWSC, as well as working on creating and updating transparent policies and procedures for the club. Finally, Marie indicated that another major change seen in the KWSC office this past year was the resignation of club relations coordinator Justine DeRabbie to pursue her own independent business; the club has been very fortunate to have acquired Rachel Kerswill as the new club relations coordinator.

I) President’s Report As presented in the report contained in the AGM booklet. In addition to the President’s report in the booklet, the Chair also expressed sincere gratitude to the executive director and the rest of the hard-working staff of KWSC whose work is invaluable in KWSC’s day to day operations. The Chair also expressed gratitude to the board of directors for their important and at times difficult governance work. The Chair provided a brief summary of the creation of the Strategic plan by the board of directors this past year.

J) Other Reports: There were no questions from the membership regarding the reports printed in the AGM booklet.

K) Adoption of Reports: Motion: to approve the reports as presented in the 2016-2017 KWSC AGM booklet. M: Carolyn Moss S: Melinda Kunhegyi Discussion: none Abstentions: none Carried.

L) Amendment to the Constitution and By-Laws: Proposed amendments to the by-laws (Appendix A) were received by the February 28th deadline and posted with the Notice of meeting on May 2nd. The Chair provided a brief rationale for the proposed amendments.

Motion: to approve the amendment of KWSC By-Laws as presented. M: Mike Levinski S: Paul Mallet

Discussion: Veronica Austen wished to express concern over the wording of some of the proposed amendments. She felt that the wording of by-law 3.2 seemed inconsistent with by-law 3.6 and so she recommended that further clarification be considered. She also expressed concern about the proposed amendment for by-law 8.6, identifying concern about loss of quorum at AGM and its potential implication on voting. The Chair indicated that the rationale for this revision was due to the historical low numbers of voting members attending AGMs which have often been very close to quorum (as evidenced by only 22 voting members at the current meeting), and should a few people be required to leave for any part of the meeting, it could jeopardize the continuation of the AGM and the passing of required motions such as election of new board.

Furthermore, because the number needed to pass motions would be based on initial quorum and would not change if members left the meeting, the Chair indicated that she perceived no significant risk should quorum be lost. Finally, Veronica also expressed concern over the wording of proposed amendment to by-law 4.1, stating that “50% +1” was ambiguous with respect to boards with an odd number of members. After this excellent discussion, the Chair indicated that the new Board would work to clarify wording and present at the next AGM.

M) Appointment of Scrutineers and Election of Board of Directors: Past president Paul Mallet took the floor to announce that, as posted on May 20th, there was a slate of nominees for all but one of the vacant Director positions. A symbolic ballot was cast by the Board secretary Stefanie Wright to acclaim the nominees. The Chair acknowledged retiring directors Anders McKenzie, Duncan Millar, Ken Stark and Patrick Therrien.

N) New Business: Veronica Austen wished to thank KWSC coaches, both current coaches as well as those who have recently left the club, especially Tara Faarup and Carolyn Allwright for decades of service to the club. Don Johnny recommended that clarification of the constitutional amendments be a priority for the board in the new year; the chair acknowledged this but felt that a motion was not required, as recommended by Don, to ensure that this issue would be addressed by the new board.

APPENDIX A: Proposed By-Law Amendments

By-Law 3: BOARD of DIRECTORS 3.2 The Board shall consist of 13 ten to thirteen Directors including the Past President, eight to eleven Directors elected by the membership, and the Chairperson of the Coaching Committee. 3.6 The Past President shall may continue in office until the current President retires, having completed at least one full year in office and assumes the position of Past President. If the Past President position becomes vacant, the Board may appoint a previous Past President to fill the vacancy.

3.7 The elected Directors shall be elected for a two-year term with six people elected in even numbered years and five people elected in odd numbered years. A Director may be re-elected, and may serve up to a maximum 120 consecutive months of eight consecutive years and 168 lifetime months ten lifetime years. For the purpose of this section, any year in which a Director serves for at least six months shall be counted as a year, and a Director having served their maximum consecutive years shall not be re-elected until two full calendar years have passed. These provisions will not apply to Directors elected before they take effect.

3.19 The Past President or any elected Director may resign from the Board of Directors by providing the President (or the two Vice-Presidents, in the case of the President) with written notice. Unless the notice states otherwise, the resignation will take immediate effect. An elected Director who was also a member of the Executive Committee will also be understood to resign from their Executive role. An elected Director who is also a Committee Chairperson will be understood to continue chairing their Committee unless the notice states otherwise.

By-Law 4: BOARD MEETINGS 4.1 A quorum of the Board shall be seven members 50% + 1 of the occupied Board seats, including two Club Officers.

By-Law 8: GENERAL MEETINGS 8.6 A quorum for a General Meeting shall be 20 voting Members. Quorum shall only be required to call a General Meeting to order, and a General Meeting may be permitted to continue, and all actions considered binding, if quorum is lost after the General Meeting has been called to order.

By-Law 11: ELECTION COMMITTEE 11.2 The Committee shall consist of the Past President (Chairperson) and two Members of the Club. When there is no Past President, the Committee shall consist of three Members of the Club, at least one of which is also a Director. When there is no Past President, the Committee will choose a Chairperson based on majority vote. No one may serve on the Committee if they are nominated for election.

Meeting was called to order at 7:38 pm.

Board Secretary announced the Notice of Meeting. The notice of meeting was posted on November 18th, 2017. It was posted in the RIM Park lobby, on the KWSC website, and emailed to members on November 30th, 2017 and a further reminder on January 16th, 2018.

Quorum was reached with 67 voting members present. A majority decision on any motion was 34 (half plus one).

One member asked if there were other directors on the Board of Directors, and Alison reported that two members resigned during the year. It was asked if that was announced . The response was that one director was announced at their request, but that it was not customary to announce Board Member resignations during the year.

Article 8.7 of our constitution and by-laws states that only honorary and voting members have a voice at this meeting, but in the interest of opening up communications, I would like to call upon a voting member to motion to give a voice to all those in attendance.

12 PRESIDENT’S REPORT

It has been both an honour and a privilege to serve as KWSC president as we celebrate our 80th year. In 1937, Hugh Pope, a professional and enthusiastic skater, observed in August of that year that the Granite Club was not making optimal use of its ice rink. He posted a notice and on September 2nd, eight skaters joined him to begin a six-week program that culminated in an exhibition. When their program ended, their love of skating sparked the desire to create a more formal arrangement. The decision was made that year to work toward the creation of a formal club with membership in the Amateur Skating Association of Canada. An organizing committee was formed, and ice time scheduled at the Kitchener Auditorium at a rate of $5.00 an hour. The club’s first skating session occurred on January 9th, 1938.

During the three-month inaugural season, the club held two open houses and a carnival to attract new members. As the club grew quickly in size, its members adopted a constitution as well as by-laws. They also composed the first Board of Directors. John Lauman served as its President, Dr. A. E. Broome as Vice-President, Isabelle Henderson as Secretary, and Beaulah Becker as Treasurer. The Board’s first order of business was the submission of an application to incorporate the club with the Ontario Provincial Government.

On September 28th, 1938, the Provincial Secretary signed and delivered letters patent; the Kitchener-Waterloo Skating Club was officially incorporated. Membership soared in the first official season of 1938-1939 which included 138 members that participated in competitions throughout Ontario including Hanover, Fergus, Guelph, and London. Today, our membership is over 2500, and they travel the globe to compete. We proudly support our community through our programs offerings including Learn to Skate, Power Skating and all the disciplines including Singles, Pairs, Dance, and Synchronized Skating.

This year, our organization has pushed our edges and continued to adjust to meet the challenges of the environment we operate within. Our office has seen changes with the retirement of our Executive Director in March after 8 years with KWSC. As we say good luck in retirement to Marie Pringle, we welcome two new staff members to guide our organization toward our goals and dreams. Amal Chauhan joined the organization on June 4th as Executive Director and Pat teBoekhorst as Technical Director in April. Both Amal and Pat bring with them many years of experience in sports organizations in Ontario. Our membership coordinator, Bailey graduated from Conestoga College and has returned home to the Maritimes. We wish her well as we welcome Nancy Licata to take over as membership coordinator. On behalf of the board and membership, I would like to thank Debbie Weber and Rachel Kerswill for their consistent dedication during our transition period. Their ability to work as a team has allowed the club to continue program planning and delivery during the transition.

Figure Skating in Canada is celebrating an exceptional Olympic year. At KWSC, we feel especially close to and . Andrew learned to skate at KWSC and continues to represent us. We are so proud to have been part of their journey. Our training alumni, and , and Kirsten Moore-Towers and Michael Marinaro, are also a rich part of our recent history. We celebrate their international success of the past year and look forward to the future. While they participate on the world stage, our local skaters were achieving milestones within our community as they stood on the ice for the first time, glided for the first time, or landed their first jump. Within the pages of the AGM report, please take time to review the competition successes of our Star and Competitive skaters; I congratulate everyone for all their individual accomplishments. We celebrate their success with as much enthusiasm as our Olympians. They are all proof that all dreams can come true.

During the year, we are very fortunate to host many special events. These would not be possible without an extraordinary group of volunteers, coaches, and dedicated staff members. I thank everyone who gave their time, love and sweat this year to make our shows, competitions, performance opportunities, and everyday activities successful and most importantly fun. I especially want to thanks those who took leadership roles this year.

In 2017-18, the Board of Directors formed the following committees to do our Board Governance Work.

Each committee worked within a board approved work plan to accomplish tasks and make recommendations. This year the board spent some additional time on a member requested meeting. The Special General Meeting, while it may have interrupted some of the committee work, provided the organization with a unique opportunity to collect and share information. We look forward to more initiatives to share and learn amongst all the organization’s stakeholders.

As we close our books on 2017-18, I would like to thank the entire board. I especially thank our retiring board members Ms. Melinda Kunhegyi, Dr. Stefanie Wright and Dr. Paul Mallet. Each individual board member has shared their talents, experiences, and insights; this has made us more relevant and effective as we navigate our board work.

I look forward to being both a positive participant as we grow, learn, and continue along the path of our Strategic Plan. I know everyone will join in and we will get there together as one community.

KWSC TRUST COMMITTEE 2017/18

During the past year substantial sums of money have been transferred to various Club activities as approved by the Trust Committee and the Board of Directors. These funds are to be used in specific areas, for specific projects to promote the KWSC initiatives such as branding, seminars, promotions and team building. Each of the areas supported by these funds are to reflect the intent of the Trust Agreement. Annually, the Trust Committee will meet to review the use and appropriateness of the expenditures.

The Trust Committee is custodian of the Trust Fund and has the duty to ensure funds are used in accordance with the intent of the agreement which is to support all skaters at KWSC and promote skating in our communities.

15 EXECUTIVE DIRECTOR’S REPORT

One of the main responsibilities of the Executive Director and operational staff is to help the organization achieve its strategic objectives and goals outlined by the Board of Directors’ Strategic Plan. Since this plan was implemented in 2016, the KWSC staff has moved in a concise direction and continues to deliver quality programs and events both at the Carolyn Fedy Skating Centre and throughout the Kitchener-Waterloo community.

This past year we saw shifts in our team and organizational structure; a new Membership Services Coordinator position opened as Rachel Kerswill moved into the Program and Events Manager role; KWSC’s Executive Director, Marie Pringle, retired after eight years of leading the club through many positive changes; and Pat teBoekhorst was brought on as the Club’s New Technical Director bringing a wealth of experience and expertise. We manage a club of over 2500 members with a very small staff so we are fortunate to have such a dedicated, cohesive and hard-working team service our members and support each other. With it being an Olympic year, our CanSkate programs reached max capacity at many of our locations, and our Twin City Hockey Skating and SchoolSkate programs continue to see steady enrollment. Thank you to our dedicated coaches, staff, program assistants, and families.

A new fitness structure was initiated in the fall of 2017 and it greatly aligns with the Long Term Athlete Development path by incorporating off-ice classes either before or after the majority of STARSkate and Competitive sessions. We are very proud to see skater successes at Ontario Winter Games, Skate Ontario Sectionals Championship, Skate Canada Challenge and Nationals. We would like to appreciate KWSC coaches and parents for their constant support in helping develop our elite skaters rise to the provincial and national level.

In addition to our regular Learn to Skate, SchoolSkate, STARSkate and Competitive programs, we renewed the University of Laurier skating team contract, hosted Summer Sizzle 2017 and the Skate Ontario Special Olympics West 2017, and ran numerous special events such as Showcase, Eistanzfest, Gala, STARSkate Summer Camp, the September Seminar Series, FreeSkate Festival, Skate with Santa, an Intro to Figure Skating holiday party, and Sectionals Sendoff. These programs and events are run largely by our wonderful volunteers and allow the community to celebrate skater achievements, demonstrate their skills and share their passion for our sport. Our members are true identifiers of our club culture and we are extremely grateful to see the results of their efforts both on and off the ice.

Our staff continues to provide ongoing planning and support in the delivery of tests days, tryout days, special skating simulations, and parent information sessions. This past year new test day and guest skate procedures were implemented to better manage and enhance the member experience. Furthermore, we have renewed our contract with Uplifter as our online membership system provider and unveiled a fresh new website, courtesy of Dr. Paul Mallet. We look forward to utilizing these resources to better organize our club’s activities.

We have fresh and ambitious plans for the upcoming year and look forward to working with our great coaches, staff, volunteers and Board members to accomplish the goals outlined in our 2016-2021 Strategic Plan.

17 17 SCHOOLSKATE REPORT

Well another successful season has come to an end and many grade one children were able to participate in this great program. This past season we were able to offer the program on both Tuesday and Thursday mornings for two hours, which allowed us an opportunity to work with four different schools for each of the four sessions that ran consequently for 5 weeks.

The program allows children the opportunity to learn and/or improve skating skills with their friends and classmates which has proven to be beneficial to most of the skaters from those stepping on the ice for the first time, to the skaters currently in skating or playing hockey. Their biggest struggles with the program seem to center around being afraid of the ice or a little scared week one, to not wanting it to end on week five; they wish they could keep coming back!

To all the coaches and staff that work both on and off the ice, coming in early and staying to help wipe skates and spray helmets, many thanks for all you bring to the program.

COMPETITIONS COMMITTEE REPORT

In 2017/18, the competition committee co-hosted two competitions with Skate Ontario. Summer Sizzle at Rim Park, Waterloo on August 11-13, 2017 chaired by Cheryl Dotzert and Duncan Millar Special Olympics West at the Sportsworld Arena, Kitchener on December 3, 2017 chaired by Alison Sims and Stephanie Wright During the 2017-18 year, Skate Ontario conducted a review and subsequent restructuring was to create a competition calendar that is aligned with the Long-Term Athlete Development pathway, creating meaningful competitive experiences for athletes at each developmental stage. The hosting opportunities have changed significantly for the 2018-19 year. For further information on the competition restructuring we encourage our member to visit www.skateontario.org for the complete report. Currently we are not hosting a competition for the 18/19 season, but look forward to our club volunteers participating in the 2019 Skate Canada Synchronized Skating Championships taking place at the Waterloo Recreation Complex, Waterloo on February 22-24, 2019. We encourage everyone to save these dates in anticipation of volunteer opportunities. Skating committees/events/volunteer work: I am entering my fourth year as a KWSC Board member. I have volunteered for KWSC as a Program Assistant, co-chair of 2015 StarSkate Send-off, Ice Captain for the 2015 KWSC Celebration of Excellence, Eistanzfest (Adult Social Dance) organizer (over 15 years), costume committee (team lead for 2018 show) and dressing room supervisor for KWSC ice shows, and Awards Committee Chair (since 2017). I have also done various volunteer roles for Summer Sizzle and Freeskate Festival. In the past, I have been co-chair for the Ontario Psychological Association – Section on Independent Practice, a WeeWatch Board member, as well as the Environmental Director for the Cottage Association. 29

Other Information: Skating has been a large part of my life for as long as I can remember, and I have been a KWSC member for over 20 years. I have participated at many levels of skating over the years, including learn to skate, regular skating stream, synchro, varsity skating team, and adult skating. I also now have two daughters who skate at KWSC, who have been involved in Pre-Canskate, Canskate, Enrichment, Intro to Figure Skating, StarSkate, Synchro, and Competitive Dance. I believe all skaters should be encouraged and supported to reach their potential and learn various life lessons while they tackle various skating challenges. Jill Brush

Skating committees/events/volunteer work Since becoming connected with KWSC in 2014 I have assisted with Summer Sizzle, KWSC Welcome Tables, and the 2016 Skate Canada Synchronized Skating Championships held in Waterloo. I also joined the KWSC adult synchro team in 2017. Community volunteer work includes the Volunteer Action Centre of Kitchener-Waterloo (Director 2009-Present, Chair 2011-2014, Past Chair 2014-2016); Waterloo Condominium Corporation No. 280 (Director 2013-Present, Treasurer 2014-present); Engage! K-W 2010- 2011; and KW YMCA Mentoring Partnership (Mentor 2008-2009).

Other Information: As a child and teenager, I skated with the Forest and Watford Skating Clubs. I participated in both singles and synchronized skating for many years, and I achieved my Skate Canada Gold Level Dance and Skills tests. I am involved with the KWSC Board as a way to give back to the community and to feel connected again to the sport. I provide a voice on the Board, as someone with knowledge of the sport but I will be objective as I do not have any historical ties to the club. I am employed by Libro Credit Union, as Regional Commercial Manager, overseeing commercial and agricultural banking in Kitchener-Waterloo, and I am proud to currently hold the VP of Finance role for KWSC.

Gordon Robson

Skating committees/events/volunteer work: Director, KW Access-Ability Former member of Kitchener Rotary Club Have sat on various committees at First United Church in Waterloo

Other Information: My wife and I have two daughters and three grandchildren who all live in the region. We enjoy cottaging, traveling, and spending time with my family. I have no previous experience with the sport of skating or KWSC, and so I believe that my impartial opinions and perspectives will benefit the Board in its efforts to make the best decisions for the club.

Olga Petcherkina

Skating committees/events/volunteer work: I have always had a passion for skating and always wanted to get involved with a local skating organization. I have served on several boards of directors, including Manulife Staff Association Board of Directors for 10 year and Brain Injury Association of Waterloo- Wellington (B.I.A.W.W). I have also volunteered at Out of the Cold Program for the homeless in KWS for over 10 years, Short Term Medical Missions Abroad (STIMMA), Habitat for Humanity and several others.

Other Information: I love to travel, try new sports (dragon boats, pickle ball, synchronized swimming, etc.,) hike and cook. I love to dance (mostly Latin), but try to take dance lessons to get better at ballroom, swing and other dance styles. I try to go dancing at least once a week. I have graduated from art school and still occasionally paint and draw.

Melinda Kunhegyi Melinda joined the board in April of 2016 as Coaches Representative. The representative is a position holding a 2 year term and voted in by the active coaches at KWSC. Melinda has shared her invaluable viewpoint and expertise as a coach with our board. This last year she was a key member of the Hiring Committee charged with searching and recommending a candidate to fill the Executive Director role.

Paul Mallet Paul joined the board in February of 2010. He served as President for 4 years from 2012- 2016. In his last year, he has been an active board member chairing the Election committee and co-chairing the Governance Committee. Paul continues an active volunteer on both Skate Ontario and Skate Canada committees. We look forward to Paul continued involvement at KWSC.

Stefanie Wright Stefanie joined the board in June of 2012. She served as secretary from 2014 to 2017. Stefanie has both been active on board committees and throughout KWSC whether it be at a Welcome Table or as an event volunteer. We thank Stefanie for all her years of service to KWSC and look forward to her continued involvement.

On May 11, 2018, a Call for Nominations was posted on the KWSC website and at the Carolyn Fedy Skating Centre inviting prospective candidates to submit their interest in becoming a member of the 2018-2020 KWSC Board of Directors.

The mandate of the Election Committee is to ensure there is a full slate of qualified candidates for election to the KWSC Board of Directors. The Committee also strives to provide a respectful, transparent and fair nomination and election process as a means of attracting candidates. As such, the Election Committee requested that each candidate provide some background information so that voters can determine whether nominees possess the required skills, competencies, and experience to serve on the Board. As such, individuals interested in standing for election to the Board were asked to provide the following information: Education, career and volunteer experience (limit of 500 words) Experience relevant to the KWSC Board of Directors (limit of 500 words) Specific areas of interest within the KWSC Board of Directors (limit 200 words)
