[] per Equity Share aggregating Rs. [] million (the “Issue”), by PVR Limited (“PVR Cinemas”, the “Company” or “the Issuer”), consisting of a Fresh Issue of 5,700,000 Equity Shares of Rs. 10 each, and an Offer for Sale of 2,000,000 Equity Shares of Rs. 10 each by The Western India Trustee and Executor Company Limited (“WITEC” or the “Selling Shareholder”), in its capacity as trustee of India Advantage Fund – I, a trust registered under the Indian Trusts Act, 1882 acting through its investment manager ICICI Venture Funds Management Company Limited. The Issue comprises of Promoter’s Contribution of 300,000 Equity Shares brought in by our Promoter, PEPL, a reservation for Employees of 150,000 Equity Shares of Rs. 10 each and a net issue to the public of 7,250,000 Equity Shares of Rs. 10 each (the “Net Issue”). The Issue will constitute 33.66% of the fully diluted post-Issue capital of our Company. PRICE BAND: RS. 200 TO RS. 240 PER EQUITY SHARE OF FACE VALUE RS. 10. ISSUE PRICE IS 20 TIMES THE FACE VALUE AT THE LOWER END OF THE PRICE BAND AND 24 TIMES THE FACE VALUE AT THE HIGHER END OF THE PRICE BAND. In case of revision in the Price Band, the Bidding/ Issue Period will be extended for three additional working days after revision of the Price Band subject to the Bidding/ Issue Period not exceeding 10 working days. Any revision in the Price Band and the revised Bidding/ Issue Period, if applicable, will be widely disseminated by notification to the National Stock Exchange of India Limited (“NSE”) and The Bombay Stock Exchange Limited (“BSE”), by issuing a press release, and also by indicating the change on the website of the Book Running Lead Managers and at the terminals of the Syndicate. The Issue is being made through the 100% Book Building Process wherein upto 50% of the Net Issue to the public shall be allocated on a proportionate basis to Qualified Institutional Buyers, out of which 5% of the QIB Portion shall be available for allocation on a proportionate basis to Mutual Funds only, and the remaining QIB Portion shall be available for allocation on a proportionate basis to all Qualified Institutional Buyers, including Mutual Funds, subject to valid Bids being received at or above Issue Price. Further, at least 15% of the Net Issue to the public shall be available for allocation on a proportionate basis to Non-Institutional Bidders and at least 35% of the Net Issue to the public shall be available for allocation on a proportionate basis to Retail Individual Bidders, subject to valid Bids being received at or above the Issue Price. Further, upto 150,000 Equity Shares shall be available for allocation to the Employees, subject to valid Bids being received at or above the Issue Price and subject to a maximum Bid Amount of Rs. 2,500,000 by each Employee. RISK IN RELATION TO FIRST ISSUE This being the first issue of the Equity Shares of the Company, there has been no formal market for the Equity Shares of the Company. The face value of the Equity Shares is Rs. 10 and the Issue Price is [] times of the face value. The Issue Price (as determined by the Company and the Selling Shareholder in consultation with the Book Running Lead Managers, on the basis of assessment of market demand for the Equity Shares by way of Book Building) should not be taken to be indicative of the market price of the Equity Shares after the Equity Shares are listed. The Expert Committee for the Performing Arts Grants Scheme (PAGS) met on 14th, 15th ,17thand 18th October, 2013 to consider renewal of salary grants to existing grantees and decide on the fresh applications received for salary and production grants under the Scheme, including review of certain past cases, as recommended in the earlier meeting. On the opening day of the meeting ie. 14th October, inaugurating the meeting, Sh. Sanjeev Mittal, Joint Secretary, introduced himself to the members of Expert Committee and while welcoming the members of the committee informed that the Ministry was putting its best efforts to promote, develop and protect culture of the country. As regards the Performing Arts Grants Scheme(earlier known as the Scheme of Financial Assistance to Professional Groups and Individuals Engaged for Specified Performing Arts Projects; Salary & Production Grants), it was apprised that despite severe financial constraints invoked by the Deptt. Of Expenditure the Ministry had ensured a provision of Rs.48 crores for the Repertory/Production Grants during the current financial year which was in fact higher than the last year’s budgetary provision. 3.     CHAPTER 14 DANCE-OFF, OR A BATTLE FOR THE FUTURE Dance Reality Shows in India PALLABI CHAKRAVORTY Hindu mythology tells us that a most reasonable method of settling an argument is a dance-off. The story involves two of the most powerful Hindu deities, Shiva and Kali (who are husband and wife). Once they clashed over territorial dominance of the Thillai forest in the southern part of India. Kali was the patron goddess of the forest and the temple within it. But Shiva, following his two devotees who wanted to worship him in the temple (in the form of his abstract representation called the Shiva lingam), came to dance in the forest. This basically meant that Shiva wanted to occupy the forest and oust Kali. Kali refused to leave and challenged Shiva to enter a dance competition with her on the condition that the loser would leave the forest. Lord Vishnu presided as the judge. Kali (the goddess of Shakti, or power, who is often shown naked in Hindu iconog­ raphy, standing on the chest of her consort Shiva, prostrated beneath her) danced fear­ lessly. She matched Shiva’s every move and every posture with ease and grace. Among those featured include Rishad Premji (MBA 2005), Chairman of Wipro Ltd., a global company supporting COVID-19 relief efforts in India, Ameera Shah (OPM 42, 2012), Promoter and Managing Director of Metropolis Healthcare, a diagnostics business in India’s health care sector and Ajay Bijli (OPM 28, 1999), Chairman & MD of PVR Cinemas, one of India’s largest multiplex cinema exhibition companies. The series ran episodes through June 2020. DECEMBER 2019 EVENTS A Discussion with Professor John Kim In December 2019, Professor John Kim addressed a select group of educators and relevant stakeholders on the Public Education Leadership Project (PELP). A joint project between the Harvard Graduate School of Education (HGSE) and the Harvard Business School (HBS), PELP uses the art and science of management to help public schools and school systems in the United States improve student performance. Professor Kim discussed the possibility of creating a similar program for school leaders in India and South Asia.
