The hearing will begin at 9:30 a.m. 1n Room SD-538, Senate Dirksen Office Building. Thursday, * Chairman Shad will testify at 9:30 a.m. before the Telecommunications, Consumer Protection and Finance Subcommittee regarding the FDIC Securities Proposal and related financial issues.

CIVIL PROCEEDINGS

AMICUS BRIEF FILED REGARDING TIME DEPOSITS The Office of the General Counsel announced that the Commission filed a brief amicus curiae in the U.S. Court of Appeals for the Ninth Circuit stating the Commission's position that time deposits issued to persons in the United States by a foreign, non-U.S.-regulated bank are "securities" within the meaning of the Securities Act of 1933 and the Securities Exchange Act of 1934 if issued in an investment context but not if issued in commercial banking transactions. The Commission stated that the defendant issuer's status as a "bank" did not automatically exclude its debt instru- ments from the coverage of the securities laws, distinguishing Marine Bank v. Weaver, 455 U.S. 551 (1982), on the grounds that the issuer bank in Weaver was a domestic, federally-regulated and insured financial institution subject to a comprehensive scheme of banking regulation approved by Congress. The Commission also expressed the view that damages based solely on losses resulting from currency devaluation should not be awarded to purchasers of unregistered time deposits under Section 12(1) of the Securities Act for violation of the Act's registration provisions. (Wolf v. Banco Nacional de Mexico (Banamex), 9th Cir., No. 83-1534). (LR-I0023) REBENSTORF FOUND IN CONTEMPT OF COURT; PERMANENT RECEIVER APPOINTED The Los Angeles Regional Office announced that on May 16 the Honorable Francis Whelan,_ Judge of the District Court for the Central District of California, after a hearing, entered an Order appointing Permanent Receiver. The Order directs Monte Krissman of Los Angeles, California to take control of Goldfield Deep Mines Company of Nevada, AAA Financial Corporation of Nevada (Triple A) and City Continental Financial, A.G. Mr. Krissman was previously appointed temporary receiver in this action. Further, pursuant to the Commission's Application, Judge Whelan, on May 10, found John C. Rebenstorf III, Goldfield's president, in contempt of Court and ordered him imprisoned until such time as he returned to the receiver approximately $130,000 in cashier's checks removed from corporate bank accounts on March 31. However, the Court stayed the order until May 16, at which time Rebenstorf tendered the checks to the receiver. Finally, on May 20, Judge Whelan found Rebenstorf in contempt of court and entered an Order directing him to return $9,300, also removed from corporate bank accounts, to the receiver. HOLDING COMPANY ACT RELEASES

CENTAAL AND SOUTH WEST CORPORATION The Commission has authorized a proposal by Central and South West Corporation, a registered holding company, and its six subsidiaries, to increase the short-term borrowinq level for Transok Pipeline Company, subsidiary of Public Service Company of Oklahoma, to $30 million.
