CONDOMINIUMMANAGEMENTAGREEMENT ThisAgreementismadethisdaybyandbetweenTheArborviewManagementCo.,a Massachusettscorporationwithaprincipalplaceofat709CentreSt.Suite202,Jamaica PlainMassachusetts(hereinafterreferredtoasthe"Management")andtheTrusteesofthe SAMPLECondominiumAssociation .,underDeclarationofTrustfiledwiththeSuffolkCounty RegistryinBook12345Page123,DeclarationBook456.,(hereinafterreferredtoasthe "Trustees"and"Trust",respectively)whichTrustistheorganizationofUnitOwnersofThe SAMPLECondoAssociation,aMassachusettsCondominiumestablishedpursuanttoM.G.L. c.183A,byaMasterfiledwiththeSuffolkCountyRegistryDeedsDatedJanuary1,2007, Book12345Page123,DeclarationBook456.,(hereinafterreferredtoasthe"Condominium"). WHEREAS,theTrusteesdeemittobeinthebestinterestsoftheUnitOwnersofthe Condominium,andotherwisepropitious,thattheCondominiumbemanagedbyanorganization inthebusinessofmanagement. WHEREAS,theTrusteesareempoweredpursuanttocertainprovisionsoftheTrusttoemploy suchanorganization. NOWTHEREFORE,inconsiderationofthepromisesandundertakingshereincontained,itis herebycovenantedandagreedasfollows: ARTICLEI CONTRACTDOCUMENTS TheContractDocumentsconsistofthisAgreement;theGeneralConditionsofevendate attachedhereto;theMasterDeedoftheCondominium;OrganizationalDocumentsofthe OrganizationofUnitOwners(i.e.,DeclarationofTrust,ArticlesofAssociation,orArticlesof Organization),includingtheBy-Lawsthereof;theRulesandRegulations,ifany,promulgated pursuanttotheBy-Laws,asthesamemaybenow,orhereinafteramended;provided,however, thatamendmentsmadesubsequenttothedatehereofshallnotmateriallyaffectManagement withoutitswrittenconsenttobesoaffected;andtheprovisionsofMassachusettsGeneralLaws Chapter183A(hereinafterreferredtoasthe"Act"). ARTICLEII MANAGEMENTDUTIES ManagementshallutilizeitsexperienceandknowledgetoassisttheTrusteesinthemanagement, supervision,controlandadministrationoftheCondominium.Managementagreestofurnish efficientbusinessadministrationandsupervisionandtoperformitsresponsibilities,both administrativeandadvisory,consistentwiththebestinterestsoftheTrust,theCondominiumand itsUnitOwners. ARTICLEIII LIAISON ManagementshallprincipallycommunicatetotheTrusteesandtotheUnitOwnerstotheextent practicable,throughtheChairpersonoftheBoardofTrusteesortheTrustees'designatedliaison. Notwithstandingtheappointmentofoneormoreliaisons,Managementshallcommunicatewith theTrustees,OfficersandCommitteeChairperson,ifany,intheexerciseoftheirmutual responsibilities. ARTICLEIV COMPENSATION ThetotalcompensationtowhichManagementshallbeentitledduringthetermofthis AgreementshallconsistoffeesforRecurringRoutineservices,paidmonthly;feesforPeriodic RoutineServices,paidonaper-itembasis;andfeesforNon-RoutineServices,onaper-item basisasherespecifiedortobenegotiatedpriortoperformance. 4.01 RecurringRoutineServices: Managementshallbecompensatedaccordingtothefollowingschedule.Suchcompensation representstheoverheadexpensesofManagement,excludingsalariesofon-sitemanagementand maintenanceemployees,butincludinggeneralandadministrativeexpenses,andtravelexpenses ofofficersandemployeesincurredunderthisAgreement,andcoversfeesforbasicservices, includingfinancialmanagement,generaladministrationandpropertymanagement.“TBD amount”dueandpayableinequalmonthlyinstallmentsof“TBD”,payablemonthly,inadvance. 4.02 PeriodicRoutineServices. Managementshallperformcertainperiodicroutineservicesrequestedand/ornecessaryfees thereforeareasfollows: A.Preparation6(d)Certificate Fees: pursuanttoM.G.L.c.183A: $65.00each Certificate B.PreparationofCurrentCondominium DocumentsforNewOwners,orUpon Request: $50.00 C.MailingofCertifiedMailtoOwners DeemedinBreachoftheGoverning Documents: Time&Materials D.ReturnedChecks: Time&Materials E.CommunityMailings: Time&Materials F.MaterialsReproduction(except Time&Materials routinereportsandcorrespondence necessarytoadministrationand managementoftheTrust) (ItemsAandBmaybechargedtotheOwnerinvolvedpursuanttoproperauthorityestablished throughBoardresolution.) 4.03 Non-RoutineServices. Managementshallmaintainavailabilityforservicesrelatedtocertainnon-routineactivitiesfor whichtheneedmayormaynotarise.Non-routineservicesmayinclude,withoutlimitation,the following: 1. ParticipationinlegalactionsinitiatedbytheTrustexclusiveofthoserelatedto collectionofannualassessments;legalactionsrelatingtodocumentsenforcement; andotherlegalactionsarisinginconnectionwiththeservicesbeingprovided hereunder;provided,however,thatcommunicationwithattorneysrepresentingthe Condominiumprovidingdataandinformationforsuchattorneysactivitiesshallbe coveredunderRecurringRoutineServices.Suchnon-routineserviceswouldinclude actionsresultingintheAgent'sexpendingmanhoursinthepreparationoflegalcases, courtappearancesanddepositions. 2. Negotiationsandclaimsofaprotractednaturearisingfromclaimsforwork performedbyanycontractorpriortoeffectivedateofthisagreement. 3. Provisionofcontractorservices,itbeingacknowledgedthatinadditionto managementservicesifManagementmaintainsastaffofcertainemployeesskilledin suchtradesascarpentry,electrical,painting,plumbing,janitorial,landscaping, generallabor,etc.,whichManagementmayuseinrenderingnecessaryand appropriateservicestotheCondominium. ChargesforservicesperformedunderthisSectionshallbe(a)atratesmutuallyagreeduponby ManagementandtheTrustatthetimeworkisauthorizedorpreviouslyagreedtoor(b)atan agreedtorateof$60perprofessionalhourexpended. Non-routineservices,additionally,includewithoutlimitation,attendance(byanofficeror supervisorypersonofManagement,whoisinauthorityandisfullyinformedconcerningmatters involvingtheCondominium)atmorethanfour(4)meetingsoftheTrusteesandone(1)Unit Ownermeetingswithinanyfiscalyear. 4.04 PaymentSchedule. Paymentsforservicesrenderedshallbeonorbeforethefirstdayofthemonthinadvancefor whichmanagementservicesarebeingperformedandbythetenthdayofthemonthfollowing renderingofservicesforallotheritemsunlessotherwiseprovidedinthisAgreement. ARTICLEV CONTRACTPERIODANDTERMINATION ThisAgreementshallbefortheperiodhereinafterstatedandmaybeterminatedonlyas hereinafterprovided. 5.01 Term. ThisAgreementshallcommenceonJanuary1,2007andshallcontinueuntilitisterminatedby theTrustortheAgent. 5.02 Termination. Notwithstandingtheforegoing,thisAgreementmaybeterminatedbytheTrustortheAgentwith orwithoutcauseuponsixty(60)dayswrittennotice.ThisAgreementmaybeterminatedfor causepursuanttotheprovisionsofMassachusettsGeneralLawsChapter183A. ARTICLEVI MISCELLANEOUS 6.01 Definitions. TermsusedinthisAgreementshallbedefinedinthesamemannerasintheAct,orifnotdefined therein,asdefinedherein 6.02 Conflicts. IfanyconflictsshallrisewithintheContractDocumentstheAgreementshallcontrolGeneral Conditions.TheprovisionsoftheActandCondominiumDocumentsinthatordershallcontrol alloftheabove-mentioneditems. 6.03 Severability. Theinvalidityofanyparthereofshallnotaffectthebalancehereofsolongassuchpartisnotto theessencethereof. 6.04 WaiverandModification. Noforbearancehereundershallbedeemedawaiveruponanysubsequentbreachhereof.This Agreementmaybemodifiedonlybyawritteninstrumentexecutedbyallpartieshereto. 6.05 Construction. ThisAgreement,executedinseveraloriginalcounterparts,istobeconstruedasaMassachusetts contract.Headingsareprovidedforconvenienceonlyandarenotintendedtobeutilizedin interpretingtheintentshereof.Termsofgendershallrefertotheoppositegenderwhere appropriateandtermsofsingularshallrefertopluralandvisaversa. 6.06 Notices. Allnoticesashereinprovidedfor,orasmaybedeemeddesirable,shallbeinwritingandsent postagepreparebycertifiedmail,returnreceiptrequestedtoManagementattheaddress indicatedabove,orsuchotheraddressasnoticemaybegivenofandtotheTrusteescareofthe thenservingChairpersonathis/herresidentialaddresswithacopytotheTrust'sattorneys, presentlyMarcus,Errico,Emmer&Brooks,P.C. 6.07 WholeAgreement. TotheextentnotinconsistentwiththeAct,unlessthecontextshallplainlyrequireotherwise,the termsusedinthisAgreement,shallhavethesamemeaningasdefinedintheAct,orifnot definedtherein,intheCondominiumDocuments.TermsdefinedintheManagementAgreement shallhavethesamemeaningherein. 1.02 StatusofManagement. WithrespecttobindingcommitmentsupontheTrust,ManagementisanIndependentContractor, exceptasthatrelationshipshallbechangedtothatofanAgentpursuanttoavaliddetermination oftheTrustees,orunderthetermsofSection2.01oftheseGeneralConditions,butnotuntil Managementhasevidenceoftheapprovalofthischangeinitslegalrelationshipinwriting. Accordingly,allcontractsshallbeexecutedbytheTrusteesunlessthereisanemergencyor unlessManagementisspecificallydirectedbyTrusteestoexecutecontractsonbehalfofthe Trust. 1.03 LiabilityofManagement. A. Exceptforwillfulactsorforbreachesofdutiesconstitutinggrossnegligence,theTrust shalldefendandindemnifyandholdManagementharmlessfromallclaims,actions, damagesandcostsincurred(including,butnotlimitedtoreasonableattorneysfees) arisingfromtheperformanceofitsdutiesunderthisAgreement.Theforegoingshallnot, however,applytoManagement'sprovisionofservicesasacontractore.g.,cleaning,lawn care,maintenance,etc.Ifactsorbreachesofdutiesconstitutegrossnegligence,theTrust shallberesponsibletotheManagementifsuchactsorbreachesofdutiesarecoveredby themasterinsurancepolicyoftheTrust. B. Regardlessoftheprovisionsofindemnificationsetforthhereinabove,theTrustshall maintaininforce,fortheentiretermoftheAgreement,fidelityinsuranceatthesolecost andexpenseoftheTrustinamountswhichareapprovedbytheTrusteesinsuringagainst theactsofmanagementanditsprincipalsandemployees. C. TheTrusteesshallnameManagementasaninsuredontheCondominium'smaster liabilityandcasualtypoliciesandshallprovidetoManagementacertificateso evidencingthesame. D. ItisspecificallyacknowledgedthatManagement'sauthoritytoexpendfundsishereunder limitedand,exceptasspecificallyprovided,discretionthereforeultimatelyrestswiththe Trustees.Thereshall,therefore,benoliabilitytotheTrust,theUnitOwnersorthird partiesonthepartofManagementinsuchcaseastherewasanunavailabilityoffunds requisitetotakeactionwhichwouldhavepreventedsuchaclaim.Managementshall havenoobligationnorresponsibilitytoexpenditsownfundsintheperformanceofany dutyorobligationhereunderorherebyarising. 1.04 RoleofManagement. ManagementfullyacceptsthatitsfunctionistoassisttheTrusteesintheoperationand administrationoftheCondominium.Notwithstandingtheexpressauthoritygivento ManagementinthisAgreement,itisunderstoodandagreedthattheManagementshallconfer fullyandfreelywiththeTrusteesintheperformanceoftheservicessetforthhereinafter, includingbutnotlimitedtoattendanceatTrusteemeetings. ARTICLEII-FINANCIALMANAGEMENT COLLECTION,DEPOSIT,ACCOUNTING Managementshallassistand/oradvisetheTrusteesinallmattersrelatingtoincomeofany sourceandexpendituresofanynatureincludingbutnotlimitedtothefollowing: 2.01 Collections. Collectallgeneralandspecialassessmentsastheybecomedueandpayableeachmonthfromall UnitOwnersandallmoneysduefromanysourcewhichareobligatedtoandforthebenefitof theTrust.TheTrusteesherebyauthorizeManagement,asitsAgent,torequest,demand,collect, receive,andreceiptofanyandallcharges,assessments,orrentswhichmayatanytimebecome duebywayoflegalprocessorotherwiseasmayberequiredforthecollectionofdelinquent assessmentsfromtheUnitOwnersorotherwise.Allassociateddelinquentchargesshallbe retainedbyManagementfortheircollection. 2.02 Deposits. Depositallreceiptsfromwhateversourceincludingassessmentsinafinancialinstitutionor institutionsinsuredbyanagencyoftheFederalGovernment,inanaccountoraccountsnot commingledwithanyotherparty,establishedandmaintainedinamannertoindicatethe custodialnaturethereof,withauthoritytodisburseanyliabilitiesorobligationstotheapproved budgetoruponinstructionoftheTrusteesandforthepaymentofManagement'scompensation setforthintheAgreement. 2.03 Disbursements. Fromthefundscollectedand/ordepositedintheTrust'saccountscausetobedisbursedregularly andpunctually: 1. Salariesandanyothercompensationdueandpayabletotheemployeesortoindependent contractorshiredpursuanttotheauthorityhereincontained; 2. anytaxespayable; 3. insurancepremiums; 4.theamountsspecifiedinanyapprovedoperatingbudgetforallocationtoanyreservefund forreplacementsortoanyotherreserveaccounts; 5.sumsotherwisedueandpayableasoperatingexpensesauthorizedtobeincurredunder thetermsoftheAgreementorotherwise,includingManagement'scompensation.After disbursementintheorderhereinspecified,anybalanceremainingintheTrustaccount maybedisbursedortransferredfromtimetotime,butonlyasspecificallydirectedbythe Trustees. 2.04 BooksandRecords. Maintainarecordofallincomeandexpenses,assets,andliabilities,utilizingtheaccepted methodsofaccountingwithamonthlysummarystatementoftheaforementioneditems. 2.05 Investments. 1. Developandmonitoraninvestmentprogramifrequestedandapprovedbythe Trusteestooptimizeonrevenues; 2. Investallreservesininterestbearingaccounts,asdirectedbytheTrustees,inthe samemannerandinthesameinstitutionsassetforthinSection2.02,orasotherwise directedbytheTrustees. 2.06 Conformance. ProvidethemanagementoftheTrust'sfinancialaffairsinaccordancewiththeprovisionsof policiesadoptedbytheTrustees. ARTICLEIII-GENERALADMINISTRATION Managementshallassistand/oradvisetheTrusteesinallmattersofadministration,includingbut notlimitedtothefollowing: 3.01 Developandmaintainapersonal(e.g.toolsandequipment)andbusinessproperty(e.g. officesuppliesandfurnishings)inventorysystemtogetherwiththemaintenanceofappropriate accountingrecords. 3.02 Maintainarecordfilecontainingpapersrelativetoadministrationandownershipandto updatethefileascircumstanceswarrant.Suchfileshallincludeacompleterosterofowners, tenantsandmortgageesamongotherdatenecessarytoproperlyadministerandTrust'saffairs. 3.03 AdvisetheTrusteesinorinitiateitselfgeneralcorrespondencedealingwithbusiness mattersoftheTrustbetweengovernmentalofficials,independentcontractors,UnitOwners,and otherentitieswithwhichtheTrustoritsrepresentativeshaveabusinessrelationshipand maintainfilesthereof. 3.04 AssisttheTrusteesintheadministrationofprovisionsoftheCondominiumDocuments andthepolicies,rulesandregulationsaspromulgatedbytheTrusteesand/oradoptedbytheUnit Owners.Also,assisttheTrusteesindraftingpolicies,rulesandregulations. 3.05 Attendupto4Trusteesand1UnitOwner'smeetingsasdeterminedbytheTrustees. AdditionalmeetingsshallbeattendedattheprofessionalfeeratespecifiedintheAgreement unlessotherwiseprovidedfor.ManagementhasnoobligationtoattendmeetingsonSundays andholidays,exceptinanemergencythreateningthehealth,safetyorwelfareofUnitOwnersor theCondominiumproperty. 3.06 Paymentsmadeforinsurancepremiums,utilitybills,andexceptashereinelsewhere provided,andexceptasspecificallyauthorizedinanyapprovedoperatingbudgetorplanor operationapprovedbytheTrustees,foranyoneitemofrepairorreplacement,theexpenses incurredshallnotexceedthesumofOneThousandDollars($1,000.00)unlessspecifically authorizedbytheTrusteesprovided,however,thatemergencyrepairsdeemedbymanagementto involve,manifestdangertolifeorproperty,orimmediatelynecessaryforthepreservationand safetyoftheCondominiumorforthesafetyoftheUnitOwners,orrequiredtoavoidthe suspensionofanynecessaryservicestotheTrust,maybemadebytheManagementirrespective ofthecostlimitationimposedbythisParagraph;provided,however,innoeventshall Managementberequiredtoexpenditsownfundstherefore.Notwithstandingthisauthorityasto emergencyrepairs,itisunderstoodandagreedthatManagementwill,ifatallpossible,confer immediatelywiththeTrusteesregardingeverysuchexpenditure.ThecostofrepairstoaUnit shallbebornebytheUnitOwner. 3.07 InformtheTrustees,onacontinuingbasis,concerninglegislation,decisions,tax rulings,insuranceandfinancialpracticespertainingtowhichcometo Management'sattention. 3.08 ProvidetheTrusteesfromtimetotimewithsuggestionsforrecommendedprocedures relatingtotheoperationofTrustaffairs. 3.09 Causethedevelopmentofaninsuranceprogram. 3.10 ReporttotheTrusteesonanyactualviolationsoftheCondominium DocumentswhichcometoManagement'sattention,andtakeactionswithinitsscopeofauthority toseekcuresforsuchviolations. 3.11 AssisttheTrusteesinthedevelopmentofgoodcommunicationswithUnitOwners participationintheaffairsoftheCondominium.Also,causeallnoticesrequiredbytheActand theCondominiumDocuments,orasdirectedbytheTrustees,tobesenttotheappropriateor designatedrecipients. 3.12 PrepareforexecutingandfilingbytheTrustallforms,reports,andreturnsrequiredby lawinconnectionwithunemploymentinsurance,disabilitybenefits,socialsecurityandother similartaxesnowineffectofhereafterimposed,ifany(butspecificallyexcludinganyincome taxreturns),andalsoassisttheTrusteesinmeetingallothertaxfilingrequirementsrelatingto theemploymentofpersonnel. 3.13 ManagementshallcausetheproperorganizationofmeetingsoftheTrust,including preparationofreports,selectionofmaterialsandproceduresandsecuringnecessarypersonnel, andshallassisttheTrusteesinsecuringgoodattendance. ARTICLEIV-PROPERTYMANAGEMENT Managementshallassistand/oradvisetheTrusteesand/oremployeesandcontractorsofthe TrustinallmattersrelatedtothemaintenanceoftheCondominium;specifically:Causethe commonandlimitedareasoftheCondominiumtobemaintainedaccordingtostandards establishedbystateand/orlocallaw,theCondominiumDocuments,andtheTrustees.The standardsandactionsrelatedtheretoshallincludebutnotbelimitedtothefollowing: 4.01 Developandmaintainprocurementprocedures. 4.02 Establishandimplementapreventivemaintenanceprogramforallrealandpersonal property,asapprovedbytheTrusteeswiththisprogramtobedevelopedandmaintainedona regularbasisreflectingusefullifecyclesofCommonElementcomponentsand/orequipment. 4.03 SupervisetheoperationsofallcontractorswhoperformworkfortheTrustinthe Condominium,includingbutnotlimitedtoinvestigationastobonding,insurancematerials, workmanship,andwarrantiesandbyreviewingworkofTrustpersonnelorcontractorsand enforcingtheconditionofthosecontracts. 4.04 Inspectthecleanlinessandworkingconditionsofallcommonbuildingareasincluding centralsystems,lightfixtures,fireextinguishers,entrydoors,etc. 4.05 Inspectallgroundareasthatincludelawn,shrubbery,treeandbrushtodetermine whethersucharereceivingadequatecareandmaintenance. 4.06 Makerecommendationsforcapitalimprovementsandanyotherrecommendationsas maybeappropriatefortheimprovementofthecommunity. 4.07 Establishandmaintaina24-hour,seven-dayaweekmaintenanceandemergencysystem, includingbutnotlimitedtotheretentionofansweringserviceforcommunicationwithUnit Owners.Themaintenanceandemergencysupportsystemshallincludetheretentionofqualified and/orlicensedpersonnelorfirmsinalltradesdeemednecessarytomaintainthecondominium atalltimesindecent,safe,andsanitarycondition.Retainedpersonnelorfirmsshallbesubject tocallwheneveramatteraffectinghealth,safety,orareasonablelevelofpersonalcomfort arises.. ARTICLEV-EMPLOYMENTANDCONTRACTINGPOLICIES 5.01 AdministrationofPersonnel. ShouldtheTrusteesdeterminethatitisinthebestinterestsoftheTrusttoemployitsown personnel,Managementshallassistthereinasfollows: Basedupontheapprovedbudgetallocation,jobdescriptionsandalllegalrequirements, Managementshallsolicit,investigate,evaluate,andrecommendqualifiedpersonsforallon-site employeepositionstotheTrustees.IftheTrusteesaccepttherecommendation,Management shallhire,inthenameoftheTrust,thesepersons.Thereafter,itshallbeintheadministrative responsibilityoftheManagementtoinstruct,train,supervise,andpayallemployeesoftheTrust. Anyactionbyemployees,inthecourseoftheperformanceoftheirdutieswhichdonotadhereto theperformancestandardssetforthintheirjobdescription,shallbebroughttotheattentionof theTrustees.TheTrusteesmaytakesuchactionastheydeemfit.Compensationofemployees shallbeconsideredanoperatingexpenseoftheTrust.Management'sactionhereundershallbe asAgentfortheTrust. 5.02 AdministrationofContractors. A. Managementshallutilizereasonableeffortstoobtainthebestpossibletermsforall proposedcontracts,allrelevantfactorsconsidered.Managementshallsubmitarecommendation totheTrustcontainingtheirevaluationoftheproposal,informationonthepastexperienceand suchotherinformationasmaybehelpfultotheTrust. B. Afterselection,Managementshalloverseetheactivitiesofthecontractorincludingbutnot limitedtothereceivingofcertificatesofinsurance,copiesofbonds,manufacturers'warranties andreleasesofliens.Reviewofthequalityofworkmanshipandenforcementofcontractor's warrantiesshallbethedutyofManagement.Managementalsoshallfullycooperatewith consultantsthatmayberetainedbytheTrusttoaccomplishspecializedfunctionsfortheTrustin theareasoflaw,publicaccounting,orotherareas. ARTICLEVI-BUDGETS 6.01 AnnualBudget. ThebudgetshallconstitutethemajorcontrolunderwhichManagementshalloperate,andthere shallbenosubstantialdeviationstherefrom,excludingsuchexpensesasutilities,fuel,license fees,insuranceandotherexpensesnotwithinthecontroloftheManagement,exceptasmaybe approvedbytheTrust.NoexpensesmaybeincurredorcommitmentsmadebytheManagement inthenameoftheTrustinconnectionwiththemaintenanceandoperationsoftheTrustinexcess oftheamountsallocatedtothevariousclassificationsofexpenseintheapprovedbudget,except ashereinelsewhereprovided. 6.02 BudgetPreparation. ManagementshallassisttheTrusteesinthepreparationoftheoperatingandcapitalbudgetsof theTrust,includingbutnotlimitedtothefollowing: ManagementshallsubmittotheTrusteesaproposedbudgetfortheensuingfiscalyear.This proposedbudgetshallincludeananalysisofrepairandmaintenanceneeds,operatingexpenses, andanycapitalimprovementsanticipatedforthatperiod.ReserveFundrequirementsshallalso beincludedintheproposedbudget.Duringthebudgetreviewperiod,Managementshall promptlyreplytoinquiriesfromtheTrusteesonmattersconcerningtheproposedbudget. ARTICLEVII-SERVICEREQUESTPROCEDURES Managementshalldevelopandadministeraprogramtoprocessemergencynoticesandall reasonablerequestsformaintenancerepairsandminoralterationsfromUnitOwnerspursuantto theproceduresandguidelinesestablishedinconjunctionwiththeTrustees.Managementshall developaguidetobeprovidedtoallresidentsoutliningservicerequestprocedures.The foregoingnotwithstanding,Managementneednotitselfprovide,norarrangeforsuchrepairs and/oralterations. ARTICLEVIII-BOOKS,RECORDS,INSPECTION&AUDIT 8.01 BooksandRecords. Managementshallmaintainasystemofofficerecords,books,andaccountsinamanner satisfactorytotheTrustand/orassetforthinthisAgreement. Copies(whichmaybeduplicated)ofcontracts,filingswithpublicagenciesandfinancialbooks andaccountsshallbemaintainedattheprincipalofficeoftheManagement. 8.02 Inspection. Allofficerecords,books,andaccountsmaintainedeitherattheTrust'sofficesorin Management'sofficesshallbemadeavailableforinspectionbyanyandallUnitOwnersoftheir authorizedrepresentatives,uponreasonablenotice,duringnormalbusinesshours. 8.03 Audit. Managementshallcooperatefullywiththeindependentcertifiedpublicaccountantinthe conductofanannualaudit,ifany,includingmakingallrecords,books,andaccountsavailable fortheirinspectionandreview. ARTICLEIX-INSURANCE 9.01 Scope. WhenauthorizedbytheTrustees,causetobeplacedandkeptinforce,allformsofinsuranceto protecttheCondominium,theTrust,theUnitOwners,andmortgageesholdingmortgages coveringcondominiumunitsastheirrespectiveinterestsmayappear(orasrequiredbylawor theCondominiumDocuments)including,butnotlimitedtoworkmen'scompensationinsurance, publicliabilityinsurance,equipmentinsurance,fireandextendedcoverageinsuranceand burglaryandtheftinsurance. 9.02 Amount. Allofthevarioustypesofinsurancecoveragerequiredshallbeplacedwithsuchcompaniesin suchamountsandwithsuchbeneficialinterestappearingthereinasshallbeacceptabletothe Trustees. 9.03 Reporting. Managementshallpromptlyinvestigateandmakewrittenreportsastoallaccidentsandclaims fordamagerelatingtopersonalinjuryinthecommonelementsorthemanagement,operation, maintenance,andwelfareofcondominiumproperty,andshallcooperateandpromptlymakeany andallreportsbyaninsurancecompanyinconnectiontherewith. ARTICLEX-TERMINATIONANDRENEWAL AfterreceiptofaNoticeofTermination,andexceptasotherwisedirectedbytheTrustees,the Managementshall: A. StopsuchworkunderthecontractonthedateandtotheextentspecifiedintheNoticeof Termination; B. Placenofurtherorderswithcontractorsformaterials,service,orfacilities,exceptasmay benecessaryforcompletionofsuchportionoftheworkundertheAgreementasisnot terminated; C. Terminateallordersandcontractstotheextentthattheyrelatetotheperformanceof workterminatedbytheNoticeofTermination; D. AssigntotheCondominium,inthemanner,atthetimes,andtotheextentdirectedbythe Trustees,alloftherights,titles,andinterestofManagementundertheordersand contractssoterminated; E. Settlealloutstandingliabilitiesandallclaimsarisingoutofsuchterminationoforders andcontracts,withtheapprovalorratificationoftheTrustees,totheextentitmaybe required,whichapprovalorratificationshallbefinalforallthepurposesofthisclause; F. Completeperformanceofsuchpartoftheworkasshallnothavebeenterminatedbythe NoticeofTermination; G. Withinthree(3)weeksoftheNoticeofTermination,representativesoftheTrust(orits designatedagent)shallhavethefullrightandauthoritytoentertheprincipalpremisesof ManagementtoreviewtheTrustrecordsandmakeanitemizedclaimforthedelivery(no laterthanthelastdayofthecontractperiod)ofsuchrecordsastheTrust'srepresentatives determine. H. Managementshallnotbeentitledtoanycompensationorreimbursementofcostsfor activitiesrelatingtoturnoverorrecordsprovidingtheTrustpaysthecostofreproducing anyrecordsManagementdeemsnecessarytohiscontinuinginterestsintheperiod followingtheterminationdateofthecontract.Thislatterprovisionisnotintendedto covertotalduplicationofrecords,buttoaffordManagementtheopportunitytoretain copiesofsuchdocumentationasmaybematerialinanyfutureclaimregarding Management'sperformanceduringthecontractperiodunderitsresponsibility; I. Withinfour(4)weeksoftheNoticeofTermination,ManagementshallprovidetheTrust withthefollowing: 1. Scheduleofterminationactivitiesincludingnoticetovendors,banks,Trustmembers, andmeeting(s)withthesuccessorentityresponsibleformanagementofthe Condominiuminorderthattheterminationandtransitionofresponsibilitiesmaybe completedinacomprehensiveandbusinesslikemanner.Managementshallbe entitledtoreasonableprintingandpostagecostsassociatedwithsuchnoticesas cited. 2. AnitemizedstatementoftheestimatedamountsduefromtheTrusttothe ManagementasofthelastdayofthetermoftheAgreement. 3. Anitemizedstatementoftheestimatedamountsduesuppliersofservicesandgoods whichhavebeenorderedbytheManagementinthenameoftheTrusttotheextent theseamountshavenotbeenpaidbythelastdayofthetermoftheAgreement,an escrowaccountequaltosuchamountsintheseregardsareasoutstandingshallbe establishedtosecuretheirpayment.Theescrowaccountshallbejointlycontrolled byManagementandtheTrustees.AstoanyinvoicesindisputebytheTrustees,the Trustagreestoretainultimateresponsibilitytotheproviderofsuchservicesorgoods representedbyaninvoiceincontention.Also,theTrustshallbearthecostsofany legalactionbetweenitselfandthevendorifsuchlegalactionshouldoccur.Upon dischargeofallobligationsashereincited,anyremainderintheescrowaccountshall bethepropertyoftheTrust. J. AdateandtimeshallbesetforameetingtotakeplaceinManagement'sprincipaloffice onorbeforethelastdayofthetermoftheAgreementforthepurposesofturningovertothe Trustallrequestedrecords,allfundsanddepositaccounts(exceptforanyescrowaccount establishedundertheseprovisions),andtoexecuteanyagreementsandreleasesrelatingtothe conclusionofcontractualobligations. K. AttheTrust'sexpense,anindependentauditbyacertifiedpublicaccountantmaybe commencedwithintwo(2)weeksfollowingthelastdayofthetermoftheAgreement. ManagementagreestoprovidesuchassistancetotheauditatnoadditionalexpensetotheTrust providedtheauditisconcludedwithinthirty(30)daysofthelastdayofthetermofthe Agreement.Thereafter,theManagementshallbeentitledtocompensationatarateagreedtoper hourforsuchtimeastheauditorrequiresofManagement. ARTICLEXI-REPORTS,FILINGS 11.01 MonthlyStatusReports. ManagementshallprepareaMonthlyFinancialReport A. StatusofMaintenance:Siteinspectionreports,progressofcontractorand/oremployee repairandmaintenancework,emergingproblemswithgroundsandbuildings,and recommendationsforfutureactionwillbecommunicatedasnecessaryandasinformation becomesavailable. B. StatusofFinances:Incomestatementsitemizing,income,payablesandaccountbalances willbeissuedtotheTrusteesonamonthlybasis. 11.02 AnnualStatus. ManagementshallprepareanAnnualStatusReportcontainingsummariesofmaintenance, financial,administrative,andothermattersinsuchaformanddetailastoenableittobeusedby theChairpersoninthepreparationoftheannualstatementtotheTrustandbytheindependent accountantintheconductoftheannualaudit. ARTICLEXII-MISCELLANEOUS 12.01 ConflictofInterest. ManagementshallnotacceptfromanypartyprovidinggoodsandservicestotheTrust,including vendorsandindependentcontractors,anyremunerationorconsiderationinanymannerorform, asconsiderationfororinducementtoManagementforusingtheparty'sgoodsorretainingtheir servicesonbehalfoftheTrust,allsuchbenefitsbeingrightlyduetheTrust. 12.02 AffiliatedInterest. ManagementshallnotenterintoanyagreementtoprovidegoodsorservicestotheTrustwith anyparty,partnership,corporation,orotherentityrelatedtooraffiliatedwithManagement,its directors,officers,andemployeeswithoutpriorapprovaloftheTrustees. 12.03 Bankruptcy. IfManagementshallbeadjudicatedasbankruptorinsolventandsuchadjudicationisnotvacated withinthirty(30)days;orifareceiverorTrusteeshallbeappointedanditshallnotbevacated withinthirty(30)days;orifacorporatereorganizationofManagementoranyarrangementby statuteshallbefiled;orifManagementshallmakeanassignmentforthebenefitofcreditors; thenthesameshallbecauseforterminationoftheAgreement.TheTrustmustreceivewritten noticeregardingtheAgent'sbankruptcyorinsolvencyimmediately. 12.04Assignment,Merger,andConsolidation. Noassignment,eitherinwholeorinpart,ofthisAgreement,orthecontinuationofthis Agreementafteramergerorconsolidationwithanothercorporation,shallbevalidwithoutthe priorwrittenapprovaloftheTrustees.Failuretosecurepriorapprovalshallbejustcausefor terminationoftheAgreement. 12.5MaterialstobeProvidedManagementatInception. PriortothecommencementoftheTermoftheAgreement,orwithintwo(2)weeksofthe datethereof,theTrusteesshall,totheextentpossible,providetoManagementsuch informationandmaterialsasManagementshallreasonablyrequest,includingbutnot limitedtothefollowing: 1. CopiesoftheCondominiumDocuments 2. Taxinformation(pastreturn,I.D.Numbers) 3. Insuranceinformation(policies,correspondence,binders) 4. CurrentlistofTrustees(addresses,workandhometelephonenumbers) 5. Currentlistofunitownersandtenants(addressed,workandhometelephone numbers) 6. Utilitieslisting(gas,electric,fueloil,waterandsewer). 7. FiscalYear 8. Budgetsandfinancialdocuments(financialstatements,backupand worksheets) 9. Nameandaddressoflawyerandaccountant(ifany) 10. Pendinglegalactionslisting(ifany) 11. Bankaccountlistings 12.
