Tender Document for disposal of Old ATM Machine

Central Bank of , Regional Office, Bank Street, Hyderabad – 500 095 invites quotations in sealed covers from interested persons/firms dealing in Computer Hardware and peripherals for purchase of electronic waste of 03 Old and obsolete ATM Machine on “As and Where Basis”, lying at our Branches Jagtial, Karimnagar and Patancheru.

Following are the terms and conditions associated with the tender for disposal of old ATM machines:

A) IMPORTANT DATES : 1. Last Date and Time for receiving tender at our office : 5.00 pm on 30th September, 2016 2. Date and Time for inspection of equipment between 3.00 pm to 5.00 on all working days between 21st September, 2016 and 28th September, 2016 at respective locations. 3. Opening of Bids received: 01.10.2016 at 11.00 am at RO, Hyderabad. 4. Bidders should ensure that the response to the tender is received by the Bank before the date and time specified and no consideration whatsoever shall be given for postal or any kind of delay. Tenders received after the specified date and time are liable to be rejected and the decision is at the sole discretion of the Bank.

B) DETAILS OF DOCUMENTS : 5. The tender document will be available at our Regional Office and also can be downloaded from our web portal www.centralbankofindia.co.in. 6. The following documents are to be submitted along with quotation, signed by authorized signatory. a. Details of Firm Participating in tender b. Bid Form (As per Annexure -1) c. Details of Previous Orders Received, if any. d. Commercial Bid (As per Annexure – 2) 7. The place of submission of tender documents – Regional Office, , Bank Street, Koti, Hyderabad – 500095. 8. Bank does not own any responsibility if the bid is submitted at any other place other than the address mentioned above and same does not reach to our office at the address on or after due date and time as mentioned above. 9. Technical & Commercial Bids are to be submitted in two separate sealed envelopes superscribed – “TENDER FOR DISPOSING OF THREE OLD ATM MACHINES TECHNICAL/COMMERICAL”, as the case may be.

C) EARNEST MONEY DEPOSIT

10. Vendors are required to submit a demand draft favouring “Central Bank of India, Regional Office, Hyderabad” for Rs.10,000/- (Rupees Ten thousand only) as Earnest Money Deposit (EMD) payable at Hyderabad, along with the offer. Offers made without EMD will be rejected. No Interest will be paid by Bank on earnest money deposit. No other mode of payment is acceptable. 11. Earnest Money will be refunded to all unsuccessful bidders. 12. If successful bidder fails to comply with the purpose of this tender within stipulated time period, the Earnest money will be forfeited. 13. The earnest money of one person/firm case shall not be set off / transferred / adjustable towards any other quotations.

D) OTHER TERMS AND CONDITIONS :

14. Bidder must stamp and initial all the pages and sign all forms (if any) at the end as a token of acceptance of terms and condition. 15. Central Bank of India reserves the right to verify / confirm all original documentary evidence submitted by the bidder in support of above mentioned clauses of eligibility criteria, failure to produce the same within the period, as and when required and notified in writing by Central Bank of India shall result in summarily rejection of the bid and / or termination of contract with imposition of contract clauses on the bidder by Central Bank of India on the award of the contract and / or the contract period extended or otherwise provided that the bidder is the successful bidder and has been awarded the contract as per the terms and conditions laid out in this tender. 16. All the ATMs mentioned in the tender document shall be disposed off in one lot to the successful bidder and no part quoting will be entertained. 17. Central Bank of India reserves the right to accept or reject or cancel any or all tenders without assigning any reason thereof and also reserves the right to place the order to any technically suitable bidder/s as it deemed fit and proper. 18. Only unconditional tenders will be accepted. Any conditional tender will be liable for rejection. Any bidder desirous of imposing any condition having financial implication should load the tender appropriately and should not put any condition in the tender. 19. In case of dispute, the decision of Bank will be final and binding on all. 20. Interested parties can inspect the ATM machines at respective locations on the above mentioned dates and satisfy themselves of the items they are bidding for. 21. After finalization of quotations received, no dispute regarding the less quantity / quoted amount should be entertained. Further, in commercial bid, in case of any difference found between amount quoted in figures and in words, the amount quoted in words will be taken into consideration.

22. Item once disposed off to the successful bidder shall NOT be taken back by Central Bank of India under any conditions whatsoever. 23. One bid per bidder shall be accepted. 24. The items shall be sold to highest quoted bidder.

E) Schedules of Activity :

25. The successful bidder has to make full balance amount in the form of Account payee Demand Draft of a nationalized Bank in favour of “Central Bank of India, Regional Office, Hyderabad”, payable at Hyderabad within 3 working days after confirmation / order from Central Bank of India, failing which the offer stands cancelled and entire EMD amount shall stand forfeited. 26. Before the day of lifting the ATMs, the hard disk and ATM pin pad (electronic pin pad) are to be removed in the presence of Bank officials and to be handed over to Bank as per policy of Bank. 27. The successful bidder shall be required to lift all the old ATM machines proposed for disposal within a period of 5 working days after allotment of tender and payment of balance amount at his/their own cost. Failure to do so, Central Bank of India shall have the right to forfeit the entire bid amount of bidder. In this case, Bank shall dispose the items to alternate bidder / as may be decided by the bank.

28. The materials will be allowed to be lifted between 10.30 am to 5.30 pm on working days only from the above locations as per our award letter. No picking, choosing or sorting will be allowed inside the premises for the disposal lots. 29. The Labour, transport and other arrangements have to be made by bidder at their own risk, cost and responsibility. 30. Any loss or damage if occurred to the office property during the course of removing the items from Bank premises will be made good at the cost of concerned purchaser. 31. The commercial bid should be quoted both in figures and words without overwriting or corrections. Any overwriting or erasing shall not be considered for acceptance of the rates offered by bidder.

F) DISPUTES :

32. All disputes and differences of any kind whatsoever that may arise between the bank and bidder in connection with or arising out of the contract or subject matter thereof or the execution of works, whether during the progress of works or after their completion, whether before or after determination of contract shall be settled as under :

a. All such disputes or differences in the first place shall be referred by bidder to the Central Bank of India in writing for resolving the same through mutual consultations, discussions, negotiations, deliberation etc. associating representatives from both the side and concerned efforts shall be made for reaching amicable settlement of disputes or differences by conciliation. b. Arbitration shall NOT be commenced unless an attempt has first been made by parties to settle such disputes through mutual settlement. c. If bidder is not satisfied with settlement by Bank on any matter in question, disputes or differences, the bidder may refer the disputes to Field General Manager, Central Bank of India, Zonal Office: Hyderabad in writing to nominate an arbitrator to resolve such disputes or differences through arbitration provided that the demand for arbitration shall specify the matters, which are in question or subject of the dispute(s) or difference(s) in respect of which the demand has been made, together with counters claims of the Bank shall be referred to Arbitrator as the case may be and other matter shall NOT be included in the reference. d. All disputes shall be resolved by Arbitration conducted under the Arbitration and Conciliation Act, 1996 or any statutory modification or re-enactment thereof and the rules made there under and for the time being in force shall apply to the arbitration proceedings under this clause. e. The language of proceedings, documents or communications shall be English and the award shall be made in English in Writing. f. The venue of Arbitration proceedings shall be Hyderabad, and parties would share the cost of arbitration proceedings including the fees of the Ld. Arbitrators. g. The fees and other charges for arbitrators shall be as per the standard schedule of fees fixed by Bank and shall be shared equally between Bank and bidder.

33. It is the intention of the parties that the bidder shall approach any court of law for legal action, only as a last recourse unless an attempt has first made by parties to settle such disputes or differences through arbitration. 34. The courts of Hyderabad will have exclusive jurisdiction to try and entertain suits between the parties under the contract.

G) BANK’S RIGHTS :

35. Bank reserves the right to reject any quotations or accept any quotation or part thereof without assigning any reason whatsoever. 36. Notwithstanding above, Bank shall reserve exclusive discretion to accept or reject any bid offering without assigning any reason. The dispute(s) regarding non-awarding of work / contract to any particular party shall NOT fall within scope of clause “Disputes” stated above.

37. The purchaser shall indemnify Bank against all the losses or damages to any property or injury caused or death of any person caused by the negligent act / omission of the purchaser / their employees / agent / sub-contractor. 38. The award of work shall not be assigned / transferred or sub-delegated to other contractors except with written approval of Bank. 39. Dy. Regional Manager shall be the in-charge for the work and his decisions shall be final binding regarding any matters related to terms of this quotations / contract.
