1. INTRODUCTION This Notice is dated 12 April 2013 On 27 November 2012, CIMB and Citi, on behalf of our Board of Directors announced the Corporate Exercise, details of which are set out in the Circular to Shareholders dated 15 March 2013.

On 4 January 2013, CIMB, on behalf of our Board of Directors announced that Bank Negara Malaysia had vide its letter dated 28 December 2012 approved the issuance of the RPS to our non-resident Shareholders.

On 11 January 2013, CIMB, on behalf of our Board of Directors announced that the SC had vide its letter dated 11 January 2013 approved the GO Exemption without conditions.

On 8 March 2013, CIMB on behalf of our Board of Directors announced that the SC has granted its approval for the Corporate Exercise vide its letter dated 7 March 2013 subject to conditions as stated in the said announcement.

At the EGM held on 8 April 2013, our Shareholders have approved the Corporate Exercise.

Upon completion of the Corporate Exercise which is expected by early May 2013, each of our Entitled Shareholders who hold one Share will then hold one Stapled Security comprising one Share stapled to one Unit instead. The Units shall be distributed to you, as Entitled Shareholders, via the mechanism consisting of the Bonus RPS Issue and subsequent RPS Redemption.

The purpose of this Notice is to provide you with information pertaining to the suspension of trading of our Shares on the Main Market and the Entitlement Date for the Bonus RPS Issue. You are not required to take any action.

2. DETAILS OF THE BONUS RPS ISSUE AND THE RPS REDEMPTION

The Corporate Exercise, which include, amongst others, the Bonus RPS Issue and the subsequent RPS Redemption are mechanisms undertaken by our Company solely for the purpose of distributing the Units to our Entitled Shareholders.

Upon completion of the Transfer, the Vendors will nominate our Company to receive Units for the Transfer.

Our Company will then undertake the Bonus RPS Issue and the RPS Redemption whereby the RPS are issued and subsequently redeemed in the form of Units.

The Bonus RPS Issue entails a bonus issue of 1,805,333,083 RPS to our Entitled Shareholders on the basis of one RPS for each Share held on the Entitlement Date. The RPS shall be issued at its par value of RM0.01 each by way of capitalisation of our Company’s distributable reserve.

Our Company will subsequently undertake the RPS Redemption whereby the RPS will be redeemed at the redemption price approximating RM4.00 for every one RPS held. The redemption of the RPS shall be fully satisfied in the form of Units. This will result in a distribution of 1,805,333,083 Units to our Entitled Shareholders.

For the avoidance of doubt, the RPS to be issued pursuant to the Bonus RPS Issue will not be credited into the CDS accounts of our Entitled Shareholders and will not be listed on the Official List of Bursa Securities. The RPS to be issued under the Bonus RPS Issue shall, upon allotment and issue, rank equally amongst themselves in all respects. Upon redemption of the RPS, the RPS will be cancelled.

Further details on the Bonus RPS Issue and the RPS Redemption have been set out in our Circular dated 15 March 2013.

3. SUSPENSION OF TRADING OF OUR SHARES

The trading of our Shares on the Main Market will be suspended with effect from 9.00 a.m. on Tuesday, 23 April 2013, which is three (3) clear market days prior to the Entitlement Date. Accordingly, the last day of trading of our Shares on the Main Market prior to suspension shall be 5.00 p.m. on Monday, 22 April 2013.

Our Shares will no longer be traded on the Main Market after the trading of our Shares is suspended on 23 April 2013. Upon completion of the Corporate Exercise, the resultant Stapled Securities, whereby every one Stapled Security comprising one Share stapled to one Unit, will be quoted and traded as one security on the Main Market and will not be able to be traded separately. The listing of the Stapled Securities is expected by early May 2013.

4. ENTITLEMENT DATE FOR THE BONUS RPS ISSUE

Our Shareholders, whose names appear in the Record of Depositors of our Company at the close of business at 5.00 p.m. on 29 April 2013, would be entitled to the Bonus RPS Issue in respect of:

(i) Shares transferred into your CDS account(s) on or before 4.00 p.m. on Monday, 29 April 2013; and

(ii) Shares bought on Bursa Securities on a cum-entitlement basis according to the rules of Bursa Securities.

5. FURTHER INFORMATION

5.1 Prescribed securities

Bursa Securities has already prescribed our Shares as being prescribed securities which are required to be deposited with Bursa Depository pursuant to Section 14(1) of SICDA. In connection with the Listing, the Stapled Securities will also constitute prescribed securities. Accordingly, all dealings in the Stapled Securities are / shall be governed by the SICDA and the Rules of Bursa Depository. You must have a valid and subsisting CDS account in order to deal with any of our Shares and exercise rights in respect of our Shares and to receive the Stapled Securities pursuant to the Corporate Exercise.

5.2 Existing Shares deposited into CDS accounts

Please be advised that those of you whose Shares are already deposited in your CDS accounts maintained with Bursa Depository on the Entitlement Date shall be entitled to the Bonus RPS Issue.

If you are a holder of a CDS account holding our Shares, you are not required to take any action in respect of the Bonus RPS Issue and RPS Redemption. As the Bonus RPS Issue forms part of the process undertaken to facilitate the distribution of the Units for the purpose of the Stapling, none of the RPS pursuant to the Bonus RPS Issue will be credited into the individual securities accounts of our Entitled Shareholders. The Units distributed via the RPS Redemption will be credited directly by Bursa Depository into the same CDS accounts in which the Shares are currently deposited. Further, no physical security certificates will be issued as well.

5.3 Crediting of new Stapled Securities

Our Company will credit the new Stapled Securities directly into your CDS account(s) where your Shares had been previously deposited. Subsequently, our Company will despatch a notice of allotment to you at your address registered with Bursa Depository or in accordance with our Record of Depositors of our Company by ordinary post at your own risk before the listing of the Stapled Securities on the Main Market pursuant to the Listing. The Stapled Securities can be traded once they are listed on the Main Market.
