Thomas A. Calamari CEO, Owner & Founder

Mr. Calamari has built an extensive portfolio and has worked with some of the top rated architects and construction teams throughout his twenty-three year career. His experience has taken him through a vast array of projects ranging from residential homes, medical facilities, corporate offices, and high-end luxury retailers. Prior to establishing Apogee Design & Construction in 1994, Tom served as a Sr. for JT Magen where he specialized in medical facilities and office space projects. As he progressed, his projects became more specialized and included more high-end commercial fit-outs such as multiple retail projects for L’Oreal USA, as well as the Flushing Bay Promenade and Shelter Rock residential home projects. Recently, he has migrated towards luxury retail, gaining loyal clients in Marc Jacob’s, Proenza Schouler, Benefit Cosmetics and Calypso St. Barth. Mr. Calamari holds a Bachelor’s Degree in from Pratt Institute and a Master of Science in Urban Design and Architecture from Columbia University.

Alan joined the team in 2012 as the Principal and Chief Estimator, bringing over 17 years of experience in construction. He has an in-depth knowledge for estimating, budgets, cost analysis, and value engineering. He started his career with Rider Hunt International in their Los Angeles office and later he moved on to Structure Tone. Before coming to Apogee, he spent 13 years at JT Magen as a Senior Estimator, covering a wide range of projects, from new construction, high-end interiors, data centers, healthcare, retail and corporate offices. 1. BUDGET DEVELOPMENT • Preliminary Budget - a preliminary budget will be developed after initial meetings with client and consultants. • Budget Updates - the budget will be updated as the design development dictates and in conjunction with the client’s budgetary needs. • Scope-of-Work - each trade’s scope-of-work will be measured, itemized and quantified by Apogee’s own estimating department to provide complete and accurate scope for subcontractor budgets and/or bids. • Cash Flow Projection – Apogee will provide a detailed monthly Cash Flow Projection to assist the Client in their financial planning. • At the 75% design point Apogee will solicit subcontractor bids from the approved list, evaluate them, and update the budget accordingly. • Involving Apogee early in the project’s design process allows us to better coordinate all trades and to account for most field conditions up-front, thus eliminating or reducing costly field condition change orders and delays in the project schedule.

2. CLIENT UPDATES

Apogee will update all budgets and scheduling weekly. Depending on the client needs, summaries with all back-up will be sent to the client and if desired reviewed in detail at the weekly meetings.

3. GENERAL CONDITIONS AS PART OF PRELIMINARY BUDGET

The General Conditions line item in the preliminary budget is the forecasted cost as it relates to the day-to-day coordination and administration of the project, in accordance with AIA document A201 - General Conditions.

4. BIDDING PROCEDURES

Bid List Formation: • Form master list with input from client, and engineers. • Reduce list to suitable amount of subcontractors in each trade by reviewing the following: - Relevant experience in similar projects - Present work load - Past experiences with Project Team personnel - Compatibility with other pre-approved subcontractors • Each subcontractor will be notified of pre-qualification and expected bid duration and due date.

OUTLINE OF PRE-CONSTRUCTION SERVICES (CONTINUED)

Subcontractor Bid Packages - Each subcontractor will receive the following in bid documents: o 75% drawings & specifications o Building Rules and Regulations o Insurance Requirements o Schedule including phasing if required o Expected payment schedule o Any special or trade specific notes as required

• Mandatory Site Visits - during the bidding process site visits will be arranged for all relevant subcontractors and scheduled to minimize any impact on client occupancy. • Apogee’s estimators, project managers and superintendents will be available for questions. Items outside our area of expertise will be referred to the relevant consultant under a standard RFI format. All feedback will be made part of the bid package. • Bid Analysis - After receipt, each bid will be reviewed in context to scope, scheduling and cost. A concise bid matrix sheet will be forwarded for each trade along with Apogee’s recommendations. • Subcontractor Selection - selected bid for each trade will be input into the global cost report for comparison with original budget and submitted for final approval. • Long-Lead Items - Apogee will identify all “long-lead” items and order those items as required to meet the project schedule.

5. ADDITIONAL CONSULTANTS AND CONSIDERATIONS

• Typically, Apogee’s in-house staff has all of the experience required for pre- construction planning, but if necessary, we have experts available in nearly every discipline. • Apogee has its own in-house millwork company capable of producing first class custom woodwork and furnishing. When used, our total control over this trade can essentially remove it from the critical path. • Apogee will assist project Architect and Engineer in all code compliance issues.

6. LEASE NEGOTIATIONS/SITE SELECTION

• Site Review - Apogee will review site conditions and formulate a list of tasks and responsibilities. • Budgeting - Apogee will break out in a separate budget all potential landlord work, or work to be paid for by others. OUTLINE OF CONSTRUCTION PHASE SERVICES

SITE MAINTENANCE AND SUPERVISION

• Supervision - Apogee shall provide full time site supervision throughout the Project. In addition, Apogee shall have daily site visits by the Project Manager and the Project Executive or one of Apogee’s principals. • Daily Logs - Apogee shall maintain a daily logbook of the Project’s subcontractor manpower and activities worked on each day. • Site Safety Program & Meetings - Apogee shall conduct or coordinate all site safety issues in compliance with OSHA requirements. Apogee’s project superintendent will act as the Project Safety Coordinator and is responsible for implementing and enforcing compliance with Apogee’s safety program. In addition, our Safety Director will make periodic visits to the site to ensure adherence to the safety program. • Site Protection – Apogee and/or its subcontractors shall provide all necessary site protection, barricades and other safety items as required by law and necessary to properly perform the Work and provide a safe working environment.

SUBCONTRACTORS

Apogee shall schedule the work of all subcontractors to ensure the proper sequencing of the Work and to maintain the Project Schedule.

• Work by Others - Apogee shall coordinate work of other contractors and vendors as required by Owner (e.g. carpet, furniture, telecommunications, signage, moving etc) in order to ensure proper sequencing and scheduling. • Quality Control - Apogee shall monitor all subcontractor work to ensure the highest level of workmanship and maintenance of Project Schedule. Material or product substitutions shall not be permitted unless Apogee has submitted proposed substitution(s) for review and approval. • Weekly Meetings - Apogee shall conduct weekly project meetings with all relevant subcontractors, Owner, Architect, Engineer and other consultants. • Coordination of Building Services – Apogee shall submit notice to the building of all deliveries, shut downs, utility tie ins, testing, overtime etc. as required by building management. • Clean up - Apogee will provide daily cleaning of the Site using its own labor force.

PROJECT ADMINISTRATION

• Subcontracts - Apogee shall issue detailed purchase orders to each subcontractor and vendor. • Insurance - Apogee’s insurance administrator shall ensure Apogee and all subcontractors have provided proof of insurance and worker’s compensation in accordance with Owner’s and Landlord’s requirements. • Meeting Minutes - Apogee shall promptly provide a written record of each meeting, including an “open items” and task responsibility list. • Permits and Inspections - Apogee shall track all required regulatory approvals, inspections and sign-offs. PROJECT ADMINISTRATION

• Submittals/Shop drawings - Apogee will review all shop drawings and product information prior to submission to the Architect or Engineer. Apogee shall maintain a submittal/shop drawing log to track the approval status of each drawing or product. • Project Budget and Schedule - Apogee shall update Project Budget and Schedule on a monthly basis, or as required by Owner and Architect. • Cost Reports – Apogee shall provide any standard cost reports in the format chosen by Owner, or as required to comply with Owner’s accounting systems and job costing centers. • Change Orders - Apogee shall issue a formal request to each subcontractor involved in any change in the scope of work. Apogee will review and estimate each client change and compare to subcontractors pricing. • Apogee Payments - Apogee shall issue monthly requisitions for payment to Owner, in the format preferred by Owner. Each requisition shall include all required cost back up information including verification of trade percentages of completion and materials either stored or delivered. • Subcontractor/Vendor Payments - Apogee shall promptly pay relevant subcontractors after receipt of payment by Owner. Apogee shall ensure all subcontractors and vendors provide partial and final lien waivers prior to the disbursement of funds.

PROJECT CLOSE-OUT

• Punchlist - in conjunction with the Architect, Apogee will issue a detailed punchlist to each subcontractor and verify their completion. • Close-out Documents - Apogee will provide a complete package of all required close-out documentation in an expeditious manner, including: • Building Department & Fire Department sign-offs. • Final lien waivers from subcontractors and vendors. • Instruction and training sessions as required. CORPORATE PHILOSOPHY & METHODOLOGY

In a project such as this, the pre-construction phase is probably the most important part of the project. By accurately defining the scope of work for each trade we can minimize the typical construction phase problems later on. Our pre-construction phase team would be headed by the project executive and project estimator, with substantial input from other Apogee staff. Our team would meet with the Client team to formulate a comprehensive project plan, including any overall project time requirements, a task list, budgetary guidelines and milestone dates. Long-lead items that might jeopardize the schedule would be ordered and their production status tracked. We would produce a detailed project schedule highlighting any important milestone dates. The schedule would be updated as new information is made available.

During the purchasing phase, our estimating team would review all subcontractor bids, evaluate them for completeness and, after consultation with the Client team, award contracts to the best- qualified subcontractors. In addition, we would involve the project superintendent to thoroughly familiarize him with the nuances of the project. The primary documents involved in this stage would be purchase orders, certificates of insurance and any addendums. When the plans are complete, we would begin the permit and filing process.

As the project moves towards the construction phase, the day-to-day oversight of the project shifts from the estimator to the project manager and superintendent. All of Apogee’s superintendents have years of field experience and are diligent in their paperwork as well. The superintendent is responsible for keeping the submittal log, schedule revisions and a job-site daily log. The superintendent schedules and oversees the subcontractors, tracking their manpower and progress. All pricing will be coordinated with the estimator, including any change orders. In addition, our accounts payable staff will collect lien waivers from the subcontractors prior to each payment. On a monthly basis, the project estimator will review the job’s progress and issue a requisition request to our A/R department who will then send a requisition to the Client team for approval.

At close-out we will provide The Client with all regulatory sign-offs, final lien waivers from all subcontractors and Apogee, signed-off punch-list, equipment use permits, operation & maintenance manuals and equipment warrantees.

Apogee Design & Construction believes strongly in the Construction Management approach to projects of this nature. Involving Apogee early in the project’s design process allows us to better coordinate all trades and to account for most field conditions up-front, thus eliminating or reducing costly field condition change orders and delays in the project schedule. In order for a project like this to succeed, all of the project’s team members must be focused towards the same goals. Apogee’s experience and leadership allows us to develop a strong team environment where the cooperation and communication among all team members is superior. SCHEDULE AND COST CONTROL

The most effective method for maintaining the project schedule consists of three parts: 1 – ordering and expediting delivery of all specialty and long-lead items, 2- verifying that the subcontractors receive the information needed to build the job and 3- demanding that the subcontractors maintain adequate manpower throughout the project. As Construction Manager, Apogee will track the delivery of all items, including owner purchased items. We will act as the interface between the design team and the subcontractors ensuring all parties are properly informed of all aspects of the project. With today’s shortages of skilled construction labor, maintenance of adequate manpower is a major priority. Because of the large volume of work we do with many subcontractors, and our policy of rapidly paying subcontractors who perform, Apogee gets preferential treatment when subcontractors are manning their jobs. In conjunction with maintaining the project schedule, the key to cost control is correctly defining the scope of work for each trade. By properly detailing each trade’s scope, Apogee will eliminate unnecessary change orders from the subcontractors.

SUBCONTRACTOR SELECTION

Because of our volume of work and excellent reputation, Apogee receives the absolute best pricing from subcontractors. We have established a strong link with most of the premier subcontractors in every trade. Based on a detailed analysis of the work involved in each trade, Apogee would recommend the 3 or 4 firms in each trade best suited for the project. In addition, we would solicit recommendations from the other members of the project team. Based on these recommendations, we would compile a bid list of at least 3 subcontractors per trade. Each bidder would receive a complete set of the project documents to date. Prior to submitting a bid, subcontractors would be required to review the scope of work with our estimating team to ensure their bid is complete. After receiving the bids, Apogee will evaluate them and make recommendations to the Client team. Our recommendations will be based on price and the ability to perform and meet the schedule.

PROJECT REPORTING

Apogee uses computer spreadsheets for most reporting purposes, including: budgets, bid analysis, submittal logs and change order logs. In addition, a detailed project schedule will be produced, using Microsoft Project. Our staff is fully capable of producing reports to match The Client’s particular format or needs. We employ the latest computer software and technology, such as:

• Microsoft Excel – spreadsheets, budgets, submittal logs, change order log • Microsoft Word – word-processing • Microsoft Project,– scheduling • Microsoft Outlook – e-mail • AutoCAD LT – drafting and drawing transfer • Digital Photography

Budget Maintenance No subcontractor change orders will be approved for items that should have been included as part of their base bid. If, the budget is too large, we will conduct an intense value engineering session and re-evaluate each trade. After the reanalysis, we will provide the owner with a list of potential cost savings that could reduce the budget to an acceptable level. We will ensure that the Client project stays within its budget.

Change Order Analysis If there are changes to the scope of a subcontractor’s work, we will issue a request for pricing to that subcontractor, along with any sketches, plan revisions and specifications. After receiving their price, our estimators will evaluate it for accuracy and competitiveness. The project budget will be updated to include all approved change orders.

Subcontractor Payments Apogee has an esteemed reputation with subcontractors because of our prompt payment schedule. Typically, we pay a subcontractor’s invoice within seven (7) days after we receive payment from the owner. This prompt payment schedule allows us to get the best service and pricing from the subcontractors. Each month we will conduct a comprehensive site visit to determine how complete each subcontractor is. Based on a consensus of the project team, we will inform the subcontractor of their percent complete. When we receive their invoice it will be entered into the project’s file on our Quickbooks accounting system, then the invoice must be signed off by the estimator and/or project manager prior to its payment.
