’s Competition Rules

Code-It Competition (the Competition)

Just like school, we have a few rules (these Rules) which you’ll need to know and follow whenever you enter a competition run by us, the promoter, Nickelodeon UK Limited (Company Registration No: 2797365) of 17-29 Hawley Crescent, London, NW1 8TT (Nickelodeon).

These Rules include details about how to enter the Competition, opening and closing dates, prize details, and anything else Nickelodeon thinks you may need to know about entering the Competition. These Rules will apply to the Competition and by entering the Competition, you promise to follow and be bound by these Rules (which may be amended or varied at any time by Nickelodeon with or without notice) and by Nickelodeon’s decisions, which are final in all matters relating to these Rules, the Competition, the draw and/or the results and no correspondence or discussion shall be entered into.

So be sure to get your parents/guardians to read and discuss these Rules with you.

PARENTAL CONSENT

1. First things first…before you enter the Competition, please get your parent’s/guardian’s permission to enter the Competition. Also there may be some costs involved to enter, for example, charges for using the Internet. So, please don’t forget to also ask the person who will be paying the bill. Costs to enter may vary and it is advisable that the person paying the bill checks the current rates with their network operator.

WHO CAN ENTER?

2. You must be aged 15 years or under and live in the UK or Eire to enter the Competition. Prizes can only be awarded to a UK or Eire address so if you have moved somewhere outside the UK/Eire after entering the Competition, your Entry will not be valid.

3. You are not allowed to enter the Competition if your parents/guardians or family members are employees of Nickelodeon, any other company associated with the Competition or their respective associated companies or agents. In these Rules, “family members” includes mother, father, brothers or sisters.

PROMOTION PERIOD

4. The Competition opens at 00.00am on Monday 20 July 2015 (the Opening Date) and will close at 11.59pm on Friday 4 September 2015 (the Closing Date). The period between the Opening Date and the Closing Date is referred to in these Rules as the Promotion Period.

HOW TO ENTER

5. If you want to enter the Competition, you or your parent/guardian will need to go to www.nick.co.uk/codeit and do the following:

a. create an animation using the Code-It application (the Animation), selecting any of the universes on offer (SpongeBob, Turtles, Sanjay and Craig, Breadwinners or Nick Stuff); and

b. complete the personal details form and tick the relevant boxes where appropriate before submitting the Animation,

during the Promotion Period. Together, (a) and (b) above shall be an Entry.

6. Entries received outside the Promotion Period (being before the Opening Date or after the Closing Date) will not be valid. Nickelodeon is not responsible if your Entry gets lost, delayed, misdirected, undelivered, damaged or if you have technical problems trying to enter the Competition.

7. Only one Entry is permitted per person. Multiple Entries will be void and may lead to an entrant being disqualified.

8. Please take care when entering the Competition to ensure that we have your correct details. Any Entries which are incomplete or can’t be read clearly will not be valid and won’t be entered for the Competition.

9. In order to be a valid Entry your Animation must:

a) not contain any branding or logos; b) not infringe any third parties’ intellectual property rights; c) not be rude, obscene, defamatory or unsuitable for children and/or Nickelodeon purposes.

THE PRIZES

10. There is one (1) main prize to be won in the Competition and 5 (five) runner-up prizes.

11. The main prize winner (the Main Prize Winner) shall receive a Microsoft Surface 3 tablet (the Main Prize).

12. The five (5) runners-up (the Runners-Up) shall each receive a Nickelodeon goody bag including one each of the following (the Runner-Up Prize):

a) Teenage Mutant Ninja Turtles figure; b) Teenage Mutant Ninja Turtles DVD; c) Teenage Mutant Ninja Turtles Beanie Plush; d) SpongeBob SquarePants Bubble Machine; and e) SpongeBob SquarePants Bath Sponge.

13. The prizes are as stated and cannot be exchanged or transferred. No cash alternatives will be offered.

14. The parent or guardian of the Main Prize Winner and the Runners-Up (each a Winner and together the Winners) may be required to sign an acceptance and release form on the Winner’s behalf in order to be eligible to win and/or participate in the prizes.

15. If Nickelodeon or any third party prize provider is unable to provide the prizes or any part thereof, Nickelodeon has the right to award a substitute prize of equal or greater value. The prizes may be subject to additional terms and conditions of the manufacturer or supplier.

16. Nickelodeon reserves the right to cancel this Competition at any stage prior to the Promotion Period or to shorten the time for entering the Competition during the Promotion Period, if Nickelodeon thinks it is necessary in its reasonable opinion, or if circumstances arise which are out of Nickelodeon’s control. If the time for entering the Competition is cut short during the Promotion Period, the winners shall be selected in accordance with these Rules from all eligible entries received prior to such termination date.

17. Events may occur that render the awarding of the prizes (or any part thereof) impossible due to reasons beyond the reasonable control of Nickelodeon. Nickelodeon will not be liable or responsible for any loss or damage suffered by the Winners should they not receive the prizes (or any part thereof) as a result of any such event. In particular, Nickelodeon shall have no obligation to substitute any alternative prize, cash equivalent or provide any other compensation.

WINNER SELECTION

18. The prize draw will be conducted within seven (7) days of the Closing Date.

19. The Main Prize Winner will be the first Entry selected randomly by Nickelodeon from all correct and valid Entries submitted from all eligible entrants and received during the Promotion Period in accordance with these Rules. The Runners-Up will be the next five Entries selected randomly by Nickelodeon from all correct and valid Entries submitted from all eligible entrants and received during the Promotion Period in accordance with these Rules.

20. Nickelodeon will try and notify the Winners as soon as possible after the draw date by either telephone or email (usually within seven days of the prize draw). The Winners may need to accept their prize by returning a confirmation e-mail within a specified period of time following notification. Nickelodeon will send out the Main Prize and Runner-Up Prizes to such postal address as may be notified to Nickelodeon by the Runners-Up within eight weeks following such confirmation.

21. Nickelodeon may request a written agreement from a Winner’s parent/guardian that the Winner complies with these Rules before awarding the prizes.

22. Nickelodeon has the right to choose an alternate Winner if:

a) a Winner does not comply with these Rules or Nickelodeon has reasonable grounds for believing that a Winner has broken a Rule;

b) Nickelodeon cannot contact a Winner or if a Winner does not accept the prize or full details of such Winner are not provided to Nickelodeon within seven days following the initial attempt to notify such Winner; or

c) a Winner’s parents/guardians do not (i) agree to these Rules; (ii) want the Winner to receive the prize; or (iii) give their consent as may be requested by Nickelodeon within a reasonable time.

INTELLECTUAL PROPERTY RIGHTS

23. In consideration of the right to submit an Entry, each entrant:

a) irrevocably agrees that all rights, titles and interests to all intellectual property rights in the Entry (including the Animation and including all copyright and design rights) shall belong and be assigned (with full title guarantee) to Nickelodeon absolutely worldwide (both present and future) in perpetuity;

b) agrees that Nickelodeon may use their personal details, likeness, submitted photo and Entry in all media throughout the world in perpetuity as Nickelodeon in its sole discretion deems fit;

c) grants and confirms (and their parent/guardian grants and confirms) to Nickelodeon every consent under the present and future laws of every jurisdiction that may be required by Nickelodeon to make the fullest use of an Entry;

d) waives all moral rights in the Entry; and

e) irrevocably agrees that the consideration shall be a full payment for the right to exploit the rights assigned under these Rules and includes an equitable pre- payment for the right to exploit all lending and rental rights.

GENERAL

24. All changes to the Rules will be posted in revised terms and conditions at www.nick.co.uk/codeitterms.

25. All Entries become our property and will not be returned.

26. Nickelodeon will not be liable to you for any delays or failure (whether in whole or in part) in carrying out its obligations in respect of the Competition due to circumstances beyond Nickelodeon’s reasonable control. You will be solely responsible for any costs incurred by you as a result of such delays and/or failures.

27. Nickelodeon will not be liable to you for any loss or damage however it was caused (including without limitation in contract, tort or statutory duty) in connection with the Competition and/or prize, other than death or personal injury caused by Nickelodeon’s (and/or its employees’) negligence.

28. By entering this Competition you agree that Nickelodeon may use, in any and all media throughout the world forever as Nickelodeon in its sole opinion sees fit, your name, likeness, photographs and/or recordings, biographical information, any statement made by you, and your entry to the Competition without payment or further consent if you are declared a winner. Nickelodeon may also require you to take part in such publicity (which may include taking your photograph, filming you or recording your voice) without payment or further consent and such publicity will be owned by Nickelodeon forever for use throughout the world as Nickelodeon sees fit.

29. Personal information collected from entrants will be used by Nickelodeon solely in connection with the Competition and will not be disclosed to any third party except for the purpose of operating the Competition and fulfilling prizes where applicable. The declared Winners’ information will be shared by the independent observer with Nickelodeon, specifically the winners’ names, postal addresses, telephone number and/or e-mail addresses, only to the extent that this information is required to award the Prizes for this Competition.

30. Any personal information collected by Nickelodeon for the Competition will be used in accordance with Nickelodeon’s Privacy Policy set out at www.nick.co.uk/privacy. A copy is also available by sending Nickelodeon an email to [email protected] or a letter to our address above marked for the attention of The Data Protection Officer

31. If you would like to know who’s won the prizes for this Competition, please send a stamped addressed envelope to Nickelodeon at the above address marked Code-It Competition within 60 days of the closing date of the Competition and we will send you the name of the Winners and their home county.

32. The rules in respect of the Competition are governed by and construed in accordance with the laws of England and if there are any disputes the courts of England shall have exclusive jurisdiction.
