The Sale Office is located directly across from the Appaloosa Show Office off the lobby of the John Justin Arena. Sale Office hours will be available at the Show Office.

Announcements Buyers, please pay attention to announcements made from the auction stand. If you are not sure about an announcement, please ask the ring men for clarifica- tion immediately. All announcements from the Auction block shall take precedence over any printed or other-wise announced statements. If you have any other questions regarding the horse you are bidding on, please ask the ring men taking your bid immediately while the horse is still in the sale ring.

HYPP Definitions Hyperkalemic Periodic Paralysis Disease (HYPP) is a muscular disease. The results of horses that have been tested for the disease, if known, will be noted as follows in this catalog:

The Appaloosa Horse Club and Superior Productions neither warrants nor guarantees the authenticity or validity of an HYPP certificate of statement by the consignor. If HYPP test results have been received by the ApHC, those test results may be noted in the catalog.

Breeding Soundness All stallions over the age of 36 months that have not sired any registered foals within the 12 months prior to the sale have been required to provide sale management with a veterinarian certificate of breeding soundness.

N-Registered Appaloosas Beginning in January 2007, N-Registered (non-characteristic) Appaloosas are eligible for a Performance Permit, which does not alter the registration of the horse, but allows the horse to perform in ApHC approved races, shows and rides. Contact the Appaloosa Horse Club for more information on this program.

Tote Board The bid amount displayed on the tote board during the auction represents the last bid received on that particular horse. Bidders must listen to the auctioneer for the amount of the next bid to be accepted.

Bidder Verification The identity of all bidders will be verified by the auctioneer or sale management. Bidding rights are provisional, and if complete verification is not possible, registration and bidding activity will be terminated.

BUYERS TERMS AND CONDITIONS

Please read and familiarize yourself with the TERMS AND CONDITIONS of this sale. You will be bound by these Terms and Conditions whether you read them or not.

1. LAW. The horses are offered for sale according to the laws of the State of Texas.

2. ApHC. Although this sale is held in conjunction with the Appaloosa Horse Club’s 2016 World Championship Appaloosa Show, purchaser hereby acknowledges that the Appaloosa Horse Club, Inc. is not responsible for the warranties of the consignor(s). ApHC makes no representation or warranty with respect to any animal and the buyer must look solely to the designated consignor(s) for recovery of any damage by reason of the failure of any representation or limited warranty.

3. BIDS. The highest bidder will be the buyer, and if dispute arises between two or more bidders, the horse(s) in dispute shall immediately be put up again for advance bids. If there is no advance, the horse(s) shall go to the person from whom the auctioneer recog- nized the last bid. The auctioneer will decline any bids made by parties who have default- ed in former purchases, or by persons who, in his/her best judgment, are not responsible bidders. Immediately after horse(s) is sold, the buyer shall sign confirmation of purchase and security agreement forthwith. The right to bid is reserved by all sellers.

4. NON-QUALIFYING BIDDER. Sale Management is authorized by the consignor(s) of each horse(s) to decline any bid made by a non-qualifying bidder. A non-qualifying bidder is a person who, in the judgment of Sale Management, does not qualify to purchase the horse(s) and to complete the transaction for any of the following reasons: a) lack of financial responsibility including default in payment on former purchases; b) falsifying information to the Sale Management and/or consignor(s) in any way relating to a purchase, including any former purchase, c) intoxication, unruliness or other conduct which interferes with the progress of the sale; d) lack of contractual capacity; e) repudiation or refusal to comply with purchase requirements; or f) other unacceptable conduct which causes Sale Management to conclude that the bidder is not reliable and responsible.

5. BUYER’S PAYMENT. Terms of sale are cash (U.S. funds only) to be paid on the day of the sale. Method of payment shall be cash, overnight check, or pre-approved credit card. There will be a credit card processing fee of 3.8% on all credit card payments. No bank drafts will be accepted. Foreign buyers must pay with money order, U.S. cash currency or credit card. (SEE CHECK LIABILITY) clause (#20). All registration papers will be withheld a minimum of twenty (20) banking days from the date of the sale. Any payments made by the buyer to the consignor(s) or any other party will not be regarded as valid or entitle the buyer to delivery or title of the horse(s). All horses must be paid for in this manner regardless of whether they sell in the auction ring or on the grounds prior to the sale or following the sale.

6. ACKNOWLEDGEMENT OF PURCHASE. Upon the auctioneer’s declaration the horse is “sold” a purchaser shall forthwith sign the “Acknowledgement of Purchase” presented by Sale Management. If a consignor(s) repurchases a horse(s) by right of reserve, PAGE 5

i.e., the reserve is not achieved; Consignor(s) (or Consignor’s Designee) shall execute an acknowledgement affirmatively stating “No Sale.” Sale Management reserves the right to void a sale and to re-present the horse(s) for sale at auction if: a) the high bidder refuses to execute the “Acknowledgement of Purchase” or otherwise repudiates or fails to perform according to the TERMS AND CONDITIONS, b) auctioneer or Sale Management identifies a material mistake, or c) the bid is declined by Sale Management due to a non- qualifying bidder.

7. RESALE. In the event a Buyer defaults on accepting or paying for a horse(s) sold to the Buyer, the Sale Management reserves the right to accept the same purchase amount from another person, accept the next highest bid, put the horse(s) up for sale a second time or retain it for the Consignor(s) as unsold; however nothing shall prevent Sale Management and/or Consignor(s) from pursuing whatever legal remedy available to compel the Buyer to perform as set out herein. Mistakes made by the auctioneer will also necessitate the resale of a horse(s).

8. GATE RELEASE. Upon payment by the buyer to the Sale Office clerk, and only the Sale Office clerk, the office clerk will issue an order to Buyer, which will release the horse(s) from the auction grounds. Buyers are cautioned not to lose this release as it permits hold- er to pass through the exit gate of the auction grounds with the horse(s).

9. LIMITED WARRANTIES. With respect to any and all warranties, ApHC, Auctioneers and clerks do not represent the Buyer, or Consignor(s), but merely provide a medium for bringing together the buyer and consignor(s) for the purposes of sale transactions. All responsibilities and guarantees lie solely between Buyer and Consignor(s). Except as otherwise announced by the auctioneer at the time of sale, the Consignor(s) represents and warrants unto Buyer including but not limited to the following: cribbers, bleeders, cryptorchids, positive HYPP, horse that is nerved, horse that has been foundered (lamini- tis), horse with deviations from normal vision, wind and reproductive soundness. Further, the Consignor(s) warrants the horse(s) has not been medicated to alter the horse’s gait, manner, disposition or behavior. Except for the foregoing limited warranties, each horse is sold by Consignor without warranty and as is, with all faults. Every horse will be sold under this rule. There is no guarantee with respect to the physical condition, health, disposition, use or intended use of any horse in this sale other than the limited warranties by Consignor as set out above.

10. TITLE. Title and risk of loss passes from Consignor to Buyer when the auctioneer declares a horse sold at the fall of the gavel. Buyer’s signature on confirmation of purchase is also acknowledged that Buyer assumes responsibility for the maintenance and care of the animal. Buyer further agrees to indemnify and hold the consignor, the ApHC and Sale Management harmless from all loss, cost and expenses arising from illness, injury or death of such animal, or loss or damage to property, and injury or death of persons, caused by the Buyer, the buyer’s agents or employees, or by the animal subsequent to the time of purchase. This indemnification of the ApHC and Sale Management also applies to any exhibition of the horse at any ApHC approved or sponsored events after the horse has been sold at the sale. Any contract or agreement between Buyer and Consignor which does not involve the ApHC and Sale Management to any extent and PAGE 6

concerning which does not involve the ApHC and Sale Management have no liability whatsoever to buyer and/or consignor and/or any other party and concerning which the buyer and consignor expressly, fully and completely release the ApHC and Sale Management from any responsibility, duty and/or liability of any kind whatsoever.

11. CARE OF HORSE. Effective from the time of purchase, the Buyer assumes all responsibility for the maintenance and proper care of the horse(s). No inhumane treatment, abuse or neglect of any horse(s) will be permitted while horse(s) is on the grounds.

12. RISK OF LOSS. Risk of loss passes from the Consignor to the Buyer upon Buyer’s signature of confirmation of purchase immediately after the horse is declared sold by the auctioneer. This shall especially be the condition in the cases of illness, injury or death of any horse after it has been sold. The buyer agrees to indemnify and hold the consignor, the ApHC and Sale Management harmless from all loss, cost and expense arising from the illness, injury or death of a horse or loss or damage to property and injury or death of person(s) caused by the buyer, the buyer’s agents or employees or by the horse after the horse has been purchased.

13. REMOVAL OF HORSE. All horses must be removed from the auction (and show) grounds by 11:59 a.m. October 30th. Failure to remove the horse(s) for any reason will obligate the Buyer to pay all costs associated with board and transportation of the horse(s).

14. CATALOG ERROR. Every effort has been made to assure correctness of the sale catalog. However, Sale Management, Auctioneers and Announcers are not responsible for errors or omissions, and assume no liability on its part or on the part of Consignor as to any statements made by the Consignor which are printed in the catalog on behalf of Consignor. When errors or omissions are brought to the attention of Sale Management, announcements will be made to correct such errors or omissions. Buyers are cautioned to pay close attention to these announcements made by the Auctioneer or Announcer at time of sale, as these announcements will take precedence over printed matter in the sale catalog.

15. BROODMARES. The seller guarantees all mares were bred to stallions as indicated in the catalog. We believe them to be in foal but are selling them as they are and without return privileges, unless otherwise noted. Broodmares represented by the Consignor to be in foal are subject to palpation exam at Buyer’s request and arrangement on the mare’s exit from the sale ring. Any palpation exams must be performed prior to the removal of the mare from the sale grounds. Removal of the mare from the sale grounds constitutes acceptance of the mare and the buyer accepts the mare as is. Any broodmare so examined with a pregnancy status found not to be as represented at time of sale may be returned to the consignor as unsold and consignor shall pay the veterinarian’s fee for the examination. The buyer will pay for the examination if the mare is found to be as she was represented through the sale. Mares represented as “exposed” or pregnant, but not advanced far enough in gestation to be pronounced safe in foal, are not guaranteed pregnant. Unless otherwise announced at time of sale, any return privileges or any other agree- ments, written or otherwise, that exist between the owner of the covering stallion and the PAGE 7

consignor will terminate at the time of sale and not transfer to the buyer. This shall especially be the condition with respect to, but not limited to, any live foal guarantees, abor- tion of the foal in utero either by natural causes or otherwise, or refund of any stallion service fees, mare care fees, chute fees or veterinarian fees.

16. REGISTRATION CERTIFICATES AND TRANSFERS. All registration certificates and transfer reports will be held by the ApHC for a minimum of twenty (20) banking days from the date of sale or until buyer’s check clears the drawee bank and becomes uncondi- tional credit, whichever is later. Buyer will receive the registration certificate from the ApHC after all paperwork has been processed. Consignor will be responsible for the transfer fee. Buyer will be responsible for any membership fee required by the ApHC.

17. INSPECTION OF HORSE. All prospective buyers are cautioned and hereby urged to examine horses thoroughly before purchasing. Buyers should refer to the LIMITED WARRANTIES condition printed above and read the LIMITED WARRANTIES condition in its entirety. It will be strictly enforced.

18. HEALTH REQUIREMENTS. All horses selling in this sale have met the health requirements for the State of Texas, have been required to have been Coggins tested negative for Equine Infectious Anemia within one year (12 months) prior to the sale and have been required to have undergone a health certificate examination with 30 days of the sale.

19. CHECK LIABILITY. Any person signing a personalized check will be held liable for the amount of the check. Acceptable form of personal identification will be required. No post-dated checks will be accepted. Uncollectible checks will be turned over to the District Attorney for the County of Latah, Idaho, and/or Tarrant County, Texas, and charges will be filed. All returned checks are subject to a $50 fee.

20. LIABILITY. Buyers and spectators are cautioned to be careful while on the grounds and particularly while horses are being shown or sold in the sale ring. All persons attending the sale do so at their own risk. Neither the owners nor any other person connected with this sale assume any liability, legal or otherwise, for accidents to persons or property, before, during or after the sale.

21. CAUTION. Everyone attending this sale agrees to save and hold harmless and indemnify the Appaloosa Horse Club, Sale Management, any hired agents or employees, from and against any and all liability, debt, claims, suits, losses, damages, causes of action, judg- ments, costs and expenses, including attorney’s fees, arising or allegedly arising from personal injury or death of any person or horse, including but not limited to employees of the consignors or buyers, property damage, including loss of use thereof, economical loss or otherwise, arising or growing out of the use of any of the facilities in connection with the sale due in any manner to the negligence or intentional acts of the consignors, buyers or spectators, any of their employees, agents or servants in the performance of any act, error, omission or negligence of Sale Management occurring concurrently with that of the consignors, buyers or spectators contributing to any loss indemnified hereunder.
