    Global Legal and Professional Services Overview of the Cayman Islands Economic Substance Requirements Legislation requiring a “relevant entity” conducting “relevant activity” to file notifications and, unless exempt, to report and maintain economic substance has been introduced in the Cayman Islands. The International Tax Co-operation (Economic Substance) Act and International Tax Co-operation (Economic Substance) (Prescribed Date) Regulations, 2018 were first published on 27 December 2018. The International Tax Co-operation (Economic Substance) Act has subsequently been revised and amended on 22 February 2019, 14 January 2020 and 12 February 2020, and is supported by the International Tax Co-operation (Economic Substance) Regulations, 2020 and the International Tax Co-operation (Economic Substance) (Amendment of Schedule) Regulations, 2020 (together, the “ES Act”). ES Guidance on Economic Substance for Geographically Mobile Activities (“ES Guidance”) was published on 22 February 2019 with version 2 being published on 30 April 2019 and updated on 17 September 2019. Version 3 of the ES Guidance was published on 13 July 2020. This advisory provides an overview of key aspects only and we would be happy to advise in further detail if required. The Cayman Islands is a member of the OECD Inclusive Framework on Base Erosion and Profit Shifting (“BEPS”) and enacted the ES Act in response to requirements for geographically mobile activities to have economic substance developed under BEPS Action 5, consistent with the European Union timeframe to have such requirements in place on 1 January 2019. The ES Act has applied to all entities established before 2019 since 1 July 2019. Similar legislation has been or is being enacted in all OECD-compliant jurisdictions with no or nominal tax, including Bermuda, the British Virgin Islands, Guernsey and Jersey.

    Global Legal and Professional Services ADVISORY Industry Information Guernsey Expands Private April 2021 Investment Funds Regime The Guernsey Financial Services Commission (“GFSC”) has updated its Private Investment Fund (“PIF”) regime to expand the available PIF product options. The Private Investment Fund Rules, 2021 (the “PIF Rules 2021”) were issued on 20 April 2021 together with guidance, and replace with immediate effect the prior Private Investment Fund Rules, 2016. Three alternate PIF routes Under the new PIF Rules 2021, there are now three alternate routes available for PIFs in Guernsey: >> Route 1 – the POI Licensed Manager PIF: This is the existing Guernsey PIF which requires the PIF to have a Guernsey manager that is licensed by the GFSC. All PIFs registered prior to 20 April 2021 will continue to be registered under this route. >> Route 2 – the Qualifying Private Investor PIF: This is a new route that does not require a GFSC-licensed manager. To use this route all investors will have to meet qualifying investor criteria which are designed to ensure investors are restricted to suitably sophisticated investors. >> Route 3 – the Family Relationship PIF: This is also a new route that does not require a GFSC-licensed manager. This route enables a bespoke private wealth structure to be created as a PIF, requiring a family relationship between investors. Although Route 2 and Route 3 do not require the appointment of a GFSC-licensed manager, one can be appointed if desired. Where a PIF takes the form of a limited partnership the general partner will generally need a licence even if the PIF is a Route 2 or Route 3 PIF (although note below regarding certain GFSC rules not applying to that licensed general partner).

    OPINION Bermuda’s evolving legal services landscape Why international law firms bring benefits to our jurisdiction By Ross Webber CEO, BDA Recent moves by leading global law firms to set up offices in Bermuda mark something of a watershed for our jurisdiction. Bermuda has been renowned for its strength and depth with regard to quality lawyers—however, it has not always been heralded for its variety of choice. That looks set to change. International offshore firm Walkers announced in May it planned to open a full-service Bermuda operation in 2015, adding to its current stable of eight other locales around the world. The firm said it plans to offer a broad range of practice areas from the Island, encompassing litigation, insolvency, corporate, investment funds, finance, insurance and trusts. Its intent signals demand for the Bermuda product, as well as confidence in the future of the jurisdiction. “Our clients have long told us that they would value the expansion of Walkers’ service offering to include Bermuda legal advice,” company partner John Rogers noted. “As with our other global offices, we intend to become a major force in the legal services industry in Bermuda and to grow and develop talent in that jurisdiction.” Just last week, fellow offshore leader Harneys followed suit, combining with Bermudian firm Hurrion & Associates to form Harneys Bermuda, a full-service legal and fiduciary services business. And there’s a broader interest about the Island too. Several onshore firms have been examining Bermuda closely with an eye to a possible presence. In April, Canadian firm Bennett Jones formally announced the establishment of its affiliated law practice in the City of Hamilton, with former Toronto-based partner, Bermudian Duncan Card, as Managing Principal.
