(" Chevron") regarding activities ' to be conducted at the NPS's Pawling, New York property. Also, included is the fully executed originals of the three standard certificates which were submitted with the agreement.

Chevron and our contractor NES/IES are anxious to complete the required work at this site and are prepared to initiate on-site activities as soon as final approval is received from the Nuclear Regulatory Commission on the site decommissioning plans and the Confirmatory Order.

This Cooperative Agreement (" Agreement") is made the last date signed and | entered below and will include work done in good faith preparation for this ! Agreement since the 1st day of December, 1992, ("Ef fective Date") between the ! National Park Service ("NPS") and Chevron U.S.A. Inc. (" Chevron") whose authorized representatives have executed this Agreement.

WHEREAS, the NPS has jurisdiction and control over the Appalachian National . i Scenic Trail pursuant to 16 USC 1241 et seg, which includes 1137 acres cf land - I and a 50 acre lake (Nuclear Lake) in the towns of Beekman and Pawling, in ! Dutchess County, New York, hereinafter referred to as the "Pawling Site". The Pawling Site was originally owned by Nuclear Development Associates ("NDA") j which, af ter a few years, became United Nuclear Corporation ("UNC") . The Pawling r Site was sold in 1979 by Harpoon, Inc., a fully owned subsidiary of UNC, to the ) United States for use by the NPS as part of the Appalachian National Scenic

Trail; and : ! WHEREAS, NDA, and subsequently UNC, conducted licensed nuclear fuels j research and development at the Pawling Site beginning.in 1958. Then licenses | were transferred in 1971 to a new corporation formed by Gulf Oil Corporation (57% | ownership) and UNC (43% ownership), known as Gulf United Nuclear Fuels : Corporation ("GUNFC"). As of September, 1973 GUNFC became a wholly owned !

subsidiary of Gulf Oil known as Gulf Nuclear Fuel Corporation ("GNFC") . Chevron < as successor in interest to-GNFC will voluntarily participate in this agreement | on behalf of GNFC; and .! WHEREAS, all nuclear fuels research and development at the Pawling Site | i ceased in December 1972; and i, 3

WHEREAS, GNFC subsequently remediated radioactive contamination from the |

Pawling Site, had the Pawling Site " Released for Unrestricted Use" by the Nuclear ; Regulatory Commission ("NRC") and had all nuclear licenses terminated, and i WHEREAS, Oak Ridge Associated Universities report ORAU 88/G-89, "Radiologi- cal Survey of the Nuclear Lake Site, Pawling, New York, July 1988", identified + portions of the Pawling Site with radioactive levels which exceed current. i regulatory guidelines; and WHEREAS, NPS issued Special Use Permit No. WASO APPA 5700 081 effective I from December 1,1992, through December 31, 1993, to Chevron, authorizing Chevron . and its contractor (s) to perform remediation activities and demolition and ' disposal activities; and , WHEREAS, without a'dmitting any f act, responsibility, fault or liability in . conne' tion with the Pawling Site, the NPS and Chevron have reached an Agreement- ' in-Principle dated September 18, 1992/ November 13, 1992, for sharing costs for :

remediation and building demolition and disposal activities; and , ; WHEREAS, the parties wish to set forth their respective rights and - i obligations regarding such cost sharing and conduct of the remediation and | building demolition and disposal activities; anc ;

WHEREAS, this entire Agreement is contingent upon satisfactorily reaching agreement in regard to a Confirmatory Order among Chevron, the NPS and the NRC; and WHEREAS, legal authority for this agreement is contained in the National- Trails System Act, 16 USC 1241 et seg, section 7 (h) (1) which states that when , deemed in the public interest the Secretary may enter into written cooperative | agreements with private organizations to perform maintenance work on the trail | NOW, THEREFORE, for and in consideration of the foregoing premises and of the mutual promises set forth below, the parties agree, with the intention of ) being legally bound, to the following:

1 1. Remedial Work

1.1 Chevron will remediate the radioactively contaminated portions of the Pawling Site as identified in the Oak Ridge Associated Universities report ORAU 88/G-89, " Radiological Survey of the Nuclear Lake Site, Pawling, New York, July 1988", which exceed current regulatory guidelines. This remedial work explicitly excludes any work on Nuclear Lake, itself.

Specifically, the activities include the decontamination and disposal of materials having radioactive contamination exceeding the current regulatory guidelines in the following areas:

1. The Plutonium Facility. 2. The Multiple Failure Building.

3. Soils adjacent to the Plutonium Facility and in the area i between the Plutonium Facility and Wa'ste Disposal Building. j 4. Soils in the area of the storm drain of the Shield Mock-Up ) Building. These activities include the necessary surveys and analyses, conducted concurrently with remediation efforts to properly carry out the required decontamination as detailed in the site decommissioning plans. The NPS, in cooperation with Chevron will pursue obtaining access to a Department of Energy disposal site for radioactive contaminated materials. Radioactive waste will be disposed of at a mutually acceptable, licensed facility.

1.2 Chevron will conduct demolition and disposal of the below listed non-contaminated buildings and facilities at the Pawling Site except the Remote Assembly Building . (Caretaker's residence) . The specific buildings and facilities include:

1. Plutonium Facility 2. Waste Disposal Building 3. Multiple Failure Building 4. Shield Mock-Up Building 5. Critical Facility 6. Lodge (cabin near lake) 7 Engineering Building 8. Emergency Generator Building 9. Paved Parking Areas 10. Septic System (1) 11. Underground Storage Tanks (4), excluding contaminated media, if any ' 12. Utilities (water, phone, electric) 13. On-site debris (shielding materials, metal wastes) 14. Removal of asbestos containing material prior to demolition of above buildings and facilities. . , ' . .

j : 3 1 i The NPS will have the full responsibility for selecting an off-site or i combination on-site and off-site disposal method for the proper disposal !

of all non-radioactive contaminated wastes, including any required , manifesting of such wastes. I

The contractor selected to perform the demolition and disposal of non- contaminated buildings and facilities will submit alternatives for off- site and for combination on-site and off-site disposal. The NPS will elect which alternative to use.

Mixed wastes, if any, will be jointly the responsibility of Chevron and - the NPS.

2. Contractino. Administration. and Suoervision >

Chevron, in conjunction and cooperation with the NPS and their personnel, will perform the necessary contracting, administration, and supervision to complete all work called for in the Remedial Work identified in Paragraph 1, above. The NPS will review the Procurement Procedures used by Chevron for accomplishment of the work described in Paragraph 1.1 and 1.2. NPS approval of the procedures used by Chevron is required prior to the accomplishment of work or expenditure of funds provided by the NPS under this Agreement.

r 3. Cost Sharinc

3.1. Chevron and the NPS will share all costs equally (on a fifty-fifty percent basis) for accomplishment of:

3.1.1. Remediation of the radioactive contaminated portions of the Pawling Site as stated in paragraph 1.1, above. This includes costs incurred prior to the execution of this Agreement relating to up- front engineering work perfomed by NES/IES and costs relating to obtaining a variance and permit necessary for disposal of radioactive waste to Chem Nuclear *s Barnwell, South Carolina waste facility.

3.1.2. Disposal of radioactive contaminated materials. Waste ship- ments will be packed in containers and 50% of the containers will be manifested by Chevron and 50% by the NPS. If an odd number of containers are packed then the NPS and Chevron jointly will manifest any such odd waste shipment.

For radiological work, Chevron will be invoiced for 100% of the cost of the services provided. Chevron will use funds provided by NPS to pay for 50% of the invoiced amount.

. The NPS will provide funds in advance for payment of the NPS portion of costs incurred by Chevron in accordance with a payment schedule as mutually agreed upon by Chevron and the NPS. Payment will be made by Treasury check or other means suitable to both Chevron and the NPS. 3.1. 3. , Contracting, supervision, and administration provided by Chevron. These activities are valued at a total fixed cost of * $150,000 for all remedial work identified in Paragraph 1, above. Payment of the NPS's share of this cost is due to Chevron as follows: ______.

a) $40,000 upon completion of the Final Radiological Site i Survey,

b) $35,000 upon initiation of demolition and disposal of non- contaminated buildings and facilities. The total costs identified in this paragraph (3.1) are not to exceed $370,000 for each party. However, if costs for each party do exceed $370,000; the parties will mutually detemine their willingness and ability to proceed.

3.2. The NPS will assume all (1001) of the costs for the demolition and disposal of the non-radioactive contaminated buildings, facilities and , other wastes as identified in Paragraph 1.2, above. The NPS will provide funds in advance to Chevron prior to the accomplishment of each phase of the work according to a payment schedule as mutually agreed by Chevron and NPS. Payment will be made by Treasury check or other means suitable to both Chevron and NPS. All invoices for building demolition and disposal will be made out to and submitted to Chevron. Chevron will review the

invoices as to their accuracy and acceptability of charges and notify the , NPS of such review within seven working days of receipt. Payment of invoices will then be made directly by Chevron.

The total costs identified in this paragraph (3.2) are not to exceed . $350,000, unless approved by the NPS, in which case these costs will be the responsibility of the NPS. ~

4. Accroval by the National Park Service

By signing this Agreement, the NPS concurs with conducting the Remedial , Work identified in P~aragraph 1 and agrees with the Cost Sharing terms I identified in Paragraph 3. As such, this constitutes the NPS's prior written approval for Chevron to carry out the activities identified herein.

5. Reportino Recuirements Monitoring and reporting program performance will be accomplished by providing the NPS with copies of all work plans, status reports, invoices, | manifests and any other correspondence generated in the course of ! conducting the work identified in Paragraph 1 of this Agreement. i Significant variations from work plans and cost estimates will be reported j to the NPS in writing.

6. Liability and Indemnification By entering this Agreement, neither party agrees to assume any legal liability for any conditions on the Pawling Site. Neither NPS nor ; Chevron, by entering into this Agreement or by contributing funds for the work done hereunder, assumes any liability of the other party for , conditions on the Pawling Site. Each party assumes legal responsibility ' for the actions arising out of the activities solely caused by itself. Additional liability and indemnification language is included in the Special Use Permit which is attached to, and made part of this Agreement. Liability and indemnification language as pertaining to the contractor is included in the Chevron /NES Contract No. C-092385 dated December 10, 1992. . .

7. Susoonsion and Termination Procedures This Agreement may be terminated in whole or in part by either the NPS or Chevron as per the terms identified in the attached " General Provisions", Section 14; Suspension and Termination Procedures. Chevron will have all the rights of suspension and termination that have been given to the NPS under this Section. If either party fails to comply with the terms of this agreement the non-failing party will have the rights described in ' this Section. This Cooperative Agreement will terminate on December 31, 1993, unless ' extended by mutual agreement of both parties in order to complete the purposes of the Agreement.

9. Special Provisiens ~~

9.1. Special Use Permit WASO APPA 5700 081 is attached hereto and made part of this Agreement. The provisions of the Special Use Permit apply , except as modified by the Cooperative Agreement. , 9.2 The "NPS General Provisions for Cooperative Agreements", are attached hereto and made part of this Agreement. The general provisions apply except as modified by the Cooperative Agreement and the Special Use Permit. 9.3. This Agreement is contingent upon issuance of a' Confirmatory Order by the Nuclear Regulatory Commission (NRC) that is acceptable to Chevron and the NPS. This acceptance shall be documented in letter f orm. In the event such Confirmatory Order issued by NRC is not agreeable to both parties, this Agreement is void and of no effect.

10. Severability If any provision of this Agreement is deemed invalid or unenforceable, the balance of this Agreement shall remain in full force and effect.

11. Entire Aeroement This Agreement, including any exhibits or attachments hereto, constitutes the entire understanding of the NPS and Chevron with respect to its subject matter and supersedes any earlier versions, drafts or forms of this Agreement. 'a , . . < |

12. Purpose of Acreement This Agreement is entered into by the parties in order to further the protection, operation, and maintenance of the Appalachian National Scenic Trail. It is the intent of the parties, that by accomplishing the radiological decontamination, demolishing the former radiological research buildings, and facilitating confirmatory testing by the Nuclear Regulatoim/ Commission, thereby releasing the site for Unrestricted Use, that the Pawling Site will be made available for the use and enjoyment of the public as part of the Appalachian National Scenic Trail. It is further the purpose of this Agreement that through the accomplishment of the work that is subject to this Agreement that neither party will initiate any future actions to recover costs from the other party for abatement of radioactive or other contamination at the Pawling Site.

24. Purpose and Restrictions:

It is the purpose of this Permit to allow certain radiological- - assessnent, surveying, characterization, cleanup and renoval of avinting radiological contmination on the NPS-owned Nuclear Lake Site by Chevron through its contractor (s) or agents. This Permit is issued with the understanding that the laws, standards, practices, codes, regulations, and all other applicable legal and procedural guidelines established by Federal agencies (Nuclear Regulatory Connission, occupational Safety and Health Adminictration, Environmental Protection Agency and others), State (New York Depart =ent of Environmental Conservation, New York Department of Labor, New York Department of Health), and.any local laws and/or regulations applicable to nuclear materials safety, handling, measurement, evaluation, and practices vill be adhered to by the Per=ittee.

The intended end result of the Per=ittee's activities is that the i lands and buildings cleaned of radiological contamination will be ! left in a condition which will allow them to be used without * restriction or health hazard by the National Park Service. intended uses include public recreational activities on the landsSuch and the disposal of un-needed structures and materials as ordinary (non-hazardous) construction vaste. The Permittee agrees to abide by a detailed work plan to be submitted by the Per=ittee to the National Park Service and the Nuclear Regulatory Co~" ssion for approval prior to the commencement of any work on -lis project.

Dear Mr. Byrne: This letter is in response to your September 18, 1992 proposal regarding the National Park Service ("NPS") and Chevron entering ! into a Cooperative Agreenent to conduct radioactive remediation and ' demolition activities at the NPS property near Pawling, New York. * As indicated by the enclosed executed copy of your September 18, 1992 proposal, Chevron Corporation accepts this proposal, in - principle, pending the satisfactory resolution of all outstanding issues relating to the Cooperative Agreement and the subsequent satisfactory negotiation of a Confirmatory Order with the Nuclear Regulatory Cor. mission ("NRC"). [ Chevron will begin preparing an initial draft of the Cooperative Agreement in an effort to finalize negotiations and expediently , move toward the initiation of on-site activities. Chevron is currently investigating the feasibility of, and if possible, intends to pursue, the removal and disposal of radioactive contaminated soil from this site to Chem-Nuclear's Barnwell, South Carolina disposal facility prior to December 31, 1992. Disposal of radicactive contaminated waste at Barnwell prior | to year-end will result in a savings of approximately $100/ cubic ' foot of radioactive waste disposed. In order to take advantage of your offer to perform maintenance work to remediate the radioactive contamination at the site, to administer the removal of contaminated and uncontaminated buildings.and other structures, to share in the financial cost of radioactive contamination remediation and contract administration work, the National Park Service is willing to enter into a Cooperative Agreement with Chevron. We offer the following modifications to your proposal: . 1. Renedial Werk 1.1. Chevron Corporation will remediate the radioactively contaminated portions of the site as identified in the Oak Ridge Associated Universities report ORAU 88/G-89, " Radiological Survey of the Nuclear Lake Site, Pawling, New York, July 1988", which exceed regulatory guidelines. 1.2.
