(each a Grantor and together the Grantors), and:
3 Web.com Group, Inc. of 5335 Gate Parkway, Jacksonville, FL United States (Web.com)
Background
A The Grantors hold the Relevant Shares in their Respective Proportions.
B Web.com intends to enter into the Scheme Implementation Deed under which it proposes to acquire 100% of the issued share capital in Dreamscape by way of the Scheme.
C The Grantors have agreed to grant to Web.com options to acquire the Relevant Shares in their Respective Proportions on the terms and conditions of this deed.
The parties agree:
1 Defined terms and interpretation
1.1 Definitions in the Dictionary
A term or expression starting with a capital letter:
(a) which is defined in the Dictionary in Schedule 1 (Dictionary), has the meaning given to it in the Dictionary; and
(b) which is defined in the Corporations Act, but is not defined in the Dictionary, has the meaning given to it in the Corporations Act.
1.2 Interpretation
The interpretation clause in Schedule 1 (Dictionary) sets out rules of interpretation for this deed.
1.3 Web.com Sub
(a) Web.com may nominate any wholly-owned Subsidiary of Web.com (Web.com Sub) to acquire the Relevant Shares by giving written notice to the Grantors (Sub Notification).
(b) If Web.com nominates a Web.com Sub to acquire the Relevant Shares, then:
(i) references in this deed to Web.com acquiring the Relevant Shares, or taking any other action under or in respect of the Options, are to be read as references to the Web.com Sub doing so;

(ii) other references in this deed to Web.com are to be read as references to Web.com or Web.com Sub (as the context requires);
(iii) the parties must procure that the Relevant Shares transferred under an Option are transferred to Web.com Sub, rather than Web.com;
(iv) Web.com must procure that Web.com Sub complies with its obligations under this deed and under the Options; and
(v) any such nomination will not relieve Web.com of its obligations under this deed, including the obligation to pay (or procure the payment by Web.com Sub of) the applicable Purchase Price in accordance with the terms of the Options. However, the Grantors agree that Web.com will not be in breach of this deed for failing to discharge an obligation of Web.com under this deed if the Web.com Sub fully discharges that obligation.
2 Conditions precedent
2.1 Condition applicable to both Options
Clauses 3, 4 and 5 have no effect unless and until Web.com has entered into the Scheme Implementation Deed.
2.2 Condition applicable to Second Option only
Clause 3.2 (and clauses 3.3 – 3.7, 4 and 5, to the extent they relate to the Second Option granted under clause 3.2) have no effect unless and until either:
(a) Web.com has received a written notice under FATA from the Treasurer (or his delegate) stating that, or to the effect that, the Commonwealth Government does not object to the acquisition of all the Relevant Shares by Web.com (or its nominee) under the Option, either without condition or on terms that are acceptable to Web.com (acting reasonably); or
(b) following notice of the potential acquisition of all the Relevant Shares by Web.com (or its nominee) under the Option having been given by Web.com to the Treasurer under FATA, the Treasurer ceases to be empowered to make any order under part 3 of FATA.
2.3 No waiver
These Conditions in this clause 2 cannot be waived.
3 Options
3.1 Grant of First Option
(a) In consideration for the payment of A$10 (receipt of which is acknowledged by execution of this deed) by Web.com to each Grantor, each Grantor grants to Web.com an irrevocable right to purchase its Respective Proportion of the First Option Shares for the applicable Purchase Price in accordance with the terms of this deed (First Option).
(b) The Option confers on Web.com the right, but not the obligation, to give the Grantors the Exercise Notice in respect of the First Option Shares.

3.2 Grant of Second Option
(a) In consideration for the payment of A$10 (receipt of which is acknowledged by execution of this deed) by Web.com to each Grantor, each Grantor grants to Web.com an irrevocable right to purchase its Respective Proportion of the Second Option Shares for the applicable Purchase Price in accordance with the terms of this deed (Second Option).
(b) The Option confers on Web.com the right, but not the obligation, to give the Grantors the Exercise Notice in respect of the Second Option Shares.
3.3 Option Period
The Option Period, in respect of an Option, is:
(a) the period commencing on the later of:
(i) the date of this deed; and
(ii) the date on which all of the Conditions in clause 2 (to the extent applicable to the relevant Option) have been satisfied; and
(b) ending on the earlier of:
(i) Web.com terminating the Scheme Implementation Deed in accordance with clause 13.1 or 13.3 of the Scheme Implementation Deed; and
(ii) within 10 Business Days of the Scheme becoming Effective.
3.4 Lapse of Options
(a) Subject to clause 3.4(b), the Options lapse at the end of the Option Period.
(b) The Options lapse immediately if, subject to clause 3.4(c), the Scheme is not approved by Dreamscape shareholders at the Scheme meeting or the Court refuses to approve the Scheme under section 411(4)(b) of the Corporations Act and all avenues of appeal of the Court’s decision by Dreamscape or Web.com have been exhausted.
(c) Where the Scheme fails at the Scheme meeting by reason only of the non- satisfaction of the Headcount Test, the Options will not lapse until the earlier of:
(i) Web.com giving notice in writing to Dreamscape that it does not intend to apply for an order of the Court contemplated by section 411(4)(ii)(A) of the Corporations Act to disregard the Headcount Test; and
(ii) the end of the Option Period.
3.5 Effect on lapsing
Upon lapsing, an Option is of no further force or effect and (without prejudice to any accrued rights or obligations of either party) neither party will have any continuing rights or obligations in respect of the Option.

3.6 Exercise of Option
(a) Subject to clause 3.6(b), Web.com may exercise an Option by signing and delivering an Exercise Notice to the Grantors in respect of that Option at any time during the applicable Option Period.
(b) Web.com may not exercise an Option by giving an Exercise Notice:
(i) unless and until the Independent Expert concludes that the Scheme is in the best interests of Dreamscape shareholders; or
(ii) if a Competing Proposal is announced by any Third Person prior to Web.com exercising the Option and Dreamscape gives Web.com a Relevant Notice (and has otherwise complied with clause 10.6) of the Scheme Implementation Deed, unless and until Web.com Matches the Proposal.
3.7 Time of exercise of Option
An Option is taken to have been exercised at the time when a signed Exercise Notice in respect of that Option is deemed to have been received by the recipient in accordance with clause 11.9.
4 Sale and purchase of Relevant Shares
4.1 Agreement to sell and purchase
Upon the exercise of an Option, each Grantor irrevocably agrees to sell and transfer to Web.com, and Web.com irrevocably agrees to purchase from the Grantor, that Grantor’s Respective Proportion of the First Option Shares or the Second Option Shares (as the case may be) subject to the Exercise Notice for the applicable Purchase Price on the terms and conditions of this deed.
4.2 Transfer and assignment free from Security Interests
Any Relevant Shares transferred under this deed must be transferred free from any Security Interest, and with all rights, including dividend or interest rights, attached or accruing to them on and from the date of Completion.
5 Completion
5.1 Time and place of completion
If an Option is exercised, Completion in respect of that Option will take place at 10.00am on the Completion Date in respect of that Option at the Sydney offices of Gilbert + Tobin, or such other time and place as the Grantors and Web.com may agree in writing.
5.2 Transfer of Relevant Shares
On Completion:
(a) each Grantor shall sell and transfer or procure the sale and transfer (as relevant) to Web.com, and Web.com shall purchase from the Grantor, that Grantor’s Respective Proportion of the First Option Shares or Second Option Shares (as the case may be) subject to the Exercise Notice; and

(b) the Grantors and Web.com shall execute and deliver all necessary documents and give all necessary instruments as reasonably required by the other to ensure that all right, title and interest in the First Option Shares or Second Option Shares (as the case may be) passes from the Grantors to Web.com free from all Security Interests.
5.3 Payment of Purchase Price
On Completion, Web.com shall pay, or procure the payment to, each Grantor the applicable Purchase Price in respect of the First Option Shares or Second Option Shares (as the case may be) in cash to an account nominated by that Grantor in immediately available funds.
5.4 CHESS transfers
Any Relevant Shares are taken to have been transferred pursuant to clause 5.2:
(a) on the transfer of title in accordance with the ASX Settlement Operating Rules and procedures of CHESS (or such other computer based system which provides for the recording and transfer of title by way of electronic entries, delivery and transfer of title, used by Dreamscape from time to time); or
(b) by such other manner as agreed between the parties.
5.5 Obligations
Each of the obligations in clauses 5.2 to 5.4 are interdependent and Completion in respect of an Option will not occur unless the obligations in clauses 5.2 to 5.4 are complied with and are fully effective.
6 Other undertakings in relation to Dreamscape Shares
6.1 Acknowledgement
(a) Each Grantor:
(i) acknowledges that it is currently minded to vote its Relevant Shares in favour of any Dreamscape shareholder resolution required to approve or give effect to the Scheme, in the absence of a Superior Proposal and subject to the Independent Expert concluding that the Scheme is in the best interests of Dreamscape shareholders; and
(ii) authorises Dreamscape and Web.com to publicly make reference to such current intention regarding its support.
(b) For the avoidance of doubt, the parties agree that nothing in this deed restricts the ability of a Grantor to exercise the votes attaching to the Dreamscape Shares in its absolute discretion.
6.2 Continuing notice obligation
If a Grantor becomes aware of the existence of a Competing Proposal (whether or not it is approached by any other person(s) in relation to that Competing Proposal), it must immediately inform the Dreamscape board of directors and disclose to Dreamscape the name of that person(s) and all material terms known by the Grantor in relation to the Competing Proposal.

6.3 No disposal
Each Grantor agrees, during the period commencing on the date of this deed and ending on the earlier of:
(a) the end of the Option Period; and
(b) Web.com receiving a written notice under FATA from the Treasurer (or his delegate) prohibiting the acquisition of the Relevant Shares by Web.com (or its nominee) under the Options,
that it will not:
(c) deal with, sell or otherwise part with possession of (including by the entry into a swap or other synthetic, economic or derivative transaction) its Respective Proportion of the Relevant Shares;
(d) create, permit, suffer to exist, or agree to, any interest or Security Interest in respect of its Respective Proportion of the Relevant Shares; or
(e) agree to do anything referred to in paragraphs (c) and (d) above,
other than:
(f) in accordance with this deed; or
(g) with the prior written consent of Web.com.
7 General representations and warranties
7.1 Grantors
The Grantors jointly and severally represent and warrant to Web.com that:
(a) (title) each Grantor is the legal and beneficial owners of, and can transfer, its Respective Proportion of the Relevant Shares free from all Security Interests;
(b) (incorporation and existence) Cloudsafe has been incorporated as a company limited by shares in accordance with the laws of its place of incorporation, is validly existing under those laws, and has power and authority to carry on its business as it is now being conducted;
(c) (power) each Grantor has power to enter into this deed and to fulfil its obligations under it;
(d) (no contravention or exceeding power) this deed and the transactions under it which involve a Grantor do not contravene its constituent documents (if any) or any law or obligation by which it is bound or to which any of its assets are subject or cause a limitation on its powers (or, to the extent applicable, the powers of its directors) to be exceeded;
(e) (authorisations) it has in full force and effect the authorisations necessary for it to enter into this deed, to comply with its obligations and exercise its rights under it, and allow it to be enforced;

(f) (validity of obligations) its obligations under this deed are valid and binding and are enforceable against it in accordance with its terms; and
(g) (solvency) no Insolvency Event has occurred in relation to it.
7.2 Web.com
Web.com represents and warrants to the Grantors that:
(a) (capacity to pay) it has in place legally binding and enforceable commitments that will ensure that, by Completion, it will have available to it, unconditionally, sufficient cash amounts to satisfy Web.com’s obligation to pay the Purchase Price in accordance with its obligations under this deed;
(b) (incorporation and existence) it has been incorporated as a company limited by shares in accordance with the laws of its place of incorporation, is validly existing under those laws and has power and authority to carry on its business as it is now being conducted;
(c) (power) it has power to enter into this deed and to fulfil its obligations under it;
(d) (no contravention or exceeding power) this deed and the transactions under it which involve it do not contravene its constituent documents (if any) or any law or obligation by which it is bound or to which any of its assets are subject or cause a limitation on its powers (or, to the extent applicable, the powers of its directors) to be exceeded;
(e) (authorisations) subject to clause 2.2, it has in full force and effect the authorisations necessary for it to enter into this deed, to comply with its obligations and exercise its rights under it, and allow it to be enforced;
(f) (validity of obligations) its obligations under this deed are valid and binding and are enforceable against it in accordance with its terms; and
(g) (solvency) no Insolvency Event has occurred in relation to it.
7.3 Continuation of representations and warranties
The representations and warranties in clauses 7.1 and 7.2 are taken to be made on the date of this deed, on the date of the exercise of the Option and again on Completion.
7.4 Survival of warranties
The representations and warranties in clauses 7.1 and 7.2 survive the execution of this deed.
7.5 Reliance
Each party acknowledges that the other party has entered into this deed and agreed to take part in the transactions that it contemplates in reliance on the warranties made or repeated in this clause 7.
8 Counter Proposal or On-sale
(a) If, after a Sale:

(i) a Competing Proposal is announced by any Third Person and Dreamscape gives Web.com a Relevant Notice (and has otherwise complied with clause 10.6) of the Scheme Implementation Deed; and
(ii) Web.com makes a Counter Proposal that Matches the Proposal,
Web.com must, within 10 Business Days after the Dreamscape Board recommends the Counter Proposal to Dreamscape shareholders, pay to each Grantor the amount calculated in accordance with the following formula:

where:
A = the amount payable to that Grantor;
R = the Grantor’s Respective Proportion;
B = the Purchase Price under the Scheme after being amended to give effect to the Counter Proposal;
C = the Purchase Price under the Scheme prior to any amendment to give effect to the Counter Proposal; and
S = the number of Relevant Shares the subject of the prior Sale,
in cash to the account nominated by that Grantor in immediately available funds.
(b) If, within 6 months of a Sale, Web.com disposes of any Relevant Shares under the terms of, or by accepting into, a Competing Proposal (On-sale Shares) and receives payment for the On-sale Shares under the Competing Proposal (On-sale Proceeds), Web.com must within 10 Business Days after receiving the On-sale Proceeds pay to each Grantor the amount calculated in accordance with the following formula:

where:
A = the amount payable to that Grantor;
R = the Grantor’s Respective Proportion;
V = the Value of the On-sale Proceeds;
P = the Purchase Price;
S = the number of On-sale Shares; and
T = any amount of any capital gains or other tax or duty incurred by Web.com in connection with the disposal of the On-sale Shares,
in cash to the account nominated by that Grantor in immediately available funds.

9 Term and termination
(a) Subject to clause 9(b), this deed automatically terminates without any liability:
(i) if no Option has been exercised by the end of the Option Period, at the end of the Option Period; or
(ii) if an Option has been exercised by the end of the Option Period, on the date that is 6 months after the end of the Option Period.
(b) Termination of this deed will not prejudice any right, remedy or obligation accrued prior to termination of this deed, or any obligation that is expressed to survive termination of this deed.
10 Confidentiality and public announcements
(a) Each party must keep the existence and terms of this deed confidential, except where:
(i) the information is in the public domain (other than as result of a breach of this deed);
(ii) disclosure is required by law, a Governmental Agency, or the operating or listing rules of a relevant stock exchange; or
(iii) disclosure is made to a Related Body Corporate or a professional adviser (or an officer or employee) solely for the purposes of this deed and only to the extent that such disclosure is reasonably necessary for the purposes of this deed.
(b) Any public announcement, press release or other communication of any kind relating to this deed or the transactions contemplated by this deed must be agreed by the parties except if it must be made by law or order of any court, tribunal, authority or Governmental Authority (including a relevant stock exchange), in which case the parties must promptly consult with each other as to the extent and form of the required disclosure.
11 General
11.1 Costs
Each party must pay its own legal and other costs and expenses in connection with the negotiation, preparation, execution and completion of this deed.
11.2 Governing law
This deed is governed by the laws in force in the state of Western Australia and the parties submit to the non-exclusive jurisdiction of the courts of that state and the courts that hear appeals from those courts.
11.3 Assignment, novation and other dealings
A party must not assign or novate this deed or otherwise deal with the benefit of it or a right under it, or purport to do so, without the prior written consent of each other party.

11.4 Consents and approvals
Except as expressly provided in this deed, a party may conditionally or unconditionally in its absolute discretion give or withhold any consent or approval under this deed.
11.5 Survival and merger
(a) No term of this deed merges on Completion or completion of any transaction contemplated by this deed.
(b) Clauses 8 and 10 survive termination or expiry of this deed together with any other term which by its nature is intended to do so.
11.6 Counterparts
This deed may be executed in any number of counterparts, each of which, when executed, is an original. Those counterparts together make one instrument.
11.7 Cumulative rights
Except as expressly provided in this deed, the rights of a party under this deed are in addition to and do not exclude or limit any other rights or remedies provided by law.
11.8 Further assurances
Except as expressly provided in this deed, each party must, at its own expense, do all things reasonably necessary to give full effect to this deed and the matters contemplated by it.
11.9 Notices
A notice, consent or other communication under this deed (Notice) is only effective if:
(a) it is in writing, signed by or on behalf of the party giving it; and
(b) it is directed to the recipient’s address for Notices as follows:

(c) it is signed by the sender (if an individual) or an Officer of the sender;
(d) either:
(i) delivered by hand or sent by pre-paid mail (by airmail if sent to or from a place outside Australia) to the recipient’s address; or
(ii) sent by email to the recipient’s email address;
(e) deemed to be received by the recipient:
(i) if hand delivered, on delivery;
(ii) if sent by prepaid post, the second Business Day after the date of posting (or the seventh Business Day after the date of posting if posted to or from outside Australia); or
(iii) if sent by email:
(A) when the sender receives an automated message confirming delivery; or

(B) 2 hours after the time sent (as recorded on the device from which the sender sent the email) unless the sender receives an automated message that the email has not been delivered,
whichever happens first,
but if the delivery or transmission under clause 11.9(e)(i) or 11.9(e)(ii) is not on a Business Day or after 5.00pm on a Business Day, the Notice is taken to be received at 9.00am on the Business Day after that delivery, receipt or transmission.
11.10 Severability
Any term of this deed which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity or enforceability of the remainder of this deed is not affected.
11.11 Variation
No variation of this deed is effective unless made in writing and signed each party.
11.12 Entire agreement
This deed supersedes all previous agreements about its subject matter and embodies the entire agreement between the parties about its subject matter, and that neither party has any liability to the other in respect of any obligations under such previous agreements.

Schedule 1 Dictionary
In this deed:
ASX means ASX Limited ABN 98 008 624 691 or the financial market operated by it.
ASX Settlement Operating Rules means the operating rules of ASX Settlement Pty Limited ABN 49 008 504 532.
Australian Dollar Equivalent means the amount in Australian dollars based on the buy price quoted in the Australian Financial Review (print edition) for the Retail Market on the relevant day (or, if not published on that day, then the buy price quoted in the Australian Financial Review for the Retail Market when it is next published in print).
Business Day means a day on which banks are open for business excluding Saturdays, Sundays and public holidays in Sydney and Perth, Australia.
CHESS has the meaning given in the ASX Settlement Operating Rules.
Competing Proposal has the meaning given in the Scheme Implementation Deed.
Completion means completion of a Sale in accordance with clause 5.
Completion Date, in respect of an Option, means 10 days after the Exercise Date in respect of that Option (or such other date as the parties agree in writing, both acting reasonably), and all references in this deed to the Completion Date in respect of that Option shall mean the day of Completion in respect of that Option.
Condition means a condition in clause 2.
Corporations Act means the Corporations Act 2001 (Cth).
Counter Proposal has the meaning given in clause 10.6(d) of the Scheme Implementation Deed.
Dreamscape means Dreamscape Networks Limited (ABN 98 612 069 842).
Dreamscape Share means one fully paid ordinary share in Dreamscape.
Effective has the meaning given in the Scheme Implementation Deed.
Exercise Date means the date on which an Exercise Notice is given.
Exercise Notice means the notice referred to in clause 3.6(a) in the form set out in Schedule 2.
First Option means the option granted under clause 3.1.
First Option Shares means 38,884,665 Dreamscape Shares (representing approximately 9.9999% of the total issued share capital in Dreamscape as at the date of this deed) which, for the avoidance of doubt, do not include the Second Option Shares.
Governmental Agency means a government or a governmental, semi-governmental, statutory or judicial entity or authority or any minister, department, office or delegate of any government, whether in Australia or elsewhere. It also includes a self-regulatory organisation established under statute or a stock exchange.

Headcount Test means the requirement under section 411(4)(a)(ii)(A) of the Corporations Act that the resolution to approve the Scheme at the Scheme meeting is passed by a majority in number of Dreamscape shareholders present and voting, either in person or by proxy.
Independent Expert has the meaning given in the Scheme Implementation Deed.
Insolvency Event means the occurrence of any one or more of the following events in relation to any person:
(a) an application is made to a court for an order, or an order is made, that it be wound up, declared bankrupt or that a provisional liquidator or receiver or receiver and manager be appointed, and the application is not withdrawn, struck out or dismissed within 15 Business Days of it being made;
(b) a liquidator or provisional liquidator is appointed and the action is not stayed, withdrawn or dismissed within 15 Business Days of it being made;
(c) an administrator is appointed to it under sections 436A, 436B or 436C of the Corporations Act and the action is not stayed, withdrawn or dismissed within 15 Business Days of it being made;
(d) a ‘controller’ (as defined in section 9 of the Corporations Act) is appointed to it or in relation to the whole, or a substantial part, of its assets and the action is not stayed, withdrawn or dismissed within 15 Business Days of it being made;
(e) a receiver is appointed to it or in relation to the whole, or a substantial part, of its assets and the action is not stayed, withdrawn or dismissed within 15 Business Days of it being made;
(f) it enters into an arrangement or composition with one or more of its material creditors, or an assignment for the benefit of one or more of its material creditors, in each case other than to carry out a reconstruction or amalgamation while solvent;
(g) it is insolvent as disclosed in its accounts or otherwise, states that it is insolvent or otherwise is, or states that it is, unable to pay all its debts as and when they become due and payable, unless the entity has, or has access to, committed financial support from a parent entity such that it is able to pay its debts;
(h) it ceases to carry on business or threatens to do so;
(i) if the person is a trustee of a trust, it incurs a liability while acting or purporting to act as trustee (or co-trustee) or general partner of a trust or partnership (including a limited partnership) and the person is not entitled to be fully indemnified against the liability out of trust or partnership assets because of one or more of the following:
(i) a breach of trust or obligation as partner by the person;
(ii) the person acting outside the scope of its powers as trustee or partner;
(iii) a term of the trust or partnership denying, or limiting, the person's right to be indemnified against the liability; and
(iv) the assets of the trust or partnership being insufficient to discharge the liability; or

(j) anything occurs under the law of any jurisdiction which has a substantially similar effect to any of the events set out in the above paragraphs of this definition.
Matches the Proposal means, in relation to a Competing Proposal in respect of which Dreamscape has given a Relevant Notice to Web.com, that Web.com makes a Counter Proposal and the Dreamscape directors:
(a) determine that the Counter Proposal would be more favourable to Dreamscape than the Competing Proposal; or
(b) recommend the Counter Proposal to Dreamscape shareholders.
Notice has the meaning given in clause 11.9.
Officer means, in relation to a body corporate, a director or secretary of that body corporate.
Option means the First Option and/or the Second Option (as the context requires).
Option Period has the meaning given in clause 3.2.
PPS Act means the Personal Property Shares Act 2009 (Cth).
PPS Security Interest means a security interest as defined in the PPS Act.
Purchase Price means in respect of each Relevant Share, an amount equivalent to the offer price under the Scheme.
Related Body Corporate has the meaning given in the Corporations Act.
Relevant Notice has the meaning given in the Scheme Implementation Deed.
Relevant Shares means the First Option Shares and/or the Second Option Shares (as the context requires).
Respective Proportion means:
(a) in relation to Mark Evans, 2%; and
(b) in relation to Cloudsafe, 98%,
or such other proportions agreed in writing between the Grantors and Web.com (provided that such proportions must, in aggregate, equal 100%).
Sale means the sale and transfer of Relevant Shares as contemplated by this deed.
Scheme Implementation Deed means the scheme implementation deed dated 23 July 2019 between Web.com and Dreamscape, as amended or varied from time to time.
Scheme means the scheme of arrangement to be implemented under the Scheme Implementation Deed.
Second Option means the option granted under clause 3.2.
Second Option Shares means 38,884,665 Dreamscape Shares (representing approximately 9.9999% of the total issued share capital in Dreamscape as at the date of this deed) which, for the avoidance of doubt, do not include the First Option Shares.

Security Interest means:
(a) any third party rights or interests including a mortgage, bill of sale, charge, lien, pledge, trust, encumbrance, power or title retention arrangement, right of set-off, assignment of income, garnishee order or monetary claim and flawed deposit arrangements, option, right to acquire, right of pre-emption, assignment by way of security, the provision of cash collateral to a third party, trust arrangement for the purpose of providing security or any arrangement having a similar effect; and
(b) a PPS Security Interest,
and includes any agreement to create any of them or allow any of them to exist.
Superior Proposal has the meaning given in the Scheme Implementation Deed.
Third Person means any person of reputable commercial standing who has the financial capacity to acquire Dreamscape other than:
(a) Web.com or its Related Bodies Corporate; and
(b) the Grantors or their Related Bodies Corporate or associates.
Trading Day means:
(a) in relation to trading on ASX, the same meaning as in the operating rules of the ASX; and
(b) in relation to trading on any other financial market, an analogous meaning.
Transfer means to sell, assign, transfer, convey or otherwise dispose of a legal or beneficial interest. Transferring has a corresponding meaning.
Value means, in relation to any consideration at any time:
(a) if the consideration is a cash sum in $A, that $A value;
(b) if the consideration is a cash sum not in $A, the Australian Dollar Equivalent of that cash sum;
(c) if the consideration is in the form of securities that are quoted on ASX or an eligible financial market (as defined in ASIC Corporations (Approved Foreign Financial Markets) Instrument 2015/1071), the Australian Dollar Equivalent of the volume weighted average price of those securities sold on ASX or the eligible financial market (excluding special crossings, option exercises and overnight trades) on the two Trading Days before the relevant date, provided that if the securities carry different accrued rights to those traded on the approved financial market on those Trading Days, as adjusted to take account of those different accrued rights; and
(d) in any other case, the value in A$:
(i) as agreed by the parties; or
(ii) in the absence of agreement, as determined by an independent expert (acting as expert and not arbitrator and on behalf of both parties whose decision will be, in the absence of manifest error, final and binding on both parties) the identity of which is agreed by the parties (or failing agreement between them within 5 Business Days after they commence to discuss the

selection of an expert, the parties must, as soon as practicable, in accordance with the Institute of Arbitrators & Mediators Australia (IAMA) Expert Determination Rules select the expert).
Web.com means Web.com Group, Inc. of 5335 Gate Parkway, Jacksonville, FL 32256, United States.
2 Interpretation
In this deed the following rules of interpretation apply unless the contrary intention appears:
(a) headings are for convenience only and do not affect the interpretation of this deed;
(b) the singular includes the plural and vice versa;
(c) words that are gender neutral or gender specific include each gender;
(d) where a word or phrase is given a particular meaning, other parts of speech and grammatical forms of that word or phrase have corresponding meanings;
(e) the words 'such as', 'including', 'particularly' and similar expressions are not used as, nor are intended to be, interpreted as words of limitation;
(f) a reference to:
(i) a person includes a natural person, partnership, joint venture, government agency, association, corporation or other body corporate;
(ii) a thing (including, but not limited to, a chose in action or other right) includes a part of that thing;
(iii) a party includes its successors and permitted assigns;
(iv) a document includes all amendments or supplements to that document;
(v) a clause, term, party, schedule or attachment is a reference to a clause or term of, or party, schedule or attachment to this deed;
(vi) this deed includes all schedules and attachments to it;
(vii) a law includes a constitutional provision, treaty, decree, convention, statute, regulation, ordinance, by-law, judgment, rule of common law or equity or a rule of an applicable financial market and is a reference to that law as amended, consolidated or replaced;
(viii) an agreement other than this deed includes an undertaking, or legally enforceable arrangement or understanding, whether or not in writing; and
(ix) a monetary amount is in Australian dollars;
(g) when the day on which something must be done is not a Business Day, that thing must be done on the following Business Day;

(h) in determining the time of day, where relevant to this deed, the relevant time of day is:
(i) for the purposes of giving or receiving notices, the time of day where a party receiving a notice is located; or
(ii) for any other purpose under this deed, the time of day in the place where the party required to perform an obligation is located; and
(i) no rule of construction applies to the disadvantage of a party because that party was responsible for the preparation of this deed or any part of it.

Web.com Group, Inc.
