LISA JONES BARRED

The Commission instituted administrative proceedings against Lisa A. Jones (Jones), a former employee of the High Yield and Convertible Bond Department of Drexel Burnham Lambert Incorporated, a broker-dealer registered with the Commission, pursuant to Section l5(b) (6) of the Securities Exchange Act of 1934 (Exchange Act). Jones submitted an Offer of Settlement consenting to the entry of an Order which contains findings that on March 22, 1989, Jones was convicted in a jury trial in the U.S. District Court for the Southern District of New York [U.S. v. Jones, No. 86 Cr. 624, SDNY, August 23, 1969]. Jones was convicted of five counts of perjury and two counts of obstruction of justice in violation of Title 18, Code Sections 1623 and 1503, for acts which occurred during the time she was associated with Drexel.

The Order issued by the Commission permanently bars Jones from association with any broker, dealer, investment adviser, investment company or municipal securities dealer. (Re1. 34-29395)

ADMINISTRATIVE PROCEEDINGS AGAINST GREAT LAKES EQUITIES AND G. REYNOLDS SIMS

The Commission announced the institution of public administrative proceedings pursuant to Sections l5(b) and 19(h) of the Securities Exchange Act of 1934 (Exchange Act) against Great Lakes Equities Co. and G. Reynolds Sims. The proceedings are based on the respondents' willful violations and willful aiding and abetting violations of the antifraud, net capital and securities registration provisions of the federal securities laws. The Commission's Order Instituting Proceedings alleges, among other things, that in the offer and sale of three "penny stocks" the respondents made materially false and misleading statements and omissions. The statements and omissions concerned, among other things, the mark-ups, which were as high as 200% or more; the financial condition of the companies; the risks associated with the investments; and the prevailing and future market price of the stock. The Order also alleges that GLE, aided and abetted by Sims, failed to maintain the minimum required net capital. Finally, the Order alleges that Sims violated the securities registration provisions in connection with the offer and sale of securities, namely promissory notes. A hearing will be held to determine if the staff's allegations are true and, if so, what, if any, remedial action is appropriate in the public interest. (ReI. 34-29391)
