MINUTES OF THE FORMAL SESSION OF THE BOARD OF TRUSTEES OF MICHIGAN TECHNOLOGICAL UNIVERSITY held pursuant to due call Ballroom B of the Memorial Union Building on the campus of Michigan Technological University in the City of Houghton, Michigan at nine o'clock on the morning of October 11, 2019.

The Board of Trustees of Michigan Technological University met in formal session at the University's campus at Michigan Technological University in the City of Houghton, State of Michigan, at 9:00 a.m., on the 11th day of October, in Ballroom B of the Memorial Union Building. The place, hour, and date duly established and duly published for the holding of such a meeting.

The meeting was called to the Chair, B. Ryan, and a quorum was declared present.

The following members of the Board of Trustees were present:

IV. OPENING REMARKS IV-A. Chair's Comments - Brenda Ryan,Chair Good morning and thank you for joining us for Michigan Technological University's Board of Trustees Meeting.

It is Fall again here at Michigan Tech. There is no more beautifulplace on earth when the leaves are changing and we are gratefulto be here. As this is our first Board meeting since classes began, we would like to welcome the students back to campus. This morning, we had the opportunity to have quite a few students us for breakfast. Leaming about all our students are doing - inventing, desigrung, coding, gaming, working, traveling, competing, teaching, leading - is always a thrilling experience. Today we will also have the opportunity to hear about some of our College of Computing faculty's innovative and important . In addition, following today's session, we will have the opportunity to have lunch with some of the Distinguished and University Professors. We are pleased to have some significantreasons to celebrate today: • The new College of Computing is up and running. • Our Provost, Jackie Huntoon, was appointed to Governor Whitmer's prestigious Michigan Science, , Engineering and Mathematics Education Advisory Council. • Our espo1ts team is launched and our head coach will soon be hired. • Michigan Tech's partnership with Northwestern Michigan College was formalizedthrough seven articulation agreements that will allow engineering students to transfer to Tech as juniors. • We have the highest academic achieving and most diverse incoming class in Michigan Tech's . • And last but not least, we understand that the President's Council's cardboard boat did not sink. Those are just a fewmilestones that demonstrate the positive forwardmomentum of Michigan Tech. There is a lot of hard work going on at Tech right now. I would like to thank the leaders of the Tech Forward initiatives, the University Senate leadership, the President's Council, and the other members of University leadership for their hard work. It sets the tone for the campus. As a Board, we recognize this and appreciate your determination to carry forward the institution's strategic goals. I would now like to invite President Koubek to provide his comments.

IV-B. President's Comments - Richard Koubek, President Chair Ryan, members of the board and guests, thank you foryour time this morning. I would like to begin today's comments by recognizing the incredible team in place here at Michigan Tech. From our University Senate leadership, to our deans, department chairs, faculty, staff to the Board of Trustees and alumni. I consider myself fortunate to work with such dedicated and talented individuals. A friend of mine once told me, winners bet on winners. And like all teams -- we play to win. Yesterday at the Board of Trustees Leadership meeting I reported out on the 16 initiatives that the President's Council is pursuing this year, which align with Michigan Tech's vision to be ...a premier national university positioned to lead the nation in the 4th Industrial Revolution. I am not naive enough to think that these initiatives will be easy. But, that same friend had another quote, which is "tell me who is working the problem and I will tell you how it will end before it begins." Knowing that the Michigan Tech community is working the problem" I am confident to say that it will end quite well. And to my point, we are beginning the year with some early successes under our belt. The fall 2019 incoming undergraduate class is up over 4 percent. We are administering salary increases for faculty and staff. Freshman applications for next year are up substantially over last year at this time. We are about to launch a national search for a Vice President for Diversity and inclusion. And, Sue Kerry, our CFO and Sr. VP of Administration is working with her team to develop a sustainable five-year budget plan that keeps tuition increases at a minimum through cost recycling, infrastructure modernization and innovative public/private partnerships. I will be the firstto say that these did not come without some sacrifice. But that's the price we pay when playing the long game. So, how do we define the win for Michigan Tech? The next few years in higher education are a time oftransformation in how we operate, in how we teach and even how we conduct research and scholarship for all ofus in higher education. At Michigan Tech we look forward to it. Thank you all for your commitment to our university.

V. PUBLIC COMMENT There were no public comments at this time.

VI. COMMITTEE REPORTS

VI-A. Academic AffairsCommittee Report, - Linda Kennedy, Chair Linda Kennedy, Committee Chair, reported that Academic Affairs Committee met on October 10, 2019. The first topic of discussion was the action item to honor the retired professors Robert Johnson and Craig Waddell, with Emeritus status. Dr. Dave Reed presented the Committee with the status ofthe Tech Forward Initiatives and the progress being made. The Committee turnedto old business to address the first-yearretention rate and six-year graduation rate. Provost Huntoon explained how the Tech Forward Initiatives are supporting the University's ongoing efforts to lift both of these numbers and help student succeed. Lastly, they had lively discussions with their shared governance partners; the University Senate, graduate student government, and undergraduate student government. Chair Kennedy commented that we should be proud that the University supports analytical and respectful discourse.

VI-B. Audit and Finance Committee Report - Steven Tomaszewski, Chair In Steve Tomaszewski's absence, Jeff Littmann, the acting Committee Chair reported that the Committee met twice since the last Board Meeting. They reflected on last year's review of the FY19 financial results and review the current year's early enrollment and tuition data to begin planning for the next fiscal year. The external auditors discussed the FY19 results with the Committee, as well as the audit process itself and the internal control letter. Michigan Technological University and the Michigan Tech Fund both received clean audit opinions. As part of the cutTent year review, the Committee received an on the Fall enrollment and tuition numbers. The Committee reviewed and discussed the 5-year Capital Outlay Plan and FY21 State Capital Project requests. The Committee also reviewed the FY21 budget planning parameters, as well as reviewing major budget categories going forward; the University balances future investments to support

continued best value execution, to promote growth, and enhance the fiscalhealth of the University. Other items discussed during the Committee meeting were; the HSTEM and Capital Projects update; the non-mandatory transfers greater than $500,000; refundinganalysis as it pertains to the University's outstand bonds; and an annual report on continuous improvement using Lean principles.

VJ-C. Leadership Committee Report - William Johnson, Chair Bill Johnson, Committee chair, reported that the Leadership committee met on October 12, 2019 with President Koubek. The Committee reviewed the appraisal criteria for President Koubek's base salary and a bonus award for academic year 19-20. The committee and President Koubek discussed the sixteen initiatives that the President's Council are actively working on this year. The committee also reviewed the process used by the President and the President's Council to monitor the progress on the sixteen (16) initiatives as well to provide the Board with updates. The Committee appreciates everyone's effort on achieving the sixteen (l 6) initiatives.

Addendum to Employment Agreement

This Employment Agreement Addendum ("Addendum") is made a part of the agreement ("Agreement") entered into between Michigan Technological University (the "University") and Richard Koubek (the "President") (the University and President collectively, the "Parties") effective July 1, 2018.

The Agreement contains language that is confusing and contrary to the intent of the Parties at the time the Agreement was executed. This Addendum is intended to clarify the intent of the Parties and resolve the confusion that may be caused by the current language and to make evident the President's option to direct that some or all of a performance bonus may be directed to the Michigan Tech Fund.

Recitals

A. Paragraph 3.2 of the Agreement states that the President may be awarded a performance bonus of $25,000 for the academic year ending June 30, 2019, and that the potential performance bonus may increase up to $5,000 each year, up to a maximum of $50,000, ending June 30, 2023.

B. If the President were to receive the maximum potential performance bonus under the language of Paragraph 3.2 of the Agreement, however, he would only be awarded $45,000 forthe academic year ending June 30, 2023.

C. It was the intent of the Parties at the time the Agreement was executed that the President would be eligible fora performance bonus of $50,000 forthe academic year ending June 30, 2023.

D. President would also like the ability to direct all or a portion of his performancebonus to the Michigan Tech Fund prior to it being paid to him foreach Contract Year (July 1 to June 30) and to designate the scholarship or other purpose it benefits.

Therefore,the Parties agree to enter into this Addendum to the Agreement as follows:

Addendum Agreement

I. Paragraph 3.2 of the Agreement is modified to read as follows:

Performance Bonus.An at risk performancebonus of up to $30,000 for the first year and for each ensuing Contract Year (July l to June 30), increasing by $5,000 each Contract Year to a maximum of $50,000, may be paid to the President at the sole discretion of the Board. Any amounts paid pursuant to this Section 3.2 shall be paid to the President in a lump sum payment on or beforeNovember l, 2019 forthe firstContract Year (July l, 2018 to June 30, 2019) and on or beforeeach subsequent November 1 immediately followingin succeeding Contract Years through July I, 2023. 2. Nothing in this Addendum or in the Agreement binds the Board to award any perfonnance bonus to the President, nor does it obligate the Board to award any particular amount of perfonnancebonus up to the maximum amount set forthin Paragraph 3.2 should the Board determine a performancebonus is appropriate.

3. At the August I, 2019, Board of Trustees formal session, President was awarded a performance bonus of $25,000. It was the intent of the Board of Trustees to award President his full perfonnancebonus. Consistent with the language in paragraph 1 of this Addendum, President is awarded an addition $5,000 performance bonus for Contract Year July 1, 2018 to June 30, 2019, making his total performance bonus for that Contract Year $30,000.

4. At any time before a performance bonus given in accordance with the terms of the Agreement is paid out, President may direct that an amount equivalent to that of the performancebonus be provided to the Michigan Tech Fund. The President may, but need not, direct that the fundsbe utilized fora particular scholarship, program, or other purpose. If the President makes such direction, the funds will be provided to the Michigan Tech Fund as he directs in Honor of Richard & Valerie Koubek and the performance bonus for that Contract Year will be reduced by the amount directed to the Michigan Tech Fund.

5. This Addendum is incorporated into and is a part of the Agreement.

IN WITNESSWHEREOF, the President and the Board execute this Addendum, which has been approved by the Board of Trustees, effectiveas of the date executed by both Parties.

Principal Gifts

• Working lo close a $9+ million planned gift proposal along with a five-figure outright gift. This will be for scholarships for the College or Sciences and Arts, with an emphasis on the Physics, Chemistry and Math • We have an outstanding multi-million dollar proposal. This includes endowed scholarships and endowed faculty positions, with a portion or it benefiting the school or Forest Resources and Environmental Sciences • Working on a $1.6 million planned gift proposal, along with a 5 figure outright girt proposal. This proposed gift would be for equipment, endowed scholarships and faculty positions in the Geological Engineering department. with an emphasis in mining • Working on a multi-million proposal for faculty posltion(s) in the College or Computing • Working on a $1 million outright proposal for an endowed professorshipin ME-EM

• 453 alumni, students and mends attended the annual reunion, August 1-3. Closeto 100 of those were alumni from the Golden M Class of 1969 and earlier. Class gifts totaled S745,639. • The Alumni Board of Directors met on campus over Homeoom,ng They visited a number of departments to ascertain how alumni could help with departmental Initiatives. They are launching a Chapter Ambassador program which will have board members more involvedregionally to support chapter leaders. We anticipate a significant increase In regional actlV1bes as a result.
