MEMORANDUM OF ASSOCIATION

&

(REGISTRATION UNDER THE SOCIETIES REGISTRATION ACT, XXI 1860)

1) The name of the society: the name of the society shall be “The Nepali Mandir Prabandhak Samity”. 2) The Office of the society is situated at Nepali Mandir, Paltan Bazar, Guwahati- 781008, District-Kamrup in the state of Assam. 3) The object for which the society is established are: (i) To protect, develop and maintain the land and other movable and immovable property of the - , guest house, shops, mandap, etc. falling within the premises of the Radha-Krishna temple situated at Nepali Mandir, Paltan Bazar, Guwahati- 781008; (ii) To develop and maintain the schools and others socio-cultural institutions falling within the premises and situated on the land of the Nepali Mandir Prabandhak samity at Paltan Bazar; (iii) To takeover and manage the affairs of all schools and institutions falling within and situated in the premises of the Nepali Mandir area; (iv) To undertake development of the Nepali language, literature and culture; (v) To undertake opening of schools, colleges, education and religious institutions in any place within the state of Assam, for development and propagation of hindu religion, art and culture and education; (vi) To acquire and develop properties towards fulfillment of the object of the society; (vii) To undertake to organize religious, social, medical, educational seminars for the fulfillment of the objects of the society; (viii) To undertake any activities for socio-economic development of the people; (ix) To under take performance of different types of pujas, homas, yagyans, etc; (x) To publish/print books, booklets, magazines, leaflets for propagation and achievements of the object of the society; (xi) To undertake construction of new building, , shops, guest houses, etc; (xii) To do anyother activites in consonance with the objects of the society for socio-economic and religious development of the community; (xiii) To lease out and dispose of the property of the Society; (xiv) To form sub-committees for fulfillment of the objects of the society or for any other charitable purposes.

CONSTITUTION OF THE NEPALI MANDIR PRABANDHAK SAMITY

1) Name of the society: The name of the Society shall be. The Nepali Mandir Prabandhak Samity 2) Address of the main office of the Society: Nepali Mandir, Paltan Bazar, Guwahati- 781008, District- Kamrup, Assam. 3) Area of Operation : The Area of operation of the society shall be the administrative area of the district of kamrup.

CHAPTER II

4) Objects of the society: i) To Protect, Develop and maintain the land and other movable and immovable property of the Radha- Krishna temple, guest House, shops, puja mandap, etc. falling within the premisesof the Radha- Krishna temple situated at Nepali Mandir, Paltan Bazar, guwahati-781008 ii) To develop and maintain the schools and other socio-cultural institutions falling within the premises and situated on the land of the Nepali Mandir Prabandhak Samity at Paltan Bazar; iii) To take over and manage the affairs of all schools and institutions falling within and situated in the presises of the Nepali Mandir area; iv) To undertake development of the Nepali language, literature and culture; v) To undertake opening of schools, colleges, educationaland religious institutions in any place eithin the state of Assam, for developmentand propagation of Hindu religion, art and culture and education; vi) To acquire and develop properties towards fulfillment of the objects of the societt; vii) To undertake to organize religious, social medical, educational seminars for the fulfillment of the object of the society; viii) To undertake any activities for socio-economic development of the people; ix) To undertake performance of defferent types of pujas, homas, yagyans, etc. x) To publish/print books, booklets, magazines, leaflets for propagation and achievements of the objects of the Society; xi) To undertake construction of new buildings, temples, shops, guest, houses, etc.; xii) To do any other activities in consonancewith the objects of the society for socio-econimic and religious developmentof the community; xiii) To lease out dispose of the property of the society; xiv) To form sub-committees for fulfillment of the objects of the society or for any other charitable purposes.

CHAPTER III

5) Membership

i) Any person belonging to Nepali Community with 18 years or above and resident of Kamrup district may be a general member of the society; ii) He/She has not been a decleared insolvent, mentally unsound and suffering from and fell disease; iii) General membership shall be a period of 3 years only and may be renewed on payment of requisite fees and on fulfilling the conditions in clause 5(i) and (ii) above.

CHAPTER IV 6) Membership Fees; The membership enrolment fees shall be Rs. 10 only per head. Annual Subscription per member shall be Rs. 60 only; 7) Donation: The Society shall be entitled to receive any donation in cash or kind from the members of public, any societies, or institutions, from any Govt. or Semi- Govt. organizations. 8) Collection of fund: The society shall collect fund from its members, well –wishers, devotees, members of the public, and from its own sources of income as monthly rents from the shops, and daily collection from its guest house. 9) Control of fund: i) The fund of the Society shall be controlled by the Executive Committee of the Society. ii) The Society shall have its own account in an Nationalised Bank. iii) The Bank Account shall be operated under the joint signatures either of the President and the Treasurer. iv) The President shall not spend any amount exceeding Rs. 25000/- without the prior approval of the Executive Committee, at a time. For any expenditure beyond Rs. 25000/- an approval of the executive Committee by way of resolution shall be mandatory.

CHAPTER V 10) General meeting; i) A General meeting of the society consisting of elected representatives shall be held at least once in a year; ii) An extra-ordinary General Meeting may be held either on the resolution of the Executive Committee according to exigency, or at the representative members directly elected by the general members of the society.

CHAPTER VI 11) General Council: i) Members of the General Council shall be elected by the Nepali speaking people who are residents with the district of Kamrup. ii) The number of general Council Members shall not exceed ninety of whom at least five shall be women. iii) General Council Member shall be elcted by direct ballot of the Nepali Community of Kamrup district. iv) The Election Officer appointed for the purpose by the Executive Committee shall conduct election for the general council and the Executive Committee of the society. v) General Council Member Constituencies shall be determined by the Executive Committee and the number of such constituency shall not exceed ninety. vi) The term of the Generall Council shall be for 3 years. vii) One-third of the total council members shall from a quorum. viii) The general Council shall meet atleast once in a year. The meeting of the General Council shall be presided by a General Council Member, to chosen by the council.

12) Executive Committee: i) After the General Council election, it shall either by voice-votes, or through ballot in case of contest, elect the office-bearers and the members of the Executive Committee for a team of three years. The Executive Committee for a term of three years. The executive Committee shall have a total strength of 21 with a least tw0 women of which the following shall be office bearers: 1) President - 1 2) Vice President -3 3) General Secretaries -1 4) Assistant Secretaries -3 5) Treasurer -1 6) Members -9 ii) The General Council may, in its discretion, nominate persons, not exceeding three, having excellence in Nepali language and literature, or in the field of social and religious works, to ExecutiveCommittee. iii) The terms of the Executive Committee shall be three years from the dated of talking over charge from the out going Executive Committee. iv) Meeting of the executive committee meeting shall be held within 3 months. v) Quorum for the Executive Committee meeting shall be one-third.

CHAPTER VII 13) 1) The President shall have over-all powers of supervision, execution of works, of the Society. He shall preside over all meetings of the Executive Committee. He shall be authorized to spend not exceeding Rs. 25000/- only for the works of the Society. All transactions shall be made in the name of the President. All vouchers of expenditure shall be countersigned by the President. All employees, pandits, shall be appointed and suspended or dismissed by the President. 2) The Vice-President shall preside over the Executive Committee meetings and charge such functions, as may be required in absence of the President. 3) The General Secretary shall convene meeting of the Executive Committee and shall discharge such functions as may be authorized by the President or the Executive Committee. The General Secretary shall be responsible for making correspondences, issuing instructions to the office-bearers under him. He shall be responsible for maintence of accounts, operation of the Bank accounts. He may issue direction/instructions to the sub-committees formed by the Executive Committee. He shall keep the President and the Executive Committee apprised of all decisions/action taken by him. 4) The Assistant Secretaries shall discharge such functions as may be delegated on them by the President, The General Secretary, or the Executive Committee. 5) The Treasurer shall be fully responsible for collection of subscriptions, rents from shops and guest house, raising of fund of maintenance of the temple and the land and buildings, for performance of the daily pujas and other festivals. He shall maintain proper accounts, books and ledgers of income and expenditures, and audit the accounts through a qualified auditor. He shall in all matters consult the President and shall act on the advice of the President. 6) The executive members shall fully associate themselves in all activities of the Society and they shall render full assistance and co-operation to the office-bearers in implementation of any works or schemes.

CHAPTER VIII Disciplinary Action 14) 1) Any member of the General Council or the Executive committee may be expelled by a decision of the General Council passed in a meeting by not less than one-half of the total members present, on the charge of in-discipline or for any offence involving moral turpitude or by reason of being disqualified to be member of society. 2) Any member of the Executive may be suspended for any in-discipline by the executive committee by a resolution passed by majority votes in its meeting. 3) In case of any member of the General Council or the Executive Committee resigning from his/her membership/post he/she shall have to address the resignation of the President of the Executive committee. 4) In the event of resignation by the President of the Executive Committee, he/she shall address the resignation of the General Council and the purpose may accept or regect the resignation.

CHAPTER IX

Rule making power of the Executive Committee. 15) The Executive Committee in its meeting may make rules, bye laws for matters covering : (i) service condition of employees including the purohits/pandtis, (ii) for leasing out of any shop or building . (iii) for conduct of elections, (iv) at the discretion of the Executive Committee, require formulation of rules and bye-laws for smooth running of the affairs of the Society; (v) The rules so made by the Executive Committee shall be approved by the General Council.

CHAPTER X Amendment of the constitution

16) The General Council in its meeting and by a resolution of not less than two third of member Present may cause any amendment to the Constitution of the Society. 17) The Executive Committee will appoint a qualified auditor; he shall audit the income and expenditure of the Society at least once in a year. The annual audit report will be submitted to the registrar of the Societies regulary.

CHAPTER XI Legal proceedings 18) According to the provisions laid down in Section 6 of the Societies Registration Act. (XXXI of 1860), the society may sue or be sued in the name of the President or the general Secretary of the Society.

CHAPTER XII Dissolution 19) If necessary the Society may be dissolved and the properties remained after dissolution may be handed over according to the provisions laid down in Sections 13 and 14 of the Societies registration Act. XXI of 1860.
