Brussels, 26 January 2012 FORTIS BANK AND AGEAS UNWIND (PART OF) THE CASHES Implementation subject to minimum acceptance rate of cash tender on the CASHES by BNP Paribas Fortis Bank and Ageas agree on a (partial) settlement of the RPN / RPN(I) and call of the Tier 1 instrument held predominantly by Ageas. As part of the agreement BNP Paribas (the “Offeror”) announces today the launch of a tender offer to purchase for cash (the “Offer”) the outstanding € 3,000,000,000 Convertible And Subordinated Hybrid Equity-linked Securities (the “CASHES”) issued by Fortis Bank nv-sa in December 2007, with Fortis SA/NV (now ageas SA/NV) and Fortis N.V. (now ageas n.v., together with ageas SA/NV., “Ageas”) acting as Co- Obligors of the CASHES (ISIN: BE0933899800 / Common Code: 033483384 / SEDOL: B29R5X3). The Offeror reserves the right to cancel the Offer and not to purchase the tendered CASHES if less than 50% of the aggregate amount of CASHES issued and outstanding is tendered by the end of the offer period, on 30 January 2012. Fortis Bank has also undertaken, upon completion of a successful Offer, to call the Redeemable Perpetual Cumulative Coupon Debt Securities (ISIN BE0117584202) issued in 2001 (Tier 1) on the next call date. The maximum one off negative impact on the P&L of this transaction amounts to € 120 million. P.1/2 This tender offer creates a window of opportunity sought by investors, by providing liquidity to the holders of CASHES, an instrument that is perpetual, non callable, and has very little liquidity on the secondary market. -

For those who don’t know me I refer them to my portrait in the newspaper L’Echo of August 7 last year, last page, I was the 3d of a series of 5, called “les emmerdeurs des assemblées générales d’actionnaires” which I would translate by “these bluddy troublemakers at annual meetings of shareholders”. Actually in that series I was in very fine company such as that of André de Barsy, who like me does his homework of activist shareholder, or Eric Knight, of Knight Vinke Asset Management, who makes quick money out of his homework. So rather than a “bluddy troublemaker”, please call me an activist shareholder who does his homework properly. Because for me our Annual General Meeting is not just the price to pay to get to (otherwise) free buffets and bars : it is a working session which I have prepared with care, if not as cleverly as André, but certainly doing it the best I could. And today, and more than ever before, I want you to benefit from the fruits of my homework. If you are among those who come here only for the free buffets and bars, then you’ll have to wait another … minutes & … seconds more before getting to them. -

PRESS RELEASE Brussels, 30 May 2020 – 11:15 (CET) Ageas receives favourable judgment from the Belgian Supreme Court in the MCS case The Supreme Court today ruled in favour of Ageas, dismissing all claims initiated in July 2019 by former Mandatory Convertible Securities holders. Ageas welcomes the decision that ends the proceedings related to the Mandatory Convertible Securities (MCS). It is another positive step forward in solving the legacies from the past, allowing the company to focus on its insurance activities. The MCS were unsecured and subordinated convertible bonds with a nominal amount of EUR 2 billion, issued on 7 December 2007 by the former Fortis Group*. In accordance with the terms of the MCS, the bonds were converted into Fortis (now Ageas) shares on 7 December 2010. The plaintiffs requested the validation of the decision taken by the MCS bondholders’ meeting to postpone the maturity date of the MCS until 7 December 2030. They therefore requested the annulment of the conversion of the MCS into Ageas shares or, alternatively, provisional compensatory damages and the appointment of an expert to determine their exact damage. On Friday 1 February 2019, the Brussels Court of Appeal dismissed these claims. In July 2019, the plaintiffs filed an appeal with the Supreme Court, which confirmed today the decision of the Court of Appeal. This means that the conversion of the MCS into Ageas shares on 7 December 2010 remains unaffected and no compensation whatsoever is due to the former MCS holders. *Consisting of the Fortis Bank Nederland (Holding) N.V.
