The Commission has before it for consideration the applications to transfer control of the CBS Corporation (“CBS”) and its various licensee subsidiaries to Viacom, Inc. (“Viacom”).1 Petitions to deny the applications were filed by the American Cable Association (“ACA”), the National Black Media Coalition (“NBMC”), the WEYS Television Corporation (“WEYS”), and a group of petitioners objecting to certain broadcasts made by Howard Stern (“the Stern Petitioners”).2 In addition, the A.H. Belo Corporation (“Belo”) filed a letter opposing the applications after the petition to deny period had expired.3 1 A complete list of the applications filed and the licenses to be transferred is attached as Exhibit A. 2 CBS and Viacom argued that the various petitioners do not have standing. However, we have reviewed the petitions and will address the arguments raised in them. In addition to the petitioners to deny, a number of individuals filed letters commenting on the proceeding. Those letters have been reviewed and considered in reaching our decision here. -

Plaintiff, the Lmited States of America, pursuant to Section 2(b) of the Antitrust Procedures and Penalties Act ("APPA"), 15 U.S.C. § 16(b)-(h), files this Competitive Impact Statement relating to the proposed Final Judgment submitted for entr:· in this civil antitrust proceeding. I. NATURE AND PURPOSE OF THE PROCEEDING Plaintiff filed a civil antitrust Complaint on March 31, 1998, alleging that a proposed acqui.sition of American Radio S~'stems Corporation ("ARS ") by CBS Corporation ("CBS") would violate Section 7 of the Clayton Act, 15 U.S.C. § 1S. The Complaint alleges that CBS and ARS both own and operate numerous radio stations throughout the United States, and that they each ovvn and operate radio stations in the Boston, St. Louis, and Baltimore metropolitan areas. The acquisition would give CBS a significant share of the radio advertising market in each of these metropolitan areas, control over a high percentage of the available radio signals which cover the markets, and control over stations that are close substitutes for each other based on their specific audience characteristics. In Boston, according to 1997 industry estimates, the acquisition would give CBS control of 3 out of 5 top radio stations or 59 percent of the radio advertising revenues. In St. Louis, CBS would control 4 out of the 7 top radio stations or 49 percen~ of the radio advertising revenues. -

FOR IMMEDIATE RELEASE AT TUESDAY, MARCH 31, 1998 (202) 514-2008 TDD (202) 514-1888 JUSTICE DEPARTMENT REQUIRES CBS TO SELL SEVEN RADIO STATIONS AS PART OF AMERICAN RADIO SYSTEMS ACQUISITION Washington, D.C. -- The Department of Justice reached a settlement today with CBS Corporation allowing the company to go forward with its $1.6 billion acquisition of American Radio Systems Corporation. As part of the settlement, CBS must divest seven radio stations -- four in Boston, two in St. Louis, and one in Baltimore. The Department’s Antitrust Division said that the transaction, as originally proposed, would have given CBS substantial market power in Boston, St. Louis, and Baltimore, and CBS would have had the ability to raise prices to advertisers in each of these three cities. AToday’s settlement protects national and local advertisers from having to pay higher prices for radio advertising in Boston, St. Louis, and Baltimore,@ said Joel I. Klein, Assistant Attorney General in charge of the Department’s Antitrust Division. AAs the radio industry continues to consolidate in the wake of the Telecommunications Act of 1996, we will continue to seek relief where radio mergers harm the competition that helped make radio an effective and affordable way to advertise.@ According to the complaint, which was filed in U.S. District Court in the District of Columbia, the acquisition would likely - 2 - have caused higher prices for advertising on radio stations in Boston, St. Louis and Baltimore.
