SEVEN GROUP HOLDINGS ANNOUNCES RETIREMENT OF DON VOELTE AO AND APPOINTMENT OF RYAN STOKES AS INCOMING CEO

Seven Group Holdings Limited (ASX:SVW) announced today that Don Voelte AO had informed the Board of his intention to retire on 31 August 2015 and as a result the Board has appointed the current Chief Operating Officer, Ryan Stokes, as incoming Managing Director and Chief Executive Officer.

Mr Voelte said his decision to retire had been difficult after seven years of service with the Group but it was now time to place the needs of his family in the U.S. first, and he will be retiring from all directorships within the Group.

Mr Voelte has agreed to the Board’s request to remain as a consultant on an exclusive basis, with a particular focus on the Group’s recently established energy division.

“I am very pleased that I will have an ongoing involvement with this great company, and I’m looking forward to being able to continue to make a contribution,” said Mr Voelte.

“Ryan Stokes is the right choice to lead the Group forward and he will be an outstanding CEO. This is a natural progression and now is the right time for this transition.”

The Executive Chairman of Seven Group, AC, said he and the Board thanked Mr Voelte for his outstanding leadership and contribution, including two years as CEO and MD of Seven Group Holdings and one at , as well as starting SGH Energy.

"Don is greatly liked and respected within our companies," said the Chairman. "I want to thank him for all that he has contributed since first joining the board of West Australian Newspapers in 2008. He can be rightly proud of all his achievements."

Mr Ryan Stokes said the Group’s core strategy remains intact and he will continue to focus on building businesses that provide returns for all stakeholders by enhancing our market leading positions and identifying growth opportunities.

“SGH is in very good shape in what are challenging times, and our focus will remain on effectively deploying our available capital to enhance shareholder returns,” he said.

Mr Stokes has been COO of SGH for the past three years, and has held numerous executive roles within the Group over a 15-year period.

He is also a Director of Seven West Media and SGH’s WesTrac division. As the sole authorised Caterpillar dealer in , and North Eastern China, WesTrac enjoys important and very close operating relationships with Caterpillar.

Doug Oberhelman, Caterpillar Inc. Chairman & CEO, acknowledged the appointment of Mr Stokes.

The remuneration terms relating to Mr Stokes’ appointment as Managing Director and CEO will be announced to the ASX upon finalisation of changes to his employment contract.

SGH re-confirmed earnings guidance provided at the Group’s Annual General Meeting for FY15 underlying EBIT to be down 10-15 percent on FY14, subject to there being no further deterioration in market conditions.

Biography - Ryan Kerry Stokes

Mr Ryan Stokes is Chief Operating Officer of Seven Group Holdings Limited. Prior to his appointment as COO in 2012 he was an Executive Director since the formation of SGH.

As a Director of WesTrac Pty. Ltd., Mr Stokes has extensive experience in China, having developed relationships with various mining and media companies over the past 15 years. He led the restructuring of the Group’s China operations, returning the business to profitability.

Mr Stokes was responsible for establishing a business case for the Board of SGH to approve starting an oil and gas division within the Group. He is also a Director of Seven West Media.

Mr Stokes was appointed an Executive Director of Australian Capital Equity Pty Limited (ACE) in 2001 and Chief Executive Officer in April 2010.

Prior to the formation of Seven Group Holdings and Seven West Media, Mr Stokes was a Director of Limited from 2005 and Executive Director and then Chairman of from 2004 until 2008.

He was also a Director of Yahoo7 from its inception in 2006 until 2013, Director of Consolidated Media Holdings Limited, and Chairman of Vividwireless from 2008-12. In 2011, Mr Stokes was invited by the Chairman and CEO of Caterpillar Inc. to participate in the inaugural Stanford delivered, senior leadership development program “Digging Deep.”

In July 2012, Mr Stokes was appointed Chairman of the National Library of Australia. He is also a member of the Prime Ministerial Advisory Council on Veterans Mental Health established in 2014. In 2015, he became a Committee member of innovationXchange (within the Department of Foreign Affairs and Trade), which provides strategic guidance on innovation in aid programs.

Mr Stokes is the former Chairman of Australia’s National Youth Mental Health Foundation (Headspace), a Federal Government initiative established in 2006. He is also a former member of the International Olympic Committee’s Radio and Television Commission and a former Director of the Australian Strategic Policy Institute.

Mr Stokes holds a BComm from Curtin University and is a Fellow of the Australian Institute of Management (FAIM).
