Tamil Nadu Housing Board invites responses in sealed cover from Reputed and well known established firms/Individual dealt with Project Management Consultancy Services for the proposed Construction of 480 Multistoried Residential flats at Phase-I and 342 Residential flats at Phase-III at Sholinganallur, (OMR Road) Chennai, Tamil Nadu, India.

1. ELIGIBILITY AND METHOD OF SUBMISSION OF RFP • Reputed and well established Firms/Individual who dealt with Project Management consultancy Services for construction activities and Registered as legal entity in India for a minimum period of Three years • The offers required to be submitted in TWO cover system. • First cover should be marked as Technical cover giving Pre-qualification details and documents thereof. (Cover-A). Second cover (Cover-B) contains the financial bid and relevant details thereof

2. SELECTION PROCESS . The selection process will be done in a transparent manner by going through two stages viz (i) Pre Qualification and short listing process based on minimum qualification criteria and (ii) Final selection based on lowest offer in financial bid.

Consultant 3 Superintending Engineer (iii) The offers received shall be evaluated by a committee with reference to the eligibility criteria and Financial Bid of the short listed firms will be opened. The Financial Bid of the other participants will be returned unopened (iv) Pre qualification selection shall be made on Pass or Fail method. The Bidders who satisfies all the eligibility criteria alone will be given pass.

3. MINIMUM ELIGIBITY CRITERIA.

Bidders who would be meeting the following minimum qualification criteria can apply with documentary evidence to the satisfaction of the Evaluation Committee for prequalification. i. Project Management services for at least one completed or ongoing Residential / Commercial building project (Central / State Government/PSU/Quasi Govt.) to a value not less than Rs. 152..00 Crore in last Three fiscal years reckon from March 2012. ii. Project Management services for at least one completed or ongoing Residential / Commercial building project (Central/State Government/PSU/Quasi Govt.) with 13 Floors or 39 Mt Height in last Three fiscal years reckon from March 2012. iii. Project Management services for at least one completed or ongoing Residential / Commercial building project ( Central /State Government/PSU/Quasi Govt.) having built up area not less than 64,000 Sq. Mt. ( 6,88,896 sq ft.) in last Three fiscal years reckon from March 2012 iv. The Bidder should have average minimum Annual turn over not less than Rs. 3.00 Crores in last three fiscal years reckon from March 2012. v. The Bidder should submit Conceptual Plan, Elevation, Perspective view as per the project requirement achieving required FSI as per the CMDA Second Master Plan with maximum utility inclusive of all latest building parameters of National Building Code (NBC). vi. Required Technical Personnel has to be deployed as specified in RFP.

Complete Site investigation as per IS norms, preparation of layout and drawings in accordance with CMDA second master plan norms, detailed estimates with BOQ detailed tender documents, Structural Design, full time supervision for the building and all structural component and monitoring quality control, monitoring the progress of work to achieve physical and financial progress, preparation of completion report and plans, including defect liability period of minimum 2 years on completion of the project

5. EARNEST MONEY DEPOSIT. The tenderers are requested to furnish EMD of Rs. 3, 00,000.00 (Rupees Three Lakhs Only) in any one form viz. DD, FDR, Irrevocable Bank Guarantee in the Name of the Executive Engineer & Administrative Officer, Besant Nagar Division, Tamil Nadu Housing Board, Chennai. 600 020

Tender documents are available at Tamil Nadu Government web site. www.tenders.tn.gov.in in which documents can be downloaded at free of cost from 05 -07-2012 to 09 -08-2012 up to 1.00 PM.. The Pre Bid meeting will be held on 16 -07-2012 at 3.00 PM at TNHB Board Meeting Hall, Nandanam, Chennai. 600 035.

The last date for receipt of responses in sealed cover is up to 3.00PM on 10 -08-2012 and it should be submitted to the Superintending Engineer (Project Circle) , Tamil Nadu Housing Board, Nandanam, Chennai – 600 035.The tender will be opened at 3.30 PM on the same day in presence of Tenderers or their representatives who choose to be present. If the due date of receipt and opening of the tender happens to be a holiday, the same will be received and opened on the successive working day without change in time. The undersigned reserves the right to reject any or all the tenders without assigning any reasons thereof.

1.0 PR0JECT BRIEF

Tamil Nadu Housing Board desires to Select a Consultant for rendering Project Management Consultancy Services for the Proposed Construction of 480 Multistoried Residential Flats at Phase I ( in two pockets) and 342 Residential Flats at Phase III at Sholinganallur, (OMR Road), Chennai with all infrastructure facilities (viz. Civil, Plumbing, Electrical, water supply, Sanitary both interior and exterior, Mechanical, Environmental, HVAC, Road works, landscaping and all other connected infrastructural development works etc.).

1.1 Location : Proposed site of land in Phase I consists of Two pockets of land with an extent of 1.60 Acres and 1.349 Acres on either side of 24.00 Mt wide Road and in Phase III with an extent of 3.959 Acres having an approach from Rajiv Gandhi Salai (Old Mahabalipuram Road) and nearer to East Coast Road. The site is also very near to I.T. Firms like INFOSYS, HCL and TCS etc.

1.2 . PROJECT REQUIREMENT : 1.2.1 Phase I Scheme (Pocket-1) – 1.60 Acres (6480.26 Sq.m) Pocket-I ( Survey No: 415/4A, 416/24,25,26 & 27 of Sholinganallur Village) a) Allowable FSI 3.5 (including Premium FSI of 1.00) b) Height of MSB / No. of Floors: Stilt + 12 Floors (As per DCR norms) c) Requirement of Multistoried Residential Flats. HIG (95.00 Sq.m inclusive of Common Area) – 192 Flats LIG (50.00 Sq.m inclusive of Common Area) – 72 Flats Total Number of Flats - 264 Flats

1.2.2 Phase I Scheme(Pocket-2) – 1.349 Acres (5459.00 Sq.m) ( Survey No: 415/6, 9, 11, 12 & 13 of Sholinganallur Village) a) Allowable FSI 3.5 (including Premium FSI of 1.00) b) Height of MSB / No. of Floors: Stilt + 12 floors (As per DCR norms) c) Requirement of Multistoried Residential Flats. Total Number of Flats Phase I and Phase III Scheme: 822 Flats (264+216+342)

1.2.3 OSR (Open space Reservation): OSR as per DCR norms.

1.3 Infrastructure facilities :

. • Bore wells with pump sets/Corporation protected water supply distribution system • Water Supply and Sewer Mains • Electrical Power Distribution • Lift and Generator • Fire Detection, Fire Protection & Security Arrangements • Pre filtration water treatment plant with all machineries • Sewerage treatment plant with all machineries • Pavements and roads with kerb • Drains and culverts, Compound wall • Landscaping / park development • Solar energy for street lighting, water heating system • Any other infrastructure facilities required to complete the Project in all respects.

2.0 INFORMATION AND INSTRUCTION TO APPLICANT FIRMS

2.1 .General :

2.1.1 Letter of Submission and information for selection shall be submitted as per formats attached.

2.1.2 All information called for shall be furnished against the respective columns in the enclosed form. If information is furnished in a separate document, reference to the same should be given against the respective column(s). If information is ‘NIL’ it should also be mentioned as ‘NIL’ or ‘No such case’. If any particular query is not applicable to the applicant firm it should be stated as ‘Not applicable’. However, the applicant firms are cautioned that not giving complete information called for in the application in the form required or not giving it in clear terms or making any change in the prescribed forms may result in summarily disqualification of the applicant firm. Application made by telegram, fax, e-mail or telex and those received late may not be considered.

2.1.3 All information shall be furnished in English

2.1.4 The application shall be filled up legibly. The applicant firm’s name shall appear on each page of the application with authorized signature.-

2.1.5 Over writing shall be avoided. Mistake shall be scored through and corrections incorporated and attested by the authorized signatory. All pages of the prequalification tender document shall be numbered and submitted as a package along with a signed letter of submission

2.1.6 Reference information and Certificates from the respective clients certifying suitability, technical know-how or capability of the applicant firm shall be signed by the authorized signatory of client.

2.1.7 The eligible applicant firm is advised to furnish any additional information, which they think is necessary in regard to its capabilities. No further information will be entered after submission of documents unless it is called for by the Client

2.2 METHOD OF APPLYING

2.2.1 If the application is made by a proprietary firm, it shall be signed by the Proprietor. Or If The application is made by a firm in partner-ship, it shall be signed by all the partners of the firms or alternatively by a partner holding power of attorney for the firm in which case a certified copy of the power of attorney shall accompany the application. A certified copy of the partnership deed, full names and current addresses of all the partners of the firm shall also accompany the application The firm in individual or company should have been Registered in India/Tamil Nadu and copy of company registration, PAN, Service Tax Registration Certificate should be enclosed.

2.2.2 If the application is made by a limited company or a corporation, it shall be signed by a duly authorized person holding power of attorney for signing the application in which case a certified copy of the power of attorney shall accompany the application. Such limited company or Public sector undertakings (PSU) may be required to furnish satisfactory evidence of its existence for at least five years before the prequalification application is filled. They should also furnish Articles of Memorandum of Association.

2.2.3 Selection will be made by TNHB on the basis of the eligibility criteria furnished the applicant. The tenders submitted either by Joint venture shall not be considered.

2.2.4 Any change in legal status of an applicant subsequent to submission of application will invalidate the selection.

The size of the drawings are not less than the scale: 1:50 or 1:100

vi – 1 Required minimum Technical Personnel has to be deployed as specified below a) Project Manager/Team Leader-1 no. Qualification: B.E. (civil) with minimum 15 years experience and having knowledge/ previous experience in execution of Residential/Commercial MSB project and completed minimum Two projects) b) Deputy Project Manager Qualification: B.E. (civil) with minimum 12 years experience and having knowledge/ previous experience in execution of Residential/Commercial projects and completed minimum two projects c) Architect-1no. Qualification B.Arch. with minimum 10 years experience in Residential/Commercial Project. d) Structural Engineer-1no . Qualification M.E (Structural Engineering) With minimum 10 years experience in Residential/Commercial Project. e) Civil Engineers-5nos Qualification B.E. (civil) with minimum 10 years experience in Residential/Commercial Project. f) Electrical Engineer-2no Qualification B.E. (Ele.) with minimum 10 years experience in Residential/Commercial Project. g) Mechanical Engineer-1no Qualification B.E. (Mech.) with minimum 10 years experience in Residential/Commercial Project. vi – 2 The tenderer shall further employ following Sub-Key personal to supervise the work. a) Supervisors- 10 nos. Qualification DCE with minimum 5 years experience in Residential/Commercial Project. b) Quantity Surveyor-2 No . Consultant 13 Superintending Engineer Qualification DCE with minimum 5 years experience in Residential/Commercial Project c) Computer Operators -2 No. Qualification DCE with CAD STADD pro and other technical knowledge with minimum 5 years experience

Note: 1. only key personnel details will be taken into account for pre qualification. 2. Details about Experience, Annual Turnover, Conceptual plan, Key Personnel etc for minimum eligibility criteria are to be filled up in Annexure I to VII.

2.4 PRE-BID MEETNG

2.4.1 The Firm / Individual or their Authorized representative shall attend the Pre Bid Meeting which will take place at Board Meeting Hall, Tamil Nadu Housing Board, Nandanam, Chennai- 35 on 16-07-2012 at 3.00 PM . The purpose of the meeting is to clarify the issues regarding works. Non attendance at the Pre-bid meeting will not be a cause for disqualification of a bidder.

2.4.2 Bidders may forward the queries, if any through e-mail ID [email protected] /Fax on or before 13-07-2012 up to 3.00 pm .

2.4.3 After the Pre-bid meeting on 16-07-2012 the clarifications and amendments if any will be uploaded in Tamil Nadu govt. web site. . www.tenders.tn.gov.in . The clarifications and amendments if any will also be sent to all the participants through their e-mail ID.

2.5. SUBMISSION & OPENING OF TENDER

2.5.1 The tender documents are available at www.tenders.tn.gov.in which can be downloaded at free of cost from 05-07-2012 to 09-08-2012 up to 1.00PM

2.5.2 The last date for receipt of responses in sealed cover is upto 3.00 pm. on 10.08.2012 and it should be submitted to Superintending Engineer, Tamil Nadu Housing Board, Nandanam, Chennai – 600 035. The tender will be opened @ 3.30 pm on the same day in the presence of tenderers or their representatives who choose to be present.

Consultant 14 Superintending Engineer 2.5.3 If the due date of receipt and opening of the tender happens to be a holiday, the same will be received and opened on the successive working day without change in time. The undersigned reserves the right to reject any or all the tenders without assigning any reasons thereof.

2.5.4 The offers should be submitted in two cover system.

2.5.5 First cover –Cover-A should be marked as Technical Bid containing Pre-Qualification details and documents thereof. Second Cover Cover-B should contain the financial bid and relevant details thereof. The offers received will be evaluated by a Committee with reference to the eligibility criteria on PASS OR FAIL Method.

2.5.6 The Bidder Who satisfies all the above mentioned conditions of eligibility criteria are alone shot listed.. Financial Bid of the short listed firms alone will be opened after giving advance intimation, in the presence of Bidders who choose to be present,. The financial bid of the other participants will be returned without opening.

2.6. EARNEST MONEY DEPOSIT 2.6.1 Each Individual/ Firm shall enclose Earnest Money Deposit of Rs. 3,00,000/- [Rupees Three Lakhs only] in any one form viz. Demand draft, OR Banker’s cheque, OR FDR, OR Irrevocable Bank Guarantee in the prescribed form from any Nationalized/ schedule banks of India payable at Chennai, drawn in favour of the Executive Engineer and Ado., Besant Nagar Division, Tamil Nadu Housing Board, Chennai payable at Chennai . Minimum validity period for FDR/ Irrevocable Bank Guarantee shall be 120 days from the due date of tender as mentioned in Clause 2.5.2 2.6.2 The EMD amount of the unsuccessful firms will be refunded within 30 (Thirty) days from the date of finalization of the tender.

2.7. Validity of Tender

The Tender will be valid for a period of 90 days from the date of submission of tender as mentioned in clause 2.5.2.

2.8. Late tenders

Any tenders received by the Client after the deadline prescribed mentioned in clause 2.5.2. will be unopened and returned to the tenderer.

2.9 INELIGIBILITY / DISQUALIFACTION

Consultant 15 Superintending Engineer 2.9.1 The Firm / Indivudual shall not seek any assistance / recommendation / favour from Any Committee Member, Any employer / employee, partner or associate of any Committee Member, Any TNHB Office Staff. The violation of this condition, shall amount to disqualification.

2.9.2 Further any proposal shall be automatically disqualified if It not contained the requite EMD as per clause 2.6.

2.10 Modification and withdrawal of Tenders

Modification and withdrawal of tenders will not be entertained after submission .

2.11 Final Decision Making Authority

The Client reserves the right to accept or reject any applications/tender(s) for prequalification without assigning any reasons therefore. The Client reserves the right to increase or decrease the scope of work as deemed necessary. Decision of Client is final and binding.

2.12 Letter of Award (LOA)

Letter of Award for selection of Project Management Consultant will be issued to the tenderer whose tender has been accepted by the competent authority. Once the Letter of Acceptance (LOA) of the tender is sent, then it is considered as acceptance of contract. The selected tenderer should arrange to submit Security Deposit as specified in Clause 4.11 and sign the Agreement within 15 days from the date of receipt of LOA.

4. SCOPE OF WORK ,TERMS AND CONDITIONS

4.1. General

Tamil Nadu Housing Board , Chennai- 600 035 is desirous of appointing an Agency for Project Management Consultancy services for the Proposed Construction of 480 Multistoried Residential Flats at Phase I under two sub divisions and 342 Residential Flats at Phase III at Sholinganallur, (OMR Road), Chennai. Project Management Consultancy Services include Complete Site investigation as per IS norms, preparation of layout and drawings in accordance with second master plan for Chennai Metropolitan Area, 2026 norms, detailed estimates with BOQ detailed tender documents, Structural Design, full time continuous day to day supervision for the building and all structural component monitoring quality control, monitoring the progress of work to achieve physical and financial progress, preparation of completion report and plans. Including defective liability period minimum 2 years on completion of the project

4.2 Scope of Work:

Preparation of design in brief, Site evaluation, analysis and impact of existing and /or proposed development on its immediate environs, Design and site development, Sanitary, plumbing ,drainage, water supply and sewerage design, Electrical, electronic, communication systems and design, Heating, Ventilation and air conditioning design(HVAC) and other mechanical system, Elevator, escalators, etc, fire detection, fire protection and security system etc., preparation and detailed estimates, rate analysis, bill of quantities, preparation of bid documents, assisting in finalization of bids, full time supervision and quality assurance, preparation of completion plans and completion reports and all other allied works viz. landscaping, Interior decoration, graphic design and signage for the completion of projects in all respects.

4.3 Schedule Of Services for Project Management Consultancy Services (PMCS)

4.3.1 PRE CONSTRUCTION STAGE

4.3.1.1 Stage-I-(Concept Design)

4.3.1.1.1 Ascertain Client’s requirements, examine site constraints & potential; and prepare a design brief for approval

4.3.1.1.2 Prepare report on site evaluation, state of existing buildings, if any; and analysis and impact of existing and / proposed development on its immediate environs.

4.3.1.1.3 Preparation of drawings and documents, detailed survey at the site of project

4.3.1.1.4 Furnish report on measures required to be taken to mitigate the adverse impact, if any, of the existing and / or proposed development on its immediate environs and Prepare conceptual design with reference to requirements given and prepare rough estimate cost on area basis

Consultant 18 Superintending Engineer

4.3.1.1.5 . Detailed topo graphical survey of the site, along with Contour survey at the required contour intervals, as approved by the Client, in and around the entire campus. The survey shall include all necessary data related to the existing public utility services, lines of streets and pavements, building lines, adjoining properties, position of lights, restrictions, basements and boundaries to design the Sewerage and Strom water drain system.

4.3.1.1.6 Traffic Survey, existing in the vicinity and traffic Management for the complex. 4.3.1.1.7 Furnish a site evaluation and analysis report with basic approach to circulation, activity distribution and interaction and external linkages.

4.3.1.1.8 For concepts, plans of the project and preliminary project report covering various aspects of projects such as buildings and fire fighting, electrical works, air-conditioning works, roads, drainage, water supply, sewerage and pavements etc. shall be prepared by the Consultant to suit requirements and meeting statutory/mandatory provisions for the project as a whole and whereas the Consultant shall have meetings with TNHB to finalize the general as well as specific requirements. a. Selecting best option for disposal of Sewer and Storm Water Drain with the existing network operated & maintained by concerned authorities. b. Identifying Source of taping Potable water from the existing Net Work operated & maintained by Concerned Authorities.

4.3.1.2 Stage-II (Preliminary design and drawings)

4.3.1.2.1 Modify the conceptual designs incorporating required changes and prepare the preliminary drawings, sketches study model etc., and preliminary estimates of cost on area basis

4.3.1.2.2 Soil test has to be done by the consultant with due approval of financial commitment from the Client and expenditure incurred for the same will be reimbursed by the client. All other survey/test comes under the scope of consultant except as in clause 4.3.1.2.5 The Consultant shall interpret the soil investigations report and design the appropriate type of foundation for the Building in consultation with the Client.

4.3.1.2.3 Besides topographical survey and soil test, all required data shall be collected to design and construct basic infrastructures such as Road network, water supply and sewer arrangements, storm water drains, development of ground water source including rain water harvesting, electrical distribution network with back up supply, fire detection / protection system, incorporating environmental friendly and energy conservation concept .

4.3.1.2.4 Prepare drawings, layout etc., and necessary for submission to statutory bodies for sanction for obtaining approval / Licenses. The client will make necessary applications. Consultant so engaged shall have meetings with TNHB to finalize the general as well as specific requirements.

4.3.1.2.5 The selection of suitable foundation as per BIS (If Driven Cast in Situ Piles are preferred, trial test has to be carried out to ascertain load bearing capacity of pile with the due approval of Financial Commitment from the Employer and the expenditure incurred for the same will be reimbursed by the Employer.)

4.3.1.3 Stage-III (Statutory approvals)

4.3.1.3.1 Prepare drawings necessary for statutory approval and ensure compliance with codes, standards and legislation as applicable .Assist the Client in obtaining approval from the statutory bodies and NOC form statutory bodies viz. Fire department, Airport authority, Aviation department, CMWSS Board, etc.

4.3.1.3.2 All efforts will be taken to get the clearance at the earliest. However Consultants shall assist the Employer in getting all the clearance

4.3.1.4 Stage-IV (Estimate)

4.3.1.4.1. Preparation of detailed engineering design specifications, estimate as per TNPWD/TNHB norms and at market rates for such of those items of work where Government rates or standard data are not available. Tender documents soft and hard copy shall be prepared as per Government Norms and as per Transparency in Tenders Act. The Consultant shall provide rate analysis for all items of work which will be subject to scrutiny and approval by the Client. The services will

include structural, architectural designs of the buildings taking into consideration of Earth Quake Resistance and other Disaster effects, designs of all external and internal services, including air conditioning (HVAC), lifts, escalators, electrical, mechanical, DG sets of required capacity, fire fighting and safety systems, public address system, access control, telephone exchange, communication tower, water supply, furnishing fit out, sewerage disposal and Treatment Plants, internal roads, arrangements for special security systems. Prepare proposal documents including preparation of Pre-Qualification criteria for short-listing of Contractors for works and submit to the Client.

4.3.1.4.2. The building structures shall be designed to withstand wind and seismic loads, in accordance with the latest Indian Standard Code of Practice, TNBP, SSRB, NBC, etc. The Consultant shall ensure the structural safety of the buildings and its efficient functioning and access to the network of existing public utilities and services. Consultant has to assist the client for vetting the Foundation Design and Structural Design etc with design details and Working drawings by IIT/Anna University/NIT, Trichy. Charges if any for vetting of design will be paid by the Client directly to the Institution.

4.3.1.4.3. Approval of any design/drawing by IIT/Anna University/NIT, Trichy shall however, not relieve the Consultant in discharging his responsibilities regarding adequacy of design and proper execution of work. The Consultant shall be fully responsible for adequacy, accuracy and the quality of the entire services performed under this contract and shall guarantee that the services performed by him shall be in accordance with the accepted standards of safety, environment project and public health. The Consultant shall be solely responsible for the accuracy of the structural design and safety of the structure.

4.3.1.4.4. The Consultant shall provide the following technical parameters keeping in view the environmental safeguards including permission/clearances from local authorities. 1. Type of materials to be used in construction, 2. Grade of concrete, 3. Quality assurance system. Giving details of equipment and test to be carried out with their frequency keeping IS codes in view, 4. Quality control checklist. (job formats) for major activities, 5. Technique to be used for monitoring progress will be CPM/PERT CHART based on computer based software such as MS PROJECT, PRIMAVERA and any other latest format to be specified in later.

Consultant 21 Superintending Engineer

4.3.1.5 Stage-V (tender and execution of agreement)

4.3.1.5.1. Preparation of Bid Documents in full shape with all required terms and condition To assist the client if necessary in calling of tenders, evaluation of pre qualification, finalizing the Bid, and execution of agreement.

4.3.1.5.2. To assist the client if necessary in calling of tenders, evaluation of pre qualification, finalizing the Bid, and execution of agreement.

4.3.2 CONSTRUCTION STAGE Stage: VI

4.3.2.1 CONSTRUCTION SUPERVISION:

4.3.2.1.1 Required no. of drawings such as Architectural, structural, service drawings and design calculations for all designs shall be furnished by the Consultant to the client for execution of work

4.3.2.1.2 Prepare and submit complete set of working drawings for all trades and details sufficient for proper execution of works during construction. All the drawings and reports , Manuals, Pamphlets, Guarantee documents, spare parts list etc. are to be furnished in both soft and hard copies, duly attested. The Consultant shall be fully responsible for accuracy of all the data, rate analyses for items of work used in the Project preparation, Cost Estimates and design irrespective of the fact whether the same has been examined and approved by the Client or not.

4.3.2.1.3 PERT/CPM chart interface relationship for civil, electrical, water supply, Sanitary, firefighting services etc, rendered by the contractor/Consultant by clearly indicating interface activity and time estimate until final completion and occupation and also mid-turn correction needed to avoid slippage of the project.

4.3.2.1.4 Inspection of bought-out items like DG set, Air conditioning / ventilation equipment, fire-fighting systems, elevators, escalators, electrical, water supply and sanitary systems etc. should be made, if required by the Client at no extra cost .

Consultant 22 Superintending Engineer

4.3.2.1.5 All works shall be done in conformity with relevant Indian Standard (IS) specification, National Building Code, Tamil Nadu Building Practice, Standard Specification for Roads and Bridges and to the requirements of statutory bodies, local byelaws and accepted Government and TNHB procedures.

4.3.2.1.6 The Client shall clarify and offer interpretation of the drawings and specification that may be necessary during execution of work and conduct review meeting monthly and also as and when required and to ensure that the project proceeds generally in accordance with conditions of contract. The Consultant’s Project Manager and his team shall participate in the meeting.

4.3.2.1.7 In addition, the Consultant shall conduct Co-ordination Meetings with Contractor’s representatives at every Fortnight intervals or at intervals as may be deemed necessary, for enabling smooth sailing of the Project, without any hurdles. The Consultant shall attend the site as when informed by the client for Joint inspection/statutory inspection, other Government Agencies and complete the project in accordance with their observation/directives without any extra cost.

4.3.2.1.8 The Consultant shall be required to make any necessary revisions in the drawings, as may be required by the Client, during the course of, tendering / execution and obtain the final approval of the Client. If the Consultant is required by the Client to repeat or substantially modify after approval, any completed process such as design, tendering, resubmission to the client due to change in design, such additional works shall be carried out by the Consultant without any additional payment.

4.3.2.1.9 Consultant should Provide full time supervision as per time schedule furnished by the Consultant and Construction Management Team, for the Project, by posting, at the site, the required technically qualified and experienced personnel, from the Commencement of the Project upto the completion and handing over of the project. Supervision includes the following.. a).Interpret the Drawings and Specification and other Contract Documents to the Contractor and taking all required steps to ensure that the work is carried out in accordance with the drawings, specification and terms of the contract, and all rules, regulations and conditions adhered to. Consultant 23 Superintending Engineer b).Test check and verify all materials to be used in the Construction and to ensure conformity to specification as laid down in the Contract documents. c). Check the Contractor’s shop drawings and fabrication drawings and take necessary follow up action to get the approval from the Client. d).Maintain effective liaison between, Contractor / TNHB to ensure proper co-ordination and timely exchange of information and to avoid abortive work. e).Maintain effective control on the cost of the Project on continuing basis. Control will be exercised at each stage to ensure that the Project is completed within the definite cost and time as adjusted by the effects of subsequent decisions, if any, as approved by the Client. Strict control on the quantities of work executed will be kept and while giving all decisions, the cost parameter shall be kept in mind, commensurate with the desired quality of work. f).For all decisions involving significant additional expenditure, the matter is to be placed before the Client and their approval obtained before giving decisions. g).In addition to regular day-to-day exchange of correspondence and records, Progress Reports will be submitted to the Client at agreed intervals, giving the following information: i)Reports on Contractor’s performance Every Month ii) Reports on Project Cost Every Month

4.3.2.1.10 Shall physically verify all dimensions of site carefully and ensure that they are as per drawings. Discrepancies shall be notified to Engineer-in-Charge immediately. Shall be responsible to maintain the dimension at site as per the drawing without any deviation. If any discrepancies, shall be notified to the Engineer-in-charge and arrive solution without affecting any statutory approval.

4.3.2.1.11 Shall be responsible for overall monitoring of the construction (at a time in each block and every component of work) and shall be available at site EVERYDAY (including nights if the contractor carries out work in shifts to achieve the project completion schedule) for strict Supervision & co-ordination of site work with the Engineer-in-Charge, Architect Consultant and Builder.

Consultant 24 Superintending Engineer 4.3.2.1.12 Shall be responsible to deploy requisite number of qualified and experienced Engineers (Civil, Electrical, Mechanical, HVAC and Environmental)at site on full time basis to supervise the day to day works and also shall be responsible for monitoring of the progress of work as per approved drawings, construction procedures and practices and to ensure quality in day to day work as per specifications and standards and should apprehend the acts and shall inform to the Client on day- to-day basis.

4.3.2.1.13 Shall be responsible to maintain the checklist of day-to-day works and shall submit Engineer-in-charge for verification and correctness once in fortnight. 4.3.2.1.14 Shall be responsible for checking the levels, steel reinforcement, centering, shuttering and scaffolding, and concreting very carefully and arranged to set right defects if any noticed with the knowledge of Engineer-in-charge. 4.3.2.1.15 The CONSULTANT shall check the bills submitted by the Builder and certify the accuracy within three to four days from the date of receipt of bill from contractor by the Engineer-in-charge. Minimum ten percent of such measurements will be got checked by Engineer-in-Charge’s Engineer. If any discrepancies or dispute arise due to wrong calculations and measurement and financial implication the responsibility passed on to the Consultant and have the responsibility to solve the issues.

4.3.2.1.16 If bills / measurements not submitted by the Builder, the CONSULTANT shall take measurements jointly with contractor’s representative, record them in measurement books (MBs) supplied by Engineer-in-Charge and obtain contractor’s signature in token of acceptance & Prepare Bills . Hidden measurements, which cannot be recorded in future, shall be recorded before covering up the work. Minimum ten percent of such measurements will be got checked by Engineer-in-Charge’s Engineer.

4.3.2.1.17 If contractor’s representative fails to attend at the measurements or Contractor fails to countersign after giving reasonable notice to the contractor, CONSULTANT should take measurements and prepare bills and send for payment. Minimum ten percent of such measurements will be got checked by Engineer-in-Charge’s Engineer

Consultant 25 Superintending Engineer 4.3.2.1.18 On completion of work, the CONSULTANT shall have the responsibility to finalize the final bills for the work as per actual execution.

4.3.2.1.19 The CONSULTANT should settle the Final Bill within Three months after completion of Project

4.3.2.1.20 Shall be responsible to maintain and account for the day to day consumption of cement, steel in the work and shall see that the cement, steel used in work are as per the theoretical requirement any without any pilferage.

4.3.2.1.21 Shall be responsible for completion of project as per scheduled time stipulated in agreement with the Builder. The Builder shall be informed at every stage about the progress both financial and physical against the target and shall arrange to issue notices to the Builder/Contractor through Engineer-in-charge.

4.3.2.1.22 Shall preserve field books and measurement books supplied by Engineer-in-Charge in safe custody and shall return the same to Engineer-in-Charge after completion of project or as advised by Engineer-in-Charge and loss or theft in any kind will lead to punishment /penal action.

4.3.2.1.23 Shall maintain cement register, steel register, Register for Any other materials supplied by the department, log register, daily labour register, drawing register, hindrance register, register for payment of advances and recoveries, register for reconciliation of materials to facilitate recoveries, register for movement of field books / measurement books, site instructions book, diary of work, Quality Assurance (QA) records, log register, etc., and any other register as advised by Engineer-in-Charge and shall return all registers referred above after completion of the project or as advised by Engineer-in-Charge to TNHB without taking any copies. 4.3.2.1.24 Shall ensure that Builder have complied with registration under Contract Labour (Regulation and Abolition) Act, 1970 and Central Rules, 1971 and abide by laws pertaining to labour including payment as per Minimum Wages Act and any other Act or enactment relating

Thereto and rules framed there under from time to time. The CONSULTANT shall ensure compliance by the contractors of all labour laws and relevant Statutory Acts including Labour License, Minimum Wages Act, etc. and ensure for insurance for all deployed for the project and shall provide copy to the Engineer-in-charge before claiming the first and part bill.

4.3.2.1.25 Shall ensure that Builder have taken requisite “All Risk Insurance Policies” to cover workman under Workman Compensation Act, loss / damage caused by natural calamities / accident / accidental collapse of partially completed work, materials and plant at site and for third party claims for injury / damages. CONSULTANT shall ensure that all such policies remain in force through out the execution of project.

4.3.2.1.26 Shall ensure that all instructions to the Builder will be issued in the form of letter written by Consultant-with a copy to the Engineer-in-charge for information and follow up action or site instructions to the Builder written by Engineer-in-charge or his representative in site instructions book. They shall maintain the record of all such instructions for verification at any time. It will be CONSULTANT responsibility to regularize all verbal instructions given by competent authority in unavoidable circumstances by obtaining written confirmations/ratifications. CONSULTANT shall ensure that extra/deviated items are not executed unless approved by Engineer-in-Charge and rates are finalized. A register for extra/substituted items shall be maintained by CONSULTANT.

4.3.2.1.27 Shall ensure safety of structure by taking all necessary precautions and by not allowing excessive construction loads on floors and shall avoid such other factors which will endanger the safety of structure during construction. The responsibility and losses if any occurred shall be borne by Consultant.

4.3.2.1.28 Shall take custody of objects of value and antiquity found on site during excavation or otherwise and hand over to Engineer-in-Charge.

4.3.2.1.29 Shall keep a track of permissions required from local authorities and get revalidated whenever necessary.

Consultant 27 Superintending Engineer

4.3.2.1.30 Shall ensure that safety of personnel working at site/inspecting the site by taking precautions by putting barricades, night lamps near trenches, pits, open shafts, lift shafts, edge of floors, terraces, bore wells and such other places and to insist on compliance of safety code such as use of helmets, etc, on work site. Safety norms as per codel procedure shall be followed without any omission and deviation.

4.3.2.1.31 The CONSULTANT shall make their own arrangements at no extra cost to the Engineer-in-Charge for instruments/equipments such as total stations theodolites, leveling instruments, prismatic compass, chain, measuring tapes, plain tables and ranging rods, such other equipments / instruments including Temporary structures for shelter for the stationery and equipment of CONSULTANT, etc. at their cost without claiming any extra cost for conducting preliminary survey and investigation

4.3.2.1.32 Suggest modification, if any, due to site conditions and advise reasoned justification of cost variations on account of resultant extra items and excess supported by proper analysis.

4.3.2.1.33 Shall arrange for weekly or fortnightly site meeting with Engineer-in-charge and Builder to discuss and short out the issues arise across the table and final conclusion may be arrived with approval of Engineer-in-charge and pass on to the Builder for smooth execution of the project and timely completion of the work.

4.3.2.1.34. Consultant shall suggest alternate Structural Modification if required during execution of work according to requirement, without claiming any additional cost and got approved by the Client.

4.3.2.2. QUALITY CONTROL

4.3.2.2.1. Monitor the quality of the work and ensure of the quality as per specification, relevant codes and as per Engineering practices.

Consultant 28 Superintending Engineer

4.3.2.2.2 Maintain the registers for mandatory tests to be conducted by the Builder for all materials as per codel provisions before incorporation in work. The guidelines may be taken from the Engineer-in-charge regarding the registers to be maintained and got attested / signed by the Engineer-in-charge for every test.

4.3.2.2.3 Inspect and approve the materials at site as per specifications and codel provisions before they are used in work for ensuring quality at every stage and component of work

4.3.2.2.4 Shall be responsible for obtaining good workmanship with respect to lines, levels, plumb, finish, etc. Shall check all centerlines, dimensions, levels and plumb at all stages of work with reference to working drawings and shall ensure correct dimensions of all elements of work. 4.3.2.2.5 Shall ensure that work proceeds as per tender conditions and specifications. All material brought to site shall be of approved quality and make, rejected material is removed from site and work executed is of high standard, good workmanship and desired quality and ensure of using materials to the work on obtaining approval of Engineer-in –charge

4.3.2.3. SITE CO-ORDINATION

4.3.2.3.1. Shall attend and arrange for periodic site meetings / meetings in Engineer-in-Charge office or site office and discuss site conditions bottlenecks faced likely hindrances, time overruns, cost overruns and any other important matter along with solutions proposed. CONSULTANT will be required to submit periodic reports concerning quality standard and progress of the project to the Engineer-in-charge.

4.3.2.3.2. To arrange issue of preliminary completion report, defect liability completion report, final job completion report to the Engineer-in-Charge. Arrange to get completion Plan for all buildings including all interior and exterior sub-works and development works.

4.3.2.3.3. Any other construction management task not specifically mentioned but relevant to the realization of the project.

4.3.2.3.4. Ensure for helping Engineer-in-Charge in settling all the bills and payments to the Builder and all other allied works without any delay and with proper accounting.

Consultant 29 Superintending Engineer

4.3.2.3.5. CONSULTANT shall ensure that following are not recommended for payment in interim bills / final bills. i) Extra items / deviated items not approved by Engineer-in-Charge. ii) Payments beyond financial sanction and iii) Payment for the work done in extended period without sanction for the time extension.

4.3.2.3.6. Shall co-ordinate with all agencies working at site, liaison with local authorities for proper permissions / commencement certificate / completion certificate, etc. 4.3.2.3.7. Shall ensure that work proceeds smoothly and not hampered for want of decisions / drawings / clarifications. 4.3.2.3.8. Shall submit physical and financial progress reports once in every month or as desired by Engineer-in-Charge in standard Performa approved by Engineer-in-Charge. Performa shall be got approved.

4.3.2.3.9. Shall anticipate time overruns, well before completion date and obtain requests for extensions from Builders. CONSULTANT shall submit Builder’s request for extension of time along with his recommendations well within time. Bill for work done in extended time, yet to be sanctioned, shall not be recommended. CONSULTANT will note that only competent authority ie Engineer-in-Charge has authority to grant permissions for extensions. 4.3.2.3.10. Shall advise Engineer-in-Charge with regard to extra claims / disputes / Chief Technical Examiner’s observations / arbitration cases between Engineer-in-Charge and the Contractors, if any and assist Engineer-in-Charge in case of any dispute till the cases are resolved either by mutual negotiation or through arbitration or court, as the case may be.

4.3.2.3.11. Develop and monitor a quality control system to ensure that the required standards of construction are met.

4.3.2.3.12. Develop a checking and testing procedure so that all systems are adequately tested and balanced prior to their acceptance. Co-ordinate all testing provided by other agencies as required

Consultant 30 Superintending Engineer

4.3.2.3.13. The major equipments such as transformers, pumps, motors, generating sets, lifts and those identified mutually along with Employer and which needs testing shall be witnessed by Consultants at the work site of manufacture before dispatch. Consultant shall review and satisfy himself of the test certificates for all the tests carried out by equipment manufacturer and certify them acceptable before dispatch of the equipment.

4.3.2.3.14. Monitoring progress and sequence of works of various agencies and trades for coordinated and harmonious construction. Co-ordination of activities between various agencies such as civil, electrical, water supply, sewerage and rain water harvesting etc. including assistance to Employer/Engineer for obtaining permission required on various counts from Civil/Municipal authorities and all concerned. All efforts will be taken to get the clearance at the earliest. However Consultants shall assist the Employer in getting all the clearance.

4.3.2.3.15. Administration of all contracts including preparation of deviation orders and their valuation as approved by Employer.

4.3.2.3.16. Administration of all contracts and assistance in resolving the differences and disputes, if any.

4.3.2.3.17. Final inspection, checking/Execution of testing, commissioning and handing over of various parts of works and of various systems to local agencies based on agreed handing over plan.

4.3.2.3.18. Checking and certifying of Running and Final bills of various Builder(s) and organizing guarantees as per Contract. All the Bills/certification shall be strictly in line with Employer’s formats. 4.3.2.3.19. Maintain and manage the planned schedule and provide monthly updates, noting areas of concern, time restrains etc.

4.3.2.3.20. Reviewing the safety programme developed by each of the Builder(s) and monitoring enforcement.

Consultant 31 Superintending Engineer

4.3.2.3.21. Site Documents to be maintained during the construction period shall mainly be as given below.

Display of Approved Materials & Fittings, Copy of contract documents and drawings between the Employer and deployed Builder(s), Computerized bill formats, Site Order Book, Works Diary, Material Testing/Quality Control Register, Stage Passing Register, Measurement Books on computerized formats, Deviation / variation orders register, Cement consumption register, Steel Reinforcement register, Progress bar chart and Time Sheet (Roll Call),

4.3.3 POST CONSTRUCTION / COMPLETION STAGE STAGE-VII

4.3.3.1. Prepare and submit completion reports and drawings for the Project as required and assist the Client in obtaining “completion/occupancy certificate” from statutory authorities. .4.3.3.2. Consultant shall certify the work after completion of its having being executed to design, drawings and technical soundness. 4.3.3.3. Consultant shall assist in arbitration and litigation cases that may arise on contracts entered into with construction and other agencies.

4.3.3.4. On completion of all works, the Consultant have to advise the Client on cost variation with justification, prepare and submit to the Client, “As executed” drawings (as detailed in Clause 7), of the project works such as architectural, structural, plumbing, sanitary electrical instrumentation, air-conditioning, fire hydrants and lines etc. and for operations maintenance manuals and routine maintenance schedules along with spare parts lists etc. should be given and full specification of the entire project and other service

4.3.3.5. To assist the Employer in the following work:- (a) Settlement of all accounts of the Builder(s). (b) Reconciliation of materials supplied to the Builder(s). if any. (c) Submission of following documents on the pattern/formats of the Employer:-

Consultant 32 Superintending Engineer

As built drawings, Recorded Measurement Books, Periodical Services Manual, Road Register, Plant Record Books, Drawings of underground cables and pipelines showing locations of control and alignment etc., Submission of all operation and maintenance manuals of plants, machines, equipments etc ., Handing over of assets created to the Employer and end users and To evolve a defect rectification plan which is suitable and economical.

4.3.3.6. Preparation of “FINAL REPORT” which will contain all technical and financial information of the project for record of Employer.

4.3.3.7. The Consultant shall assist in preparation of replies and settle all clarification raised by various agencies with respect to the project upto Defect Liability Period.

4.3.3.8. The Consultant shall not use or reveal the details of the project to any third party without permission of the Employer and shall return all the records of the project whether hard copy or soft copy to the Employer on completion of the contract.

4.4 PERSONNEL

4.4.1 . CONSULTANT is expected to ensure that men of proven ability and adequately qualified are only employed at site and they work diligently. In case, Engineer-in-Charge finds any Engineer/s not up to the mark, CONSULTANT will have to withdraw him / her /them from site and replace him / her / them by posting new one/s in his / their position. Engineer-in-Charge reserves the right to remove such personnel and ask for a substitute of required caliber. In case an Engineer/s resigns from their employment, CONSULTANT shall immediately provide a substitute of equivalent caliber. CONSULTANT shall not make any changes in the personnel deployed by them on work site without prior permission.

4.4.2. The CONSULTANT shall furnish the list of Engineers and Supervisors (Civil Mechanical, and Electrical) with details of their qualifications, experience, etc., to the Engineer-in-Charge.

4.4.3. The Engineer-in-Charge undertakes no responsibility in respect of any life, health, accident, travel and any other insurance for the personnel deployed by CONSULTANT.

Consultant 33 Superintending Engineer 4.4.4 . The CONSULTANT shall be responsible for any damage or loss on account of neglect of professional duty or conduct on the part of such staff or Engineers or others. 4.4.5. The CONSULTANT shall not have any objection to Engineer-in-Charge maintaining any Engineering staff at its own cost at the site of work to carry out work and duties allotted to them by Engineer-in-Charge, in respect of all the work at site or other areas outside the scope of CONSULTANT works for overall surveillance, security and verification CONSULTANT shall provide manpower at site timely and only experienced persons will be provided at site. 4.4.6. It will be compulsory for CONSULTANT to place following full-time qualified adequate Engineers on site through out the execution of work. Prior to posting these personnel to work site / office, CONSULTANT shall submit their Bio-data with photo evidence and obtain approval of Engineer-in-Charge. 4.4.7. The above requirement is the visualized minimum. However, more Engineers and other categories of staff may have to be appointed, if necessary, for satisfactory supervision and co- ordination, It is specifically agreed that the Engineer-in-Charge shall have no responsibility for any Staff / Officers / Engineers engaged by the CONSULTANT and the said CONSULTANT alone shall be responsible.

4.4.8. In case the Engineer employed by the CONSULTANT are required to travel to any other station outside work station, in connection with the discharge of the duties relating to project, The travelling expenses and other incidental charges should be borne by the Consultant.

4.4.9. The Consultant should maintain attendance Register for the staff at the site. It should be in the form of manual method or electronic method using card punch system or biometric system. The attendance evidence should be produced to the Engineer-in-charge as and when required for verification and as decided according to the circumstances and necessity arised

4.5 CONSULTANT’S RESPONSIBILITY AFTER COMPLETION OF PROJECT AND DEFECTS LIABILITY PERIOD

4.5.1. CONSULTANT shall carry out detailed inspection on completion of project and get rectified all defects noticed during inspection. CONSULTANT shall also carry out detailed inspection during defects liability period and get rectified all defects noticed during such inspection before the end of defects liability period. A check list in this regard may be prepared and got approved by the Engineer-in-charge. 4.5.2. CONSULTANT shall advise Engineer-in-Charge with regards to extra claims or disputes / arbitration cases between Engineer-in-Charge and the contractor/s, if any, and assist in case of any dispute till the cases are resolved either by mutual negotiation or through Arbitration or Court as the case may be. 4.5.3. CONSULTANT should collect the Guarantee Bond for Water Proofing & Anti Termite Treatment and any other brought-out materials and As Built drawings and it should be handed over to the Engineer-in-Charge. 4.5.4. Defect Liability period shall be 24 Months( Twenty Four Months) after the date of completion. Consultant 35 Superintending Engineer

4.6. PROFESSIONAL MISCONDUCT

If at any time, it is noticed that deliberate attempt has been made by the CONSULTANT to cause over payments to the contractors by over-measurement or over estimation of rates or sub- standard work is accepted and recommended for payment, the amount shall be recovered from the payment due to the CONSULTANT not only from this contract but also from any other contract awarded by this Engineer-in-Charge. The matter will be viewed as a professional misconduct and strict action as per the laws of country will be taken and recoveries shall be made from CONSULTANT.

4.7 .SUB-LETTING OF PROFESSIONAL SERVICES

4.7.1. No sub-letting of services shall be permitted by the Engineer-in-Charge. Under no circumstances the CONSULTANT shall sublet the services.

4.8 THIRD PARTY LIABILITY

The Engineer-in-Charge shall not be liable for any injury / death, caused to any official, employee, representative or agent of the CONSULTANT or their Consultants working at the site or damage to their properties for any reason whatsoever and Engineer- in-Charge shall not entertain any claim from any person on that behalf. It would be the responsibility of the CONSULTANT to get their officials, employees, representatives, agents or their Consultants insured against the possible risks involved in the discharge of their duties at the work site.

4.9. CONFIDENTIALITY

4.10.1. Except with the prior written consent by the Engineer-in-Charge, the CONSULTANT and their representatives shall not any time communicate to any person or entity any confidential information disclosed to them for the purpose of the services. The CONSULTANT shall not publicize any information pertaining to Engineer-in-Charge which is discussed with them during course of execution of work in the interest of project completion.

4.10. INTERPRETATION

The documents forming the contract shall be interpreted in the following order of priority 1) Agreement 2) Letter of Award, s 3) Consultant’s Bid 4) Conditions of contact & special condition of contract 5) Price Bid

4.11. SECURITY DEPOSIT

The successful tenderer within 15 days of receipt of Letter of Award (LOA) of the tender from the competent authority, will produce Security deposit in the form of Bank Guarantee in a prescribed Performa to a value of 2% of the tender value with validity up to completion of the project. An agreement should be executed in form prescribed. The EMD paid along with RFP will be refunded after execution of agreement.

4.12. PAYMENT :

Terms of payments will be as per the schedule of payment prescribed under clause 5.2. The fee payable to the Consultant will be considered on the percentage of value of work under their scope for the built up area. In case, there is variation in built up area, the proportionate cost of the work will be considered based on the actual built up area for payment accordingly

4.13. RETENTION MONEY DEPOSIT

4.13.1 95% payment will be released for each stage of payment. 5% amount will be retained as Retention Money Deposit (RMD) from each bill.

4.13.2 Security Deposit of 2% of tender value and 50% of the retention money (RMD) will be released along with the Final Bill of this PMC, after completion of the project and release of final bill of the Builder.

4.13.3 Balance 50% retention amount(RMD), will be released after completion of defective liability period of Twenty four months from the date of Completion of the project and after certifying to the effect by the Consultant that all the defects as pointed out by the Consultant have been rectified by the Builder concerned.

4.14. CONSULTANT OFFICE AND TELEPHONE FACILITY

4.14.1. An office space of 4M x 3M (12 sqm area) shall be provided by client at site. CONSULTANT shall make their own arrangements to provide facilities for their staff , furniture, telephone / fan , Computer , e-mail facility, Fax etc. The CONSULTANT at their cost will install PCs with requisite software for Project management on site. Electricity consumption charges for the site office has to be paid by the Consultant.

4.14.2 It shall be open to the Engineer-in-Charge to abandon or give up at any stage of the construction of any of the site buildings or any part thereof. In the event of such abandonment or giving up or in the event of termination of the agreement, the CONSULTANT shall be paid fees up to duration worked by them.

4.15. TERMINATION OF CONTRACT :

4.15.1. The Client has the right to foreclose/close the contract/ Postpone the work on at any stage, the consultant will not have any claim for the unfinished stages expect already finished and accepted and approved by Client. 4.15.2. In any time after acceptance of the contract, Client shall decide to abandon or reduce the scope of work(s) for any reason whatsoever and hence not require the whole or any part of the works to be carried out, The client shall give notice in writing to that effect to the consultant and consultant shall have no claim to any payment or compensation or otherwise whatsoever, on account of any profit or advantage which he might have derived from the execution of the works in full, but which he did not derive in consequence of the foreclosure of the whole or part of the work(s). 4.15.3. In the event of failure on the part of the consultant to complete the work in time or to the complete satisfaction of the Client or in the event of committing breach of any one or more terms and conditions of the Agreement, Client shall be entitled to rescind this contract without prejudice to its right to claim damages or remedies under the law.

4.15.4. The period of notice to be given to rescind the contact will be 30 days and in the event of such termination consultant shall be liable to refund the excess payment if made to him over and above what is due to him on the date of termination and Client will be entitled to make full use of all or any of the drawings/documents prepared by consultant. In such case Client shall have power to engage another consultant to carry out the balance quantities of work debiting the excess amount to the consultant, if any so spent subject to a maximum of 10% of the total fee which would have been paid. Consultant shall pay client on demand of such excess expenditure within 30 days of issue of notice failing which consultant firm shall be debarred from consultancy job of Client in future besides taking other course of action under law to recover such expenses. Client also reserves the rights to recover the unadjusted amount due from the consultant from any other payment due to the consultant.

4.15.5. In the event of failure on the part of the Consultant to complete their work or the Client to give approval and / or make payments within the time specified or in the event of either of the parties commit a breach of any one or more of the terms and conditions of the Contract, the aggrieved party shall be entitled to rescind this Contract without prejudice to its rights to claim damages or remedies under the law.

4.15.6 The Client may terminate this contract by issuing not less than Thirty (30) days written notice of termination to the Consultant except in the case of (e), after the occurrence of any of the events specified given hereunder. (a) If the Consultant fail to remedy a failure in the performance of their obligations hereunder, as specified in a notice of suspension pursuant to Clause 4.17.11.herein above. (b) If the Consultant become insolvent or bankrupt or enter into any agreements with their creditors for relief of debt or take advantage of any law for the benefit of debtors or go into liquidation or receivership whether compulsory or voluntary. (c) If the Consultant fails to comply with any final decision reached as a result of arbitration proceedings pursuant to Clause 4.17.11.hereof; (d) if the Consultant submit to the Client a statement which has a material effect on the rights, obligations or interests of the Client and which the Consultant know to be false; (e) if, as the result of Force Majeure, the Consultant are unable to perform a material portion of the Services for a period of not less than Thirty (30) Days;

Consultant 39 Superintending Engineer (f) If the Client, in its sole discretion and for any reason whatsoever, decides to terminate this Contract. (g) If the Consultant, in the judgment of the Client, has engaged in corrupt or fraudulent practices while executing the Contract. For the purpose of this Clause: “Corrupt practice” means the offering, giving, receiving or soliciting of anything of value to influence the action of a public official in the selection process or in Contract execution.

“fraudulent practice” means a misrepresentation of facts in order to influence a selection process or the execution of a contract to the detriment of the Client, and includes collusive practice among Consultant (prior to or after submission of proposals) designed to establish prices at artificial non-competitive levels and to deprive the Client of the benefits of free and open competition.

4.16.PAYMENT UPON TERMINATION Upon termination of this Contract pursuant to Clause 4.15. hereof, the Client shall make payment to the Consultant after offsetting any amount that may be due from the Consultant to the Client. 4.17. FORCE MAJEURE 4.17.1. For the purpose of this contract, “Force Majeure” means an event which is beyond the reasonable control of a Party, and which makes a Party’s performance of this obligations hereunder impossible or so impractical as reasonably to be considered impossible in the circumstances, and includes, but is not limited to, war, riots, civil, disorder, earthquake, fire, explosion, storm, flood or other adverse weather conditions, strikes, lockouts or other industrial action (except where such strikes, lockouts or other industrial action are solely restricted to the staff of the Consultant) confiscation or any other action by Government Agencies.

4.17.2 Force Majeure shall not include (1) any event which is caused by the negligence or intentional action of a Party or agents or employee, nor (2) any event which a diligent party could reasonably have been expected to both take into account at the time of the conclusion of this Contract and avoid or overcome in the carrying out of its obligations hereunder. 4.17.3 . Force Majeure shall not include insufficiency of funds or failure to make any payment required hereunder.

Consultant 40 Superintending Engineer 4.17.4 . .The failure of a party to fulfill any of its obligations hereunder shall not be considered to be a breach, or default under, this Contract in so far as such inability arises from an event of Force Majeure provided that the party affected by such an event has taken all reasonable precautions, due care and reasonable alternative measures, all with the objective of carrying out the terms and conditions of this Contract.

4.17.5 . A Party affected by an event of Force Majure shall take all reasonable measures to remove such Party’s inability to fulfill its obligations hereunder with a minimum of delay.

4.17.6 A Party affected by an event of Force Majeure shall notify the other Party of such event as soon as possible, and in any event not later than fourteen (14) days following the occurrence of such event, providing evidence of the nature and cause of such event, and shall similarly give notice of the restoration of normal conditions as soon as possible.

4.17.7 . The parties shall take all reasonable measures to minimize the consequences of any event of Force Majeure.

4.17.8 Any period within which a Party shall, pursuant to this contract, complete any action or task, shall be extended for a period equal to the time during which such Party was unable to perform such action as a result of Force Majeure.

4.17.9 . During the period of their inability to perform the Services as a result of an event of Force Majeure, the Consultant shall be entitled to be reimbursed for additional costs reasonably and necessarily incurred by them during such period for the purposes of the Services and in reactivating the Services after the end of such period.

4.17.1 0. Not later than thirty (30) days after the Consultant, as the result of an event of Force Majeure, have become unable to perform a material portion of the Services, the Parties shall consult with each other with a view to agree on appropriate measures to be taken in the circumstances.

Consultant 41 Superintending Engineer 4.17.11 . The Client may, by written notice of suspension to the Consultant, suspend all payments to the Consultant hereunder if the Consultant fail to perform any of their obligations under this Contract, including the carrying out of the Services, provided that such notice of suspension shall specify the nature of the failure shall request the Consultant to remedy such failure within a period not exceeding thirty (30) calendar days after receipt by the Consultant of such notice of suspension.

4.18. LIQUIDATED DAMAGES

If any delay in execution of the works is attributable to the acts of omissions and commissions and poor management of CONSULTANT, Engineer-in-Charge shall be entitled to recover liquidated damages at the rate of 0.5% of the total fees per week of delay limited to maximum of 5% of the total actual fees payable.

4.19. STANDARD OF PERFORMANCE 4.19.1 . The Consultant shall perform the Services and carry out their obligations hereunder with all due diligence, efficiency and economy, in accordance with generally accepted professional techniques and practices and shall observe sound management practices, and employ appropriate advanced technology and safe and effective equipment, machinery, materials and methods. The Consultant shall always act, in respect of any matter relating to this Contract or to the Services, as faithful advisers to the Client, and shall at all times support and safeguard the Client’s legitimate interests in any dealings with Sub-Consultant or Third Parties.

4.19.2 . The Consultant shall assume full responsibility for the design and specification for items in scope of work and the client will have full access to the Structural designs.

4.19.3 . The Consultant shall not make any deviation, alteration or omission from the approved drawings without prior consent of the Client.

4.20. CONTROL OF WORKS The overall control of the works shall be vested with the Client or their authorized representative. The Consultant shall cause appropriate action taken on the order of the Client. The Consultant shall act only on written communication or in any emergency, any oral communication to be confirmed thereafter in writing, by the Client or their authorized representative. 4.21. ASSISTANCE AND EXEMPTIONS Unless otherwise specified, the Client shall use his best efforts to ensure that the Client shall; (a) Provide the Consultant with work permits and such other documents as shall be necessary to enable the Consultant Personnel to perform the Services.

(b) Issue to officials, agents and representative of the Client all such instructions as may be necessary or appropriate for the prompt and effective implementation of the Services. (c) Provide to the Consultant any such other assistance as may be specified.

4.22. ACCESS TO LAND The Client warrants that the Consultant shall have, free of charge, unimpeded access to all land in respect of which access is required for the performance of the Services only after obtaining written permission of the Client..

4.23. LAW GOVERNING CONTRACT & LAW GOVERNING SERVICES 4.23.1 LAW GOVERNING CONTRACT This Contract, its meaning and interpretation, and the relation between the Parties shall be governed by the Applicable Indian Law.

4.23.2. LAW GOVERNING SERVICES The Consultant shall perform the Services in accordance with the Applicable Indian Law and shall take all practicable steps to ensure that the Personnel of the Consultant comply with the Applicable Indian Law. The Consultant shall be conversant with laws / local customs and respect them. 4.24. COMMENCEMENT OF SERVICES The date of commencement of services is from the date of execution of Contract or the date on which the client directs commencement of works.

4.25. EXPIRATION OF CONTRACT Unless terminated earlier pursuant to Clause 3.16 hereof, this contract shall expire when services have been completed and all payments have been made.

4.26. ENTIRE AGREEMENT This Contract contains all covenants, stipulations and provisions agreed by the parties. No agent or representative of either Party has authority to make, and the Parties shall not be bound by or be liable for, any statement, representation, promise or agreement not set forth herein.

4.27. MODIFICAITON Modification of the terms and conditions of this Contract, including any modification of the scope of the Services, may only be made by written agreement between the Parties and shall not be effective otherwise. However, each party shall give due consideration to any proposals for modification made by the other Party.

4.28. NOTICES 4.28.1 Any notice, request or consent required or permitted to be given or made pursuant to this Contract shall be in writing. Any such notice, request or consent shall be deemed to have been given or made when delivered in person to an authorized representative of the party to whom the communication is addressed, or when sent by registered mail, telex or facsimile to such party at the address specified.

4.28.2. Notice will be deemed to be effective as follows: (a) In the case of personal delivery or registered mail, on delivery; (b) In the case of tele fax / E-Mail, following confirmed transmission.

4.28.3. A party may change its address for notice hereunder by giving the other party notice of such change pursuant to the provisions listed above. 4.29. DISPUTES / ARBITRATION: 4.29.1 In the event of any question, dispute or difference arising with regard to the interpretation of the agreement, of the rights, liabilities or duties arising out or otherwise in connection with the Contract, the matter shall be referred to Arbitration. The appointment of Arbitrator and Arbitral proceedings shall be by mutual agreement. The decision of the Arbitrator shall be final and binding on the parties. The provisions of the Arbitration and Conciliation Act, 1996 (Central Act 26 of 1996) as amended from time to time shall apply to such Arbitration. If work under this Contract

has not been completed when a dispute is referred to arbitration, the work shall continue during the arbitration unless the Termination ordered by the Client and no payment due to the consultant under the provisions of the contract shall be withheld on account of arbitration proceedings unless authorized or required by the Arbitrator.

4.29.2 . Where the Parties do not agree that the dispute concerns a technical matter, the Client and the Consultant shall each appoint one arbitrator, and these two arbitrators shall jointly appoint a third arbitrator, who shall chair the arbitration panel. If the arbitrators named by the Parties do not succeed in appointing a third arbitrator within thirty (30) days after the latter of the two arbitrators named by the Parties has been appointed, the third arbitrator shall, at the request of either Party, be appointed by Secretary, the Indian Council of Arbitration, New Delhi.

4.29.3 . In respect of disputes, the High Court of Judicature at Chennai and Courts subordinate there to in Chennai shall alone have jurisdiction.

4.30. CESSATION OF RIGHTS AND OBLIGATIONS Upon termination of this Contract, pursuant to Clause 4.15 hereof, all rights and obligations of the Parties hereunder shall cease, except: a). Such rights and obligations as may have accrued on the date of termination or expiration. b). The obligation of confidentiality set forth in Clause 4.33 hereof; c). The consultant’s obligation to permit inspection, copying and auditing of their accounts and records and d). Any right which a Party may have under the Applicable Law.

4.31. CESSATION OF SERVICES Upon termination of this Contract by notice pursuant to Clause 4.15 hereof, the Consultant shall, immediately upon receipt of such notice, take all necessary steps to bring the Services to a close in a prompt and orderly manner and shall make every reasonable effort to keep expenditures for this purpose to a minimum.

4.32. CONFLICT OF INTERESTS 4.32.1 The fee of the Consultant hereof shall constitute the Consultant’s sole fees in connection with this Contract for the Services and, subject to Clause 4.32.2 hereof, the Consultant shall not accept for their own benefit any trade commission, discount or similar payment in connection with activities pursuant to this contract or to the Services or in the discharge of their obligations hereunder.

4.32.2. If the Consultant, as part of the Services, have the responsibility of advising the Client on the procurement of goods, works or services, the Consultant shall comply with any applicable procurement guidelines of the Client and shall at all times exercise such responsibility in the best interest of the Client.

4.32.3. The Consultant during the term of this Contract and after its termination, the Consultant and any entity affiliated with the Consultant shall be disqualified from providing goods, works or services for any project resulting from or closely related to the Services.

4.32.4. The Consultant shall not engage, and shall cause their Personnel not to engage, either directly or indirectly, in any of the following activities. (a) During the term of this Contract, any business or professional activities in the Government’s County which would conflict with the activities assigned to them under this Contract.

4.33. CONFIDENTIALITY 4.33.1. The Consultant and the Personnel shall not, either during the term or after the expiration of this Contract, disclose or permit any employee of the Consultant, any proprietary or confidential information relating to the Project, the Service, this contract or the Client’s business or operations without the prior written consent of the Client.

4.33.2. The Consultant shall keep with inviolable secrecy any document or drawing supplied by or to the Client, pursuant to this Contract and shall not use the same except in the performance of the Services.

Consultant 46 Superintending Engineer 4.34. INSURANCE TO BE TAKEN OUT BY THE CONSULTANT

4.34.1. The Consultant (a) shall take out and maintain, at their own cost by on terms and conditions approved by the Client, insurance against the risks, and for the coverage, and (b) at the Client’s request, shall provide evidence to the Client showing that such insurance has been taken out and maintained and that the current premiums have been paid.

4.34.2. The minimum insurance cover for loss or damage to the equipment and physical property in connection with this contract, personal injury or death is Rs.1,00,000/- per occurrence, with the number of occurrences limited to 4. After each occurrence, the Consultant will pay additional premium necessary to make insurance valid for 4 occurrence always.

4.35. AUTHORISED REPRESENTATIVES Any action required or permitted to be taken, and any document required or permitted to be executed, under this contract by the Client or the Consultant may be taken or executed by the officials to be specified.

4.36. LANGUAGE This Contract shall be executed in English.

5. PROJECT PERIOD, TERMS AND SCHEDULE OF PAYMENT

5.1. PROJECT COMPLETION SCHEDULE AND MILESTONE FOR EACH ACTIVITY 5.1.1. To be programmed by Consultant and filled in.

5.1.2. Total Period of Completion of Project: 30 Months. The consultant should take maximum efforts to complete the project earlier than the completion period. However if there is any delay in completion, the consultant should continue to render all service as per the consultancy contract (Ref.Caluse 4.2 and 4.3)

5.1.3. The project period of 30 months includes Pre-Contract Design Stage of 6 months and Construction Supervision Period of 24 Months.

5.2. Terms of Payment:

5.2.1 The Consultant shall submit “On account” bills at appropriate stages and the Client shall make payment as per the schedule of payment given under clause 5,2 .5 after holding 5% of the bill amount as Retention Money Deposit (RMD) from each bill. Out of this total RMD, 50 % of RMD will be released on 100% completion of the project and balance 50 % RMD will be released after successful completion of defects liability period of the project ie 24 Months.

5.2.2 Payment for the Consultant will be made based on the accepted tender value.

5.2.3 Deduction of Income tax or any such tax admissible at the time of payment shall be made from Consultant’s bill as per the applicable law. However, the service tax as applicable shall be paid by the Consultant. The amount of service tax paid by the Consultant for this work ie. Project Management consultancy services under each part bill will be reimbursed by the TNHB on producing documentary evidence by the Consultant.

Consultant 49 Superintending Engineer 5.2.4 For each of service in the scope of work, the Consultant shall be paid at the following stages consistent with work. Payments made to the Consultant are ‘On account’ and shall be adjusted against the final amount payable. The schedule of payment shall be as per details given below.

5.2.6 . Completion cost excludes cost of land, payment made to statutory bodies, Advertisement expenses, vetting design charges, soil test, service tax paid to the Builder towards works contract, payment made towards to price adjustment clause to the Builder etc and any other payments made to other agencies.

5.2.7 . Effecting payment to the consultant at various stages: The fees payable to Consultant shall be computed on the actual cost of works on completion. The payment due to the Consultant at different stages be computed on the following basis:

5.2.7.1 Pre-construction stage : Stage-I,Stage-II, Stage-III: On Rough cost estimate based on the prevailing Tamil Nadu PWD Plinth area rates excluding items specified in clause 5.2.6 Stage-IV, Stage-V: On technically sanctioned estimate excluding items specified in clause 5.2.6. 5.2.7.2 Construction stage: Stage-VI: As per Actual execution cost excluding items specified in clause 5.2.6 5.2.7.3 Post-construction stage : Stage-VII: As per Actual completion cost excluding items specified in clause 5.2.6.

5.2.8. Payment beyond stipulated period ; Completion period of the project shall be as indicated in agreement entered into by the client with the Building contractors. In case work gets delayed and cause of the delay is not attributable to the performance of Consultant and thus it would be totally beyond the control of Consultant, the consultant will be paid on monthly basis as per the following formula for its staff posted at the site after schedule completion period for the extended period of contract only. Monthly payment to consultant:

60% of total fees payable ------Original scheduled contract period for the project in months as stipulated in letter of Intent/ agreement of the Builder

The above payment shall be made only if all the Engineers deployed during course of the original contract retained. In case less numbers of Engineers are deployed either due to reduced requirement of balance works or due to instructions of client or due to any other reasons, reduction shall be effected from the payment on pro-rate basis. However, the Client reserves the right to extend the PMCS or close the contract and the Consultant is bound by the decision of the Client. The Client also reserves the right for reduction in the number of Engineers to be deployed and decision of the Client shall be final and binding on the Consultant.

6. SITE TOPOGRAPHY, WEATHER CONDITIONS

6.1. LOCATION Proposed site with four individual plots abutting 18.00 Mts Roads is situated in the prime location with an approach from Rajiv Gandhi Salai (Old Mahabalipuram Road) and nearer to East Coast Road. The site is also very near to I.T. Firms like INFOSYS, HCL and TCS etc. 6.2. THE CLIMATE 6.2.1 Temperature – Not excessively hot but warmer than the west coastal region. Annual Summer Mean Max. Temperature 38”c Annual Summer Mean Min. Temperature 28”c 6.2.2. Humidity – Ranges between 50 to 85 percent. November to February may be considered comfortable. 6.2.3. Rainfall – Principally during the North East Monsoon from October to November but rainy spells during South West Monsoon (June – September) also likely. Coastal area is subject to Cyclonic weather.
