EXECUTION VERSION ASSET PURCHASE AGREEMENT THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made as of September 30, 2015, by and between Gray Television Group, Inc., a Delaware corporation (“Gray”), and Legacy Broadcasting of Rapid City, LLC, a Mississippi limited liability company (“Buyer”). WHEREAS, on the date of this Agreement, Seller is a party to that certain Asset Purchase Agreement, dated as of September 14, 2015, by and between Seller, Schurz Communications, Inc. (“SCI”), and certain subsidiaries of SCI, including Rushmore Media Company, Inc. (as amended from time to time, the “Schurz Agreement”), pursuant to which, and subject to the terms thereof, Seller has the right to acquire all of the assets, properties and rights of Schurz that are exclusively or primarily used or exclusively or primarily held for use in the business and operation of certain television and radio stations, including the Stations (as defined below); WHEREAS, SCI owns (a) the licenses, permits and other authorizations (including call signs) issued by the Federal Communications Commission (the “FCC”) for the operation of the broadcast television stations described on Schedule A hereto (the “Stations”), including any renewals or modifications thereof and applications therefor between the date hereof and the Closing (the “FCC Licenses”); (b) the personal property listed on Schedule B hereto (the “Personal Property”); (c) those contracts and agreements listed on Schedule C (the “Station Contracts”); and (d) all parcels of real property listed on Schedule -
