Press Release 12 May 2021 14:00:00 CEST Fasadgruppen expands to Stavanger through two new acquisitions

Fasadgruppen continues to expand in Norway and has established the group in Stavanger through the acquisitions of the two companies RSM Fasade AS (”RSM”) and Rogaland Blikk AS (”RB”).

RSM was founded in 1999 and is one of the largest façade companies in western Norway with a strong market position in Stavanger and the surrounding areas. The company primarily works in renovation projects with a strong skillset in masonry, plastering and painting. RSM has 19 full- time employees, and for the financial year 2020, its revenues amounted to NOK 49 million.

RB was founded in 2017 and shares its premises with RSM. The operations are focused on the installation of façade panels, roofs and sheet-metal works in both new construction and renovation projects. RB has 10 full-time employees, and for the financial year 2020, its revenues amounted to NOK 18 million.

Fasadgruppen is using available credit facilities and existing cash to finance the acquisition of all shares in RSM and RB. The sellers have undertaken to re-invest part of the purchase price by acquiring existing shares in Fasadgruppen within the next three months for an amount corresponding to NOK 10.8 million. The shares bought under the re-investment are subject to a lock-up commitment until 12 May 2022. The completion of the acquisition is not subject to any conditions, and RSM and RB will therefore immediately become part of Fasadgruppen.
