Registreringsdokument – Aker ASA – 2010 1 Risiko 1.1 Risikoeksponering Aker ASA (”Aker”) er en aktiv industriell eier med eksponering mot selskap innenfor energisektoren, oljeservice, maritime næringer, sjømat og marin bioteknologi både i form av eierskap og fordringer. Akers risiko er således primært finansiell og over tid knyttet opp mot utviklingen i de selskapene Aker har eksponering mot enten ved utbetaling av utbytte, gjeldsbetjening eller ved salg av aksjer og fordringer. Aker kan som en del av en overordnet risikostyring fra tid til annen også ta finansielle posisjoner, primært innenfor rente og valutamarkedene, og vil da også være eksponert mot svingninger i disse markedene i tillegg til motpartsrisiko. Akers operasjonelle risiko er begrenset da selskapet er et rent investeringsselskap uten drift og med en relativt forutsigbar kostnadsbase. Risiko knyttet til eierandeler Aker er et investeringsselskap og mye av selskapets risiko er knyttet opp mot verdiutviklingen i de selskapene man er eksponert mot. Risikoen er dermed knyttet opp mot disse selskapenes evne til å skape verdier over tid. De fleste av Akers investeringer er notert på Oslo Børs og således likvide og også utsatt for generelle svingninger i aksjemarkedet.     AKER ASA – BOARD OF DIRECTORS Kjell Inge Røkke Chairman Entrepreneur and industrialist Kjell Inge Røkke, (born 1958) Aker ASA’s main owner, has been a driving force in the development of Aker since the 1990s. Mr. Røkke launched his business career with the purchase of a 69-foot trawler in the United States in 1982, and gradually built a leading worldwide fisheries business: harvesting and ocean-going processing of white fish. In 1996, the Røkkecontrolled company RGI purchased enough Aker shares to become Aker’s largest shareholder, and later merged RGI with Aker. Mr. Røkke is currently board chairman of Aker BioMarine ASA and Det norske oljeselskap ASA, and a board member of Aker Holding AS and Aker Solutions ASA. As of 31 December 2009 Mr. Røkke, through his investment company The Resource Group TRG AS and subsidiaries, holds 49,069,690 shares in Aker ASA, and has no stock options. Mr. Røkke is a Norwegian citizen. He has been elected for the period 2008-2010. Lone Fønss Schrøder Deputy chairman Lone Fønss Schrøder (born 1960) is President in Wallenius Lines in Sweden. Lone Fønss Schrøder received her law degree from the University of Copenhagen and a Master of Economics degree from Handelshøjskolen, Copenhagen. Ms. Fønss Schrøder has broad international experience, acquired during 21 years in senior management and via board positions at A.P. Møller-Maersk.
