1. PREAMBLE OF TENDER

TENDER FOR THE SUPPLY OF STAINLESS STEEL PLATE, STAINLESS STEEL TUMBLER, INDOLIUM KADAI, STAINLESS STEEL SPATULA/JARNI KARANDI AND STAINLESS STEEL STORAGE BIN.

(a) The Government of in Social Welfare and Nutritious Meal Programme Department, have issued orders for the procurement and supply of approximately 857609 Nos. Stainless Steel Plates, 857609 Nos. Stainless Steel Tumblers, 50476 Nos. Indolium Kadai, 50476 Nos. Stainless Steel Spatula / Jarni Karandi and 1096 Nos. Stainless Steel Storage Bins for Anganwadi centres. The Director cum Mission Director of ICDS has been entrusted with the task of procurement under this scheme. It is therefore proposed to purchase approximately 857609 Nos. Stainless Steel Plates, 857609 Nos. Stainless Steel Tumblers, 50476 Nos. Indolium Kadai, 50476 Nos. Stainless Steel Spatula / Jarni Karandi and 1096 Nos. Stainless Steel Storage Bins at the designated locations mentioned in the tender.

(b) Based on the Government Orders, the Director cum Mission Director, ICDS proposes to finalise the Purchase by calling for tender from the dealer / manufacturer through competitive bidding process for Supply of approximately 857609 Nos. Stainless Steel Plates, 857609 Nos. Stainless Steel Tumblers, 50476 Nos. Indolium Kadai, 50476 Nos.Stainless Steel Spatula/Jarni Karandi and 1096 Nos. Stainless Steel Storage Bins as per specifications given in the tender to carry out the above objective of the Government.

(c) The successful tenderers should work closely with the Government of Tamil Nadu and the Director cum Mission Director of ICDS and ensure supply of the products on time.

(d) Short Titles used in the Tender Document:

1 Tenderer / bidder Tenderer / bidder mean the party who makes a formal offer in pursuance of the tender floated.

2 Successful tenderer Successful tenderer means the tenderer who becomes successful through the tender process.

3 a. Dealer Dealer means the firm which supplies item at its sale place. b.Manufacturer Manufacturer means the firm which manufacturer’s item at its manufacturing plant.

4 Day A day means a calendar day.

5 Purchaser Purchaser means the Director cum Mission Director who on behalf of the Government of Tamil Nadu is making this procurement through this tender.

6 Cost Cost means the total cost to be incurred by the purchaser towards the purchase of Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin including loading and unloading CIF and Insurance, Transportation Charges, duties of excise, service tax, VAT, cess, toll charges, etc. and any other incidental expenses incurred up to the point of the delivery.

7 Delivery Point Delivery point means designated locations at District Programme Offices/Block offices in the State of Tamil Nadu.

8 ICDS ICDS means Integrated Child Development Services.

(e) Applicability of Tamil Nadu Transparency in Tenders Act 1998 and Rules 2000.

This tender is governed by the Tamil Nadu Transparency in Tenders Act 1998 and the Tamil Nadu Transparency in Tenders Rules 2000 as amended from time to time. In case of any conflict between the terms and conditions in the tender document, the Tamil Nadu Transparency in Tenders Rules 2000, shall prevail. 2. CHECK LIST

Sealed Tenders are invited from the dealers / manufacturers of Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin towards the Supply of approximately 857609 Nos. Stainless Steel Plates, 857609 Nos. Stainless Steel Tumblers, 50476 Nos. Indolium Kadai, 50476 Nos. Stainless Steel Spatula / Jarni Karandi and 1096 Nos. Stainless Steel Storage Bins to Anganwadi centres across the State of Tamil Nadu.

The last date for the receipt of filled tender document is 16.04.2015 upto 11.00 a.m. The tender will be opened on 16.04.2015 at 12.00 noon at the Office of the Director cum Mission Director of Integrated Child Development Services Scheme, Tharamani, Chennai-113. The Tender documents can be obtained in person on all working days till 5.00 p.m. up to 15.04.2015 at the above address on payment of Rs.15,750/- (Rupees Fifteen thousand seven hundred and fifty only) in the form of Demand Draft drawn from any one of the Nationalized Bank, or by downloading the same from the website www.tenders.tn.gov.in. The cost of the downloaded form for Rs.15,750/- should be paid in the form of Demand Draft drawn from any one of the Nationalized Bank and enclose it along with the Tender Form.

An Earnest Money Deposit of Rs.9,28,000/-(Rupees Nine lakhs and twenty eight thousand only) has to be remitted by means of DD drawn from any one of the Nationalised Bank in favour of Director cum Mission Director, ICDS, Chennai-113.

4.QUALIFICATION CRITERIA

4.1 Tenderer: a) The Firm should either be a proprietorship, partnership, Pvt. Ltd company, Public Limited Company, as per Section 25 under Companies Act, HUF, Society or Trust in existence in as per the relevant laws governing them entitled to do business and existing for the past 3 years as on 31.03.2014. The tenderer should provide the relevant certificates of incorporation / certificate of commencement of Business. b) The Tenderer should be a dealer or a manufacturer of Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin at least for a period of 3 years as on 31.03.2014. Copy of the dealership / manufacturing license for tendered items shall be submitted by the bidders. Documents relating to the eligibility conditions have to be submitted along with the tender and if any additional documents are required they should be submitted when they are called for. c) The dealers / manufacturer should have done business in India for the last 3 years as on 31.03.2014. The copy of relevant document in proof should be submitted. d) The tenderer should have an experience of minimum 400 deliveries executed in the ICDS Department.

4.2 Turnover:

The annual turnover of the dealer / manufacturer shall be not less than Rs.5.00 crores (Rupees Five crores only) for the consecutive three years. Copies of audited balance sheet and profit and loss account for the last three financial years 2011- 2012, 2012-2013 and 2013-2014 should be enclosed.

4.3. Warranty:

The tenderer should give a minimum warranty of one year covered by a comprehensive warranty against any manufacturing defect for a period of one year from the date of supply of Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin. The dealer / manufacturer shall be liable to make good the loss by replacing the Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin during the warranty period at free of cost to the beneficiaries.

4.4 Minimum Quantity:

The tenderer should offer the supply not less than 30% of each of the tendered item.

4.5 Tax Registration:

Should have a valid local Sales Tax registration / Value Added Tax registration (wherever applicable) Central Sales Tax registration. Copy of Valid Sales Tax / CST registration certificate should be enclosed.

4.6 IT Return:

Should have filed the latest I.T. return and should enclose the copy of the same duly certified by the Auditor. Director cum Mission Director and his team will verify the Sales turn over given in Auditors Certificate with the Sales Tax department for its correctness. If any deviation is found, the orders given / proposed to be given will be cancelled.

4.7 Black List:

Should not have been blacklisted either by Director cum Mission Director of ICDS or by any of the Government Departments/ Government Undertakings in India. The tenderer shall provide the certificate (Self Declaration) to the effect that they have not been blacklisted. (Annexure-II)

The Director cum Mission Director of ICDS at his discretion may or may not extend the due date and time for the submission of tender on account of amendments.

4.8 Self Certificate:

1. Should furnish a self certificate in the format prescribed in Annexure IV and the quality and specifications of various components of samples given and product to be supplied with reference to the technical specifications prescribed in the tender. 2. Should furnish self declaration about the Financial and Physical capacity.

4.9 Sample:

Should furnish samples as per specification.

4.10 Self Certification:

If the provisions at Clause 4.8 & 4.9 are not met by any tenderer a self- certification to that effect shall be furnished in the tender.

4.11 Solvency Certificate:

Should furnish the Solvency Certificate/ Property valuation in original for a value of Rs.5.00 crores.

5. GENERAL INSTRUCTIONS a) The tenderers are requested to go through the instructions, terms and conditions and specifications given in the tender. Failure to furnish all required information in every respect will be at the tenderer’s risk and may result in the rejection of the tender. For any queries Contact the Deputy Director (Nutrition). b) The tenderers shall be deemed to have satisfied himself / themselves fully before bidding as to the correctness and sufficiency of his / their bid for the Tender and price quoted in the bid to cover all obligations under this tender.

c) The tenderers participating in the tender should have a minimum of 3 years experience in supply of ICDS Department and should also enclose the supporting documents. If proof is not enclosed the tender application will be summarily rejected.

d) It must be clearly understood that the terms and conditions and specifications are intended to be strictly enforced.

e) The tenderer shall be fully and completely responsible to Director cum Mission Director and the State Government for all the deliveries and deliverables as per tender condition.

f) No escalation cost will be permitted in the Tender throughout the period of Agreement or throughout the period of completion of Tender whichever is later on account of any reasons whatsoever.

g) The tenderer should submit a certificate regarding the non employment of child labour in their firms, manufacturing units etc.

h) Should deliver the materials in the delivery points as per Annexure – XI.

5.1. Pre-bid Meeting:

There will be a pre-bid meeting on 07.04.2015 at 11.00 a.m. in the Directorate of ICDS, No.1, Pammal Nallathambi Street, Tharamani, Chennai-600 113 during which the prospective tenderers can get clarifications about the tender. The tenderers shall send their queries in writing if any so as to reach the Director cum Mission Director, ICDS at least two days prior to the pre-bid meeting date. The tenderers may also check the above website for any up to date information like change in date / venue etc., of pre-bid meeting.

Failure to participate in the pre-bid meeting is not a disqualification.

5.2. Clarifications on the tender:

A prospective tenderer requiring any clarification on the tender may request the Directorate of ICDS by a letter or by fax (044-24540980) or by email [email protected].

5.3 Amendments to the tender: a) The Director cum Mission Director, ICDS may amend the tender clauses wherever it is felt that such an amendment is absolutely necessary. b) Amendment to tender may also be given in response to clarifications by prospective tenderers and it is solely at the discretion of the Director cum Mission Director, ICDS. Any amendment to the tender will be uploaded in the website and made available and it is the responsibility of the tenderer to verify Page | 11

the amendments if any and get the amendment documents before the submission of the tender. c) The Director cum Mission Director, ICDS at its discretion may or may not extend the due date and time for the submission of tender on account of amendments.

5.4 Language of the Tender:

The tender document as well as all correspondence and documents relating to the tender shall be in English language only. In case any document is in any other language, a copy of English translation should be provided with the tender document submitted by the prospective tenderer. The supporting documents and printed literature furnished by the tenderer may be in another language provided they are accompanied by an accurate translation in English language, in which case, for purposes of interpretation of the tender, the English translation shall govern. The Tenders received without such English translation copy of the supporting documents are liable to be rejected. For any wrong translation the tenderer is responsible.

5.5 Tender form not transferable:

The tender form sold to a tenderer is not transferable. It should not be used by others and if used by others it will not be accepted. Similarly photo copy of the tender form will not be accepted.

5.6 Downloaded tender form:

a) The tender document can be downloaded through website on A4 size paper only and computer print alone should be submitted in the form of a booklet. Submission of tender document in any other form will be rejected.

b) Tenderer shall download corrigendum, if any, published subsequently and submit with the tender; otherwise the tender will be rejected. It is the responsibility of the tenderer to check whether any corrigendum has been given by the Director cum Mission Director of ICDS subsequently in the website / newspapers.

c) The tenderer shall submit downloaded tender documents in original without any change / addition / deletion and correction. If any change / addition / deletion is detected at any stage after the award of the tender, the EMD as well as Security Deposit remitted by the tenderer will be forfeited without any intimation and their name will be black listed from participating in subsequent tenders. Besides, they will also be prosecuted.

d) A declaration should be given by the tenderer along with the tender in the form given in Annexure – VI.

6. COST OF TENDER

The tenderer shall bear all costs associated with the preparation and submission of tender. Director cum Mission Director of ICDS will in no way be Page | 12 responsible or liable for these charges / costs incurred regardless of the conduct or outcome of the tender process.

7. EARNEST MONEY DEPOSIT

a) Earnest Money Deposit amount of Rs 9,28,000/- (Rupees Nine lakhs and twenty eight thousand only) shall be paid along with technical offer by way of Demand Draft obtained from any one of the Nationalised Bank drawn in favour of Director cum Mission Director of ICDS payable at Chennai. The cost of the downloaded form of Rs.15,750/- should be paid in the form of Demand Draft obtained from any one of the Nationalised Bank payable at Chennai-113 along with the technical bid.

b) The Earnest Money Deposit amount of the unsuccessful tenderers will be refunded after the acceptance of the successful tenders within a reasonable time. The Earnest Money Deposit amount held by the Director cum Mission Director of ICDS, till it is refunded to the unsuccessful tenderers will not earn any interest thereof.

c) The Earnest Money Deposit amount of successful tenderers can be converted as part of the security deposit (SD) for successful execution of the tender.

d) Any tender not enclosed with Earnest Money Deposit amount as in clause 7(a) above will be rejected summarily by Director cum Mission Director of ICDS as non-responsive.

e) The Earnest Money Deposit amount shall be forfeited by Director cum Mission Director of ICDS, if a tenderer withdraws the tender during the validity period specified in the tender or fails to sign the Tender or to remit security deposit within the respective due dates.

8. SUBMISSION OF TENDER

8.1 Submission of tender under two covers system:

a) Tender should be submitted in two parts in original i.e. Part-I cover and Part-II Cover. The Part-I cover is the technical offer and Part-II cover is price offer. The envelopes should be super scribed as “Tender (rate contract) for the Supply of Stainless Steel Plates, Tumblers, Storage Bin, Indolium Kadai etc.”. The Part-I cover and Part-II cover should also be marked on the top with the firm name and address of the tenderer and these two covers should be packed in a single cover (Outer cover) and put into tender box, before the date & time prescribed. The tender will not be received personally. All the covers should be closed and sealed by using cealing wax properly.

b) If the tenderer prefers to submit the tender by post / courier, the tenderer should ensure that the tender reaches the Director cum Mission Director of ICDS on or before the due date and time. Director cum Mission Director of ICDS will not be liable or responsible for any postal / courier delay or any other delay whatsoever.

c) If any tender is received after the due date and time or unsealed or disorderly submitted or received by Facsimile (FAX), the tender will be treated as non-responsive.

8.2 Documents to be furnished in the Part-I Cover (Technical Bid):

a) The Technical Bid format as given in the Tender shall be filled, signed and stamped on all pages. Errors if any, shall be attested by the Bidders. The Technical Bid shall not contain any indications of the price; otherwise the Bid will be summarily rejected.

b) The supporting documents and other documents as given below should be submitted in the Technical Bid.

6 Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin Test Report issued by the Government of India Testing Agency as mentioned in Clause-10.

7 Tenders shall furnish an undertaking for the Supply of approximately 857609 Nos. Stainless Steel Plates, 857609 Nos. Stainless Steel Tumblers, 50476 Nos. Indolium Kadai, 50476 Nos. Stainless Steel Spatula / Jarni Karandi and 1096 Nos. Stainless Steel Storage Bins if their Tender becomes successful.

8 All undertaking letters as required in the Tender document.

8.3 Signing of tender:

a) The tender shall be typed or written in indelible ink and shall be signed by the tenderer or a person duly authorized to bid the tenderer to the Tender. All

Page | 14 pages of the tender shall be signed by the person or persons authorized to sign the tender.

b) Any alterations, corrections or overwriting shall be treated as valid only if they are authenticated by full signature by the person or persons authorized to sign the tender.

c) The tender once submitted cannot be modified or amended or withdrawn. No documents of a supplementary nature will be received after submission of tender.

8.4 Details to be furnished in the Part-II cover (Price bid):

a) All the Price items as asked in the Tender should be filled in the Price Bid (Part-II) format as given in the Tender.

b) The price quoted by the Bidder shall include cost and expenses on all counts viz. cost of Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin all materials, tools methodologies and technique in the implementation, manpower, supervision, administration, overheads, travel, lodging, boarding, in-station & outstation expenses, transport, CIF, all duties and taxes, cost to the District supply locations etc. and any other cost involved in the Supply including the warranty cost.

c) The Bid is liable for rejection if Price Bid contains conditional offers / partial offers.

d) The Price Bid shall be typed and shall be signed by the authorized signatory in all pages. Any alternations, deletions or overwriting shall be attested with full signature of the authorized signatory.

e) The Price Bid shall be placed in a separate cover (Part-II) and sealed appropriately. The Price Bid cover shall be super-scribed as “Tender (Rate Contract) for the Supply of Stainless Steel Plates, Tumblers, Storage Bin,Indolium Kadai etc.Tender Ref. 8890/NMP/2013”. The “FROM” address and “TO” address shall be written without fail otherwise the Price Bid is liable for rejection.

8.5 Bid Prices:

8.5.1 The Bidder shall indicate on the appropriate price schedule form, the cost of one Stainless Steel Plate, Stainless Steel Tumbler, Indolium Kadai, Stainless Steel Spatula /Jarni Karandi and Stainless Steel Storage Bin and total bid price of the goods it proposes to supply under the tender.

8.5.2 Prices indicated on the price-schedule form shall be entered separately in the following manner.

8.5.3 The price quoted by the bidder shall include cost and expenses on all accounts including all the taxes, duties and levies etc. This price shall include all duties like

i. VAT and other taxes like excise duty etc. which will be payable on the goods if the tender is awarded.

ii. The charges for inland transportation, insurance and other local services required for delivering the goods at the desired destination as specified in the price schedule form.

iii. As the Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula /Jarni Karandi and Stainless Steel Storage Bin will be delivered at District/ Block locations throughout the State of Tamil Nadu, tenderer should make necessary arrangements for supply and storage at the point of delivery at District / Block locations. The tenderer may take the above cost component into account while making its price bids.

iv. The charges for insurance and transportation of the goods to the place of destination shall be borne by the tenderer.

8.5.4 The price quoted shall be in Indian rupees (INR only) and shall remain fixed for 90 days from the day following the date of opening of tender. The tender is liable for rejection if the price bid contains conditional offers.

8.5.5 Documents Establishing Bidder’s Eligibility and qualifications:

a) The bidder shall furnish, as part of its bid, documents establishing the bidders’ eligibility to bid and its qualification to perform the Tender if its bid is accepted.

b) The documentary evidence of the bidders qualification to perform the supply if the bid is accepted shall establish to the purchasers satisfaction that:-The bidder meets the qualification criteria listed in bidding documents, if any.

c) Conditional tenders will not be accepted.

8.5.6 Documents Establishing Good’s Eligibility and Conformity to Bidding Documents.

a) To establish the conformity of the goods to the specifications and schedule of requirements of the bidding document, the documentary evidence of conformity of the goods to the bidding documents may be in the form of literature, drawings and data.

8.5.7 For purposes of the commentary to be furnished pursuant to above, the Bidder shall note that standards for workmanship, material and equipment, designated by the Purchaser in its Technical Specifications are intended to be descriptive only and not restrictive. The Bidder may substitute these in its bid, provided that it demonstrates to the Purchaser’s satisfaction that the substitutions ensure substantial equivalence to those designated in the Technical Specifications.

8.6 Mode submission:

a) The tender must be dropped in the tender box kept in the office of the Director cum Mission Director, ICDS on or before the due date and time. The tender will not be received personally.

b) The tenderer shall submit two samples out of which one sample as offered for testing to the testing agency and another shall be submitted to Director cum Mission Director, ICDS for comparison of supplies on or before the due date and time for closing of the tender under acknowledgement. The cost of the sample testing by the tenderer or by the Department shall be borne by the tenderer. The sample of successful tenders will be retained by the Director cum Mission Director, ICDS and that of unsuccessful bidders will be returned within a reasonable time.

c) The tenders received after the due date and time will not be considered and will neither be opened. Tenders in unsealed covers or in incomplete shape or through facsimiles (Fax) or by electronic mail will not be accepted. Tenders received without sample shall also be summarily rejected.

9. OPENING OF TENDERS

9.1 Tender opening :

a) The Tender outer cover and technical bid cover (Part-I cover) including EMD cover will be opened at the prescribed date and time in the presence of tenderers or their representatives who choose to be present. The representatives of tenderers who attend the tender opening must produce their Identification proof and authorization letter from the companies.

b) If the date fixed for opening of tender happens to be a Government holiday for any reasons, the sealed tenders will be received and opened on the next working day at the appointed time.

c) Part-I cover containing technical offer shall be opened first. The supporting documents shall be cross checked wherever required.

d) The Technical bid will be opened on 17.04.2015 at 12.00 noon. following which the bids will be evaluated. After the completion of evaluation, the qualified bidders will be called for the price bid (Part-II cover) opening. The results of the technical evaluation will be intimated to the qualified tenderers by post / e- mail/telephone etc.

9.2 Criteria for evaluation of technical bid: a) Any tender not containing documents indicated in para-8.2 and not fulfilling the qualification criteria indicated in the tender notification shall be summarily rejected.

b) If found necessary, the tenderers, manufacturing /supplying office will be visited by the authorized representative(s) of the Purchaser (not more than 3 Officers) to verify the availability of infrastructure facilities such as plant and machinery, manufacturing capacity, testing facilities, ability to supply and quality practices at any time before awarding of tender to execute the Tender as per the Page | 17 delivery schedule at the cost and expenses of the tenderers at the discretion of the tender inviting authority. The Purchaser reserves the right to reject the tender of any tenderer based on the inspection report of the authorized representative(s).

9.3 The inspection team deputed by the Director cum Mission Director, ICDS will verify the address given in the sales tax registration and address of the production facility given in the tender to ensure its correctness.

9.4 Period of validity of tender:

The rate offered in the Tender shall be valid for a period of 90 days from the date of opening of technical bid. Any after with short validity period less than 90 days from the date of opening of technical bid will be rejected as non-responsive. This validity period shall not bind the delivery schedule.

10. SAMPLE TESTING FOR TENDER EVALUATION

The tenderers shall get tested one sample quoted by them in any of the BIS recognized laboratory in India for the tests specified in the tender schedule for the product quoted. The tenderer should enclosed the BIS Certificate also.

11. OPENING OF PRICE BID (PART-II COVER)

a) The date, time and venue of opening of Part-II cover i.e. price bid will be intimated separately to the technically qualified tenderers.

b) The price bid will be opened on the intimated date and time in the presence of the tenderers or their authorized representatives who choose to be present.

c) All the Price items as asked in the Tender should be filled in the Price Bid format as given in the tender.

d) The Price Bid should be firm single net price only for the Stainless Steel Plate, Stainless Steel Tumbler, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin. If more than one price / optional prices for the Stainless Steel Plate, Stainless Steel Tumbler, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin models are found in the Price Bid, the lowest price alone will be considered for evaluation. The prices should be quoted both in words and figures.

11.1 Evaluation of the price bid:

The tender will be evaluated in accordance with the Tamil Nadu Transparency in Tenders Act 1998 read with the Tamil Nadu Transparency in Tenders Rules 2000.

In price bid evaluation the following procedure will be adopted.

a) The evaluation shall include all central duties such as customs duty and central excise duty and sales tax as a part of the price. Page | 18

b) In evaluation of the price of an imported item, the price will be determined inclusive of the customs duty and other taxes, duties if any.

c) In evaluation of the price of articles which are subject to excise duty, the price will be determined inclusive of such excise duty.

d) In a tender where all the tenderers are from within the state of Tamil Nadu or where all the tenderers are from outside the state of Tamil Nadu, the Sales tax shall be included for evaluation of the price.

e) In a tender where the tenderers are both from the state of Tamil Nadu as well as from outside the state of Tamil Nadu, the incidence of sales tax will be treated by evaluation of the prices per relevant rules in consonance with the Tamil Nadu Transparency in Tenders Act 1998 read with the Tamil Nadu Transparency in Tenders Rules 2000.

f) The Director cum Mission Director, ICDS may carry out negotiation with the lowest tenderers (L1) as per evaluation. In case L1 tenderers is not able to supply the entire quantity as certified in Annexure V the tender inviting authority may resort to rule 31 of the Tamil Nadu transparency in tender rules, 2000 Accordingly the Director cum Mission Director, ICDS will Negotiate with the lowest tenderers to match the next lowest tenderers to match the price offered by the lowest evaluated tenderers and place order.

g) Require all the other eligible tenderers who participated in the tender to offer the quantity they would be willing to supply at the price quoted by the lowest evaluated tenderers, and thereafter place orders for the remaining required quantity with all those who match the lowest evaluated price such that those who bid lower prices in the original tender get a higher priority for supply. Or use other clauses under the Rule 31 as deemed fit by the tender inviting authority.

h) Under the Rate contract, the Director cum Mission Director, ICDS will decide about how much quantity will be given to the successful tenderer as per the assessed capacity of the supplier to supply the required quantity / part of the quantity within the stipulated time.

12. WARRANTY PERIOD a) The goods supplied under this Tender shall be covered by comprehensive warranty against any manufacturing defect for a period of two years from the date of supply and from the date of acceptance of the Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin. b) The Supplier shall be liable to make good the loss by replacing the Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin found defective during the warranty period free of cost.

c) Irrespective of the warranty obligations, the Supplier is liable for replacing the faulty Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin is found to have any manufacturing defects within 30 days after supply.

d) The warranty will cover all the materials and goods supplied by the Supplier under this Tender irrespective of the fact whether these have been manufactured by the Successful Bidder or not. In this regard the decision of the Director cum Mission Director of ICDS will be final and binding on the successful bidder.

13. SPECIAL TERMS

The Director cum Mission Director of ICDS reserves the right to:

a) Negotiate with the tenderer whose offer is the lowest evaluated price for further reduction of prices.

b) Specify terms on quality and specification of materials to be supplied.

c) Arrive at a common uniform design and shape and direct all the Suppliers to supply as per the common design chosen by it.

d) Modify, reduce or increase the quantity requirements to an extent of 25% of the tendered quantity as per the provision of Tamil Nadu Transparency in Tender Rules, 2000.

e) Modify the bidding document by an amendment 48 hours prior to the deadline for submission of the tender.

14. ACCEPTANCE OF TENDER / AWARD OF TENDER, PAYMENT OF SECURITY DEPOSIT AND EXECUTION

14.1 Acceptance of the tender:

a) The final acceptance of the Tender is entirely vested with the Director cum Mission Director of ICDS who reserves the right to accept or reject any or all of the Tenders in full. The Tender Accepting Authority may also reject any tender for reasons such as changes in the scope of procurement, new technologies, court orders, accidents or calamities and other unforeseen circumstances.

b) After acceptance of the tender by the Director cum Mission Director of ICDS, the tenderer shall have no right to withdraw his tender or claim higher price. The tender accepting authority may also reject all the tenders for reasons such as changes in the scope of procurement, new technologies, lack of anticipated financial resources, court orders, accidents or calamities and other unforeseen circumstances.

14.2 Letter of acceptance:

a) After acceptance of the tender the Director cum Mission Director of ICDS will issue letter of acceptance (LOA) only to the successful tenderer(s).

b) Letter of acceptance will be issued for the entire quantity allotted with instructions to remit the Security Deposit and execute agreement for the entire quantity pending issue of firm Purchase Order.

c) The delivery period will be counted from the date of issue of the “Firm Order” / or as stated in the supply schedule which will be decided at the time of issue of supply order.

14.3 Payment of security deposit (SD):

a) The successful tenderer will be required to furnish security deposit equivalent to 5% (five percent of the purchase order value inclusive or Earnest Money Deposit amount either in the form of Demand Draft obtained from any one of the Nationalized bank or unconditional irrevocable Bank Guarantee, should be submitted within one week from the date of receipt of letter of acceptance.

b) The security deposit will be released to the successful tenderer after completion of the entire supply and warranty period. The security deposit held by the Director cum Mission Director of ICDS, till it is released to the successful tenderer will not earn any interest thereof.

c) The security deposit will be forfeited if a tender withdraws the tender during the period of tender validity specified in the tender or if the tenderer fails to sign the agreement. Further the security deposit will be forfeited for non- adherence of any of the tender conditions and for the non-Supply of ordered quantity either in full or in part thereof.

14.4 Execution of agreement:

a) The successful tenderer is required to execute supply agreement for the fulfilment of the Tender in a Rs.100/- Non-Judicial stamp paper within one week from the date of receipt of acceptance letter from the Director cum Mission Director of ICDS.

b) The successful tenderer shall not assign or make over the Tender, the benefit or burden thereof to any other person or persons or corporate body for the execution of the Tender or any part thereof. The Director cum Mission Director of ICDS reserves its right to cancel the purchase order either in part or full if this condition is violated.

14.5 Release of firm purchase order:

After payment of security deposit and successful execution of the agreement “Firm Purchase Order” for the supply of Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin will be released.

14.6 Refund of Earnest Money Deposit:

The Earnest Money Deposit will be refunded to the unsuccessful tenderers after the finalization of tender and issue of purchase order to the successful tenderers within a reasonable time. EMD amount of successful tenderers will not be refunded on payment of Security Deposit. Alternatively EMD can be adjusted towards payment of Security Deposit.

14.7 Supply: a) Supply of all the ordered items must be commenced as per the specification given in para-21 and the entire supply should be completed within 120 days from the date of receipt of purchase order. b) Proto type sample should meet the quality requirements and the successful tenderers should ensure the supply of the allotted quantity as per proto type sample only. i.e. no change will be entertained mid way of the supply schedule. c) The Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin must be delivered at the designated locations in good condition and the transportation charges should be borne by the supplier. Safe transport should be the responsibility of the supplier. Damages during transportation if any shall be replaced by the supplier.

14.8 Insurance:

The delivery of goods to the destination is the responsibility of the supplier only. Insurance, if any is the supplier’s responsibility.

15. ACTIVITIES DURING SUPPLY OF ORDERED ITEMS

15.1 Schedule of supply:

The successful tenderer who has agreed to supply as per the Tender conditions shall commence and complete the supply within 120 days and deliver the Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Jarni Karandi and Stainless Steel Storage Bin as per the supply schedule as given below.

15.2 Status Report:

The successful tenderer shall send status report on delivery in the format to be prescribed in such intervals as may be required by the Director cum Mission Director, ICDS from time to time till the execution of the entire order. Page | 22

16. PAYMENT TERMS

a) No advance payment will be made or no letter of credit shall be established.

b) The Director cum Mission Director, ICDS will process bills for payment of 90% of the cost of Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Spatula/Jarni Karandi and Stainless Steel Storage Bin after supplies are made and will satisfy the Director cum Mission Director, ICDS.

c) The 10% withheld amount shall be released on successful delivery of the full ordered quantity of Stainless Steel Plates, Stainless Steel Tumblers, Indolium Kadai, Stainless Steel Jarni Karandi and Stainless Steel Storage Bin.

d) The Duties and Taxes as applicable at the time of supply within the Delivery Schedule specified in the Tender will be paid by the Successful bidder. In case the Duties and / or Taxes have been reduced retrospectively after award of firm order and within the Delivery Schedule, the successful bidder is liable to return the same.

e) The Director cum Mission Director, ICDS reserves the right to recover any dues from the tenderer which is found on a later date during the audit after final settlement is made to them. Accordingly, the tenderer is liable to pay such dues to the Directorate of ICDS.

f) The details of Excise duty, Customs duty and VAT wherever applicable paid by the supplier to Government of India and State Government respectively should be furnished in the succeeding month before 25th. If the details of customs duty, excise duty and VAT as listed are not submitted then the next bill payment will not be processed.

17. PENALTY CLAUSE

a) If the successful tenderer fails to deliver the materials as per the delivery schedule specified, the Director cum Mission Director, ICDS shall have the right to levy 1% value of the delayed quantity for every week of delay after the due date as penalty. The Director cum Mission Director, ICDS shall have the right to cancel the order partially or in full and entrust the supply orders to another tenderer at the risk and cost of the Supplier, if the supply is delayed beyond 30 days after the due date. The additional cost incurred in such an event will be recovered from the Supplier who fails to supply in time. This shall be without prejudice to the levy of penalty indicated in clause (a) above. The Supplier is bound to pay the consequential loss if any sustained by the Director cum Mission Director, ICDS.

b) The Director cum Mission Director, ICDS will have the right to black list the Supplier for any breach of tender / agreement terms at any point of time.

18. FORCE MAJEURE

a) Force Majeure means an event beyond the control of the Supplier and not involving the Supplier’s fault of negligence and not foreseeable. Such events may include, but are not limited to, acts of the nature such as fires, floods, Page | 23 epidemics etc. and other events such as wars or revolutions, quarantine restrictions, freight embargoes etc.

b) If a Force Majeure situation arises, the Supplier shall promptly notify the Purchaser in writing of such conditions and the causes thereof within 7 days of such event. Unless otherwise, directed by the Purchaser in writing, the Supplier shall continue to perform his obligations under the Tender as far as is reasonably practical, and shall seek all reasonable alternative means for performance of the Tender.

c) In the event of Force Majeure, the delivery period will be extended for a period equivalent to the period for which Force Majeure event was in existence. For this period the Supplier shall not be liable to pay penalty.

d) However, the price quoted by the bidder and accepted by the Purchaser shall remain firm during such extended period. For the matter of clarity, Force Majeure shall not have any bearing on the price.

19. TERMINATION OF TENDER

19.1 Termination for Default:

(a) The Purchaser may, without prejudice to any other remedy for breach of Tender, by written notice of default with a notice period of 15 days, sent to the Supplier, terminate the Tender in whole or part (i) if the Supplier fails to deliver any or all of the goods within the time period(s) specified in the Tender, or within and extension thereof granted by the purchaser; or (ii) if the Supplier fails to perform any of the obligation(s) under the Tender; or (iii) if the Supplier, in the judgment of the Purchaser, has engaged in fraudulent and corrupt practices in completing for or in executing the Tender.

b) In the event the Purchaser terminates the Tender in whole or in part, the Purchaser may procure, upon such terms and in such manner as it deems appropriate, the goods and services similar to those delivered and the Supplier shall be liable to the Purchaser for any additional costs for such similar goods. However, the Supplier shall continue the performance of the Tender to the extent not terminated.

19.2 Termination for Insolvency:

The Purchaser may at any time terminate the Tender by giving written notice with a notice period of 7 days to the Supplier, if the Supplier becomes bankrupt or otherwise insolvent. In this event, termination will be without compensation to the Supplier, provided that such termination will not prejudice or affect any right of action or remedy that has accrued or will accrue thereafter to the Purchaser.

19.3 Termination for convenience:

The Purchaser may by written notice, with a notice period of 15 days sent to the Supplier, may terminate the Tender, in whole or in part, at any time for its convenience. The notice of termination shall specify that termination is for the Page | 24

Purchaser’s convenience, the extent to which performance of work under the Tender is terminated, and the date upon which such termination becomes effective.

20. JURISDICTION

Any dispute arising out of non-fulfilment of any of the terms and conditions of this tender shall be subject to the jurisdiction of the court in the city of Chennai.
