Aktiengesellschaft Announcement pursuant to § 23 para. 1 sentence 1 No. 1 of the German Securities Acquisition and Takeover Act (Wertpapiererwerbs- und Übernahmegesetz) (WpÜG) On 30 April 2007, Dr. Ing. h.c. F. Porsche Aktiengesellschaft, Stuttgart, (Bidder) published the offer document for its mandatory offer (Offer) to the shareholders of Aktiengesellschaft, Wolfsburg, (Volkswagen AG) to acquire all issued ordinary bearer shares of Volkswagen AG (ISIN DE0007664005) (Volkswagen Ordinary Shares) and all issued preference bearer shares of Volkswagen AG (ISIN DE0007664039) (Volkswagen Preference Shares). The acceptance period ends on 29 May 2007 at 24:00 hours (Frankfurt am Main local time), unless it is extended in accor- dance with the statutory provisions of the German Securities Acquisition and Takeover Act (WpÜG). As of 15:00 hours (Frankfurt am Main local time) on 4 May 2007 (Reference Date), the Offer has been accepted for 188 Volkswagen Ordinary Shares and 13 Volkswagen Preference Shares. This corresponds to less than 0.01% of the Volkswagen Ordinary Shares and voting rights, less than 0.01% of the Volkswagen Preference Shares as well as to less than 0.01% of the outstanding share capital of Volkswagen AG. As of the Reference Date, the Bidder holds 88,874,462 Volkswagen Ordinary Shares which corre- spond to approximately 30.92% of the total number of Volkswagen Ordinary Shares and voting rights as of 30 April 2007 as well as to approximately 22.63% of the total outstanding share capital of Volks- wagen AG as of 30 April 2007. The voting rights held by the Bidder in Volkswagen AG are attributed to the so-called Additional Controlling Persons listed in Section 4.3 of the Offer Document (Mag. Josef Ahorner, Dipl.-Ing. According to the information available to the Bidder, as of the Reference Date, of the persons acting in concert with the Bidder within the meaning of § 2 para. 5 WpÜG, (i) Dr. Hans-Michel Piëch held 12,470 Volkswagen Ordinary Shares (corresponding to less than 0.01% of the Volkswagen Ordinary Shares, the voting rights and the total outstanding share capital of Volkswagen AG) and 1,000 Volks- wagen Preference Shares (corresponding to less than 0.01% of the Volkswagen Preference Shares and the outstanding share capital of Volkswagen AG) and (ii) Porsche Austria GmbH & Co. held 73 Volkswagen Ordinary Shares (corresponding to less than 0.01% of the Volkswagen Ordinary Shares, the voting rights and the outstanding share capital of Volkswagen AG). The voting rights held by Porsche Austria GmbH & Co. in Volkswagen AG are attributed to the Additional Controlling Persons Porsche GmbH (Salzburg) and Porsche Holding GmbH pursuant to § 30 para. 1 sentence 1 no. 1 WpÜG. Furthermore, as of the Reference Date no shares in Volkswagen AG or voting rights attaching to Volkswagen Ordinary Shares are attributable to the Bidder, persons acting in concert with the Bidder or their subsidiaries. The total number of shares in Volkswagen AG for which the Offer has been accepted as of the Refe- rence Date together with the number of shares in Volkswagen AG which the Bidder already holds therefore amounts to 88,874,650 Volkswagen Ordinary Shares and 13 Volkswagen Preference Shares, which corresponds to approximately 30.92% of the Volkswagen Ordinary Shares and voting rights, less than 0.01% of the total number of Volkswagen Preference Shares and to approximately 22.63% of the outstanding share capital of Volkswagen AG.
