A number of migrations were completed in the year, as we continued to streamline our portfolio and improve our quality of growth. Total Group tobacco volumes were 255.5 billion stick equivalents (2017: 265.2 billion), with volumes down by 3.6 per cent, outperforming industry volume declines of 5.0 per cent. Growth Brands increased volume by 2.1 per cent and market share by 70 basis points, with share gains in all divisions. Excluding the benefit of brand migrations, Growth Brands also outperformed the industry. LOUIS) Case No. 4:03CV00485TCM September 20, 2004 PURPOSE This backgrounder has been prepared by some the defendant in this case to provide a concise reference document on the case of Tracey A. Mash and Anjanetta Lingard v. Brown & Williamson Corporation, No. 4:03CV00485TCM. It is not a court document. THE PLAINTIFFS: This lawsuit was filed by Tracey A. Mash and Anjanetta Lingard on March 6, 2003 in state court in Missouri. It was later removed to federal court. The plaintiffs are the daughters of Stella Hale who died on Aug. 16, 2001. Plaintiffs allege Ms. Hale died from lung cancer caused by KOOL cigarettes. THE DEFENDANTS: The sole defendant is Brown & Williamson Tobacco Corporation (B&W), formerly headquartered in Louisville, Ky. Its major brands included Pall Mall, KOOL, GPC, Carlton, Lucky Strike and Misty. As of July 31, 2004, Brown & Williamson’s domestic tobacco business merged with R. J. Reynolds Tobacco Company, a New Jersey corporation, to form R. J. Reynolds Tobacco Company, a North Carolina corporation (“RJRT”). RJRT, a wholly-owned subsidiary of Reynolds American, Inc., is headquartered in Winston-Salem, N.C. It is the nation’s second largest manufacturer of cigarettes. Its brands include those of the former B&W as well as Winston, Salem, Camel and Doral. B&W is represented by Andrew R.     Dissenting Statement of Commissioner Julie Brill In the Matter of Reynolds American, Inc. and Lorillard Inc. File No. 141-0168 May 26, 2015 A majority of the Commission has voted to accept a consent to resolve competitive concerns stemming from Reynolds American, Inc.’s $27.4 billion acquisition of Lorillard Tobacco Company, a transaction combining the second and third largest cigarette manufacturers in the United States. Under the terms of the consent, Reynolds will divest some of its weaker non-growth brands – Winston, Kool, and Salem – as well as Lorillard’s brand Maverick to Imperial Tobacco Group plc, a British firm that currently operates as Commonwealth here in the United States.1 The Commission will allow Reynolds to retain its sought-after growth brands, Camel and Pall Mall, as well as Lorillard’s flagship brand Newport. I respectfully dissent because I am not convinced that the remedy accepted by the Commission fully resolves the competitive concerns arising from this transaction. By accepting the parties’ proposed divestitures and allowing the merger to proceed, the Commission is betting on Imperial’s ability and incentive to compete vigorously with a set of weak and declining brands. For the reasons explained below, Imperial’s ability to do so is at best uncertain. I thus have reason to believe that Reynolds’ acquisition of Lorillard, even after the divestitures to Imperial, is likely to substantially lessen competition in the U.S. cigarette market. As a result of the Commission’s failure to take meaningful action against this merger, the remaining two major cigarette manufacturers – Altria/Philip Morris and Reynolds – will likely be able to impose higher cigarette prices on consumers.
