DEFINITIONS:

In this Agreement, the following expressions shall have the following meanings:

I. GRANTOR: An Leac Lian Management Company Limited,having its registered office at Raheen, , the registered owner of the lands described in the First Schedule hereto (hereinafter referred to as the "the Estate Lands").

2. GRANTEE: Stephen Harris and Marie Harris, of Stradbally East, , County Galway the registered owners of the lands described in the Second Schedule hereto (hereinafter referred to as the "Hotel Lands").

WHEREBY IT IS AGREED AS FOLLOWS:

A. In this agreement and in the schedules hereto unless the context otherwise requires the following expressions shall have the meaning following:

DEFINITIONS

In this Agreement the following word and expression shall have the following meaning:

"the Assured Easements" means the easements, rights and privileges hereby assured to the Grantee and the Grantor which are specified in the Grant of Wayleave annexed in the Third Schedule hereto.

"the Conduits" means gutters, gullies, pipes, drains, sewers, mains, ducts, cables, wires, watercourse, channels, trunks, flues and other like conducting media for the Services.

"the Estate Land" means the site described in the First Schedule to this Agreement.

"the Excepted Easements" means the easements, rights and privileges excepted and reserved out of the Draft Grant of Wayleave which are specified in the Third Schedule hereto.

2 "the Grantee" shall mean the person 01' persons expressed to be patties hereto of the other part and shall include the plural and shall include the executors, administrators, assigns and successors in title of the Grantee and the word "his" where it appears in these presents shall be construed accordingly and shall include the feminine and neuter and where and when the Purchaser is more than one person the obligations of the Purchaser are joint and several;

"the Grantor" shall mean the person or persons expressed to be parties hereto of the other part and shall include the plural and shall include the executors, administrators, assigns and successors in title of the Grantor and the word "his" where it appears in these presents shall be construed accordingly and shall include the feminine and neuter and where and when the Purchaser is more than one person the obligations of the Purchaser arc joint and several.

"the Hotel Land" means the Lands described in the Second Schedule to this Grant.

"the Management Company Agreement" means an Agreement dated the 191h day of October 2005 and made between Adrian O'Connor and Bernadette O'Connor of the One Part and the Grantor of the Other Part.

"the Perpetuity Period" means the period of 21 years after the death of the last survivor of all descendants of Eamon DeValera now living.

"the Services" means surface water, foul sewerage and gas.

(A) The Grantors are the person entitled to be registered owners of the Estate Lands on completion of the Management Company Agreement.

(B) The Grantees are the registered owners of the Hotel Lands in fee simple free from incumbrance.

(C) The Grantee and the Grantor have agreed to grant each other such Easements as set out herein.

NOW IT IS HEREBY AGREED as follows:

1. The Grantee and the Grantor have agreed to grant to one another in consideration of the mutual easements, rights and privileges set out in the Grant of Wayleave annexed hereto in the Third

Schedulerhereinafter "the Grant of Wayleave"} hereto for the benefit of the Hotel Lands and The Estate Lands and in further consideration of the sum of € 10 (ten euro )to be paid by the Grantor to

3 the Grantee and by the Grantee to the Grantor shall Grant the Easements Rights and Privileges as set out in the Grant of Wayleave in Fee Simple.

2. The purchase shall be completed within the Perpetuity Period excepting the conditions contained herein or on the completion of the sale of the Common Areas of the Estate to the Grantor pursuant to the Management Company Agreement whichever shall be the earlier

FIRST SCHEDULE "ESTATE LANDS"

ALL THAT AND THOSE Part of the lands comprised in Folio's 55646, 24718F, 50427 & 16649F, 51612 (PART), 31297F, (PART), 70433F (PART), of the Register, County of Galway.

SECOND SCHEDULE "HOTEL LANDS"

ALL THAT AND THOSE all of the lands comprised in Folio 16916F of the Register of Freeholders of County Galway.

4. GRANTEE: Stephen Harris and Marie Harris, the registered owners of the lands described in the Second Schedule hereto (hereinafter referred to as the "Hotel Lands").

Definitions:

"the Assured Easements" means the easements, rights and privileges hereby assured to the Grantee

which are specified in the Third Schedule hereto and to the Grantor which are specified in the F01ll1h Schedule.

WHEREAS

(D) The Grantors are the person entitled to be registered owners of the Estate Lands.

(E) The Grantees are the registered owners of the Hotel Lands in fee simple free from incumbrance.

(F) The Grantee and the Grantor have agreed to grant each other such Easements as set out herein.

NOW THIS INDENTURE WITNESSETH

2. In pursuance of the said agreement and in consideration of the grant by the Grantee hereinafter contained the GRANTOR (at the direction of the Developer) hereby Grants to the GRANTEE, the easements, rights and privileges set out in the Third Schedule hereto for the benefit of the Hotel Lands.

3. In pursuance of the said agreement and in consideration of the grant by the Grantor hereinbefore contained the GRANTEE hereby Grants to the GRANTOR, the easements, rights and privileges set out in the Fourth Schedule hereto for the benefit of the Estate Lands.

IT IS HEREBY CERTIFIED that this instrument is a Conveyance or Transfer on any occasion, not being a sale or mortgage.

7 IT IS HEREBY CERTIFIED that Section 29 of the Stamp Duties Consolidation Act 1999 does not apply to this instrument.

AND THE GRANTOR HEREBY ASSENTS to the registration of the said rights set out in the Third Schedule hereto as burdens on the property set out in the First Schedule hereto.

AND THE GRANTEE HEREBY APPLIES for the registration of the rights and benefits set out in the Third Schedule hereto as rights appurtenant to the property set out in the Second Schedule hereto.

AND THE GRANTOR HEREBY APPLIES for the registration of the rights and benefits set out in the F0U11hSchedule hereto as rights appurtenant to the property set out in the First Schedule hereto.

AND THE GRANTEE HEREBY ASSENTS to the registration of the said rights set out in the Fourth Schedule hereto as burdens on the property set out in the Second Schedule hereto.

AND THE GRANTOR AND GRANTEE HEREBY ASSENT to the use of the appropriate Land Certificates for the registration of the burdens specified above.

FIRST SCHEDULE "EST ATE LANDS"

SECOND SCHEDULE "HOTEL LANDS"

ALL THAT AND THOSE all of the lands comprised in Folio 16916F of the Register of Freeholders of County Galway.

8 THIRD SCHEDULE

Easements, Rights and privileges granted to the Hotel Lands

Full right and liberty for the Grantee their heirs, executors, administrators, servants, agents, workmen, licensees, invitees, tenants and under-tenants in common with the Grantor and all other persons who have or may hereafter have the like right:

I. The right for the benefit of the Hotel Lands to connect lip to and lay pipes of Conduits to and from any communal gas tank or sub-station or other facility now situated on in under or over the Estate

Lands or at any time within the Perpetuity Period to be on, in, under 01' over the Estate Lands for the purpose of supplying gas to any premises constructed on the Hotel Lands within the Perpetuity Period.

2. Free passage and running to and from the Estate Lands to the Hotel Lands for the benefit of the Hotel Lands of gas through all Conduits now in under or over or at any time within the Perpetuity Period to be in, under or over the Estate Lands.

3. The right to connect up with and to cleanse and repair the said Conduits and for that purpose to enter the Estate Lands or any part thereof with workmen and other and all necessary equipment making good any damage thereby occasioned but not being responsible for any temporary inconvenience or damage thereby occasioned.

FOURTH SCHEDULE

Easements, Rights and privileges granted to the Estate Lands

Full right and liberty for the Grantor their heirs, executors, administrators, servants, agents, workmen, licensees, invitees, tenants and under-tenants in common with the Grantee and all other persons who have or may hereafter have the like right:

I. The free passage and running to and from the Estate Lands of the Services through all conduits now in under or over or at any time within the perpetuity period to be in, under or over the Hotel Lands.

The right to connect up with and to cleanse and repair the said Conduits and for that purpose to enter the Hotel Lands or any part thereof with workmen and other and all necessary equipment making good any damage thereby occasioned but not being responsible for any temporary inconvenience or damage thereby occasioned.

10 IN WITNESS WHEREOF the patties hereto have set their hands and affixed their seals the day and year first herein written,
