COUNTERPARTS 5 THIS 19TH SUPPLEMENTAL AGREEMENT is dated 25 Nov 2019 and made Between: (1) Network Rail Infrastructure Limited , ("Network Rail"), a company registered in England under number 2904587 having its registered office at 1 Eversholt Street, London NW1 2DN; and (2) Abellio ScotRail Limited, (the "Train Operator"), a company registered in Scotland under number SC450732 having its registered office at 5th Floor, Culzean Building 36 Renfield Street, Glasgow, G2 1LU , United Kingdom. Background: (A) The Train Operator and Network Rail entered into a Track Access Contract (Passenger Services) (which is hereafter referred to as the "Contract") dated 03 March 2016 in a form approved by the Office of Rail and Road pursuant to section 18(7) of the Act. (B) The parties now propose to enter into this Supplemental Agreement in order to amend the Contract as described herein. IT IS HEREBY AGREED as follows: 1. INTERPRETATION In this Supplemental Agreement: 1.1 Words and expressions defined in and rules of interpretation set out in the Contract shall have the same meaning and effect when used in this Supplemental Agreement except where the context requires otherwise; 1.2 "Effective Date" means the later of the date upon which the Office of Rail and Road issues its approval, pursuant to Section 22 of the Act, of the terms of this Supplemental Agreement and 0200 hours on 15 December 2019; and 1.3 "Appendix" shall mean the appendices and their relevant parts and attached hereto. 2 2. EFFECTIVE DATE AND DURATION The amendments made to the Contract pursuant to this Supplemental Agreement shall have effect from the Effective Date and shall cease to have effect at 2359 hours on the Expiry Date or earlier termination of the Contract. 3. AMENDMENTS TO THE CONTRACT 3.1 Annex B to Part 3 of Schedule 4 of the Contract shall be deleted and replaced with the entry set out in Appendix A to this Supplemental Agreement. 3.2 In table 2.1 of the Schedule 5 of the Contract the following entry as shown in Appendix B to this Supplemental Agreeement shall be inserted: (a) Service 536 (Glasgow I Edinburgh - Dundee I Arbroath) in Service Group 536. 3.3 In table 2.1 of Schedule 5 of the Contract the following entries shall be deleted and replaced with the entries as shown in Appendix C to this Supplemental Agreement: (a) Service 540 (Glasgow - Aberdeen) and Service 541 (Edinburgh -Aberdeen) in Service Group HA01; and (b) Service 547 (Aberdeen - Inverness) in Service Group HA04. 3.4 In table 4.1 of Schedule 5 of the Contract the following entry shall be inserted as shown in Appendix D to this Supplemental Agreement: (a) Service 536 (Glasgow I Edinburgh - Dundee I Arbroath) in Service Group HA01 . 3.5 In table 4.1 of Schedule 5 of the Contract the following entries shall be deleted and replaced with the entries as shown in Appedix E to this Suppplemental Agreement: (a) Service 5870 (Fife Outer Circle (Clockwise)) in Service Group HA02; (b) Service 569 (Glasgow - Gourock I Wemyss Bay) in Service Group HA05; (c) Service 564 (Glasgow - Edinburgh via Shotts I Carstairs) in Service Group HA06; and (d) Service 561 (Glasgow - Cumbernauld - Falkirk Grahamston) in Service Group HAO?. 4. EFFECT OF THIS SUPPLEMENTAL AGREEMENT ON THE CONTRACT The Contract, as amended by this Supplemental Agreement, shall remain in full 3 force and effect in accordance with its terms, and during the period in which the amendments made by this Supplemental Agreement are to have effect all references in the Contract to "the contract", "herein", "hereof', "hereunder" and other similar expressions shall, unless the context requires otherwise, be read and construed as a reference to the Contract as amended by this Supplemental Agreement. 5. LAW This Supplemental Agreement shall be governed by, construed and given effect to in all respects in accordance with the laws of Scotland. 6. THIRD PARTY RIGHTS No rights shall be conferred under or arising out of this Supplemental Agreement on any person other than the Parties to this Supplemental Agreement and there shall not be created in any circumstances a jus quaesitum tertio in favour of any person . 4 7. COUNTERPARTS This Supplemental Agreement may be executed in any number of counterparts, each of which when executed and delivered shall constitute an original, but all the counterparts shall together constitute one and the same instrument. The reason this roll is presently restricted is that we would like to invite and give the greater community the opportunity to fill out the story of each casualty, even helping identify casualties that appear on local memorials that cannot be clearly identified or have some details missing. It is also worth noting at this point that the names of some casualties appear on more than one district. The petition requested that the traffic signal priorities are reviewed at the junction of Slateford Road and Shandon Place. This report responds to the Committee request with: • the results of the group site visit; • a breakdown of collision history; and • potential options to reduce driver confusion at the junction. A preferred option has been identified which entails altering junction staging, simplifying signal heads and having an all stop pedestrian stage to reduce driver confusion. The viability of this option will be subject to detailed design. Report Slateford Road/Shandon Place Junction – Traffic Signal Priorities 1. Recommendations 1.1 It is recommended that the Transport and Environment Committee: 1.1.1 notes that the review of the site at Slateford Road/Shandon Place junction has been undertaken to observe traffic compliance with signals; 1.1.2 notes that the junction is not a priority for full refurbishment at present, according to the City of Edinburgh Council (the ‘Council’) agreed maintenance criteria; and 1.1.3 agrees that Option 3 (altering junction staging, simplifying signal heads and having an all stop pedestrian stage) should be progressed, subject to the successful outcome of detailed design. 2.
