Vail Resorts Closes Its Acquisition of Kirkwood Mountain Resort At Vail Resorts Closes Its Acquisition of Kirkwood Mountain Resort at Lake Tahoe, Calif., Creating an Unparalleled Offering for Skiers and Riders in the Tahoe Region with the Combination with Heavenly and Northstar BROOMFIELD, Colo., April 12, 2012 /PRNewswire/ -- Vail Resorts, Inc. (NYSE: MTN) today announced that the Company has closed on its acquisition of Kirkwood Mountain Resort at Lake Tahoe, Calif., recognized by skiers and snowboarders as offering some of the best high alpine advanced terrain in North America. Vail Resorts now operates three world-class mountain resorts in the Lake Tahoe region and together with Heavenly Mountain Resort and Northstar California, provides guests and pass holders unparalleled value with the very best that Lake Tahoe has to offer. The transaction, which included the ski resort and undeveloped sites at the center of the base area, closed for total consideration of approximately $18.0 million. The seller retains a participation interest in the base area parcels and continues to own the remainder of the real estate development sites. Vail Resorts also announced that the power plant which the Kirkwood Meadows Public Utility broke ground on last May is now fully operational and should provide reliable power service to Kirkwood for many years to come. Vail Resorts is already delivering amazing value from the acquisition to its guests. This season, Heavenly and Northstar pass holders can ski and ride at Kirkwood and Kirkwood pass holders can visit Northstar and Heavenly. The Company reported that they are already seeing thousands of reciprocal visits from pass holders at the three resorts. With the previous announcement of the Kirkwood acquisition, Vail Resorts immediately began including Kirkwood in its industry- leading season pass offering. The Company recently announced the best value in 2012-2013 season passes, including the new Tahoe Local Pass that provides access to more than 10,000 total skiable acres between Kirkwood, Heavenly Mountain Resort and Northstar California, marking the most combined terrain in Tahoe. Priced at $419, Tahoe Local pass holders receive seven-day-per-week access to all three Tahoe resorts for $80 less than last year's comparable Epic Local Pass. Guests of Heavenly, Northstar and Kirkwood now have a variety of season pass options to choose from depending on when and how often they want to ski and ride. ● New for 2012-2013, the Tahoe Local Pass™ offers skiing and riding seven days a week to Heavenly,Northstar , and Kirkwood resorts for $419. The Tahoe Local Pass includes access on Saturdays at all three Tahoe resorts with limited holiday restrictions and $50 pass holder tickets available for purchase during blackout dates. Priced $80 less than last year's Epic Local Pass, the Tahoe Local Pass pays for itself in just over four days. ● The Tahoe Value Pass™, available for $379, includes skiing or riding seven days a week at Heavenly, skiing and riding at Northstar and Kirkwood on Sunday-Friday, and restricted on all Saturdays at Northstar and Kirkwood. Please see below for area closures and operational modifications. Elevated Fire Restrictions are in effect in all areas of the Tahoe Basin ● Elevated Fire Season Restrictions prohibit the burning of wood and charcoal on public or private property including residential properties, vacation/short-term rentals, campgrounds, resorts and other recreational areas throughout the Lake Tahoe/Truckee Region until the end of November or until rescinded, including all at California State Parks and USFS sites across the Tahoe Basin. ● Watch for and heed Red Flag fire warnings. When a Red Flag is in effect, all sources of outdoor open flame, including gas/propane/pellet grills and smokers on all private and public lands are banned throughout the Lake Tahoe/Truckee Region. ● Additionally, on all USFS lands all ignition sources are prohibited, including anything with a flame, until further notice. These orders are in place to protect everyone during the current state of wildfire activity and limited fire response resources and will remain in place until further notice.     Proposed Record of Decision Heavenly Mountain Resort Epic Discovery Project U.S. Forest Service Lake Tahoe Basin Management Unit El Dorado and Alpine Counties, California Douglas County, Nevada Background Heavenly Mountain Resort (Heavenly) is a multi-season recreational resort which straddles the Lake Tahoe hydrologic watershed (“Lake Tahoe Basin”) on National Forest System lands near the south shore of Lake Tahoe (Figure 1-1). Heavenly currently operates under a forty-year (40) Ski Area Term Special Use Permit issued by the United States Department of Agriculture, Forest Service, Lake Tahoe Basin Management Unit (Forest Service) on May 7, 2002. Unlike many other Forest Service permit holders, extensive resort improvements at Heavenly require multi-agency review and approval including the Forest Service, the Tahoe Regional Planning Agency (TRPA) and the Lahontan Water Quality Control Board. Heavenly has proposed to expand summer uses within its permit area as part of the proposed Epic Discovery Project. In November 2011, Congress enacted the Ski Area Recreational Opportunity Enhancement Act (SAROEA), which amended the National Forest Ski Area Permit Act of 1986 to clarify the authority of the Secretary of Agriculture regarding additional recreational uses of NFS land subject to ski area permits, and for other purposes (16 USC 487b). The SAROEA provides public policy direction to and authority for the Forest Service to approve facilities to support summer and year-round natural resource-based recreation at ski areas. The Act recognizes the public benefits to be gained from expanding public access to year-round recreation opportunities in developed ski areas, including additional employment and economic activity for communities with public land ski areas.
