Samhällsbyggnadsbolaget I Norden Ab (Publ) SUPPLEMENT DATED 17 DECEMBER 2019 TO THE BASE PROSPECTUS DATED 26 APRIL 2019 SAMHÄLLSBYGGNADSBOLAGET I NORDEN AB (PUBL) (incorporated with limited liability in Sweden) €2,500,000,000 Euro Medium Term Note Programme This supplement (the "Supplement") is supplemental to, forms part of and must be read and construed in conjunction with, the base prospectus dated 26 April 2019, the base prospectus supplement dated 3 May 2019 and the base prospectus supplement dated 10 July 2019 (together the "Base Prospectus") prepared by Samhällsbyggnadsbolaget i Norden AB (publ) (the "Issuer") in connection with its Euro Medium Term Note Programme (the "Programme") for the issuance of up to €2,500,000,000 in aggregate principal amount of notes ("Notes"). Terms given a defined meaning in the Base Prospectus shall, unless the context otherwise requires, have the same meaning when used in this Supplement. The purpose of the Supplement is to: 1. incorporate by reference into the Base Prospectus the unaudited interim consolidated financial statements of the Issuer and auditor's report in respect of the nine-month period ended 30 September 2019 (the "Unaudited Q3 2019 Financial Statements") as set out on pages 8 to 15 (inclusive), 28 to 32 (inclusive) and 35 of the Issuer's report for the first nine months of 2019; 2. update the section entitled "Description of the Issuer and its operations" and "Risk Factors" in the Base Prospectus; 3. include new sections entitled "Pro Forma Statement", "Auditor's Report on the Pro Forma Statement", "The Combined Company", "Selected Consolidated Financial, Operating and Other Data", "Ownership Structure", "Legal Considerations and Supplementary Information" and "Description of Hemfosa"; 4. append to the Base Prospectus the annual report of Hemfosa Fastigheter AB (publ), reg. no. 556917- 4377 ("Hemfosa") for the 2018 financial year and the interim report of Hemfosa for the period 1 January to 30 September 2019; and 5. update the section entitled "General Information" in the Base Prospectus. This Supplement has been approved by the Central Bank of Ireland (the "CBI"), as competent authority under Directive 2003/71/EC, as amended (the "Prospectus Directive"), as a base prospectus supplement for the purposes of Article 16 of the Prospectus Directive. The CBI only approves this Supplement as meeting the requirements imposed under Irish and EU law pursuant to the Prospectus Directive. The Issuer accepts responsibility for the information contained in this Supplement. To the best of the knowledge of the Issuer, having taken all reasonable care to ensure that such is the case, the information contained in this Supplement is in accordance with the facts and contains no omission likely to affect its import. To the extent that there is any inconsistency between (a) any statement in this Supplement or any statement incorporated by reference into the Base Prospectus by this Supplement and (b) any other statement in, or incorporated by reference into, the Base Prospectus, the statements in (a) above will prevail. - i - Save as disclosed in this Supplement, there has been no other significant new factor, material mistake or inaccuracy relating to information included in the Base Prospectus which is capable of affecting the assessment of the Notes issued under the Programme since the publication of the Base Prospectus. The Issuer has set certain conditions for the completion of the Offer, amongst others that the Offer is accepted to such an extent that the Issuer will become the owner of 90 per cent. of the total amount of shares in Hemfosa and that required approvals from authorities are obtained within a period of time that is acceptable for the Issuer. Due to these conditions being out of the control of the Issuer, there is a risk that the Offer might not be completed. The uncertainty related to the completion of the Offer could result in adverse impact on the price of the Issuer's shares. After the completion of the Offer, Hemfosa will be a part of the operations of the Group When the Offer is completed, Hemfosa's business will become a part of the Group's business. There is a risk that the merger of the Group and Hemfosa is made more difficult or impossible by factors currently unknown to the Issuer. In the section "The Combined Company", the expected effects of the Transaction (as defined below) are described. Amongst others the cost and growth synergies that the Transaction may entail are described. Whether these synergies will be realised depends on a number of factors and is based on the Issuer's assessment of future circumstances. However, there is a risk that the synergies might not be fully realised. Improved integration is required upon the acquisition of a new company to enable synergies in the new business. Since the intent is to coordinate the business in several different operations it is important that the integration process runs efficiently and without material loss of customers or personnel leaving. If the integration process continues for a longer period of time than currently expected, there is a risk that the Group with Hemfosa as a fully owned subsidiary (together, the "Combined Company") is adversely affected. There is a risk that the synergies and other positive effects that the Issuer expects do not realise fully, or at all, which could adversely impact the Combined Company's business. In connection with the completion of the Offer, goodwill will be accrued that over time may turn out to be misleading and lead to write-downs. In connection with the completion of the Offer, goodwill will be accrued. This goodwill will be stated in its entirety in the Combined Company's statement of financial position. If the consideration paid by the Issuer to acquire Hemfosa over time would prove to be misleading and lead to write-downs it would mean that the Combined Company's equity and thereby solvency, would be diminished. Information on Hemfosa has been derived from public sources and has not been independently verified by the Issuer The information included in this Base Prospectus in relation to Hemfosa has principally been compiled on the basis of publicly available information and has not been verified by the Issuer or Hemfosa or Hemfosa's directors. Therefore, following completion of the Offer, the Group may become subject to unknown liabilities or obligations of Hemfosa, which may have a material adverse effect on the Group's business, results of operations and financial condition." 2. the following paragraphs shall be added to the end of the risk factor titled "Macroeconomic factors" on page 5 of the Base Prospectus: - 3 - "Additionally, the Group's community service portfolio is affected by demographic trends such as the growing prevalence of aging populations and increasing rural-to-urban migration in the Nordic region. The demographic trends impact the level of supply and demand for the Group's properties and fluctuations in demography could have a have a material adverse effect on the Group's results of operations and profitability." 3. the following paragraphs shall be added to the end of the risk factor titled "Acquisition and sales of properties" on page 7 of the Base Prospectus: "Additionally, in the Group's acquisition agreements, fixed-term warranties regarding the property and the acquired company are regularly provided by the seller. It is a good example of when knowledge of Passive house technology combined with good energy planning and project management can result in multi-storey houses with energy rating under 50kWh/m2. The multi-storey houses at Hertings Gård have innovative solar air heating sys- tems connected to the ventilation system that is quiet unique. The solar air heating system contributes to the buildings energy supply by preheating the ventilation supply air. (The solar air is part of another project in Energy in Minds). This evaluation is based on metered energy used for space heat, domestic hot water, elec- tricity for building service and domestic electricity for two of the multi-storey houses during 2009, House 18 and 19. The result is presented as monthly uses and compared with initial project specifications and some other parameters. The total initial energy specifications set by Concerto/Energy in Minds and FaBo for the houses are almost reached. Results are for House 18 and 19, 76,8 and 77,5 kWh/m2. (Specification 75 kWh/m2) This is total use of pur- chased energy.

Halmstad 2010-06-29 Report-Evaluation of a small scale district heating system In Ullared, Sweden. Abstract This evaluation and final report is a part of an EU-project, “Energy in Minds” (EiM). The pro- ject is a part of the EU-programme Concerto within the Sixth Framework Programme. EiM has been running from 2005 and is now finalized in May 2010. Within the EiM project, the local energy company, Falkenberg Energi AB (FEAB), has received EU-funding of totally 98 200 Euro for the two local heating systems consist of a completely new small scale district heating system in Ullared and one partly new in Vessigebro, in the north-east part of the municipality of Falkenberg. The system in Ullared, which this report is focusing on, a prefabricated trans- portable heating plant with a boiler of 1500 kW has been installed. The fuel used is pellets. The pipe network consists now of about 2,5 km of double pipeline. 22 customers have been con- nected so far, representing a heat demand of about 2400 MWh annually. The main customers are the school building, health care centre, elderly housing and the parish. The main pipe net- work is made up of traditional double district heating pipes of steel with polyurethane insulation and a polythene casing.

Examinator: Carin Staland Nyman Sammanfattning: Syftet med arbetet är att undersöka olika aktörers syn på hur kvalitet uppnås i tolkningen av lagar och upphandlingsregler. Kvalitet belyses genom att se på verksamheten genom några teoretiska begrepp - brukare, empowerment, imple- mentering, lagstiftning, upphandling och New Public Management. Målet med studien är att visa på de kvalitativa effekterna av Falkenbergs kommuns val att använda alternativa driftsformer inom personlig assistans, handikapp- och äldre- omsorg. Att valet föll på Falkenbergs kommun, beror på att de valt att lägga ut all handikappomsorg, all personlig assistans och 43 % av äldreomsorgen på externa utförare. Det tillvägagångsätt som använts har sin grund i kvalitativ forskningsan- sats, vilken består av semistrukturerade intervjuer och studier av offentliga doku- ment. Vidare har insamlad data analyserats utifrån New Public Management, em- powerment och genom kvalitets- och implementeringsteorier. Slutsatsen är att Falkenbergs kommuns politiker och tjänstemän menar att kvalitet är något indivi- duellt vilket vi ser som positivt då man ur ett empowermentperspektiv ser den enskilde brukarens röst som viktig. Något enhetligt svar på frågan får vi dock inte. Vidare ser vi att de externa utförare som undersökts har ett något bättre resultat över lag. Undantaget är dock daglig verksamhet där den kommunala driften får generellt bättre skattning. Det uppföljningsansvar Falkenbergs kommun har, på upphandlade verksamheter, är inte genomfört med hänvisning till en överbelastad planeringsavdelning.

Drive 800 m and turn right by the sign ”Badplats”, swimming. Follow the gravel 12 NORTHERN road to the bathing area. Barbecue area, toilet and 8 picnic area. Turn back the way you came from. 7 9 10 When the gravel road ends (at the obstacle course) 5 6 turn left and immediately right by the sign ”Vinberg 11 5” and drive towards Vinberg. COAST After the sign ”Vinberg 5” follow the road to Vinberg. At Hällerup, turn left. Continue the road to the crossroads where you go straight ahead, across the road 154. Drive into Vinberg’s village and at the cross, turn right. Approx. 400m turn left by the sign 2 Vinbergs kyrkby. After 1.5 km you arrive OLOFSBO | GLOMMEN | MORUP | LÅNGÅS in Vinberg’s village.     0(25) Hallands geografi och resbehov ETT UNDERLAG TILL REGIONALT TRAFIKFÖRSÖRJNINGSPROGRAM 2019 1(25) Inledning Denna rapport utgör ett av underlagen till det regionala trafikförsörjningsprogrammet. Syftet med rapporten är att ge en bild av Hallands förutsättningar och strukturer samt vilka resbehov som de ger upphov till. Genom att kartlägga såväl nuläget som historiska data och prognoser framåt i tiden så är ambitionen att läsaren ska få en ökad förståelse för dagens Halland och få del av underlag för att reflektera över framtidens Halland. De olika kapitlen behandlar i tur och ordning befolknings- och ortsstruktur, befolkningsutveckling, näringslivsstruktur, arbetspendling, gymnasie- och studiependling samt en avslutande analys. Ett särskilt fokus har legat på att fördjupa kunskapen om pendlingsströmmarna i länet, som i hög grad pekar ut kollektivtrafikens geografiska dimensioner och omfattning. Det faktiska resandet utifrån dagens turutbud beskrivs i rapporten: Resandet i kollektivtrafiken i Halland. 2(25) Befolknings- och ortsstruktur I det avlånga Halland bor de allra flesta nära kusten. Väster om E6 bor hela 60 procent av befolkningen på en yta som motsvarar 15 procent av länet. I någon av de sex kommunhuvudorterna bor varannan hallänning och än fler då orternas omland räknas in. De halländska orternas placering och storlek vittnar om små och stora målpunkter för arbete, service och nöjen. 3(25) Längs kusten i Halland finns fyra större orter från norr till söder: Kungsbacka, Varberg, Falkenberg och Halmstad. Halmstad är Hallands klart största tätort med knappt 70 000 invånare. På listan över de tio största tätorterna i länet återfinns samtliga kommunhuvudorter och totalt fyra orter i Kungsbacka kommun. In the background to these much covered news stories, the Syrian war continued and an increasing amount of people around the world are forced to leave their homes. Records in temperature and moisture globally, and minimum lows for the Arctic and Antarctic ice-cover, showed the world that human-induced climate change is not slowing down. The need for universities and places like CEMUS in the world is even greater now than it was at the start of 2016 when we wrote our last report. It befits us to be the critical voices that ask the difficult questions and challenge demands to make universities into political tools for a certain agenda. We must question post-factual, alternative facts claims, but still not remain on an intellectual pedestal, where the educated are pitted against the non-educated masses.
