Subnational Debt of China: The Politics-Finance Nexus* HAOYU GAO, HONG RU and DRAGON YONGJUN TANG September 12, 2017 Abstract Using comprehensive proprietary loan-level data, we analyze the borrowing and defaults of local governments in China. Contrary to conventional wisdom, policy bank loans to local governments have significantly lower default rates than commercial bank loans with similar characteristics. Policy bank loans are relatively more important for local politician’s career advancement. Distressed local governments often strategically choose to default on loans from commercial banks. This selection is more pronounced after the abrupt ending of the “four trillion” stimulus when China started tightening local government borrowing. Our findings shed light on potential approach to hardening budget constraint for local government. The unprecedented climate challenge requires the use and the development of new tools in order to quantify these risks and investigate the role of different policies to steer the transition in the right direction. Central banks and financial regulators can play an essential role in facilitating a successful transition by directing the funds needed to achieve this transition in the right direction and in a timely manner. However, any intervention by central banks should be evaluated across sectors and across scenarios in order to guarantee the effectiveness, efficiency and coherence with fiscal policies. Our methodology is scenario analysis based on a Computable General Equilibrium (CGE) model. Our CGE model allows us to capture feedback loops across sectors, along with tracking the change in prices and quantities following an exogenous change in policies, technologies, or consumer preferences. Moreover, in order to capture both risks and opportunities associated to the transition process, our model distinguishes between green and grey sub-sectors. It also uses sector-specific capital stocks which allows us to differentiate the cost of capital across sectors/scenarios. -

LISA Received September 1991, final version received March 1992 This paper argues that corporations may use convertible bonds as an indirect way to get equity into their capital structures when adverse-selection problems make a conventional stock issue unattrac- tive. Unlike other theories of convertible bond issuance. the model here highlights: 1) the importance of call provisions on convertibles and 2) the significance of costs of financial distress to the information content of a convertible issue. 1. Introduction Convertible bonds are an important source of financing for many corpora- tions. According to data presented in Essig (1991), more than 10% of all COMPUSTAT companies had ratios of convertible debt to total debt exceeding 33% during the period 1963-1984. A good deal of research effort has been devoted to developing pricing models for convertibles,’ as well as to the issues surrounding corporations’ policies for calling them.2 Somewhat less work has addressed the fundamental question of why companies issue convertibles in the first place. Value Creation in Private Equity Markus Biesinger, Çağatay Bircan and Alexander Ljungqvist Abstract We open up the black box of value creation in private equity with the help of confidential information on value creation plans and their execution. Plans are tailored to each portfolio company’s needs and circumstances, have become more hands-on, and vary with deal type, ownership, growth strategy, and geographic focus. Successful execution is subject to resource constraints, economies of specialization, and diminishing returns, and varies systematically across funds. Successful execution is a key driver of investor returns, especially in growth, buyout, and secondary deals. Company operations and profitability improve in ways consistent with successful execution, even beyond PE funds’ exit. Investment Banking and Security Market Development: Does Finance Follow Industry?∗ Bharat N. Anand† Alexander Galetovic‡ Harvard University Universidad de Chile February 2001 Abstract This paper looks at the industrial organization of the investment banking industry. Long- term relationships between business firms and investment banks are pervasive in developed security markets. A vast literature argues that better monitoring and information result from relationships. Thus, security markets should allocate resources better when an investment bank- ing industry exists. We study necessary conditions for sustainable relationships and then explore whether policy can do something to foster them. We argue that the structure of investment banking is determined by the economics of the technology of relationships: (i) Sunk set up cost to establish a relationship. (ii) The firm pays the investment bank only when it does a deal. (iii) To a significant degree the investment bank cannot prevent other banks from free riding on the information created by the relationship. Then: (a) Relationships can emerge in equilibrium only if the industry is an oligopoly of large investment banks with similar market shares. (b) Relationships are for large firms–small firms are rationed out of relationships by investment banks. (c) Scale economies due to entry costs are irrelevant when the market is large but can prevent an industry from emerging when the market is small. While policy can probably remove obstacles that increase the costs of relationships, the size- distribution of business firms determines whether an investment banking industry is feasible: it will not emerge if large firms are few. In this sense, “finance follows industry.” Large firms can escape this limitation by listing in foreign developed security markets. -

CASE STUDY OF THE MERGER BETWEEN BANK OF AMERICA AND MERRILL LYNCH Robert J. Rhee† The financial crisis of 2008 has posed innumerable problems in law, policy, and economics. A key event in the history of the financial crisis was Bank of America‟s acquisition of Merrill Lynch. Along with the fire sale of Bear Stearns and the bankruptcy of Lehman Brothers, the rescue of Merrill Lynch confirmed the worst fears about the financial crisis. Before this acquisition, Bank of America had long desired a top tier investment banking business, and Merrill Lynch represented a strategic opportunity to acquire a troubled but premier franchise of significant scale.1 As the financial markets continued to unravel after execution of the merger agreement, this golden opportunity turned into a highly risky gamble. Merrill Lynch was losing money at an astonishing rate, an event sufficient for Bank of America to consider seriously invoking the merger agreement‟s material adverse change clause. 2 The deal ultimately closed, but only after the government threatened to fire Bank of America‟s management and board if the company attempted to terminate the deal. The government took this coercive action to save the financial system from complete collapse. The harm to the financial system from a broken deal, officials feared, would have been unthinkable. The board‟s motivation is less clear. Like many classic corporate law cases, the factors influencing the board and management were complex. This case study examines these complexities, which raise important, unresolved issues in corporate governance and management. (“ CIBC ”) and National Bank Financial Inc. (“ NBF”, and together with CIBC, the “ Lead Underwriters ” and each a “ Lead Underwriter ”) and TD Securities Inc., BMO Nesbitt Burns Inc., RBC Dominion Securities Inc., Scotia Capital Inc., Barclays Capital Canada Inc. and Casgrain & Company Limited (collectively with the Lead Underwriters, the “ Underwriters ”, and each individually, an “ Underwriter ”), understand that Intact Financial Corporation (the “Corporation ”), a corporation incorporated under the laws of Canada, proposes, upon the terms and subject to the conditions contained herein, to create, issue and sell to the Underwriters $250 million aggregate principal amount of 4.125% Fixed-to-Fixed Rate Subordinated Notes, Series 1 due March 31, 2081 (the “ Notes ”). Upon and subject to the terms and conditions contained in this Agreement, the Underwriters hereby severally offer to purchase from the Corporation in their respective percentages set out in Section 14(a) hereof, and the Corporation hereby agrees to issue and sell to the Underwriters all but not less than all of the Notes at a price of $100 per $100 principal amount (the “ Offering Price ”). After a reasonable effort has been made to sell all of the Notes at the Offering Price, the Underwriters may subsequently reduce the selling price to investors from time to time. Any such reduction in the selling price to investors shall not affect the Offering Price payable by the Underwriters to the Corporation. -
