NEWS RELEASE MGM National Harbor found suitable for gaming license in Maryland 10/10/2013 NATIONAL HARBOR, MD, October 10, 2013 – MGM National Harbor, LLC, a subsidiary of MGM Resorts International (NYSE: MGM), moved another step toward earning a license to operate a destination resort in Maryland today when the Maryland Lottery and Gaming Control Commission voted unanimously to accept a report by the Maryland Lottery and Gaming Control Agency, which concluded that MGM National Harbor, “its principal entities and principals have established by clear and convincing evidence their qualifications for operation license.” “We are very pleased with the results of the process in Maryland,” said MGM Resorts Chairman and CEO Jim Murren, who participated in today’s hearing in Baltimore. “We commend the Maryland Gaming and Lottery Control Agency on its proficiency throughout this process. Our company has undergone similar processes in a number of jurisdictions and we found Maryland’s process to be thorough, comprehensive, and conducted in a fair and professional manner.” MGM National Harbor is currently one of three bidders vying for a new license in Prince George’s County, Maryland. The MGM proposal would place a destination resort at the National Harbor development, which is south of Washington, D.C., on the banks of the Potomac River and adjacent to a major freeway interchange with access to the Washington Beltway. The next step in the licensing process comes the week of October 21, when bidders will present their proposals to the Maryland Video Lottery Facility Location Commission on three separate days. MGM Growth Properties MGM Growth Properties LLC and MGM Resorts International Complete Transactions for Acquisition of Borgata Hotel Casino & Spa LAS VEGAS, Aug. 1, 2016 /PRNewswire/ -- MGM Growth Properties LLC (NYSE: MGP) and MGM Resorts International ("MGM Resorts") (NYSE:MGM) completed the transactions for the acquisition of Borgata Hotel Casino & Spa ("Borgata") following MGM Resorts' purchase of Boyd Gaming's stake in Borgata. MGP acquired Borgata's real property from MGM Resorts and leased back the real property to a subsidiary of MGM Resorts that will operate that property. MGP funded the acquisition of the Borgata real property and refinanced its assumption of $545 million of debt from a subsidiary of MGM Resorts with $260 million of cash on hand, $295 million of borrowings under its senior secured revolving credit facility and the issuance of 27,362,136 operating partnership units to a subsidiary of MGM Resorts. "Our ability to enhance our portfolio with a premier asset like Borgata in such early stages of our company demonstrates our focus on prudent growth and the financial flexibility of our balance sheet," said James Stewart, Chief Executive Officer of MGM Growth Properties. "This transaction brings geographic diversification and increased cash flows to our portfolio while maintaining neutral leverage and resulting in high single digit percentage accretion to AFFO per share." Borgata was added to the existing Master Lease between MGM Resorts and MGP, and the initial rent payment to MGP increased by $100 million. Consistent with the Master Lease terms, 90 percent of this rent will be fixed and contractually grow at 2 percent per year until 2022. -

In connection with the Formation Transactions, the Company entered into a new amended and restated credit agreement and notified holders that it will redeem for cash all $1.23 billion aggregate principal amount of its outstanding 7.50% Senior Notes due 2016 and its 10% Senior Notes due 2016 in accordance with the terms of the applicable indenture. The Company's new credit facility is comprised of a $1.2 billion revolving credit facility and a $250 million term loan A facility and replaces in its entirety its prior credit agreement. Cash proceeds paid to Boyd Gaming for its interest were $589 million, after customary working capital adjustments and consideration of Borgata's outstanding debt of $575 million.
