The Committee on Aviation, Federal Affairs, Labor, Housing, Banking and Insurance held a Public Hearing at 9:30 AM on March 27, 2007 in the Public Hearing Room, I Liheslaturan Guahan. On the Agenda for this Public Hearing was the Bill No. 60 (EC): "AN ACT TO PROHIBIT THE GOVERNOR FROM TRANSFERRING FUNDS FROM THE ANTONIO B. WON PAT GUAM INTERNA TION AL AIRPORT AUTHORITY FOR GENERAL PURPOSES OF THE GOVERNMENT OF GUAM." Bill No. 60 was introduced on March 6, 2007, and referred to this Committee for public consideration the fo llowing day.

Public notice requirements for this hearing were met by notification of all media via e-mail on Monday, March 19 and Friday, March 23, 2007. The legislative Weekly Legislative Calendar of March 23 displayed the scheduled hearing. KUAM News acknowledged the Confirmation Hearing notice with a story broadcast on Monday, March 26. Live cablecast of the proceedings was carried on Marianas Cable Vision, channel 13.

Senators present at the Public Hearing on Bill No. 60 (EC) included Chairman Jesse Anderson Lujan, committee member Senators Antonio R. Unpingco, Ray Tenorio, Frank F. Blas, Jr. and Adolpho B. Palacios; and Senator Tina Rose Muna-Barnes.

The Public Hearing on Bill No. 60 (EC) was called to order at 10: 10 A.M.

II. SUMMARY OF TESTIMONY

The Honorable Frank F. Blas appeared before the Committee representing himself, not as Chairman of the A.B. Won Pat Guam International Airport Authority Board of Directors, or on behalf of the Board. He said that the Board did not have a chance to meet and discuss Bill No. 60. He tendered a formal written testimony (attached), and summarily discussed the reasons why the Airport was taking a position in support of Bill No. 60: (1) GIAA enabling legislation is clear that the airport will operate independently. (2) Bond covenants do not permit use if airport revenues for any other thing. The airport's bond rating was upgraded to BBB, but talk of diverting revenues creates nervousness in the bond market. He asked Senators to consider the viewpoint of bond holders. GIAA is obligated to make sure revenues· are there. (3) GIAA is heavily dependent on federal funds, from the Federal Aviation Administration, Federal Highway Administration, and the military. Blas stated that Bill 60 is not needed, except to remind leaders that policy to take funds from the Airport will jeopardize the well being of GIAA. BJas suggested expanding the bill to include other agencies and branches of government.

Airport Deputy Manager Edith Pangelinan appeared to comment on bill 60. She clarified that she is not against the Governor's efforts, but the Airport will be penalized. GIAA is now fortunate, and needs to protect its assets. She referred the Committee to the airport's legal counsel, who was prepared to testify and comment.

Atty. Maria Cenzon-Duenas appeared in her capacity as GIAA counsel with firm Mair, Mair, Spade & Thompson. She described Bill 60 as "codified already". Since 1975, the airport has been required to be self-sufficient. That's why it can charge rents and use fees. Bond covenants run for another 16 years. Federal regulations on the over $100 million grant funds for airport improvements require all users to pay fair market rent, and prohibit revenue diversion.

Chairman Lujan thanked Chairman Blas for everything he has done at and for the Airport Authority. Citing a letter addressed to the Airport and the Guam Power Authority, Lujan stated that GPA would have been included in Bill 60 if the letter had been released earlier. Lujan described the Legislature as derelict if it did not act to prevent violation of bond covenants. He cited concerns expressed by the FAA and calls from bondholders.

Chairman Lujan inquired about amounts owed by the government of Guam to the Airport. Chairman Blas stated that at least $600,000 was owed by Guam Police Department to GIAA, and that the auditors were raising this issue. Blas stated that the parties were negotiating on crediting the value of GP D's improvements to the buildings against rent. Atty. Cenzon-Duenas added that Guam Fire Department also owes rent. Crediting value of offsetting services does not satisfy the requirement of collecting fair market rent. There is a standard procedure to determine "fair" rates, which are different from the terminal to other types of buildings. GPD does not have enough appropriations or cash. Trying to quantify the value of GPO services is difficult, when airport has its own police force.

Senators raised possibility that autonomous agencies can contribute to GovGuam because underlying land and buildings were built by GovGuam. In response, Chairman Blas stated that before GIAA was made autonomous in 1975 the government could have included itself as a beneficiary in airport revenues. Since then, it has not lent a hand to GovGuam. Since issuance of bonds, consideration of taxpayers is not possible. FAA stepped in when LAX revenues were diverted to the City of Los Angeles, describing it as a "diversion case". 12 GCA § 1226 provides similar prohibition against diverting airport funds.

When asked if 12 GCA § 1224 could be interpreted as allowing GIAA to borrow on behalf of GovGuam, Atty. Cenzon-Duenas responded that that section must be read in conjunction with other laws, which impose restrictions.

Senator Frank F. Blas Jr. derided creative interpretations of statutes. Airport funds are for specific purposes; there is a cost to using them for general purposes. He suggested going back to read the original agreements. He agreed with the suggestion to include the legislature and Judiciary among those entities covered by Bill 60, and asked whether the prohibitions against use of "funds" should be expanded to include assets, tangible items, and services. Chairman Blas responded that those would be a good policy idea, citing the example of Chamorro Village asking to use the airport's night light carts as a diversion of funds. Use of equipment is considered the equivalent of cash.

Chairman Lujan asked whether the airport reimburses GovGuam for services rendered, and whether there is any imaginative interpretation that argues that GIAA owes GovGuam. Atty Cenzon-Duenas said that GIAA pays its bills. Chairman Blas cited the example of customs fees the airport collects from airlines. Auditors criticized the airport for withholding amounts owed by Customs for rent, since the airport is acting as a custodian only. That example illustrates how the airport board watches its assets. Chairman Lujan inquired into Board vacancies: one, female. He then congratulated Chairman Blas on the Administration's retention of GIAA Board members, and praised Chairman Blas in particular for performing a tremendous job as chairman.

There being no further discussion, the Public Hearing on Bill No. 60 (EC) was adjourned at 11:12 AM.

III. COMMITTEE FINDINGS AND RECOMMENDATIONS

The Committee finds that legal and contractual prohibitions exist against appropriation of airport authority revenues for the government's general purposes (including 12GCA§1226), but are apparently not considered to be clear enough to forestall a documented attempt by the executive branch to obtain $6.0 million from the A.B. Won Pat Guam International Airport Authority, and an additional $6.0 million from four other autonomous agencies.

On May 4, 2007, in the conference room of committee vice-Chairman Calvo, the Committee Chairman, member Senator Ishizaki, and legislative staff met with airport officials and Mr. Ronald V. Simpson, regional director for the Federal Aviation Administration, to hear from him his concerns with official actions that impact on commitments made by the Airport to federal grantor offices, such as FAA and the Federal Highway Administration. He conveyed his familiarity with various local policy initiatives, that he tracks through regular discussions with airport officials. On Bill No. 60 (EC), Mr. Simpson warned against depleting airport revenue, and specifically asked that the bill be substituted to insulate airport revenues from judicial decisions.

As introduced, Bill No. 60 (EC) intends to prohibit the Governor from accessing airport funds; written testimony suggests an amendment to more generally prohibit the executive, legislative and judicial branches as well. Insofar as the intent of the bill's author is to limit executive authority, and insofar as that authority is singularly exercised by the Governor or at his direction, and not by "the executive branch'', and, in the absence of any similar attempt to gain access to airport funds by the Legislature or through a judicial process, the need for such an amendment may be considered by the whole body during legislative session.

Re: Testimony in Support of Bill No. 60

Dear Chairman Lujan:

This letter is in response to your request of March 20, 2007, for testimony on Bill No. 60, "An Act to Prohibit the Governor From Transferring Funds from the Antonio B. Won Pat Guam International Airport Authority for General Purposes of the Government of Guam." For the reasons stated herein, the Won Pat International Airport Authority, Guam ("WPIAA") is in support of Bill No. 60 and the policy behind the legislation.

Bill No. 60 specifically prohibits the Governor of Guam from "transferring, diverting or otherwise disposing of available funds from any account under the control of [WPIAA] for allocation to public accounts and uses duly authorized by law." This new legislation merely codifies in Guam law the restrictions already imposed upon the use of the Airport's revenue. More specifically, the Airport's 2003 Bond Indentures, agreement with the Bond Insurer and federal regulations prohibit the use of Airport revenues for other than "airport operations."

1. Restrictions Imposed By Bond Covenants.

The Bond Indenture which WPIAA entered into in 2003 includes a provision wherein WPIAA "pledged and assigned" the Revenues of the Airport "to secure the payment of the principal . . . and interest on the Bonds." (Article V, p. 29 of Bond Indenture). "Revenues" are defined, in relevant part, in the Bond Indenture as "all gross income and revenue received by the Authority from the ownership and operation of the

Airport, including all rents, fees and charges received by the Authority for the use of the Airport ...."

As a consequence of this pledge and assignment, there is a first lien and security interest on the Revenues to pay the bondholders and the Revenues may only be used in accordance with the Bond Indenture. (Section 5.01 (E) of Indenture Agreement, p. 30)("All Revenues and other moneys so deposited shall be held, disbursed, allocated and applied only as provided in this Indenture."). Expenses not related to airport operations or otherwise aviation related cannot be paid using Airport Revenue. Bill No. 60 addresses this concern by prohibiting the transfer or diversion of Airport funds to pay for non-airport related expenses.

2. Restrictions Imposed by Federal Law.

Federal law also restricts the ability of the Airport to use its revenues for non­ airport related expenses. Because WPIAA obtains funds from the Federal Aviation Administration (the "FAA"), it is subject to the prohibitions on the use of Airport revenue which are set forth in 49 U.S.C. § 47107(b) and the accompanying FAA Policy and Procedures Concerning the Use of Airport Revenue (the "Policies"). In this regard, 49 U.S.C. § 47107(b) provides, in relevant part, as follows:

(b) Written assurances on use of revenue. (1) The Secretary of Transportation may approve a project grant application under this subchapter [49 uses §§ 47101 et seq.] for an airport development project only if the Secretary receives written assurances, satisfactory to the Secretary, that local taxes on aviation fuel (except taxes in effect on December 30, 1987) and the revenues generated !?,y ! public airport will be expended for the capital .Q! operating costs of-- {Af the airport; LID the local airport system; .Q! .{.Ql other local facilities owned .Q! operated !?.¥ the airport owner .Q! operator and directly and substantially related to the air transportation of passengers .Q! property.

In addition, the Policies state specifically that unlawful revenue diversion occurs when airport revenue is used "for purposes other than the capital or operating costs of the airport." (Section VI, Prohibited Uses of Airport Revenue, Policies at 64 Fed. Reg. No. 30 p. 7720 (2/16/99)). As a consequence, the Airport is restricted to using its revenue solely for airport operations and capital improvement. Hon. Jesse A. Lujan March 27, 2007 Page 3 of 6

3. Guam Law Unequivocally Restricts the Expenditure of Airport Funds to Airport-Related Expenses Only.

In addition to contractual provisions and federal law restricting Airport revenue uses to airport operations, since 1975, it has been the policy of the Guam Legislature to operate the Airport "in the most efficient manner consistent with the protection of the bondholders." In this regard, the most current version of the law is found in Title 12, Guam Code Annotated, Section 1202, which states as follows:

§ 1202. Statement of Policy. It is declared to be the policy of the government of the territory of Guam that the Authority, in acquiring, constructing, reconstructing, purchasing, bettering, extending or improving the airports pursuant to this Chapter, shall manage and operate the airports in the most efficient manner consistent with the protection of the bondholders. SOURCE: GC § 62101, as reenacted by P. L. 16-93.

Indeed, despite several revisions to the Airport's enabling legislation since 1975, the statement of policy protecting the interests of the bondholders remains unchanged.

The Airport's enabling legislation -- now codified in Title 12, Guam Code Annotated, Chapter 1, also provides the WPIAA with the power to, among other things, "[p]ledge for the punctual payment of the general revenue bonds and interest thereon all or part of the revenue of the airports ... which shall be sufficient to pay the principal of and interest on such bonds as they shall become due and to create and maintain reasonable reserves to pay the principal thereof and interest thereon ...." 12 G.C.A. § 1203(i)(Emphasis added). In addition, Section 1203(k) allows the Airport to enter into agreements for the issuance of bonds, but requires WPIAA to satisfy its bond payment obligations "solely from, and secured solely by a pledge of Revenues [of the Airport]." 12 G.C.A. § 1203(k). As discussed previously herein, the revenues of the Airport have been pledged to secure the payment to the bondholders and may not, therefore, be used for expenditures not related to airport operations.

Additionally, Guam law provides that the Board of Directors of the Airport may promulgate a bond resolution authorizing the issuance of general revenue covenants and that such resolution "shall be a contract with the bondholders and the duties of the Authority or any person under this Article and the conditions of any bond resolution shall be enforceable by any bondholder by injunction, mandamus, or other appropriate suit, action or proceeding in any court of competent jurisdiction, subject to any limitations set forth in the bond resolution." 12 G.C.A. §1209. In 2003, the Board of Directors of WPIAA passed Resolution No. 03-03, a resolution "Determining to Issue and Sell General Revenue Bonds in an Aggregate Principal Amount Not To Exceed Hon. Jesse A. Lujan March 27, 2007 Page 4 of 6

$240,000,000.00, and Approving and Authorizing Related Documents, Agreements and Actions." This Resolution, therefore, approved the bond covenants pledging all of the revenue of the Airport to the bondholders and promising further that all revenue would be used solely for airport-related expenses. Consequently, any violation of the bond covenants, including the use of revenues for non-airport related operations, would likely subject the Airport Board of Directors and perhaps the Government of Guam to a lawsuit brought by the bondholders. Bill No. 60 would eliminate such liability.

Moreover, the Airport Revenue Fund is a trust fund which may not be used except to pay for costs relating to the "ownership, use and operation of the airports." In this regard, Section 1206(a) states as follows:

12 GCA §1206. Guam Airport Authority Revenue Fund, Creation. (a) There is created a special fund of the Authority known as the Guam Airport Authority Revenue Fund, which shall be wholly segregated and set apart from all other funds of the Government. The Revenue Fund is and shall be a trust fund for the uses and purposes provided in this Article, and there shall be paid into the Revenue Fund all revenue derived by the Authority from the ownership, lease, use and operation of the airports, facilities and improvements thereof and facilities and improvements used in connection therewith. The money in the Revenue Fund shall be used only to Ill!Y su secure the payment of.

(1) the principal of and interest on the general revenue bonds. (2) The normal and necessary costs of maintaining and operating the airports and all of the improvements and facilities thereof. (3) The costs of renewals, replacements and extraordinary repairs to the airports and all of the improvements and facilities of the airports. (4) Any other costs relating to the ownership, use and operation of the airports.

Finally, 12 G.C.A. Section 1226 specifically prohibits non-airport related expenses from being paid with Airport Revenue absent an appropriation from the Legislature. Section 1226 states as follows:

§ 1226. Pledge and Agreement by Government. The Government hereby pledges to and agrees with the holders Hon. Jesse A Lujan March 27, 2007 Page 5 of 6

of any bonds issued under this Article that the Government will not: (a) Limit or alter the rights hereby vested in the Authority to fulfill the terms of any agreements made with the bondholders, (b) in any way impair the rights and remedies of the bondholders, (c) acquire, operate or maintain or permit any instrumentality of the Government or any other public or private agency, entity or person to acquire, operate or maintain within the territory an airport facility competitive with the airports, or (d) transfer any additional non-airport operating responsibilities to the Authority without providing for the payment of the costs of such additional responsibilities. The Authority is authorized to include this pledge and agreement of the Government in an agreement with the holders of bonds.

Bill No. 60 essentially reiterates the restrictions set forth in these provisions in clear and unequivocal language.

4. Standard & Poor's Has Expressed Concern Over The Use of Airport Revenue for General Expenses of the Government of Guam.

Independent credit ratings agency Standard & Poor's ("S&P") has recently placed the Government of Guam on "Credit Watch with Negative Implications" status following GovGuam's announcement of its need to borrow $6 million in order to meet current payroll obligations for the Guam Public School System. Following this announcement, WPIAA was contacted by S&P representatives expressing their concern that GovGuam's situation might negatively affect the Airport's 2003 Bonds. WPIAA is gravely concerned that unless bondholders feel secure in their interest in WPIAA bonds, that the upgrade raising WPIAA's 2003 Bonds from BBB- to BBB issued by S&P late last year as a result of the Airport's hard work and conscientiousness, would be lost and the bonds downgraded. This would be disastrous for WPIAA.

5. FAA Recommends that Bill be Expanded to Include Legislative Branch.

In a recent meeting with FAA representatives from Region 9, the FAA requested that the legislation be amended so that none of the branches of government may use any airport funds to pay for the general operations expenses of the Government of Guam. In other words, the FAA recommended that the bill include the legislature, and the judiciary, if appropriate, as being restricted from diverting WPIAA's funds to pay for Hon. Jesse A. non-airport operating expenses. A suggested revision may be as follows:

The Executive, Legislature and Judicial Branches of the Government of Guam are hereby prohibited from transferring, diverting or otherwise disposing of available funds from any account under the control of the Antonio B. Won Pat International Airport Authority, Guam, Board of Directors, for allocation to public accounts and uses duly authorized by law.

STATEMENT OF SUPPORT

The Bond Covenants and federal law and regulations restrict the use of all of the Airport's revenue solely to airport-related operating expenses. Guam law already provides that, notwithstanding any other provision of law, the revenues of the Airport may not be used to pay for any non-airport operating expenses of the government of Guam. The Airport is gravely concerned that any attempts by the Government of Guam to access Airport Revenue to pay for non-airport related operating expenses would result in a downgrade of its 2003 bonds, which would have severe implications for the agency and compromise the Airport's ability to continue with its on going projects and current operations. Consequently, WPIAA is in support of Bill No. 60, with suggested amendments.

AN ACT TO PROHIBIT THE GOVERNOR FROM TRANSFERRING FUNDS FROM THE ANTONIO B. WON PAT GUAM INTERNATIONAL AIRPORT AUTHORITY FOR GENERAL PURPOSES OF THE GOVERNMENT OF GUAM.

BE IT ENACTED BY THE PEOPLE OF GUAM:

2 Section 1. Legislative Findings and Intent. I Liheslaturan Guahan

3 recognized in January, 1976 the importance of creating by law an autonomous

4 government agency with all necessary powers to operate and expand our civilian

s airport to meet the needs of the traveling public, terms of a Joint Use Agreement

6 with the United States, and corporate investors in our expanding tourism industry.

1 Public Law 13-57, which enacted Government Code §62000 et seq., later codified as

s Chapter 1 of Title 12 Guam Code Annotated, defined the Antonio B. Won Pat Guam

9 International Airport Authority's purpose, powers and funding structure. The

10 airport Authority was created to accomplish specific purposes more efficiently and

1 effectively than executive agency of the government of Guam. The legislature does

2 not review, approve or consider the airport Authority's budget, nor does it consider

3 its revenues as public resources available for allocation among various obligations

4 authorized by annual and supplemental budget laws. It would therefore be contrary

s to several laws, numerous statements of elected leaders of our government's policies

6 and practices, principles of fiduciary responsibility, and contracts entered into by

7 the airport Authority, for the Chief Executive of the government of Guam to compel

s the unauthorized transfer, diversion or disposal of airport revenues for allocation to

9 unrelated general governmental purposes.

10 Section 2. The Governor is hereby prohibited from transferring,

11 diverting or otherwise disposing of available funds from any account under

12 the control of the Antonio B. Won Pat Guam International Airport Authority

13 Board of Directors, for allocation to public accounts and uses duly authorized t4 by law.

§ 1224. Other Indebtedness Authorized. The Board may at any time, or from time to time, by resolution adopted by a majority of all the members of the Board and approved by the Governor, incur indebtedness for any lawful purpose for any period not exceeding five (5) years evidenced by a contract with any person or by one or more promissory notes executed as provided in this Article and delivered to any person. Any such indebtedness incurred shall be subject and subordinate to any contractual obligations of the Authority to the holders of any bonds and the principal thereof and interest thereon may be repaid either from revenue or, if incurred for a purpose for which bonus may be issued, from revenue or from the proceeds of sale of bonds. SOURCE: GC § 62 123, as reenacted byP.L. 16-93. § 1225. Construction of Article. The powers conferred by this Article shall be in addition and supplemental to the powers conferred by any other law. The Authority may acquire, purchase, construct, reconstruct, improve, better and extend airports and support facilities and equipment, and bonds may be issued under this Article for these purposes, notwithstanding that any other law may provide for the acquisition, purchase, constrnction, reconstruction, improvement, betterment and extension of the airports, and without regard to the requirements, restrictions, limitations or other provisions contained in any other law. This Article shall be liberally construed in order to carry out the purposes for which it was enacted, and insofar as the provisions of this Article are in conflict with the provisions of any other laws, the provisions of this Article shall be controlling, and all existing laws in conflict with any provisions of this Article are superseded insofar as necessary to accomplish the purposes of and carry out the provisions of this Article. SOURCE: GC § 62124, as reenacted by P.L. 16-93. § 1226. Pledge and Agreement by Government. The Government hereby pledges to and agrees with the holders of any bonds issued under this Article that the Government will not: (a) Limit or alter the rights hereby vested in the Authority to fulfill the terms of any agreements made with the bondholders, (b) in any way impair the rights and remedies of the bondholders, ( c) acquire, operate or maintain or permit any instrumentality of the Government or any other public or private agency, entity or person

to acquire, operate or maintain within the territory an airport facility competitive with the airports, or ( d) transfer any additional non-airport operating responsibilities to the Authority without providing for the payment of the costs of such additional responsibilities. The Authority is authorized to include this pledge and agreement of the Government in an agreement with the holders of bonds. SOURCE: Added by P.L. 21 -135:13. [P.L. 21 -135 states that this section was "amended", but the Compiler can find no prior law where such a section was first added.]

ARTICLE3 A.B. WONPAT G UAM INTERNATIONAL AIRPORT AUTHORITY AIRCRAFT RESCUE AND FIRE FIGHTING UNIT SOURCE: This Article 3 was added by P.L. 24-5:2. § 1301. Establishment. § 1302. Powers and Duties. § 1303. Officer in Charge at Scene of Fire. § 1304. Penalty, Obstruction of Operations.

§ 1301. Establishment. There is hereby established within, and as a division of the A.B. WonPat Guam International Airport Authority, an Aircraft Rescue and Fire Fighting Unit. The underlying purposes and policies of the Act are to acknowledge that the GIAA has the duty to operate and maintain the A.B. WonPat Guam International air terminal and related facilities for civil aviation purposes on Guam, and that an Aircraft Rescue and Fire Fighting Unit is required to provide for: rescue and life saving; safety of persons, equipment and facilities; and fire fighting and salvage of equipment and cargo. § 1302. Powers and Duties. The Aircraft Rescue and Fire Fighting Unit shall have the power and duty to conduct and extinguish injurious or dangerous fires, and to remove that which is liable to cause such fires, assume complete charge of fire suppression, perform rescue operations and to enforce all laws relating to

The Legislative Committee on Aviation, Federal Affairs, Labor, Housing, Banking and Insurance will hold a public hearing and confirmation hearing tomorrow morning. On the agenda the confirmation hearing on the appointment of Anabelle Dancel to sit on the Guam House and Urban Renewal Authority board of commissioners.

Also on the agenda is Senator Jesse Anderson Lujan's (R) Bill 60 the measure would prohibit the governor from transferring funds from the Won Pat Memorial Airport for general purposes of the Government of Guam.

The hearing is scheduled for 9:30 tomorrow morning.
