TENTANG BANK OF CHINA (HONG KONG) LIMITED Pada tahun 1917, Bank of China berdiri di Hong Kong. Satu abad yang lalu, skala Bank of China (Hong Kong) Limited (“BOCHK” atau “Kantor Pusat”) sangat kecil dengan jumlah pegawai kurang dari 10 (sepuluh) orang. Saat ini, BOCHK merupakan grup perbankan utama dengan jaringan cabang paling luas di Hong Kong. BOCHK tidak hanya memainkan peran penting dalam pembangunan ekonomi Hong Kong, tetapi juga berkontribusi terhadap kestabilan dan kemakmurannya. BOCHK merupakan bank yang memiliki ijin dan didirikan di Hong Kong. Pada tahun 2001, Grup Bank of China di Hong Kong direstrukturisasi. BOCHK menggabungkan kegiatan usaha 10* dari 12 bank di Hong Kong yang pada awalnya merupakan milik Grup Bank of China. Sesuai dengan rencana strategis Bank of China Limited dan BOCHK di wilayah ASEAN dan Hong Kong, BOCHK telah menyelesaikan pelepasan seluruh kepentingan BOCHK di Nanyang Commercial Bank, Limited dan Chiyu Banking Corporation Limited masing- masing pada Mei 2016 dan Maret 2017. Selain itu, BOCHK mendorong pembangunan skala regionalnya dengan memperluas bisnis di kawasan Asia Tenggara. Kantor cabang serta anak perusahaan telah diperluas ke negara-negara Asia Tenggara seperti Malaysia, Thailand, Indonesia, Kamboja, Brunei, Vietnam dan Filipina, dengan penyediaan layanan keuangan professional dan berkualitas tinggi kepada nasabah lokal. BOCHK juga akan mempercepat pengembangan untuk menjadi bank regional teratas, memiliki layanan lengkap dan berskala internasional. BOCHK memiliki posisi pasar yang kuat di seluruh bisnis utama. BOCHK memiliki jaringan cabang lokal yang luas dan platform layanan yang beragam, termasuk kurang lebih 200 kantor cabang, 270 automated banking centres, saluran e-channel uang efektif pada lebih dari 1000 mesin swalayan, serta layanan Internet dan Mobile Banking . BOCHK menawarkan jangkauan yang menyeluruh dari layanan keuangan, investasi, dan wealth management untuk nasabah individu, perusahaan dan institusi. BOCHK merupakan satu dari tiga bank penerbit uang dan satu-satunya bank kliring untuk bisnis Renminbi (“RMB”) di Hong Kong. Dengan kuatnya franchise RMB, BOCHK merupakan pilihan pertama nasabah di bisnis ini. TENTANG BANK OF CHINA (HONG KONG) LIMITED CABANG JAKARTA A. INFORMASI UMUM Latar Belakang Pendirian Bank of China (Hong Kong) Limited Cabang Jakarta Bank of China Limited Cabang Jakarta beroperasi secara komersil di Indonesia sejak tahun 1938 dan diberi ijin oleh Menteri Keuangan Republik Indonesia untuk beroperasi sebagai bank di Jakarta pada 11 November 1955 (keputusan No. 249642/UM II). Namun, dikarenakan situasi sosial dan politik, Bank of China Limited Cabang Jakarta menghentikan operasinya pada tahun 1964. Dengan adanya peningkatan signifikan pada hubungan bilateral antara RI dan RRC pada bidang keuangan, perdagangan dan investasi, Bank of China Limited Cabang Jakarta diaktifkan kembali pada tanggal 15 April 2003 berdasarkan Surat Gubernur Bank Indonesia No. 5/1/KEP.GBI/2003 tertanggal 13 Januari 2003 mengenai ijin mengaktifkan kembali Kantor Cabang dari Bank of China di Jakarta. Bank of China Limited Cabang Jakarta kembali berkiprah di arena perbankan Indonesia setelah absen selama hampir 40 tahun. Pada bulan Oktober 2004, seiring dengan perubahan nama pada kantor pusat, Bank of China Limited Cabang Jakarta juga mengubah namanya dari “Kantor Cabang Bank of China” menjadi “Kantor Cabang Bank of China Limited”; “Bank of China Cabang Jakarta” menjadi “Bank of China Limited Cabang Jakarta”. Perubahan nama ini telah disetujui oleh Bank Indonesia melalui Surat Gubernur Bank Indonesia No. 6/77/KEP.GBI/2004 tertanggal 14 Oktober 2004. Kemudian, pada tanggal 10 Juli 2017, sehubungan dengan restrukturisasi Grup di wilayah ASEAN, kantor pusat Bank of China Limited Cabang Jakarta berubah dari Bank of China Limited menjadi BOCHK. Yang selanjutnya diikuti dengan perubahan nama dari Bank of China Limited Cabang Jakarta menjadi Bank of China (Hong Kong) Limited Cabang Jakarta (“BOCHK Jakarta”) melalui Surat Keputusan Deputi Komisioner Pengawas Perbankan I Otoritas Jasa Keuangan No. KEP-5/PB.1/2017 tertanggal 27 Juli 2017. Sampai dengan 31 Desember 2018, BOCHK Jakarta memiliki 1 kantor pusat operasional yang terletak di Jakarta – Tamara Center dan 8 kantor cabang pembantu yakni: Kantor Cabang Pembantu Surabaya, Kantor Cabang Pembantu Mangga Dua, Kantor Cabang Pembantu The East, Kantor Cabang Pembantu CBD Pluit, Kantor Cabang Pembantu Kelapa Gading, Kantor Cabang Pembantu Melawai, Kantor Cabang Pembantu Medan, dan Kantor Cabang Pembantu Pantai Indah Kapuk. Dengan adanya kantor-kantor cabang pembantu tersebut, maka jaringan kegiatan perbankan BOCHK Jakarta semakin 6 dari 69 luas, dan diharapkan dapat menjangkau seluruh lapisan masyarakat terutama bidang usaha mikro, kecil dan menengah. BOCHK Jakarta akan terus menambah jumlah kantor- kantor cabang pembantu secara bertahap seiring dengan perkembangan bisnisnya di Indonesia. 7 dari 69 Kepengurusan BOCHK Jakarta Manajemen Per 31 Desember 2018, kepengurusan BOCHK Jakarta dilaksanakan oleh Manajemen yang terdiri dari Country Manager, Deputy Country Manager, Assistant Country Manager , dan Direktur Kepatuhan. Zhang Chaoyang, Country Manager Zhang Chaoyang menjabat sebagai Country Manager sejak Januari 2018. Beliau memiliki lebih dari 25 tahun pengalaman di industri perbankan. Sebelum bergabung dengan BOCHK Jakarta, beliau menjabat sebagai General Manager of Economics and Strategic Planning Department BOCHK . Zhang Chaoyang menyelesaikan pascasarjana nya di Renmin University of China pada tahun 2003. Chong Kim Hoo, Deputy Country Manager Chong Kim Hoo menjabat sebagai Deputy Country Manager sejak April 2003. Beliau memiliki lebih dari 40 tahun pengalaman di industri perbankan. Sebelum bergabung dengan BOCJK Jakarta, beliau menjabat sebagai Assistant General Manager Bank of China cabang Singapura. Chong Kim Hoo menyelesaikan sarjananya di University of Manchester, Inggris. Chen Jie , Assistant Country Man ager Chen Jie menjabat sebagai Assistant Country Manager sejak Agustus 2017. Beliau memiliki 19 tahun pengalaman di industri perbankan. Sebelum bergabung dengan BOCHK Jakarta, beliau menjabat sebagai VP and Head of Corporate Banking Department Bank of China (Canada). Chen Jie menyelesaikan gelar master nya di University of International Business and Economics pada tahun 1999. 8 dari 69 Du Qiqi, Assistant Country Manager Du Qiqi menjabat sebagai Assistant Country Manager sejak November 2013. Beliau memiliki 20 tahun pengalaman di industri perbankan. Sebelum bergabung dengan BOCHK Jakarta, beliau menjabat sebagai Deputy General Manager of Corporate & Financial- market Department Bank of China cabang Yunnan. Du Qiqi memperoleh pendidikan masternya di Economics and Management School of Wuhan University. Olivia Lea Tutuarima, Direktur Kepatuhan Olivia Lea Tutuarima ditunjuk sebagai Direktur Kepatuhan BOCHK Jakarta sejak Februari 2005. Beliau memiliki lebih dari 25 tahun pengalaman di industri perbankan di bidang domestic banking , international banking , internal audit, kredit, kepatuhan dan APU/PPT. Olivia menyelesaikan gelar Magister Hukum di Universitas Borobudur pada tahun 2016. Pejabat Eksekutif 1. This paper focuses on firm-specific actions that aim to distinguish the firm from its peers. It reports the disparity in credit ratings between Chinese companies listed domestically and those listed on international stock exchanges. It examines the case of Bank of China Hong Kong (BoCHK). BoCHK’s preparation for listing on Hong Kong Stock Exchange (HKSE) induced corporate restructuring and improvement in governance practices. The ability of the parent company (Bank of China) to intervene at will in the affairs of the BoCHK is coun- tered by Hong Kong law and HKSE’s regulations, and bad governance habits are punished by the market. Although it takes time for BoCHK to fully converge to international standards of corporate governance, the listing process is a robust first step towards that destination.
