Rezaul Ahsan Senior Manager, Organization Development, The ACME Laboratories Ltd, Dhaka, BANGLADESH ABSTRACT This paper investigates the relationship between corporate culture and attitudes toward organizational change from the perspectives of a large pharmaceutical company in Bangladesh. A structured questionnaire was developed on the basis of the competing values framework of culture typology of Cameron and Quinn (2006) and a study of Justina Simon (June 2012), which was distributed to the 55 staff members of the company. The result shows that there is a significant relationship between corporate culture and organizational change. The study reveals that the organization has adopted all four types of organizational culture and the dominant existing organizational culture is the hierarchy culture. The study also shows that the resistance to change is a function of organizational culture. The implications of the study are also discussed. A study found that most of the CEOs of the 62 major US-based companies spent at least 10 percent of their time in quality en- hancement efforts. The critical importance of employees’ involvement in the quality process of an organization is based on the belief that the best process innovation ideas come from the people actually doing the job. Employee involvement in quality efforts can only come about when the em- ployees know that the organization cares for them. Best companies do not just confine education and training to their shop floor employees and managers. -

Organizational Culture and Knowledge Management Success at Project and Organizational Levels in Contracting Firms Patrick S.W. Fong1 and Cecilia W.C. Kwok2 ABSTRACT This research focuses on contracting firms within the construction sector. It characterizes and evaluates the composition of organizational culture using four culture types (Clan, Adhocracy, Market, and Hierarchy), the strategic approach for knowledge flow, and the success of KM systems at different hierarchical levels of contracting organizations (project and parent organization level). Responses from managers of local or overseas contracting firms operating in Hong Kong were collected using a carefully constructed questionnaire survey that was distributed through electronic mail. The organizational value is analyzed in terms of the four cultural models. Clan culture is found to be the most popular at both project and organization levels, which means that the culture of contracting firms very much depends on honest communication, respect for people, trust, and cohesive relationships. Another significant finding was that the two main KM strategies for knowledge flow, Codification and Personalization, were employed at both project and organization levels in equal proportion. -

OVERVIEW BASIC RESPONSIBILITIES OF THE CO-OP BOARD OF DIRECTORS At start-up co-ops develop documents that spell out how the organization will operate. The corporate code often sets legal parameters for the co-op. The Articles of Incorporation contain the purpose of the co-op and its legal definitions. This document is filed with the Secretary of State. The Bylaws include the over-arching rules of the co- ops such as when where and how decisions will be made. The Board of Directors is the legal entity responsible for directing the affairs of the corporation. Every corporation MUST have a board. If a co-op operates as a collective then technically all members are on the Board. The Board must follow the rules set out in the Corporate Code, the Articles of Incorporation, and the Bylaws. Bylaw changes usually require a full membership vote to change. The members of the cooperative elect the Board.1 Three legal charges for Boards are fiduciary duty, duty of loyalty and duty of care. As trustees of the cooperative, board members have a special relationship to the cooperative to make business decisions focused only on what benefits the cooperative and all of its members. Decisions must be based on careful consideration of the issues. The fundamental legal standard for board members is to act in good faith, in a manner they believe to be in the best interests of the cooperative, and with such care, including reasonable inquiry, as an ordinary prudent person in a like position would use under similar circumstances. -

Cooperative boards are no exception. But increasing scrutiny of director behavior is not always accompanied by better information about exactly what directors are supposed to do and how they are to perform their many duties. The series of articles reprinted here originally appeared during 2002 as Management Tip articles in three issues of USDA’s "Rural Cooperatives" magazine. These articles lay out fundamental guidelines for cooperative directors. Along with practical guides, the articles explain underlying principles and give suggestions for specific actions cooperative boards and directors can take to improve their service to cooperatives. Cooperative members can use this well-received series to assess board and individual director performance and make informed choices about directors. Directors can apply the information to carry out the full range of their responsibilities with the assurance that they are satisfying the high standards of conduct required of them. CORPORATE GOVERNANCE GUIDELINES A. Role of the Board of Directors The Board of Directors (“Board”) is elected by shareholders to provide oversight to senior management in their management of Covance Inc. (“Covance”). Consistent with its fiduciary duty, the Board exercises its oversight to enhance the long term value of Covance to its shareholders. The Board recognizes that long-term value is enhanced in part by responsibly taking account of other stakeholders and interested partners, such as customers, employees, suppliers, and the public. The Board has adopted these guidelines to set forth the principles of corporate governance under which the Board expects to operate. The Board will review these guidelines from time to time and make such changes as it deems necessary and appropriate. B. Board Responsibilities 1. General Oversight The Board’s oversight of senior management in their management of Covance will include review and discussion of the performance of Covance and its management, its strategies, plans and prospects, and other matters of significant importance. 2. Ethical and Lawful Conduct Each director shall adhere to the applicable Covance policies concerning integrity and ethical behavior which the Company’s management and employees are subject, including without limitation the Covance Code of Conduct and its policies on securities law compliance. Covance’s Code of Conduct is posted at Covance’s website (Covance.com). In exercising their oversight of Covance, the directors expect the company’s senior management and its outside advisors and auditors to act with honesty and integrity and the Board expects reasonably to rely on their honesty and integrity. If an actual or potential conflict of interest arises for a director, the director shall promptly inform the CEO and the presiding director for the pending meeting. -
