As City of Irwindale Council Members, our fundamental duty is to serve the public good. We are committed to the principle of an efficient and professional local government. We will be exemplary in obeying the letter and spirit of Local, State and Federal laws and City policies affecting the operation of the government and in our private life. We will be independent and impartial in our judgment and actions.

We will work for the common good of the City of Irwindale community and not for any private or personal interest. We will endeavor to treat all people with respect and civility. We will commit to observe the highest standards of morality and integrity, and to faithfully discharge the duties of our office regardless of personal consideration. We shall refrain from abusive conduct, personal charges or verbal attacks upon the character or motives of others.

We will inform ourselves on public issues, listen attentively to public discussions before the body, and focus on the business at hand. We will base our decisions on the merit and substance of that business. We will be fair and equitable in all actions, claims or transactions. We shall not use our official position to influence government decisions in which we have a financial interest or where we have a personal relationship that could present a conflict of interest, or create a perception of a conflict of interest.

We shall not take advantage of services or opportunities for personal gain by virtue of our public office that are not available to the public in general. We shall refrain from accepting gifts, favors or promises of future benefit that might compromise our independence of judgment or action or give the appearance of being compromised.

We will behave in a manner that does not bring discredit or embarrassment to the City of Irwindale. We will be honest in thought and deed in both our personal and official lives.

Ultimate responsibility for complying with this Code of Ethics rests with the individual elected official. In addition to any other penalty as provided by law, violation of this Code of Ethics may be used as a basis for disciplinary action or censure of a Council Member.

Recommendation: (1) Adopt Resolution No. 2017-22-2920 entitled, "A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF IRWINDALE WAIVING THE FORMAL BIDDING REQUIREMENTS AND APPROVING AN ADDITIONAL ONE-TIME COST TO AN EXISTING CONTRACT FOR THE REMOVAL AND REPLACEMENT OF DEAD/DISEASED TREES IN THE MEDIAN ISLANDS AND PUBLIC RIGHT-OF-WAY" reading by title only and waiving further reading thereof; (2) authorize the City Manager to execute the First Amendment for Tree Trimming, Maintenance and Arborist Inspection Services by and between the City of Irwindale and West Coast Arborists (WCA) requiring an additional one-time costs of $40,162.50 to remove and replace approximately 69 dead trees in the median islands and public right-of-way.

ITEM NO. 1G TRAFFIC CALMING MEASURES ON CYPRESS STREET TRAFFIC CALMING BETWEEN IRWINDALE AVENUE AND AZUSA CANYON ROAD MEASURES ON CYPRESS STREET BETWEEN IRWINDALE AVENUE AND AZUSA CANYON ROAD CITY COUNCIL MINUTES APRIL 26, 2017 REGULAR MEETING PAGE5

COUNCILMEMBER Councilmember Ortiz and Mayor Breceda declared a potential ORTIZ AND MAYOR conflict of interest with this item and abstained from the matter and BRECEDA exited the Council Chambers.

MAYOR PRO TEM Mayor Pro Tern Ambriz resumed the meeting. AMBRIZ

COUNCILMEMBER Responding to several questions by Councilmember Burrola, BURROLA Director Tam advised that staff believes that the measures suggested within the staff report should help motorists to stay within the speed limit. Additionally, increased police traffic enforcement has been requested for the area, which should help alleviate speeding issues. Director Tam also indicated that the relocation of the stop sign on Nora is proposed so that motorists can better see oncoming traffic coming from westbound Cypress, and for pedestrians to have sufficient room to pass through the intersection.

Councilmember Burrola requested a report showing the effectiveness of the proposed measures, to which Director Tam advised that he would return to the Council six months after the implementation of the measures with a speed survey.

COUNCILMEMBER Councilmember Garcia spoke on his concerns with the delineators, GARCIA and how they may obscure the view of oncoming traffic, to which Director Tam indicated that staff considered that possibility when they evaluated the site conditions. The delineator is designed to slow down traffic, which should increase safety. He added that the intersection, unfortunately, does not justify the installation of a traffic signal.

MOTION A motion was made by Councilmember Burrola, seconded by Mayor Pro Tern Ambriz, to 1) direct staff to implement the traffic calming measures shown on Attachment "A" of the staff report on Cypress Street between Irwindale Avenue and Azusa Canyon Road; 2):

RESOLUTION NO. Adopt Resolution No. 2017-19-2917, entitled: 2017-19-2917 ADOPTED "A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF IRWINDALE APPROPRIATING MONIES FROM THE GENERAL FUND BALANCE FOR THE DESIGN AND CONSTRUCTION OF TRAFFIC CALMING MEASURES ON CYPRESS STREET BETWEEN IRWINDALE AVENUE AND AZUSA CANYON ROAD AND AUTHORIZING THE ADVERTISEMENT OF BIDS FOR CONSTRUCTION OF SUCH IMPROVEMENTS," reading by title only and waiving further reading thereof,

3) authorize the Director of Public Works I City Engineer to advertise for bids for the construction of said improvements, and 4) return to the Council with a speed survey report six months after the implementation of said measures. DIRECTOR TAM Director Tam discussed the staff report.

COUNCILMEMBER Responding to a comment by Councilmember Ortiz, Director Tam ORTIZ indicated that the city would be paying for the construction of the wall, as per the terms of the settlement agreement between Irwindale and Baldwin Park.

CITY ATTORNEY City Attorney Galante added that the development agreement has GALANTE United Rock paying toward landscaping and a few other aspects.

DIRECTOR TAM Director Tam noted that staff intends to simplify the work proposal and remove unnecessary work, then send the work out for bids once again.

COUNCILMEMBER Responding to a comment by Councilmember Garcia, City Attorney GARCIA Galante advised that, if the wall was built by United Rock utilizing their own funds, the project would not be subject to prevailing wages. However, the city agreed to pay for this as part of the settlement. He noted that there are benefits in having the city obtain the necessary approvals.

MOTION A motion was made by Councilmember Ortiz, seconded by Councilmember Burrola, to 1) reject all bids for the construction of the Olive Pit West Boundary Concrete Block Wall Project; 2) approve the revised project plans and specifications; and 3) CITY COUNCIL MINUTES APRIL 26, 2017 REGULAR MEETING PAGE?

authorize the advertising of this project for construction bids. The motion was unanimously approved.

NEW BUSINESS

ITEM NO. 2A REQUEST BY MAYOR BRECEDA TO NAME THE PUBLIC REQUEST BY MAYOR WORKS BUILDING (16102 ARROW HIGHWAY) AFTER DAVID BRECEDA TO NAME FRAIJO MARTINEZ THE PUBLIC WORKS BUILDING (16102 ARROW HIGHWAY) AFTER DAVID FRAIJO MARTINEZ

MAYOR BRECEDA Mayor Breceda spoke in support of naming the building after David Fraijo Martinez in recognition of his many years of service to the city.

CITY ATTORNEY City Attorney Galante advised that the city does not have a formal GALANTE policy for the naming of public facilities. In the past, the city has fallen back on general state law that requires holding a public hearing with the intended name so that people have an opportunity to testify. He stated that the Council could direct staff to schedule a public hearing and afterward vote on the naming of the facility.

MAYOR PRO TEM Mayor Pro Tern Ambriz expressed his support of Mayor Breceda's AMBRIZ suggestion, since the community respected and admired Mr. Martinez. He then spoke about Mr. Fred "Tocho" Fraijo, who also made many contributions to the city while employed in the Public Works Department, and suggested naming another facility after him.

COUNCIL CONSENSUS Council consensus was reached to direct staff to schedule a public hearing to receive testimony about naming the Public Works Building (16102 Arrow Highway) after David Fraijo Martinez.

Issue: Approving a tentative agreement titled "Side Letter of Agreement between the City of Irwindale and the Irwindale City Employees Association" (/CEA) Regarding Combining Rest and Lunch Periods

City Manager's Recommendation:

That the City Council approve Resolution No. 2017-20-2918 adopting the tentative agreement titled "Side Letter Agreement between the City and ICEA," attached hereto as Exhibit "A," until such time as a successor memorandum of understanding is approved by the parties or impasse is reached.

Analysis:

The City Council approved the Memorandum of Understanding between the City and the Irwindale City Employees Association (ICEA) for the period of July 1, 2013 through June 30, 2016 (ICEA MOU 2013-16) at its regularly scheduled meeting on September 11, 2013. The ICEA MOU 2013-16 expired June 30, 2016 and no successor memorandum of understanding has yet been approved or adopted, though the parties are in negotiations over a successor memorandum of understanding pending the completion of classification and compensation study reports contracted for by the City.

The City is aware that for a significant period of time ICEA represented employees working on the 4/10 work week schedule have been combining their two fifteen (15) minute paid rest periods during their work day with their one thirty (30) minute unpaid lunch period to allow for a full one (1) hour off work for lunch. The expired ICEA MOU expressly prohibited combining the two fifteen (15) minute paid rest periods or using them to extend the thirty (30) minute unpaid lunch period.

The City's Personnel Rules, Section 6.05, further define the City's normal forty hour workweek and provides for alternative scheduling and that under the City's alternative 4/1 O work schedule, ICEA represented employees actually work a thirty-eight (38) hour workweek excepting holidays. The City may set staggered work schedules over a seven day workweek for some or all public works yard ICEA represented employees to minimize overtime while maintaining the existing thirty-eight (38) hour workweek for ICEA represented employees.

The City proposes to allow the affected ICEA represented employees to maintain their current practices described above regarding the City's alternative 4/10 work schedule. The City's and ICEA's authorized representatives met and conferred in good faith and have reached the tentative agreements as stated in the Side Letter of Agreement between the City and the ICEA attached hereto as Exhibit "A." The Side Letter of Agreement is also a settlement agreement, with consideration contributed by both sides, and therefore represents a full and complete waiver and release of all existing and/or potential claims and disputes between the City and !CEA regarding past rest and lunch periods.

Pursuant to Government Code Section 3505.1:

"If a tentative agreement is reached by the authorized representatives of the public agency and a recognized employee organization or recognized employee organizations, the governing body shall vote to accept or reject the tentative agreement within 30 days of the date it is first considered at a duly noticed public meeting. A decision by the governing body to reject the tentative agreement shall not bar the filing of a charge of unfair practice for failure to meet and confer in good faith. If the governing body adopts the tentative agreement, the parties shall jointly prepare a written memorandum of understanding."

SECTION 1. The foregoing recitals are true and correct and are incorporated by reference herein.

SECTION 2. The City Council hereby approves and adopts the tentative agreement titled "Side Letter Agreement between the City and ICEA", attached hereto as Exhibit "A," until such time as a successor memorandum of understanding is approved by the parties or impasse is reached.

SECTION 3. The Deputy City Clerk shall certify to the adoption of this resolution.

The City of Irwindale ("City") and the Irwindale City Employees Association ("ICEA") previously entered into a Memorandum of Understanding effective July 1, 2013 through June 30, 2016 ("ICEA MOU 2013-16"). The ICEA MOU 2013-16 has since expired. The parties are in negotiations over a successor memorandum of understanding pending the outcome of classification and compensation survey. In the meantime, the City is aware that for a significant period of time ICEA represented employees working on the 4/10 work week schedule have been combining their two fifteen (15) minute paid rest periods during their work day with their one thirty (30) minute unpaid lunch period to allow for a full one (1) hour off work for lunch. The expired ICEA MOU, however, expressly prohibited combining the two fifteen (15) minute paid rest periods or using them to extend the thirty (30) minute unpaid lunch period. After reviewing the matter, the City proposes to allow the affected employees to maintain their current practice, but determined that it should be memorialized by way of a formal agreement between the City and ICEA. ICEA is in agreement with this solution and with memorializing the formal agreement by means of this Side Letter Agreement.

The City's Personnel Rules Section 6.05 further define the City's normal forty hour workweek and provides for alternative scheduling. Under the City's alternative 4/10 schedule, Unit members actually work a 38 hour workweek excepting holidays. The parties hereby also agree that the City may set staggered work schedules over a seven day workweek for some or all public works yard employees to minimize overtime while maintaining the existing thirty-eight hour workweek for Unit members.

City Manager John Davidson and Human Resources Manager Mary Hull met and conferred with ICEA representatives in good faith on the above stated matters pursuant to the provisions of the Meyers-Milias-Brown Act ("MMBA") ( California Gov't Code §3500 et. seq.). As a result of these meet and confer negotiation sessions, the parties reached the following agreements.

1. The City shall allow employees to combine their two fifteen (15) minute paid rest periods with their thirty (30) minute unpaid lunch for a one (1) hour lunch until such time as a successor memorandum of understanding is approved by City Council or a change is implemented through either mutual agreement or impasse after meet and confer.

2. The remaining provisions of Article 7 of the ICEA MOU 2013-16 shall continue as the status quo until such time as a successor memorandum of understanding is approved by City Council or a change is implemented through either mutual agreement or impasse after meet and confer, including but not limited to employees not being allowed to use rest or lunch periods to shorten the workday.

This Side Letter Agreement is also a settlement agreement, with consideration contributed by both sides, and therefore represents a full and complete waiver and release of all existing and/or potential claims and disputes between the City and ICEA regarding past rest and lunch periods.

4. In relation to the release provisions of Paragraph 3 above, ICEA understands that California Civil Code section 1542 reads as follows:

"General Release-Claims Extinguished"

"A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."

The City and ICEA hereby waive the protection of California Civil Code section 1542.

City Manager's Recommendation:

That the City Council approve the specifications for the 2016-2017 Resurfacing Program and authorize staff to solicit bids for construction of the project.

Analysis:

1) The City's 2016-2017 Resurfacing Program is identified in our Capital Improvement Program to provide the needed maintenance of our street system.

2) This resurfacing project extends the life of City streets and minimizes costly repairs, such as reconstruction. Due to the availability of funding, this year's program includes two streets, which are Irwindale Avenue between Gladstone Street and Arrow Highway and First Street between Irwindale Avenue and Martin Road.

3) The design of this project, which includes a necessary project bid package to advertise and solicit bids, was prepared by staff. The major scope of work for this project includes cold milling the existing asphalt pavement, removal and replacement of road bases in the deteriorated areas, resurfacing with rubberized recycled asphalt, re-striping and adjusting utility manholes.

4) A set of the project plans and specifications is available for review in the City Engineer's office.

5) Upon approval by the City Council, this project will be advertised in May 2017, with an expected award of contract scheduled for City Council consideration in June 2017.

Analysis:

1. On October 23, 2013, the City Council adopted Resolution No. 2013-53-2647 approving a Performance Improvement Agreement with the California Joint Powers Insurance Authority (CJPIA). As stated in the Agreement with CJPIA, the City was required to adopt a Performance Improvement Plan (PIP), which included several elements that are required to be improved to ensure compliance with CJPIA's risk management standards and best practices. The Tree Trimming, Maintenance, and Arborist Inspection Services Contract was identified by CJPIA as an item that required the revision of the scope of work and insurance requirements due to the high risk associated with tree trimming, maintenance and arborist inspection services.

2. On June 24, 2015, the City Council authorized the City Manager to execute a contract agreement with West Coast Arborist for Citywide Tree Trimming, Maintenance and Arborist Inspection Services in the amount of $70,000 per year for six years. As part of the contract, a professional arborist is required to conduct inspections on the conditions of all citywide trees. West Coast Arborist has currently identified 69 dead trees located in the median islands that require removal and replacement with a cost of $32,130.00. contingency also be approved in the amount of $8,032.50 to cover any unforeseen circumstances during the removal of these trees. Additionally, West Coast Arborist is still conducting inspections on city trees in the public right-of-way and additional dead, poorly structured, or diseased/declining trees may be identified as requiring removal and replacement.

3. It is imperative that these dead trees be removed as soon as possible as they can be a potential threat to public safety and our streets.

4. This project is considered categorically exempt as it falls under Section 15301 (h) of CCR, Title 14 "Guidelines for California Environmental Quality Act." - "Operation, repair, and maintenance of existing facilities."

5. In anticipation of these inspections, staff requested and received one-time additional funding in the amount of $50,000 for FY2016/2017, account number 01- 52-521-42300-0000, to complete the removal and replacement of dead, poorly structured, and diseased/declining trees in the public right-of-way.

6. A First Amendment to the Agreement is required to approve these additional costs. The City Attorney has reviewed and approved the First Amendment to Agreement for Tree Trimming, Maintenance and Arborist Inspection Services ..

WHEREAS, the City approved a Performance Improvement Agreement with California Joint Powers Insurance Authority (CJPIA) through Resolution No. 2013-53-2647 on October 23, 2013;

WHEREAS, the part of the Performance Agreement required the City to adopt a Performance Improvement Plan (PIP), which included revising the scope of work and insurance requirements for the City's Tree Trimming, Maintenance and Arborist Inspection Services contract;

WHEREAS, on June 24, 2015, the City Council authorized the City Manager to execute a contract agreement with West Coast Arborist for city-wide Tree Trimming, Maintenance and Arborist Inspection Services;

WHEREAS, West Coast Arborist has identified approximately 69 dead trees in the citywide median islands through their Arborist Inspections with a cost of $32, 130.00. Since West Coast Arborist is still conducting inspections, there is the possibility of additional trees being identified as requiring removal and replacement; therefore, an additional 25% contingency, or $8,032.50, is required;

WHEREAS, since the City has a current contract with West Coast Arborist, based on the insurance requirements set forth by CJPIA, and the knowledge of our city trees, it is more cost effective and efficient for West Coast Arborist to complete these additional services; and

WHEREAS, Section 3.44.080 (H) of the Irwindale Municipal Code provides for the waiving of the formal bid procedure "when the city council determines by resolution it would be in the best interest of the city to dispense with bidding; provided, however, that the city council shall state the basis of its determination"; and

WHEREAS, this project is considered categorically exempt as it falls under Section 15301 (h) of CCR, Title 14 "Guidelines for California Environmental Quality Act." - "Operation, repair, and maintenance of existing facilities".

NOW, THEREFORE, BE IT RESOLVED AS FOLLOWS:

SECTION 1. RECITALS

WHEREAS, approximately sixty-nine dead trees have been identified in the median islands that require removal and replacement with a cost of $32, 130.00 and an additional 25% contingency in the amount of $8,032.50 is required to cover any unforeseen circumstances during the removal of these trees. City Manager's Recommendation:

Adopt Resolution No. 2017-24-2922, entitled: "A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF IRWINDALE APPROVING THE OUT-OF-STATE TRAVEL TO THE 2017 INTERNATIONAL COUNCIL OF SHOPPING CENTERS CONFERENCE IN LAS VEGAS, NEVADA FOR ECONOMIC DEVELOPMENT STAFF".

Analysis:

Every year in May, the International Council of Shopping Centers (ICSC) holds their annual conference in Las Vegas, Nevada to advance the shopping center industry and promote its role in the commercial distribution of consumer goods and services. Cities throughout the nation send representatives to promote retail opportunities and attract quality businesses and jobs.

The conference provides educational programs and publications in all aspects of shopping center development, finance, management, marketing and other specialized areas of professional interest; holds meetings and other programs designed to promote the exchange of ideas among members and to facilitate the conduct of their business; collects and disseminates information pertaining to the shopping center industry, including statistical data and other statistical research; develops and maintains professional certification programs to encourage high standards for shopping center professionals; advocates the interest of the shopping center industry to local, state/provincial, federal and international governmental bodies; and publicizes to the general public promotional and educational shopping center business information.

Staff has been able to network in the past to sell former redevelopment sites and attract commercial opportunities. Although other cities typically send 5-10 staff members and council members, Irwindale has not had the budget to do likewise but, rather, uses key staff members and the free registrations that are provided through our membership with the San Gabriel Valley Economic Partnership to attend the conference. This year, two registration badges have been made available thus far to allow the Community Development Director and Principal Planner to attend in an effort to assist one another.

Issue: City Classification and Compensation Study

City Manager's Recommendation:

That the City Council receive and file the attached final Classification and Compensation Study Reports prepared by Ralph Andersen & Associates.

Background:

At its meeting on August 10, 2016, the City Council approved an agreement with Ralph Andersen & Associates to conduct a comprehensive Classification and Compensation Study ("Study") for all full-time and part-time positions. The Classification and Compensation Committee met with the consultant at key points to review draft recommendations, discuss issues and areas of concern, and identify options, alternatives, and solutions. The results and recommendations of the Study are included in the attached final Classification and Compensation Reports. These reports will provide a foundation for the City to develop a Classification and Compensation Plan that is accurate, equitable, and market competitive.

Analysis:

The concepts and recommendations included in the Classification Report are based on an analysis of the job duties and related knowledge, skills, and abilities for all City positions. The analysis was supported by Job Analysis Questionnaires that employees were asked to complete. Employees were then interviewed by the project consultant to clarify the duties, responsibilities and qualifications required for each position. Conference interviews were also conducted with department heads and appropriate management staff to identify and clarify specific classification concerns.

The questionnaires, interviews, and additional background materials were used to prepare job classifications and to make recommendations, when warranted, for reclassifications. Part of the classification analysis was to identify the appropriate job titles, definitions, class characteristics, examples of typical job functions, qualifications (to include knowledge, skills, and abilities) and working conditions. Job specifications were then created based on the analysis and were distributed to employees and managers for further input and comments.

Based on an in-depth analysis of all City positions, the study recommends 23 title changes and 12 of those changes are for reclassifications. The title changes and reclassifications are being proposed to more accurately reflect the level and scope of work being performed, as well as establish consistency with the labor market and industry standards. Compensation surveys are a necessary part of assessing and updating a City's compensation plan. They enable a City to anticipate and understand what the labor market is doing and optimize their ability to recruit and retain employees. The development and modification of the City's Compensation Plan involves an assessment of several components including a comparison of City salary ranges with the salary ranges for comparable jobs in comparable agencies, and an analysis of the City's employee benefit plan using a total compensation model.

At the City Council meeting on October 12, 2016, the following 15 agencies were presented for use as comparable agencies for the purposes of this labor market study: Arcadia, Alhambra, Azusa, Baldwin Park, Claremont, Covina, Diamond Bar, Duarte, Glendora, La Verne, Monrovia, Montclair, San Dimas, San Gabriel, and San Marino.

The total compensation analysis identifies areas of strengths and weaknesses in the City's benefit plan compared to market practices. When base salary ranges are compared, the City is 5.5% below market median overall. When incentive pays (e.g., bilingual pay, education pay, etc.) are added to base salary and the cumulative totals analyzed, the City is 6.7% below market median. This means the City's incentive pays are slightly lower than market. When insurance benefits are cumulatively added to base and incentive pays, the City is 2.5% above the market median, which indicates that the City has higher City-paid insurance benefits.

Trends for the Police Officer and Sergeant positions are different than the findings for non-sworn job classes. Both the Police Officer and Sergeant positions are rated above market median due to education incentive benefits that exceed market practices.

The Classification and Compensation Study Reports are presented for informational purposes only. A final Classification and Compensation Plan will be presented to the City Council for approval following the conclusion of negotiations with the City's employee organizations.
