The Directors may exercise all the powers of the Company, except any power the Corporations Act or the Rules requires the Company to exercise in a general meeting of members. The Board is responsible for the appointment of the Chief Executive Officer to do all things necessary for the proper management and administration of the organisation. The CEO is ultimately accountable to the Board of Rowing New South Wales, however the CEO is accountable to the President on a day-to-day basis. Rowing New South Wales is committed to best practice models of governance to ensure the long term viability of the organisation. Corporate governance for the Board of Rowing New South Wales relates to: The process of setting, guiding and monitoring the organisation’s future direction Ensuring the organisation operates within its relevant legal and other boundaries Driving organisational performance through the management team appointed by the Board Establishing appropriate control processes and accountability systems The Board meets monthly, comprising 9 Directors elected by the members of Rowing New South Wales. The following members comprise the RNSW Board: President Ivan Adlam Deputy President Bryan Weir Directors Deanna Fekete, Stephen Handley, Bronwen Watson, Miranda Bennett, Fiona Toose, Danika Wright, Liam James Rowing NSW Annual Report 2014-2015 Page 5 BOARD OF DIRECTORS Ivan Adlam – President Attended 12 from a possible 12 Board meetings Ivan’s introduction to rowing was as a parent in 2003. Since then he has been involved as a regatta volunteer, trainee BRO and achieved level 2 coaching accreditation. He has also served on the committees of the Endeavour Rowing Club and the Central Districts Rowing Association. Ivan has extensive experience in corporate accounting and financial management roles in Australia and overseas. He was appointed to the Board of Rowing NSW as Finance Director in October 2010. Bryan Weir – Deputy President Attended 9 from a possible 11 Board meetings Bryan Weir graduated from University of New South Wales with degrees in Law and Commerce in 1976. He joined the law firm of Freehill Hollingdale & Page (now Freehills), becoming a partner in 1980. In 1993, he left Freehills to become a divisional director of Macquarie Bank, where he remained until 1998. Since then, he has (with a business partner) established and operated a private investment and advisory group known as the Walker Douglas Group, which holds and manages investments in commercial and industrial real estate and in hotels. Bryan is a past president of Mosman Rowing Club. Stephen Handley Attended 9 from a possible 12 Board meetings Stephen Handley has been a member of Sydney Rowing Club for over 40 years, joining as a junior active member in 1970. Stephen enjoyed success as an athlete winning many state and national championships and representing Australia at two world championships and the 1980 Moscow Olympic Games. Following many years in banking and finance for the past 20 years he has owned and operated an electronics engineering business specialising in IT and telecommunications. Stephen has been a director of Rowing NSW since 2007. Chris Noel Attended 3 from a possible 4 Board meetings B Ec.1971, Hon Fellow Sydney University 2007. Rowed competitively at school and in club rowing from 1964 to 1977. Awarded a Sydney University Blue in rowing 1971. Served as Treasurer, Captain, President and Vice President of Sydney Uni Boat Club from 1975 to present. Member of the Board of Sydney University Sport and Fitness 1990 - 2009. President of Rowing NSW 2006-2008. In recent years Chris has headed the NSW Kings Cup Committee. This committee aims to support NSW State rowers and to promote the success of NSW crews in the annual interstate regatta. Chris has filled the role of Rowing Program Coordinator at Sydney University Boat Club since 1994.
