Thus, notwithstanding SBG's other media interests, I am able and committed to carrying out my pledge to manage, on a full-time basis, a VHF in Baltimore, , the community where I was born and have lived virtually all my life.

B. Integration - Qualitative

1. Local Residence

I presently reside at 2070 Geist Road, Glyndon, Maryland, where I have lived since April 1993. That address is within the Grade A service contour of Four Jacks' proposed Baltimore station. Prior to moving to my present address, I lived at 6309 Blackburn Court, Baltimore, Maryland. I was born in Baltimore, and have lived either in Baltimore or within the proposed station's service area all of my life, except for the years that I attended college (1981-86, at Roanoke College in Salem, Virginia). I intend to continue to reside within the service area of the proposed Baltimore station if Four Jacks is granted the construction permit. -3-

2. Broadcast EXPEPrience

My broadcast experience began at approximately the age of 10 or 11, when I began accompanying my late father Julian Sinclair Smith, a Baltimore broadcast pioneer who passed away in early 1993, on his trips to WFMM, a Baltimore FM radio station that he owned. When needed, I would spin records, load tape machines, and perform other supervised tasks to assist the station's disk jockeys, and I began to learn the technical side of broadcasting. I spent time at my father's television station, WBFF(TV), Baltimore, on an intermittent basis as well. After the radio station was sold in 1976 or 1977, I would spend one or two nights a week throughout my youth with my father at the television station, performing operational tasks such as operating film projectors, tape machines and cameras. I worked at WBFF(TV) part-time during summers while in high school, and at times during college. During one summer break during college, I worked with my brother David at his company, Comark Communications, Inc., installing television transmitters at new stations. Following my graduation from college in 1986, I spent a week observing the operation of station WPTT(TV) , , Pennsylvania, which our family then owned. I then returned to Baltimore in 1986 to be the full-time Program Manager of WBFF(TV). There, I was responsible for negotiating program contracts with syndicators, formulating the station's program schedule, and overseeing the station's programming staff. After -4-

a year and a half as WBFF(TV)'s Program Manager, I assumed an executive position with our family's television business. For a brief period of time in 1990, I alternated with my brother David as the interim General Manager of station WPTT in Pittsburgh. My three brothers and I presently oversee the operation of WBFF(TV) in Baltimore, as well as station WTTE(TV), Columbus, ; station WPGH-TV, Pittsburgh, pennsylvania; station WIIB(TV), Indianapolis, Indiana; and station WTTA(TV), St. Petersburg, Florida. My brothers and I have been greatly involved in the Baltimore community through our operation of our Baltimore station, WBFF(TV). Together with the Maryland Mathematics, Engineering and Science Association ("MESA"), WBFF(TV) presents two scholarships annually to Baltimore-area minority students interested in engineering and mathematics. These scholarships are named the Julian Sinclair Smith Memorial Scholarships in honor of my late father's devotion to technical and engineering excellence. WBFF(TV) has instituted a program called Champions of Courage, an essay contest in which Baltimore inner city children compose an essay about their role models. The essay finalists appear on WBFF(TV) to read from their compositions, and the station holds a banquet at which the participants -- as well as their role models -- appear to receive awards. WBFF(TV) has also participated in campaigns to discourage drinking and driving, and has worked with charities such as the American Cancer Society, American Leukemia Society, Cystic Fibrosis (I ---

have served as WBFF(TV)'s liaison with this charity), American Parkinson's Society, Multiple Sclerosis, Johns Hopkins Hospital, and Ronald McDonald House.

C. Diyersification

I am a Vice President, the Treasurer, a Director, and a 25% shareholder in , Inc. ("SBG"). SBG wholly owns Commercial Radio Institute, Inc. ("CRI"), of which I am a Vice President, the Treasurer, and a Director. CRI wholly owns the following entities: WPGH, Inc., which in turn wholly owns WPGH Licensee, Inc., the licensee of WPGH-TV, Pittsburgh, Pennsylvania. I am a Vice President, the Treasurer, and a Director of both WPGH, Inc. and WPGH Licensee, Inc. WTTE, Channel 28, Inc., which in turn wholly owns WTTE, Channel 28 Licensee, Inc., the licensee of WTTE(TV), Columbus, Ohio. I am a Vice President, the Treasurer, and a Director of both WTTE, Channel 28, Inc. and WTTE, Channel 28 Licensee, Inc. A. Integration - OUantitative

In the event that the application of Four Jacks Broadcasting, Inc. ("Four Jacks") for a new television station on Channel 2 in Baltimore, Maryland, is granted, I, Frederick G. Smith, Vice President, Assistant Treasurer, a Director, and a 25% shareholder of Four Jacks, will work at the Baltimore station on a full-time basis (a minimum of forty (40) hours per week) as Operations Manager. In that position, I will have direct responsibility over the news, programming, engineering, and traffic departments. I will be responsible for the scheduling - and training of personnel, as well as for supervising the station's technical operation. In addition, I will review film - contracts and will be involved with my brothers in the hiring and firing of station personnel. In the event of a grant of Four Jacks' application, to fulfill my integration commitment, I will - resign from my then-current emploYment and will limit or terminate any other activities that might interfere with my integration commitment. I am presently an officer, director and shareholder of Sinclair Broadcast Group, Inc. ("SBG"), which through various subsidiaries owns the media interests set forth in Four Jacks Exhibit 1. In 1970-71, I assisted my late father, Julian Sinclair Smith, in constructing television station WBFF(TV), Baltimore, Maryland. Prior to 1990, I served on the Board of Directors of Sinclair Broadcast Group ("SBG"), our family's television company, and assisted my father and brothers in the business on an as-needed basis. In mid-1990, I began to take a more active role in the family television business. For a year prior to July 1, 1991, I devoted approximately 25 to 30 hours a week to SBG. On July 1, 1991, I assumed a full-time executive position with the family television business. My three brothers and I presently oversee the operation of WBFF(TV) in Baltimore, as well as station WTTE(TV), Columbus, Ohio, station WPGH-TV, Pittsburgh, pennsylvania: station WIIB(TV), Indianapolis, Indiana: and station WTTA(TV), St. Petersburg, Florida. My principal task has been to supervise the various department managers at the Baltimore, Pittsburgh, and Columbus stations. In addition, I review film contracts and review the hiring and firing of all personnel at those stations. My brothers and I have been greatly involved in the Baltimore community through our operation of our Baltimore station, WBFF(TV). Together with the Maryland Mathematics, Engineering and Science Association ("MESA"), WBFF(TV) presents two scholarships annually to Baltimore-area minority students ---
