The Original Filing continues to speak as of the date of the Original Filing, and we have not updated the disclosures contained therein to reflect any events which occurred at a date subsequent to the filing of the Original Filing. As previously disclosed, Cypress entered into an Agreement and Plan of Merger, dated as of June 3, 2019 (as amended or modified from time to time, the “Merger Agreement”), by and among Cypress, Infineon Technologies AG, a stock corporation (Aktiengesellschaft) organized under the laws of the Federal Republic of Germany (“Infineon”), and IFX Merger Sub Inc., a Delaware corporation and a wholly- owned subsidiary of Infineon (“Merger Sub”), providing for the merger of Merger Sub with and into Cypress on the terms and subject to the conditions set forth in the Merger Agreement (the “Merger”), with Cypress continuing as the surviving corporation in the Merger and as a wholly owned subsidiary of Infineon. As of the filing of this Amendment, the Merger is expected to close (the “Closing”) on or about April 16, 2020, pursuant to the terms of the Merger Agreement.
