Pursuant to Regulation 33 of the SEBI [LODR] Regulations, 2015, the audited financial results for the quarter and year ended 31st March, 2020 is to be submitted on or before 31st July, 2020. However, considering the current COVID-19 pandemic existing in Chennai and due to the imposition of lockdown measures by the state government on the containment zone, our office having been situated at Armenian Street which is adjacent to Royapuram which is No.1 in the affected area and also to the Sowcarpet, George Town and Broadway and are finding it difficult in completing the audit processes as employees are unable to commute to office due to non- availability of public transports viz. buses and train services. Under the circumstances, the Company is unable to submit the financials within the stipulated time and hence has made a request to SEBI for granting extension of time for a period upto 14th August, 2020 for necessary compliance. We had sincerely planned to have the board meeting on 31st July, 2020 for submission of financial results. We wish to inform you that due to the current prevailing situation on account of the COVID-19 pandemic, our registered office situated at Armenian Street, Chennai falls under the containment zone being Royapuram which is No.1 in the affected COVID patients in the district of Chennai from the date of identification of the affected persons, our office remains closed since 23rd March, 2020 and further we are not allowed to enter our office until the ban is lifted. Further to this, the State Government had imposed a COMPLETE LOCKDOWN for the district of Chennai effective 19th June, 2020 to 30th June, 2020, we could not have access to reach office to produce the statutory records and books which are required to be submitted to the auditors for completing the audit process and the auditors from various locations are also unable to reach the office for conducting the required audit formalities to form an opinion for the other entities whose financial results are to be consolidated, we are experiencing great difficulties in completing the processes and submit the audited financial results to the Exchanges in accordance with Regulation 33 of the LODR Regulations on or before 31st July, 2020. We attach herewith for your ready reference the notification of the Greater Corporation of Chennai on the list of containment zones where it would be noticed that the areas George Town, Sowcarpet, Royapuram and Broadway which are in the containment zones are the places that surround our Registered Office at Armenian Street. Further to this, we will be facing much difficulty in collating and circulating the papers among the directors who are to be well informed prior to the board meeting since will be having only limited access to extend the required facilities. We shall be able to complete the audit requirements, once the situation improves and the ban on containment zone is lifted for our registered office area and accordingly we shall notify the exchange on the date for the approval of the financial statements by the Board. Considering the extra-ordinary difficult situation that prevails on account of the COVID-19 pandemic, we request you to kindly grant us extension of time from submitting the audited financial results beyond 31st July, 2020 until 14th August, 2020 by which time, we shall take all our earnest efforts to comply with Regulation 33 of the SEBI [LODR] Regulations, 2015. We also confirm that we shall communicate to BSE and NSE on the request having been submitted to the Board with reasons for the delayed submission of the financial results as required vide SEBI Circular No. CIR/CFD/CMD 1/142/2018 dated November 19, 2018.
