Present: Senators Lieberman, Carper, McCaskill, Tester, Begich, Collins, Coburn, Brown, and Johnson. OPENING STATEMENT OF CHAIRMAN LIEBERMAN Chairman LIEBERMAN. The hearing will come to order. Good afternoon. A recent book by Peter Schweizer and a story based on it on ‘‘60 Minutes’’ have raised the very serious question of whether Members of Congress have been using ‘‘insider information’’ to make investments that enable them to make money they could not have made if they were not Members of Congress. The Members of Congress who have been specifically accused have denied the allegations. Our purpose here this afternoon is not to determine the guilt or innocence of individual cases. Our pur- pose is to determine whether the existing law is sufficient to pre- vent and punish congressional insider trading. Perceptions are very important in public service. That means that if the law seems to allow Members of Congress to take advan- tage of their public position for personal gain, the trust that needs to exist between the American people and our government will be further eroded than it already is. So what is the state of the law governing insider trading by Members of Congress? It will surprise most people to learn that there is no explicit pro- hibition in our laws against insider trading by anyone, including Members of Congress. That is to say, the term ‘‘insider trading’’ is not mentioned or defined in statute. All the investigations and prosecutions of insider trading over the years by the U.S. Securities and Exchange Commission (SEC) or the Department of Justice (DOJ) have been carried out pursuant to the broad anti-fraud pro- visions of the Securities Exchange Act of 1934, which makes it un- lawful, in Section 10(b), to ‘‘use or employ, in connection with the purchase or sale of any security—any manipulative or deceptive de- vice or contrivance in contravention of such rules’’—this sounds like it was written not in 1934 but in 1734—‘‘and regulations as (1) VerDate Nov 24 2008 11:03 May 14, 2012 Jkt 072559 PO 00000 Frm 00005 Fmt 6633 Sfmt 6633 P:\DOCS\72559.TXT SAFFAIRS PsN: PAT 2 the Commission may prescribe as necessary or appropriate in the public interest for the protection of investors.’’ The specific rules making insider trading illegal are found in a large body of SEC regulatory activities pursuant to Section 10(b), that broad anti-fraud statute I just read, and court decisions inter- preting those activities. The rules against insider trading now clearly encompass not just corporate ‘‘insiders’’ but others who have bought and sold securities based on material, nonpublic informa- tion they obtained and used in violation of a duty of trust. Now, I gather that some have said that Congress has exempted itself from these insider trading rules, but that is not true. Congressional Securities Trading GREGORY H. SHILL* The trading ofstocks and bonds by Members of Congresspresents several risks that warrant public concern. One is the potentialfor policy distortion: lawmakers' personalinvestments may influence their official acts. Another is a special case of a general problem: that of insiders exploiting access to confidential informationfor personal gain. In each case, the current framework which is based on common law fiduciary principles is a poor fit. Surprisingly, rulesfrom a related context have been overlooked. Like lawmakers, public company insiders such as CEOsfrequently trade securities while in possession of confidential information. Those insiders' trades are governed by federal securitiesregulations. Borrowingfrom these regulations, this Essayproposes a taxonomy of congressional securities trading (CST) and develops a comprehensive prescription to manage it.

    How “Maximizing Shareholder Value” Minimized the Strategic National Stockpile: The $5.3 Trillion Question for Pandemic Preparedness Raised by the Ventilator Fiasco † William Lazonick and Matt Hopkins* Working Paper No. 127 July 21st, 2020 ABSTRACT With just 4.2 percent of the world’s population, the United States had, as of July 21, 2020, 26.0 percent of its confirmed Covid-19 cases and 23.1 percent of its deaths. The magnitude of the tragedy raises the critically important counterfactual question of how the United States as a nation would have fared had there been competent and committed political leadership in place when, during January 2020, intelligence indicating the severity of the unfolding pandemic became available. A partial answer to this question lies in identifying the organizational and technological capabilities to develop, produce, and deliver “countermeasures”—personal protective equipment (PPE), ventilators, diagnostic tests, therapies, and vaccines—that a prepared federal administration would have been able to mobilize to respond to the pandemic. Last year, the Stop Trading on Congressional Knowledge Act (STOCK Act), Pub. L. No. 112-105, established significant new requirements for the federal legislative and executive branches. ill the executive branch, the STOCK Act established requirements for disclosure of financial transactions more promptly than ever before; disclosure of employment negotiations with prospective employers and implementation of recusals during such negotiations; disclosure of the terms of mortgages on personal residences; development of new electronic filing systems for financial disclosure reports; restrictions on certain acquisitions through initial public offerings; and the posting of financial disclosure reports online in a database that would "allow the public to search, sort, and download data contained in the reports." These requirements are all under way with the exception of the online posting requirement. Congress has acted three times to postpone most of the implementation of this online posting requirement.

INTRODUCTION On January 24, 2012, President Barack Obama presented his annual State of the Union Address (“Address”) to Congress.1 For the large majority of the Address, the President appeared to be speaking to the American people as a whole.2 Toward the end of the Address, however, he spoke to the members of Congress directly with regard to the seeming disconnect between politicians and the rest of the country, specifically concerning their alleged trading behavior in financial markets.3 He stated: “Send me a bill that bans insider trading by members of Congress; I will sign it tomorrow.”4 That statement was met with great applause.5 Shortly thereafter, Congress appeared to have taken the President’s suggestion as a personal challenge.6 Two days after the Address was given, a measure relating to this very topic was addressed in the Senate.7 Members of Congress were lining up to give their approval of the bill before they even knew the details of its provisions.8 1. Nagy* INTRODUCTION Whether the decision making occurs inside a corporate boardroom or on Capitol Hill, acts of governing precipitate agency problems. Agency theory rests on the conflicts of interest that exist when one party (an agent) has been entrusted with the discretion to make decisions that affect and bind another party (a principal).1 Those conflicts arise in the corporate world, where shareholders entrust boards of directors to manage corporations. Those conflicts are also present in the political world, where citizens entrust politicians to manage the government. The fundamental challenges in each context lie in motivating agents to act in their principals' best interest and reducing the costs of monitoring.
