The Company has also prepared a COVID-19 deck to supplement this announcement which can be found at http://genuineparts.investorroom.com. This presentation is based on our current assessment of information available to us as of April 6, 2020. The Company also plans to release first quarter 2020 earnings on May 6, 2020. In addition, its Board of Directors declared a regular quarterly cash dividend of seventy-nine cents ($0.79) per share on the Company’s common stock. The dividend is payable July 1, 2020 to shareholders of record June 5, 2020. In response to the rapidly evolving COVID-19 outbreak and pandemic, the Company has implemented preparedness plans to keep our employees and customers healthy and safe, as well as to ensure continued operations and business continuity across our global network. (EIS), the Electrical Specialties Group of Motion Industries, to Audax Private Equity (Audax). GPC intends to use the net cash proceeds from the transaction in accordance with its disciplined capital allocation strategy. The use of these funds may include potential investments for both organic and acquisitive growth, reinvestments in the business, share repurchases and the repayment of debt. The transaction is expected to close by September 2019, subject to the satisfaction of customary closing conditions. EIS is a well-established and growing North American fabricator, converter and distributor of electrical process materials, wire, cable and assemblies serving end-user segments in electrical power and related markets. AHG and GPC announced in July they had reached agreement on the sale of all 25 stores in the Covs network. The ACCC raised concerns in December 2015 over the likely effect on competition in certain regional areas as a result of the original transaction and the parties have therefore agreed to the revised transaction. The revised transaction is intended to address the ACCC’s competition concerns in those regional areas. Four Covs regional stores (Albany, Esperance, Karratha and Port Hedland) will be excluded from the revised transaction and AHG will retain those stores and operate them through AMCAP. AHG will rebrand the four retained Covs stores [Skipper Transport Parts] to avoid confusion with the Covs stores to be operated by GPC Asia Pacific. By retaining these stores, AMCAP sees significant opportunities to expand its operations in areas where it already has a presence while maintaining the existing automotive parts operations and activities to ensure no disruption of supply to local customers. AHG has given the ACCC a commitment in the form of a section 87B undertaking to retain and operate these stores for a minimum period of two years from when the revised transaction with GPC is completed.
