Agreeable to the statutes and in pursuance of a Resolution of this Board, the ANNUAL MEETING of the Board of Chosen Freeholders of the County of Somerset was held on the above date at 3:00 p.m.

Notice of this meeting was given according to Statute on December 8, 2009.

The National Colors were presented by the Sheriffs Office Honor Guard accompanied by Piper Michael P. Ahnell of the Somerset County Police Pipe and Drums.

The National Anthem was sung by Malden Comando, Leila Pascual, Jacqueline Maroney and Katharine Bellucci, members of the Somerville High School Quartet led by Karen Gorzynski, Chorale Director

The Pledge of Allegiance to the Flag was led by Rick Fontana after which the National Colors were retired by the Sheriffs Office Honor Guard followed out of the meeting by Piper Michael P. Ahnell.

Reverend Timothy J. Wolf, New Horizon Christian Fellowship, Hillsborough did the honor of pronouncing the Invocation.

The Deputy Clerk stated that the meeting was in compliance with the Open Public Meetings Act and that adequate notice was provided on December 18, 2009 follows:

Jack M. Ciattarelli, re-elected Freeholder, presented his certificate of election and thereupon took the Oath of Office administered by the Honorable Yolanda Ciccone, Judge of the Superior Court, which Oath was directed to be filed according to Law.

TESTIMONIAL HONORING BARBARA ANN LUCAS

WHEREAS, Barbara Ann Lucas has retired from Somerset County after serving the residents for thirty-one years; and

WHEREAS, Barbara began her career in government in 1978 in the Freeholders Office as an Administrative Assistant; and

WHEREAS, Barbara first became Deputy Clerk of the Board under Margaret Maccini and then Clerk of the Board upon Margaret’s retirement; and

WHEREAS, despite her busy schedule as Clerk of the Board, Barbara found time to involve herself in many projects that contributed to a free flow of information to not only county departments, but also the residents of the county through the Telephone Training and Facts At Your Fingertips initiatives; and

WHEREAS, during Barbara’s tenure at the county, she has worked with three County Administrators and twenty Freeholders including former Governor Christie Whitman, former Congressman Michael Pappas, Assemblywoman Denise Coyle, Assemblyman Peter Biondi and Senator Kip Bateman; and

WHEREAS, Barbara’s efforts on behalf of the residents of Somerset County were evident in her attention to their needs and her legacy will stand as an individual devoted to her family and the people she served.

NOW, THEREFORE, BE IT RESOLVED that the Board of Chosen Freeholders of the County of Somerset, individually, collectively, and on behalf of all the residents of the county, extend their congratulations to Barbara Ann Lucas upon her retirement from thirty-one years in Somerset County government and add their best wishes for a healthy and happy retirement.

AT THIS TIME FREEHOLDER PALMER PRESENTED A GIFT TO BARBARA LUCAS ON BEHALF OF THE BOARD.

AT THIS TIME DIRECTOR CIATTARELLI ISSUED THE FOLLOWING TESTIMONIAL ON BEHALF OF THE BOARD.

TESTIMONIAL HONORING RICK FONTANA

WHEREAS, Rick Fontana is leaving public service after serving the citizens of Somerset County as Freeholder for twelve years; and

WHEREAS, Rick began his career in government in 1987 when he was elected to the North Plainfield Borough Council; and

WHEREAS, after moving to Bridgewater Township, Rick continued his tenure in public service by serving on the Bridgewater Township Council from September 1994 to December 1997 before beginning his first term as Somerset County Freeholder in January 1998, a position in which he served until deciding not to seek re-election in 2009; and

WHEREAS, as Freeholder Rick has served as Liaison to every Department and Division in county government, as well as Liaison to every County Board and Commission, and has spearheaded many initiatives benefitting county residents including the Athletic Field Grant Program, continued acquisition of open space including the 3M/Silvi property in Montgomery and the GSA Depot in Hillsborough and acquisition of land in Bridgewater for future expansion of the Ted Blum 4-H Center; and

WHEREAS, Somerset County, under Rick’s leadership, has emerged as a leader in public service by holding a Veterans’ Job Fair and Information Day, advancing the construction of a new Adult Day Center in Bridgewater, a site that will also house a county senior-wellness center, and creating Leadership Somerset in 1999, a program that encourages individuals who live and work in Somerset County to become trustees of their communities as they work for the common good; and

WHEREAS, despite his busy schedule, Rick found time to involve himself on many Boards and Commissions including Family and Community Services of Somerset County, Somerset County 4-H Association, Middle Earth Community Advisory Board, Leadership Somerset Board of Directors and the Somerville Elks to name just a few; and

WHEREAS, Rick has been a friend to both the residents of Somerset County and the employees who serve them, exercising leadership and decision making with equal measures of fairness and compassion, and he will be greatly missed as he begins another exciting and undoubtedly rewarding phase in his life.

NOW, THEREFORE, BE IT RESOLVED that the Board of Chosen Freeholders of the County of Somerset, individually, collectively, and on behalf of all the residents and employees of Somerset County, extend their great respect and appreciation to Rick Fontana for his stellar tenure as Somerset County Freeholder and his many years of commitment and dedicated service to Somerset County, and add their sincere best wishes for success in all his future endeavors.

RESOLUTION REAPPOINTING COUNTY COUNSEL

WHEREAS, R.S. 40A:9-43 directs that in every County in , the Board of Chosen Freeholders shall appoint a County Counsel for a term of office of three years.

NOW, THEREFORE, BE IT RESOLVED by the Board of Chosen Freeholders of the County of Somerset as follows:

1. That Thomas C. Miller, Esq. be and is hereby reappointed County Counsel of and for the County of Somerset for a term of three years commencing January 1, 2010, the 5

compensation therefore to be in the form of a monthly retainer in the amount authorized by the Board for the term of County Counsel, plus compensation to be at a rate as per schedule on file in the Office of the Clerk of the Board.

2. That William P. Robertson be and is hereby reappointed Deputy County Counsel of and for the County of Somerset to serve under the control and direction of the County Counsel, such appointment to be for a term coincidental with that of the County Counsel.

The retainer, fees, and costs paid to the County Counsel shall include all services of the Deputy County Counsel.

RESOLUTION AUTHORIZING AGREEMENT FOR CERTAIN LEGAL SERVICES BY REAPPOINTING JOHN M. LORE AS DEPUTY COUNTY COUNSEL FOR ALL PLANNING BOARD MATTERS

WHEREAS, the Chief Financial Officer of the County of Somerset has certified in writing the availability of funds for the purpose set forth in the Resolution, such certification on file in the Office of the Clerk of the Board, and such funds being provided for in the duly adopted temporary budget of the County of Somerset, line item 390-02701; and

WHEREAS, the Somerset County Planning Board has need for legal counsel and legal services; and

WHEREAS, the Board of Chosen Freeholders of the County of Somerset desires to reappoint John M. Lore as Deputy County Counsel for all Planning Board matters; and

WHEREAS, as Deputy County Counsel, Mr. Lore will be engaged in rendering "Professional Services" as defined in the Local Public Contracts Law N.J.S.A. 40:11-2(6) in that he is authorized to practice a recognized profession, the practice of which is regulated by law; and

WHEREAS, John M. Lore possesses the knowledge and expertise necessary to render legal services desired by the Board; and

WHEREAS, the Local Public Contracts Law N.J.S.A. 40A:11-1 et seq. requires that notice with respect to contracts for Professional Services awarded without competitive bids must be publicly advertised.

NOW, THEREFORE, BE IT RESOLVED that the Board of Chosen Freeholders of the County of Somerset does hereby reappoint John M. Lore as Deputy County Counsel for all Planning Board Matters for a term to expire on December 31, 2010, with compensation to be at a rate as per schedule on file in the Office of the Clerk of the Board; and

BE IT FURTHER RESOLVED that the contract is awarded without competitive bidding as a "Professional Service" in accordance with the Local Public Contracts Law N.J.S.A. 40A:11-5(1)(a) because it is for services performed by persons authorized by law to practice a recognized profession; and

BE IT FURTHER RESOLVED that a notice of this award shall be published in the Courier News as required by law within ten (10) days of its passage.

RESOLUTION ENGAGING DANIEL F. O’CONNELL, ESQ. AS SPECIAL LABOR COUNSEL FOR 2010

WHEREAS, the Chief Financial Officer of Somerset County has certified in writing the availability of funds for the purpose set forth in this Resolution, such certification on file in the Office of the Clerk of the Board and such funds being provided for in the duly adopted temporary budget of the County of Somerset, line item # 121-02708; and

WHEREAS, the County of Somerset has found it necessary from time to time to engage in certain labor relations with groups of employees of the County of Somerset; and

WHEREAS, these matters require immediate and particular attention with regard to public and private labor practices; and

WHEREAS, the Board of Chosen Freeholders of the County of Somerset desires to reappoint Daniel F. O'Connell, Esq. or his designee as special labor counsel for limited purposes set forth herein; and

WHEREAS as Special Labor Counsel, Mr. O'Connell, Esq. will be engaged in rendering "Professional Services" as defined in the Public Contracts Law N.J.S.A. 40A:11-2 (6) in that he is authorized to practice a recognized profession, the practice of which is regulated by law.

NOW, THEREFORE, BE IT RESOLVED by the Board of Chosen Freeholders of the County of Somerset that Daniel F. O'Connell, Esq. or his designee, be and is hereby engaged to perform legal services for the County of Somerset, for a term to expire December 31, 2010, pertaining to and related to pending matters of labor relations affecting County employees, with compensation to be at a rate as per schedule on file in the Office of the Clerk of the Board, and the Board reserves the right to terminate said professional services at any time upon written notice from the Director or Deputy Director of the Board; and

BE IT FURTHER RESOLVED that said Daniel F. O'Connell, Esq. or his designee shall report in writing and orally, as may be appropriate, from time to time to the Director of the Board of Freeholders, the County Administrator and the County Counsel; and

BE IT FURTHER RESOLVED that a copy of this award be published according to law.

WHEREAS, Chapter 231, P.L. 1975, New Jersey effective January 20, 1976, also known as the "Open Public Meetings Act", required in part that a public body shall give adequate written notice of time, date and location of regular meetings to be held by such body; and WHEREAS, the Board of Chosen Freeholders of Somerset County has determined that it will hold its regular meetings during the calendar year of 2010 at specified times and dates; and

WHEREAS, it deems it would be appropriate at this time to announce such meetings for the remainder of 2010.
